Vybrané aspekty řešení mezinárodních investičních sporů / Selected aspects of resolving international investment disputes

Resumé This thesis on selected aspects of the resolution of the international investments disputes tackles the challenge of the arbitrator under the Convention on the Settlement of Investment Disputes between States and Nationals of Other States. Its main aim is to analyze current legal regulation of the arbitrator's qualification and the following challenge procedures. Further to analyze, how is current international practice with regard to issue of impartiality and independence of arbitrators in case law of the International Centre for Settlement of Investment Disputes. Upon such analysis to reveal shortcuts of the legal regulation and case law and propose future improvements for the whole system of the arbitrators' challenges. The thesis itself is dividing into chapters, the first chapter deals with the arbitrators' qualifications and challenges in the international investment arbitration. Further refers to the interpretation of relevant articles of the Washington Convention by arbitral tribunals and to conclusions formulated by them in challenge decisions. The second chapter is base on the comparison between arbitrators' challenges and qualifications in the international investment arbitration and the international commercial arbitration, where is main target to analyze differences of both systems....

Domestic courts and international investment arbitral tribunals : nurturing a profitable and symbiotic relationship

This thesis proposes that conscious and increased co-operation and coordination of the relationship between investment tribunals and domestic courts can greatly improve the efficacy of the international investment arbitration system, and further the rule of law. The extent of the power both forums wield, the level of influence both systems have on each other and the critical roles both systems play in the resolution of investment disputes warrant a systematic approach to cooperation and coordination. This study finds justification for this proposition by analyzing the policy implications of investment arbitration outcomes. It goes on to explore the relationship between domestic courts and investment tribunals by examining the roles they play and the areas of jurisdictional friction between the two systems. The core issues addressed include the jurisdiction and competence of international investment tribunals and domestic courts in the resolution of investment disputes; the support roles of domestic courts; anti-suit/anti-arbitration injunctions; pre-conditions to arbitration; the effects and implications of the review of investment tribunals’ decisions by domestic courts, and the review of the lawfulness of the conduct of domestic judicial systems by investment arbitration tribunals. In addressing these issues, the work examines the extent to which domestic courts and international arbitration tribunals should accord deference to each other with respect to their involvement in the resolution of investment disputes. Based on the analysis of the areas of intersection between the domestic and international investment dispute settlement systems, instances of ‘positive interactions’ are highlighted and encouraged. The study also proposes ways in which further cooperation and coordination can take place. In making these proposals, and acknowledging the differences that exist, this thesis considers the collaboration between other international adjudicatory bodies and domestic courts so as to distill lessons for the international investment arbitration system.

Provisional measures in international arbitration as a response to parallel criminal proceedings

The central subject of this thesis is the power of an arbitral tribunal to order a state to refrain from pursuing criminal proceedings against a commercial enterprise if such an investigation constitutes an abuse of power or an attempt to obtain an unfair procedural advantage or harass of the investor, rather than a legitimate exercise of the state’s police power. The first chapter addresses the nature of international arbitration and how different theoretical models may help to explain the limits of the arbitrators’ adjudicative powers and the attitude of various national legal orders and domestic courts to arbitration agreements, proceedings and awards. The second chapter analyzes different approaches to investment arbitration as a form of global governance, and reviews arbitral jurisprudence on the interaction between protection of foreign investment and states’ power to conduct criminal proceedings. The third chapter focuses on jurisprudence of the International Court of Justice (ICJ) and various arbitral tribunals on provisional measures affecting the conduct of criminal proceedings. It identifies key developments and trends in the jurisprudence, especially with respect to the rights that could be protected by such measures. Finally, the fourth chapter addresses the question how to balance the states’ right (or even an obligation) to combat global corruption and crime, one the one hand, and the due process rights accorded to private entities when their commercial and investment disputes are resolved through international arbitration, on the other hand. / Graduate / 2022-03-19

1 Resolving investment disputes from the perspective of case- law of international arbitration courts The purpose of my thesis is to analyse actual questions of international investment dispute resolution. In this research I would like to stress the differences between the institutional investment arbitration and the ad hoc investment arbitration while focusing on the ICSID Arbitration according to The Convention on the Settlement of Investment Disputes between States and Nationals of Other States followed by the Rules of Procedure for Arbitration proceedings and on the ad hoc arbitration according to the 1976 - UNCITRAL Arbitration Rules, as these two proceedings represent the most common modes of international investment dispute resolution. All my findings are going to be supported by relevant case-law of individual arbitration courts or by specialized publications. The thesis consists of three chapters. Chapter One is introductory. It contains a simple analysis of what an international investment dispute means. This introduction is followed by a brief description of the history of international investment dispute resolution and of the modes of an international investment dispute resolution. L'idée de cette thèse sur le droit international des investissements concernant les entreprises d'État trouve son origine dans l'impressionnant développement économique de ces dix dernières années. D'une part, ce dernier donne une pertinence considérable à ce thème compte tenu de son actualité. D'autre part, il existe un intérêt considérable pour les problèmes juridiques laissés en suspens par ces entités. Cette thèse commence par un chapitre préliminaire dans lequel la forme juridique de ces institutions est analysée, à la fois avec une évaluation empirique et du point de vue du droit national et international applicable à ces sujets. L'analyse empirique approfondie qui n'a pas encore été réalisée dans les recueils de contributions examinés s'est révélée fondamentale, car certaines des questions juridiques concernant les entreprises d'État ne pourraient vraiment pas être abordées sans une telle approche. Le corps plus juridique de la thèse, consacré uniquement à l'analyse juridique, est composé de trois parties et présente deux principaux pôles d'intérêt : le premier est lié à la compréhension des implications juridiques de ces entités et le second, plus large, vise à comprendre le traitement qui a été réservé à ces organes dans les différends examinés. Ce traitement peut nous renseigner au niveau systémique sur le droit international des investissements, qui a également nécessité une comparaison ciblée avec l'arbitrage commercial et avec le droit commercial international. / The idea of a thesis on state enterprises in international investment law finds its roots in their impressive economic development during the last decade, which, on one hand, gives considerable relevance to this theme given its inherent actuality and, on the other hand, there is a considerable interest in the juridical problems that these entities leave open. The thesis consists of a preliminary chapter, were the legal form of these institutions has been analyzed, from both an empirical assessment and the standpoint of national and international law applicable to these subjects. The empirical, in-depth analysis, not yet reached in the collections of examined contributions, turned up as fundamental, because some of the legal issues concerning state enterprises cannot really be tackled without such an approach. The more juridical body of the thesis, devoted only to legal analysis is composed of three parts and has two main poles of interest: the first linked to the understanding of the legal implications of these entities and a second, and, wider one, aimed at understanding what the treatment of these bodies, occurred in the dispute cases examined, can tell us at a systemic level about international investment law, which has required also a targeted comparison with commercial arbitration and international trade law.

The arbitration community should be prepared to defend itself from a metaphorical “armyof undead” who could demand more government control of the arbitration process in the future. The time to stop fending off attacks and start going on the offensive against arbitration’s critics have come. / Los últimos 30 años han sido una época realmente excepcional para el arbitraje internacional. Gary Born lo asemeja a los Siete Reinos de “Juego de Tronos”, pues todo ha funcionado bien bajo el marco de la Convención de Nueva York. Sin embargo, según Gary Born: “se acerca el invierno” para el arbitraje internacional. La comunidad del arbitraje debe estar preparada para defenderse de un metafórico “ejército de muertos vivientes” que podría exigir un mayor control del gobierno sobre el arbitraje en el futuro. 1 Abstract Host-State Counterclaims in Investment Arbitration: Holding Investors Accountable for Human Rights Violations International investment arbitration has been long criticized for its structural bias against host states in favour of the defence of the interests of investors. The one-way character of this dispute settlement mechanism has been, however, recently challenged in the light of numerous cases in which arbitrators were confronted with counterclaims of host states, requesting damages for investors' illegal conduct. To successfully assert counterclaims in arbitral proceedings, host states have to deal with a series of difficulties. The submission of a dispute to an arbitral tribunal first requires consent both on the part of an investor and a host state. Its scope is determined by the language of dispute settlement provisions in international investment agreements. While these instruments generally accept a wide range of investors' claims related to their investments, counterclaims of host states fall within the jurisdiction of tribunals only if the international investment agreements contain a dispute settlement clause with broad wording. This diploma thesis aims to analyse specific fields of investment law in particular in the scope of the case law of international arbitration courts. The presented thesis describes the judiciary practice of arbitral institutions and its role in the forming of investment law. The thesis consists of four parts. The first part serves as an introduction into the field of investment disputes stating the basic terminology. For the purpose of a better understanding of the issues on hand it is crucial to define the relevant key terms. The second part is a history introduction about the evolution in this field followed by the analysis of the current development in investment law. The third chapter describes the various ways investment disputes can be resolved. The fourth part of the thesis is its central one, it examines the current issues in the judiciary practice of the international arbitration courts. Současné trendy standardu spravedlivého a rovného zacházení v investiční arbitráži / Recent Trends in Fair and Equitable Treatment in Investment Arbitration

(English) Often evoked by investors before arbitral tribunals and at the same time causing controversy and uncertainty with regard to its contents. Fair and equitable treatment standard of protection (FET) suffers from its vague formulation in bilateral investment treaties but simultaneously this characteristic enables it to fulfil the function of filling gaps left by other standards of protection. This results in a fact that uniform understanding of the standard seems impossible to achieve. Inherent dispute on whether FET amounts only to minimum standard of treatment under customary international law or is rather an autonomous standard is also embodied in various wordings of FET clauses present in the treaties. Unless specific link to minimum standard is made, almost all methods of legal interpretation prove that FET is an autonomous concept. Enumeration of sub-elements of FET in clauses will also not achieve certainty mainly because of disputes on contents of some of these sub-elements. Effort to shed more light on the contents of the standard is achieved by evaluation of values of rule of law as well as requirements of morality and legality (necessary for functioning of every legal system) presented by legal philosopher Lon Fuller.
