Arbitráž a mediace v mezinárodních obchodních sporech / Arbitration and mediation in international commercial disputes

Arbitration and mediation belong to the popular methods used for the international commercial disputes. In the diploma thesis, the author mainly describes the combinations of the processes, focusing on the med-arb with one neutral. Med-arb is considered by the academics to be a controversial method. Since the topic is examined in the context of international commercial disputes, the author analyses not only the Czech law but also foreign jurisdiction and rules of the international organisations. She also refers to recently published researches, such as the International Arbitration Survey 2018 safeguarded by Queen Mary University or the reports of the Herbert Smith Freehills, Pricewaterhouse Coopers and International Mediation Institute. In the first chapters of the thesis, the author describes the individual ADR methods and their combination. The second and third chapter focuses on positives and negatives connected with the method. The effectivity of the process, flexibility, possible loss of impartiality of med- arbiter and conflict of interest are discussed. Following this information, the author presents in the fourth chapter how to work with med-arb in order to eliminate the negative aspects. 1 ABSTRACT MEDIATION AS A MEAN OF INTERNATIONAL COMMERCIAL DISPUTE RESOLUTION This dissertation deals with the phenomenon of discrepancies between commonly shared perceptions about international mediation and its real and practical situation. The aim of this disertation is not to analyze the legal provisions on mediation in individual national jurisdictions or to analyze individual provisions of the private international law, which potentially apply to issues of cross-border mediation. The intention is to point to current trends and current issues in the field of international mediation. We especially want to conduct generally accepted theoretical concepts of mediation in an international context critical view by comparing it to empirical dates proving the actual state of mediation as a method of resolving international business disputes. The first part of this disertation summarizes the basic theoretical background related to mediation, which serves as a basis for the construction of generally recognized premises in this field. 1 Mediation as a Mean of International Commercial Dispute Resolution Abstract The subject of this dissertation is the topic of mediation in solving international commercial disputes. At the outset, the author focuses on the general theory of dispute and argues that the main psychological features of thinking about conflicts are inherent in virtually all types of social relations, regardless of their specific nature. It is therefore useful to recall the knowledge about the psychology of conflict in the context of research on the resolution of international commercial disputes, as this initial line of reasoning is also present. In the first part of the dissertation, the author defines the position of mediation within the spectrum of the dispute resolution and identifies its relationship with other ADR methods. She is particularly concerned with the recent change in the ADR area, particularly as regards the shift of arbitration towards judicial proceedings and convergence of mediation with arbitration in certain respects. Furthermore, the author considers the importance of mediation for international commerce, noting in particular the aspect of the institutionalisation of mediation and touches on the phenomenon of regional change in international trade. Face à la mutation des modalités des échanges internationaux et à l'accentuation du commerce de biens intellectuels entre entreprises de traditions différentes, des réajustements des modèles contractuels et un réordonnancement des modes de règlement des différends semblent inévitables. La nature juridique incertaine des connaissances secrètes, en Chine et dans l’Union européenne est un obstacle à la formalisation de leur transfert et par conséquent à la définit ion d’un cadre de résolution des différends adapté. Si les propositions de lois et de direct ive se multiplient pour définir cette notion et son régime, l’approche retenue est souvent limitée à la dimension délictuelle de la divulgation de la connaissance. La recherche menée, tout en tenant compte des atteintes portées au secret, se focalise principalement sur le transfert volontaire de connaissances. Pour répondre aux besoins des acteurs du commerce international, ces opérations ne peuvent plus être limitées aux seuls contrats de « communication de savoir - faire ». Si les notions de « bien intellectuel » et de « possession intellectuelle »permettent de justifier théoriquement d’autres formes contractuelles, les droits chinois et européen se réfèrent aux cessions et licences de connaissances. Ces opérations, souvent insérées dans un ensemble contractuel complexe et réalisées entre parties de cultures différentes,peuvent engendrer des différends variés. Lorsque ces différends apparaissent,le degré de confidentialité assuré devant les juridictions nationales étudiées ne permet pas de répondre aux attentes légitimes des parties. Les différences de cultures processuelles des parties et la culture chinoise du règlement amiable des différends invitent aussi à éviter le recours aux juridictions nationales. Les combinaisons entre médiat ion et arbitrage, par leur grande flexibilité procédurale, peuvent fournir un cadre de résolut ion adapté aux exigences tant économiques que culturelles des parties. Dans cet esprit, la thèse propose la mise en place d’un Règlement de M²arb avec un médiateur–expert, garant de la confidentialité du processus de résolut ion des différends. / Facing the evolution of international trade and the development of intellectual proper ty trade between companies from different backgrounds, contractual model readjustments and a reordering of dispute resolution systems seems unavoidable. The unsettled legal status of secret knowledge in China and in the EU can be an obstacle to the formalization of their transfer and therefore inhibits the definition of a suitable framework for resolving disputes. Legislators and scholars are currently debating proposals of laws and directives to elaborate this concept and its regime, but only address issues liketor t and disclosure of secret information. Legal scholarship to date has mainly been focused on the voluntary transfer of knowledge and has taken intoaccount the damage caused to secrets. To meet the needs of business operators, these operations should not be limited to "know-how communication contracts” (contrats de communication de savoir - faire). The concepts of “ intellectual good” and " intellectual ownership" theoretically justifyother types of contracts, while Chinese and European laws refer to assignment and license of trade secret . These operations, often provided for in a complexs et of contracts between parties from different cultural backgrounds, can lead to a wide variety of disputes. When disputes occur, national courts do not always provide a level of protect ion of confidential information that meets parties’ expectations. Differences in procedural cultures as well as the Chinese culture of amicable dispute settlement prevent the parties from relying on national courts. The combinations between mediation and arbitration, by their procedural flexibility, can provide a suitable dispute resolution framework taking into account economic and cultural considerations. Therefore, this thesis proposes M² arb Rules that introduce a mediator-expert with a mission of securing knowledge confidentiality during the dispute resolution process.

SUMMARY: MEDIATION OF COMMERCIAL DISPUTES - DOMESTIC AND INTERNATIONAL PERSPECTIVES Dr. Martin Svatoš This paper addresses the mediation and its use in the both domestic and international commercial disputes. The milieu that serves as a source of the problems to be resolved during mediation is a specific one. It demands quick, cost-effective and confidential resolution of complicated disputes involving several parties. In general, this cannot be granted by the traditional ways of dispute resolution - litigation and arbitration. Mediation is regarded as a cost-effective and quick extrajudicial resolution of disputes in civil and commercial matters through processes tailored to the needs of the parties. On the other hand, there are several legal and legal-related issues that have to be discussed. And thus, the question that remains to be answered is: Is mediation really as effective as it is told? And in the case of a positive answer - why it is not the most commonly used dispute resolution procedure? The main goal of this thesis is to answer these queries. Arbitration proceedings as a means of dispute resolution in international law with regard to the recognition and enforcement of foreign arbitral awards Resumé Arbitration as a method of settlement of disputes settlement has enjoyed growing popularity in recent several years. Arbitration stands between other alternative means of dispute settlement and the common court trial as a alternative dispute resolution. Although negotiation, good offices, mediation, conciliation, inquiry, mini-trial, medarb or meadaloa are often used forms of the dispute settlement their awards cannot be enforced by the state authority. Those means are popular mainly in the business field where the parties are interested in the cooperation and where they aim to clear up some misunderstanding or technical problems rather than solve major disputes between them. THESIS ABSTRACT The topic of Multi-tiered dispute resolution methods (or "MDR") is one of growing importance for parties involved in international transactions. When applied it allows them to resolve their disputes "smoothly" with the possibility to avoid an open conflict scenario and reduce their transaction costs. This masters thesis aim is to describe the legal phenomenon mentioned above in seven chapters. The first three chapters deal with theoretical and historical background of the topic, followed by the description of a variety of possible dispute resolution methods in chapter IV. Chapter V. lists three model MDR clauses and describes the Med-arb method as a typical example of MDR. Chapters VI. and VII. are concerned with practical questions of relevant legal orders in the arbitration step of MDR and with the importance of recognition and enforcement of arbitral awards.
