M.Comm. / Riding the wave of change is a challenge that companies often take on but just as often fail in. First National Bank decided to take on such a challenge when they merged with FirstRand Ltd. Moving from a second to a third wave company was a challenge not only management faced, but all the employees of First National Bank. The wave change required changes in various aspects of the company, for example management styles, company structure and culture of the company. A performance decline was experienced during the process of restructuring. Therefore management had to ensure that employees were motivated and focused throughout the period of change. However is it possible to keep employees motivated and focused? During this process of change the atmosphere among employees was tense and stressful. How does management assure their employees that the change is beneficial for them as well as for the company? Managing the change and ensuring that it is successful is a responsibility that lies heavily on management's shoulders. How does management guarantee successful change management? The aim of this study is to examine how First National Bank and FirstRand ensured a successful third wave change.

1 ABSTRACT STATUS AND ROLE OF CENTRAL BANKS IN HISTORY This diploma thesis describes and compares the regulation and status of two central banks in our history, the central bank of the independent Czechoslovak Republic and the central bank of the Czech Republic. The aim of this thesis is to present and compare selected aspects of both central banks through the method of analysis and comparison. The hypothesis is that both banks, as central banks of democratic states, are similar in their regulation and status. The intention is to verify this hypothesis and find out whether the Czechoslovak Republic legislation was a source of inspiration for the creation of central banking legislation when the Czech Republic was established. The first part of the thesis describes the banking system, the characteristics and origin of central banking in the world and the Czech region. Subsequently, the circumstances of the establishment of the National Bank of Czechoslovakia and the Czech National Bank are presented. The second part deals with the constitutional and legal regulations of both central bank and the objectives of their activities. DIPLOMA THESIS A comparison of the legal regulation of the Central Bank in the CR and selected countries of the European Union Abstract The aim of this thesis is to analyze and evaluate the central bank legislation in the Czech Republic and in selected countries of the European Union. Major focus is on banks' degree of legal independence from the executive power and from potential negative impact of executive power representatives on governance of the institution as well as on monetary policy decision making. The issue of independence is closely linked to monetary stability, especially to level of inflation, where the politicians' excessive influence may result in undesirable fluctuations in the state's economy. The thesis results in a comparison of the banks' legislation and in a positive assessment on the question of selected banks' affiliation within the category of most appropriately regulated institutions. Initial hypotheses about the privileged status of the central bank of the Federal Republic of Germany and its suitability as a template for banks of central Europe's transition economies in the Nineties of 20th century are also positively evaluated. This diploma thesis deals with the relationship of the central bank with commercial banks. A central bank perform important functions, and thus it has its own set of competencies needed to achieve its objectives. To those functions belong, above all, participation in creation of binding legal acts and supervision over banking institutions. The Czech National Bank is the central bank of the Czech Republic, and its activities and status are governed, especially, by Act. No. 6/1993 Coll., on the Czech National Bank, as amended. This diploma thesis is divided into three sections. The first section is devoted to the theoretical framework of central banking. The second section is focused on the Czech National Bank and its powers and functions. The last section deals with the development of banking regulation on the international level. The main goal of this diploma thesis is to identify individual interactions between the Czech National Bank and commercial banks.

The diploma thesis is focused on evaluating the state of convergence process of the Czech Republic to the European Union with major accent on areas governed by the Czech National Bank. In the theoretical part a brief description of past and present monetary cooperation in Europe is presented, as well as a description of the Czech National Bank. Next part deals with the achieved level of convergence, from the perspective of both the Maastricht criteria and real convergence. The main contribution of the thesis is an evaluation of the prospects of adopting euro under conditions of the expected economic development.

A Study of Public Relations Practices of the First National Bank of Fort Worth

This study examined the organization, goals and scope of the public relations activity of the First National Bank of Fort Worth, Texas. The study's purpose was to examine the public relations function, department structure, process by which goals and policies are determined, the bank's practice of public relations and the process by which effectiveness is evaluated. The bank satisfactorily met several criteria for public relations effectiveness, but the staff was hampered by a lack of formal goals, philosophy or measurement criteria. The study found the bank's senior management to have a passive attitude toward public relations and to discern it ultimately as a marketing or sales promotion tool. The study recommended establishing formal goals, policies and evaluation criteria.
