Ekonomistyrningsförändringar efter ett private equity uppköp : En fallstudie

Private equity (PE) har kommit att utgöra en viktig aktör på den svenska kapitalmarknaden och allt fler företag drivs idag med ett PE-företag som ägare. Fallföretaget i vår studie blev för sex år sedan uppköpta av ett PE-företag och sedan uppköpet har det genomförts omfattande förändringar i ekonomistyrningen. Vi har i studien undersökt vilka förändringar som genomförts och med hjälp av Burns och Scapens (2000) institutionella ramverk analyserat hur och varför förändringarna har mottagits i organisationen på det sätt som de har. I den fallstudie vi har genomfört har vi intervjuat personer både i fallföretaget och hos PE-ägaren. Vi har i studien fått reda på att fallföretaget, utifrån direktiv från de nya ägarna, infört ett nytt rapporteringssystem och incitamentprogram efter uppköpet. Ägarna har också bytt ut personer i koncernledningen för att driva på de två nämnda förändringarna. Vi kan i studien se en situation där förändringarna har mött motstånd från de befintliga institutionerna i organisationen och blev löst kopplade till den operativa verksamheten, vilket resulterade i en ceremoniell institutionalisering av de nya ekonomistyrningssystemen. De användes men påverkade inte hur individer inom organisationen utförde sitt vardagliga arbete. Först efter det att PE-ägaren bytt ut individer på nyckelpositioner i företaget och att dessa nya individer kommunicerat syftet med förändringarna nedåt i organisationen har förändringarna så småningom institutionaliserats instrumentellt.

Research on Private Equity Fund to M&A Domestic Commercial Banks in Taiwan

The International Monetary Fund points out that four kinds of financial crisis in the world financial markets currency crisis, external debt crisis, bank crisis and systematic crisis . Taiwan could be happened in bank crisis and could have potentially impaired the economies of Taiwan. That was reason why Government protected banking industry avoiding collapse and bankruptcy. This paper details why Private Equity Fund M&A Taiwan domestic bank and the effects on financial markets. Since 2006 Carlyle Group one of a global private equity investment firm takeover bid for Advanced Semiconductor Engineering Inc (¤é¤ë¥ú¥b¾ÉÅé)--the world's top chip packager for US$5.45 billion- Private Equity Firm had known for Taiwan financial markets. The Government refused the plan due to that takeover bid may weakening the local capital market and leading to an outflow of investment into China. Foreign investment in Taiwan's banking industry is not new, but the acquisition of domestic banks has only become available to Private Equity Fund recently. The domestic banking industry has become a lucrative target for foreign investors not only of the Government has a policy of limiting the quantity of banking branches but also lower P/B in Asia region. Since 1997s, a striking feature in the development of Taiwan banking industry structure is the significant decline in the performance of banks while the steadily increase in the number of bank branches and caused by overbanking in Taiwan. As Taiwan slowly opens its banking industry after second round banking reformation in 2001, global M&A trends also had impacts on Taiwan, foreign financial institutions are increasingly looking to make strategic and financial investments. This paper gives a brief description of the development in the past 10 years, analyzes the driving forces on the merger of financial institutions From this research, we could come to the conclusions as follows: 1. A financial investment in domestic banks is a win-win for the various parties Private equity fund M&A of domestic commercial banks not only a very good source of capital in Taiwan, but also, through the competition of foreign banks, stimulates domestic financial institutions to upgrade operational skills and management, and improve operational efficiency and competitiveness, thus contributing to the upgrading of the financial system. 2. This paper using threshold regression model to find an adequate branch numbers of Commercial Banks industry in Taiwan. We found significant evidence good for the shareholders equity only when the branch numbers are larger than 88. 3. On the view of bank branch, the next target acquired company is Far Eastern International Bank(35 branches) ,Jih Sun Bank(36 branches) , King¡¥s Town Bank(62 branches) ,Taichung Commercial Bank(78 branches).ABN AMRO Bank(Taiwan)M&A Taitung Business Bank, the branches from 5 to 37, not to meet the bank's need for scale economics in Taiwan markets and should be M&A again 4. Private Equity Fund aims to pursue long term total return primarily through investment in equities and equity-related securities but had unique niche in resolving banking risk and corporate governance. also capitalized on the recovery of financial markets after the financial crisis in Taiwan banking indusdry According to experience of Private-Equity Firm to merge to banking industry in Korea Private Equity Fund exit their investments at last within 5-7 years after turned the bank successfully around 5. Leverage Buyouts : - A boom or bust in the Nordic Region?

<p>The private equity (PE) industry has been growing over the recent years and a large amount of capital is invested in Nordic private equity funds. Buyouts which are focusing on a leverage effect, known as the leverage buyout (LBO), have transformed public companies into private equity owned portfolio companies. The purpose of this report is to describe and analyze the current state of the leverage buyout transaction in the Nordic market, with focus on the factors which are affecting the value creation process.</p><p>Through an abductive approach, data has been collected from interviews with representatives from PE companies and banks with experience of LBO transactions in both the Eu-ropean and the Nordic market. The objective was to examine the factors which are affect-ing the value creation process and to examine why LBO transactions in the Nordic PE market has generated higher EBITDA multiples than in the European market.</p><p>The study shows that PE companies operating in the Nordic market tends to appreciate operational and organizational value rather than multiple values. Nordic PE companies have in general exercised longer investments in the portfolio companies compared to European PE companies. The long term investments implementation has enabled the Nordic PE companies to accomplish entrepreneurial actions in a further extent. Nordic PE companies have also been successful in their streamlining process of the organ-ization structure, which partly explains the greater EBITDA multiples generated in the Nordic market. Another significant factor is the favorable tax regulation in Sweden which has been beneficial for the whole Nordic PE market. The current financial condition has affected both the activity and the transaction structure of LBO’s in the Nordic market. The equity proportion has increased, while unsecured loans such as mezzanine loans and second lien loans have decreased. Nordic PE companies have also stopped using syndicated loans, as it has been too risky to renegotiate debt re-payments with several banks. The study concludes that Nordic PE companies will in the nearest future change their geo-graphical focus more too emerging markets, while turn-a-rounds strategies will be used more frequently in the Nordic market.</p>

The Investment Process Used By Private Equity Firms: Does The Affect Heuristic Impact Decision-Making?

Individuals utilize heuristics in order to simplify problems, which may lead to biases in decision-making. The research question of this study is: “How does the affect heuristic impact the investment process of private equity decision-makers reviewing proposals?” Through an exploratory multi-case analysis, insight is provided into complex private equity decisions by studying biases in the investment process. This is a study of private equity groups’ (PEG) decision-making process when they consider businesses for investment. Qualitative data was generated from semi-structured interviews with twenty private equity decision-makers. The deliberative heuristics applied in the teaser review are learned from process experience and guide the deliberation on whether to proceed. Simplifying heuristics are applied in the more informal review process. Organizational learning was exhibited as the PEGs have modified their investment structures based on previous experiences. The study indicates that experience and learning lead to the construction of an affect heuristic that subsequently impacts investments. It also confirms the need for strategic decision-makers to recognize their own biases and adjust their processes accordingly. A significant practical implication of this study is the insight provided into the views of the PEG decision-makers as they anticipate the need to supplement the management team is helpful to business owners and their advisors. The study highlights the opportunities for biases in PEG decision-making processes. Accessing decision-makers at larger PEGs and approaching more middle market firms would broaden the results.

Jakten på leveraged buyouts : en studie om deal sourcing på den svenska private equity marknaden

Private equity bolag som skapar värde genom leveraged buyout har under de senaste åren fått ökad konkurrens inom den process vilken syftar till att finna attraktiva investeringar som kan generera avkastning enligt uppsatta avkastningskrav. Processen som karaktäriseras av informationsasymmetri och kallas för deal sourcing har därmed blivit ett svårare moment för dagens private equity bolag. Denna empiriska fallstudie undersöker hur svenska private equity bolag inom kategorin leveraged buyout i praktiken arbetar med deal sourcing och vilka drivkrafter som processen utformas efter i syfte att finna potentiella investeringar. Detta undersöks i ljuset av den akademiska forskning som tidigare gjorts på området. Studien utgår ifrån tio intervjuer med företagsrepresentanter vilka har insyn i och är delaktiga i processen med att finna bolag. Resultatet av studien visar att det studerade private equity bolaget följer samma deal sourcing process som beskrivs inom den akademiska litteraturen. Däremot kan det konstateras att terminologin skiljer sig mellan teorin och praktiken. Slutligen fann studien att värdegrund utgjorde en viktig drivkraft inom praktiken.
