Gott och ont inom affärslivet : utveckling av ett etiskt perspektiv på företags relationer med aktörer / Good and bad in business : an ethical perspective on stakeholder relations

Ethical issues and problems in business are receiving increasing attention, both in terms of criticism of examples of "bad" behaviour of business actors and in terms of the development of ethical codes of conduct in certain companies, ethical visions for businesses etc. In general, ethical problems seem to be increasingly prevalent in business, but ethics tend to be disre­garded by traditional organisational and managerial theory. This calls for the development of an ethical perspective on business. This study adopts a stakeholder approach to the problem, meaning that the empirical focus lies on how business actors deal with the ethical issues that arise in their daily work in relation to various stakeholder groups. Two empirical studies have been conducted: one is a survey study of the attitudes of Swedish managing directors, and the other a case study of the ethical values and behaviour of two companies. These studies resulted in the formulation of concepts which reflect contextually interpreted moral views on the individual and organisational levels, respectively. On the individual level, a distinction was made between humanitarian morality, meaning that ethical problems in business are judged according to what is best for individuals, and organisational morality, where economic and practical concerns for the company are considered. On the organisational level, I found a principled, individually based morality where rule-following, voluntary agreements and personal moral norms were important, and an instrumental, collectively based morality, which meant that company goals dictated the way stakeholder relations and ethical dilemmas were taken care of. Overall, it was possible to make a distinction between two basic ethical criteria business actors use when judging ethical dilemmas: principles versus objectives. The results indicate that the use of principles and moral rules presuppose an intimate and personal handling of stakeholder relations. On the other hand, when business actors acquire a more professional way of managing their activi­ties, stakeholder relationships are handled in accordance with objectives and economic utility, these usually being the same as company goals. One of the major contributions of this thesis is the concept of the ethical contract, as a meta­phor for the relationship between a company and any one particular stakeholder with special focus on the informal and implicit aspects of the relationship. The contract is characterised by two opposing forces: the striving for self-interest, which underpins ethical problems, and the development of self-imposed duties, which are necessary if instrumentally based interaction is to be "good". Sverige är ett av de länder som påverkas mest av globaliseringen. En kraftig ökning av utländska direktinvesteringar och gränsöverskridande förvärv och fusioner har förändrat det svenska näringslivet. Var femte svensk i näringslivet arbetar idag i ett utlandsägt företag. Utländska institutionella investerare står för runt en tredjedel av ägandet på Stockholmsbörsen. Ett nytt sätt att se på företagens mål och mening sägs ha kommit till Sverige. Talet om aktieägarvärde ges utrymme i media och i företagens kommunikation. Det sätter aktieägarna i främsta rummet på ett sätt som är annorlunda jämfört med ett svenskt intressentmodellsorienterat sätt att se på företaget. Mot denna bakgrund studeras fyra svenska företag som snabbt blir mer internationella genom förvärv och fusioner. I en hermeneutisk studie får vi genom kvalitativa och longitudinella fallstudier följa anställda och chefer och se deras reaktioner på de stora förändringar som internationaliseringen innebär för vardagslivet i organisationen. Corporate sustainable development is placed between simplified interpretations and an overabundance of complexity and requirements that hampers implementation. Stakeholder Relations Management is one approach for the operationalization of sustainable development on the corporate level, which enables the inclusion of aspects of sustainability into corporate decision-making in a pragmatic way. However, stakeholder pressure and economic constraints lead companies to adopt only a small segment of the concept of sustainable development. Therefore, a referential framework is needed in order to regard corporate initiatives within the wider context of sustainable development on the theoretical level. The framework of sustainable development presented here, which was developed during a research project funded by the "Austrian Science Fund", takes the wide range of notions of sustainable development into account. Like a map, the framework depicts approaches to sustainable development and provides an overview of the aspects of sustainable development (scope) as well as the different levels of complexity that are associated therewith (depth). This framework is conceived as a tool to classify approaches to sustainable development in a wider context. Social Media and Reputation Management During Crisis: A Case Study of the 2012-2013 NHL Lockout

The aim of this study is to understand the influence of online discussion forums during times of crisis. These forums can be considered as a form of social media, a relatively new form of technology that is constantly evolving and gaining in popularity. It has become an important medium, and can be integral in communications plans, specifically with regards to crisis communication. Through the use of these media, message delivery has unbelievable breadth and speed, making it crucial to understand its implications in crisis events. In order to understand social media’s implications in reputation management, during times of crisis, an ethnographic content analysis was conducted through the analysis and comparison of comments posted on news forums and media documents issued by the NHL during the 2012-2013 lockout. Literature suggests the importance of relationship management prior to crisis onset, as social media has the potential to inflame and contaminate the perceptions of others. Through social media, the formation and emergence of an engaged and active public was observed and studied. However, when considering traditional crisis communication theories, results from this particular case are counterintuitive; the findings counter traditional crisis communication theories, suggesting that cases such as this one are to be investigated further.

SME ARBETE MED CSR : Vilken roll har CSR i utvecklingen av intressentrelationer i Norrland

Utvecklingen av Corporate Social Responsibility (CSR) har under de senaste decennierna utvecklats till att bli en allt mer viktig del i företags strategier, med ett fokus som läggs mer och mer på miljömässigt och socialt ansvarstagande. Tidigare har detta främst implementerats inom stora företag, däremot har utvecklingen av CSR nu lett till att detta även är aktuellt inom Små och medelstora företag (SMEs). Däremot har SMEs kännetecknats av att lägga mindre fokus på implementeringen av CSR, detta på grund av att SMEs inte har samma förutsättningar när det kommer till att kunna använda resurser och lägga tid på att engagera sig inom CSR.    Tidigare forskning har visat att ett aktivt CSR-arbete kan medföra flertalet fördelar, exempelvis ett förbättrat företagsrykte, både ökad motivation och arbetsnöjdhet hos anställda, samt ökad kundlojalitet. Forskning visar även på att det är av stor vikt att företag värnar om sina intressenter och skapar goda relationer med dessa för att kunna bibehålla en konkurrenskraftig och långsiktig position på marknaden. Det tidigare forskning däremot inte visar är hur SMEs arbete med CSR spelar roll i utvecklingen av ett företags intressentrelationer.    Det har gjort att följande forskningsfråga har tagits fram och besvarats:  “Hur arbetar Små och medelstora företag i Norrland med CSR och vilken roll spelar det i utvecklingen av intressentrelationer?”   För att besvara studiens syfte och problemformulering har en kvalitativ flerfallstudie av sex svenska SMEs verksamma i Norrland genomförts. Detta genom att data har samlats in med hjälp av 6 semistrukturerade intervjuer, i kombination material från företagens hemsidor. Intervjuerna hade som syfte att skapa en förståelse för hur dessa företag arbetar med CSR, samt vilken roll detta har spelat i utvecklingen av deras intressentrelationer. Utifrån insamlad har en tematisk analys utförts, vilket har format studiens fem teman, dessa är: miljöledning och strategier, policys och företagskultur, framtidsorientering, intressenters påverkan och kommunikationskanaler.    Studiens resultat visar på att SMEs CSR arbete ligger som en grund för relationerna med deras intressenter. Däremot skiljer sig detta åt beroende på vilken typ av relation som företaget och intressenten har. Utifrån studiens resultat rekommenderar vi SMEs att aktivt engagera sig inom CSR, både vad gäller internt och externt, miljömässigt och hållbarhetsmässigt.

Legal aspects of corporate governance in the republic of South Africa: towards a possible model for improved stakeholder relations within the corporation

Student Number : 8601897T - PhD Thesis - School of Law - Faculty of Commerce, Law and Management / Traditionally, company law assumes that the directors’ role is to run the company for the benefit of its shareholders alone and to maximise profits for them. It can be argued, however, that this view is too narrow and outdated; that is, company directors should have regard to the rights and interests of a broader range of corporate stakeholders. Hence, the question is whether we should change our perception of the company or corporation from one run by directors dedicated exclusively to serving the interests of shareholders to that of a corporation whose main purpose is to bring benefit not only to its owners and creditors, but also to its employees, the community and the environment. Given that reforms of directors’ duties in light of the above considerations have found their way into legislation across the globe, this thesis examines how and to what extent legal rules and policies should develop in South Africa to place directors under a positive duty to take account of the interests of bodies other than shareholders. Current South African company law does not contain clear rules regarding corporate governance issues and the duties and liabilities of directors. These matters have been left to the common law and Codes of Corporate Practice. Thus, there is no extensive statutory scheme in South Africa, which covers the duties, obligations and accountability of directors. The focus in this thesis is on the rights and interests of employees and the premise that is defended is that it is valuable to corporations to provide employees with an institutionalised voice at board level. It is argued that there is global evidence that where employees participate in the decision-making processes of the company, performance is generally enhanced. This, in turn, directly impacts upon and improves economic productivity, generating a ‘win-win’ situation. The question of the duties of company directors and managers is attracting much attention in South Africa. With rapidly developing and changing labour legislation in South Africa, it is essential to consider the extent to which the country should reassess its traditional principles of company law and corporate governance policies in order to encourage participatory roles for employees in the workplace. It is argued that if South Africa is to improve corporate productivity levels with its re-entry into international markets, management and labour must find improved ways of dealing with one another. The main purpose of this thesis, therefore, is to propose and formulate a workable corporate governance model for South Africa – one that would be advantageous to all stakeholders, especially the employees. This is achieved by comparing and contrasting international models of corporate governance and by applying the best features of each to the unique South African corporate system of values, structures and traditions. It is suggested that the current unitary board structure operating in South Africa has become outdated and does not provide employees with rights enabling them to engage in the decision-making processes of the corporation with their employees at an adequate level. In its place, a two-tier board system of corporate governance is proposed. The economic success of a company will bring about social benefits to many stakeholder constituencies. This will not happen if the company is a financial failure. The issue of obliging directors to act primarily for the benefit of shareholders alone is questioned. Corporate governance reforms were undertaken in many parts of the world in the late 1980’s and early 1990’s. This reform process questioned whether the interests of the company should be managed for the shareholders alone or for the other corporate stakeholders as well. There are many views that strongly support the idea that corporate governance should be seen as a system by which corporations are to be governed for the benefits of all stakeholders, including shareholders, employees, creditors, suppliers and the community. In this way, companies should be run as communities in partnerships with all their stakeholders. Thus, this thesis proposes that the success of a company is inextricably intertwined with a consideration of the rights and interests of its employees and other stakeholders.

Är intressentengagemang nyckeln till framgångsrikt hållbarhetsarbete? : En undersökning av svenska verkstadsindustriföretag och dess värdekedjor

Syftet med denna studie är att bidra till efterfrågat empiriskt material gällande hur intressentengagemang implementeras i företag, hur detta påverkar arbetet med hållbara värdekedjor och vilka möjligheter och utmaningar som detta medför. Studien är baserad på sex intervjuer med svenska verkstadsindustriföretag, vilka belyser hur intressentengagemang används i organisationen för att främja hållbarhet i dess värdekedjor. Studien indikerar att intressentengagemang är en del av företags hållbarhetsstrategier och utgör en del i hållbarhetsarbetet i stort. Resultaten ger argument för att intressentengagemang i värdekedjan drivs på en lägre nivå där kommunikation är den gemensamma nämnaren, med direkt hänvisning till brist på tid och resurser, olika prioriteringar och kompetensbrist. Trots detta ges belägg för att intressentengagemang skapar drivkraft till innovation, ökad kunskapsspridning och gemensamt värdeskapande.

The Chinese Volvo : Sino-Foreign Joint Ventures and Perceived Performance / Den kinesiska Volvon : Sino-utländska samriskföretag och uppfattat utfall

This dissertation describes and analyzes the perceived performance of Sino-foreign joint ventures. The dissertation is based on an in-depth qualitative longitudinal real time case study of the joint venture known as Jinan Hua Wo Truck Corporation (Hua Wo), between Volvo Trucks and China National Heavy Duty Truck Group Co. Ltd. in China. The purpose of the dissertation is to contribute to the understanding of Sino-foreign perceived performance by suggesting an elaborated model, which captures situated and dynamic features. Perceived performance is defined as the joint venture executives’ assessment of strategic goal achievement and overall satisfaction. Findings from the study of the Hua Wo joint venture indicate that what determines perceived performance is the outcome of activities initiated in order to achieve or to facilitate goals. The dissertation presents an analytical model of Sino-foreign joint venture perceived performance which comprises the four concepts: goals, stakeholder relations, political influence and control. The conclusion of the dissertation is that in order to understand what decides perceived performance, it is necessary to assess system size, in other words, the number of stakeholders able to influence goal achievement, and also the intended duration of the activities. It is proposed that the configuration of the suggested model of perceived performance will be dependent upon these two dimensions. For activities taking place in a restricted system over a restricted time period, perceived performance depends primarily on the goals of the activity. The perceived performance of activities of a restricted system carried out over an extended period of time is more influenced by control. On the other hand activities carried out in an extended system over a restricted period of time are mainly determined by stakeholder relations for perceived performance, whereas activities which take place in an extended system for an extended time period are vulnerable to political influence. / Den här avhandlingen beskriver och analyserar uppfattat utfall i Sino-utländska samriskföretag. Avhandlingen är baserad på en longitudinell kvalitativ realtidsstudie av samriskföretaget Jinan Hua Wo Truck Corporation (i dagligt tal benämnt Hua Wo) vilket ägs av Volvo Lastvagnar och China National Heavy Duty Truck Group Co. Ltd. Avhandlingens syfte är att bidra till förståelsen av uppfattat utfall i Sino-utländska samriskföretag, genom att utveckla en modell vilken tar hänsyn till situationsbaserade och dynamiska karaktäristika. Med uppfattat utfall menas i avhandlingen samriskföretagets intressenters bedömning av strategisk måluppfyllelse och generell tillfredställelse med samriskföretaget. Resultaten från fallstudien av Hua Wo indikerar att det är utfallet av aktiviteter som initierats för att uppnå mål eller möjliggöra måluppfyllelse som avgör det uppfattade utfallet. Avhandlingen presenterar vidare en modell för att analysera uppfattat utfall i Sino-utländska samriskföretag vilken kombinerar de fyra koncepten mål, intressentrelationer, politiskt inflytande och kontroll. Slutsatsen i avhandlingen är att för att förstå vad som avgör uppfattat utfall i Sino-utländska samriskföretag så bör systemstorleken (antalet intressenter som kan påverka ett samriskföretags måluppfyllelse) och tidsramen utvärderas. Vidare argumenterar avhandlingen för att det är systemstorleken och tidsramen som avgör konfigurationen av analysmodellen för uppfattat utfall. Vad gäller de aktiviteter som genomförs i ett system med få intressenter under en kort tid, så är målen i sig viktigast, medan kontroll är viktigare för aktiviteter som sker i ett system med få intressenter under en längre tid. Aktiviteter som genomförs i ett system med många intressenter under kort tid blir beroende av intressentrelationerna, medan aktiviteter som sker i ett system med många intressenter över en lång tidsperiod istället blir sårbara för politisk intervention.
