Efeitos do Acompanhamento de Analistas e da Dupla Listagem Sobre o Disclosure Voluntário Durante o Processo de Convergência ao Padrão Ifrs no Brasil

Partindo-se da análise de 14 trabalhos acadêmicos, desenvolveu-se um índice de disclosure voluntário contendo um total de 38 itens, sendo 25 itens de natureza financeira, econômica e organizacional e 13 itens de natureza social e ambiental. O check list do índice desenvolvido foi aplicado sobre 1.406 documentos (notas explicativas e relatórios da administração, contendo 58,2 mil páginas), de uma amostra com 703 observações - ano, obtidas durante os anos de 2006 a 2013. Utilizando-se do teste de Wilcoxon, os resultados apontam incrementos estatisticamente significantes nos níveis de disclosure voluntário durante o período de convergência ao padrão IFRS no Brasil, sendo mais significativos elementos de natureza econômica, financeira e organizacional do que os de natureza social e ambiental. Utilizando-se de modelos OLS robustos, aplicados sobre dados em painel desbalanceado, os resultados dos testes econométricos confirmaram parcialmente a hipótese de que o padrão IFRS contribuiu no desenvolvimento do disclosure voluntário das empresas com maior acompanhamento de analistas financeiros, porém, significativamente para as empresas que emitiram American Depositary Receipts (ADR) durante o período de convergência às normas internacionais de contabilidade. Os resultados são robustos e significativos quando controlados por variáveis representativas do tamanho (TAM), da rentabilidade (RENT), do endividamento (ALAV) e de auditoria de uma big four (AUDI) como determinantes do disclosure voluntário durante o período de convergência ao padrão IFRS no Brasil.

In the resolution of the case, international rules concerning information to be submitted via financial statements must be considered, especially taking into account the rules concerning agriculture, property/plant and equipment and inventories. This case lends itself to analysis and projection of financial statements and to seeking alternative solutions.

The Comparison between R.O.C. Financial Accounting Standards and International Financial Reporting Standards (IFRS)

Nowadays, accounting standards available and employed in the world can be categorized in three difference sources: first of all, International Accounting Standards (IAS)/International Financial Reporting Standards(IFRS) issued by International Accounting Standards Board(IASB); second, U.S. GAAP issued by Financial Accounting Standards Board(FASB);and the last, accounting standards issued by individual country¡¦s accounting standards institution. The global trend is highly developing in international capital markets and multinational businesses operating strategies. As such, the investors in international capital markets have demands eagerly on clear and understandable financial statements for better investment analyses, and decisions. Therefore, a set of internationally-unified accounting principles is necessary in such economic environments. In these years, convergence to or direct adoption of IFRS have been an international hot topic and popularly discussed worldwide, and it seems an irrevocable trend to converge from local accounting principles to IFRS. R.O.C. Financial Supervisory Commission has announced the time schedules and structures of IFRS adoption, and set up several steps for public companies to adopt IFRS starting from 2013. There are still some significant differences existed between R.O.C. accounting principles and IAS/IFRS. Thus, this study was intended to assist Taiwan companies to understand the differences, make decisions on accounting policies while adopting IFRS, and evaluate the influences on financial statements and business operation activities, so that Taiwan companies can converge from ROC GAAP to IFRS with the international trend smoothly and successfully. This thesis contains five chapters. Chapter One is the introduction. Chapter Two is description of accounting organizations and literature, including the development of organization establishing IFRS and the application of IFRS in the world. Chapter Three is the comparison between R.O.C. accounting standards and IFRS, which firstly illustrates the current situation of R.O.C. accounting standards; secondly, compares the concept of IFRS to the R.O.C. accounting standards, and then uses the literature analysis method to identify the differences item by item. Chapter Four is the analysis of impacts and strategies, and various considerations while adopting IFRS. Chapter Five is the conclusion and research suggestion. The conclusion of the thesis includes as below, In the early years, the R.O.C. accounting standards were initially formed based on U.S. GAAP. However, ROC accounting standards are updated or revised based on IFRS gradually while more and more countries adopt IFRS, which contains ¡§principle-based¡¨ accounting standards. Such ¡§principle-based¡¨ standards can avoid specific detailed exception rules under ¡§rule-based¡¨ ones, and it also can reduce the possibility that companies create special arrangements in form to bypass the economic recognition in substance and qualify the standard requirements at the meantime. There are still several differences between IFRS and R.O.C. accounting standards. Therefore, the key point for companies to implement IFRS successfully is to understand the principles and concept structures of IFRS, and to compare the differences between IFRS and R.O.C. accounting standards. Since ROC accounting standards will be converged to IFRS by direct adoption, Taiwanese companies should evaluate the differences of measurement, classification, and disclosure requirements between IFRS and R.O.C. accounting standards. And, companies should prepare well their convergence plans in consideration of possible impacts and management changes, which will be also helpful for local companies to develop global operation strategies.

The fifth part deals with issue of leasing from point of view of IAS 17. The sixth part deals with practical application of the rules contained in czech legislative and in IAS 17 at real lease contract.

The objective of this research is to identify the internal control activities that may be necessary for the IFRS 15 adoption in consulting outsorced services companies. To reach the main objective, two secondary objectives was traced: (1) the crictical review ex ante the IFRS 15 impact over the internal control environment in oder to offer insights for the organizations that intend to addopt IFRS 15; and (2) build na Internal Control Matrix for consulting outsorced companies when IFRS 15 is addopted. The objectives were reached through literature review of classic authors as well as scientific research for objective 1 and focus group for objective 2. The conclusion is that the differences between IFRS 15 and actual practices for revenue recognition are pretty close and there is the need for few controls to be implemented for the IFRS 15 adoption, however these controls although are not complex and difficult to be implemented, are high risk and essencial for the accurate revenue recognition.Besides attending all proposed objectives, this researh brings as a ontribution the development of a theme where academic research is scarce throught a real problem on outsorced services companies, where the benefits are not only a internal control matrix, but the real concern on implementing internal controls around a relevant standard as revenue recognition, that can cause relevant impacts on companies P&L. / Com a mudan??a do cen??rio normativo para o reconhecimento de receita em fun????o da norma IFRS 15 que entra em vigor a partir do dia primeiro de janeiro de 2018 h?? a necessidade de que os controles internos ao redor do reconhecimento de receita sejam ajustados para que o ambiente de controles seja aderente a nova norma. The determinants and the consequences of adopting accounting standards in Islamic banks : a cross country study

This study investigates the determinants of adopting accounting standards (AAOIFI, IFRS or local standards) in thirty different countries with an Islamic banking industry. This study also examines the link between corporate governance disclosure, corporate social responsibility disclosure, and the adoption of accounting standards in the Islamic banking industry (IBI) as consequences for the adoption process. To the best of my knowledge, this is the only study that empirically investigates this topic. Environmental determinism theory is used as a framework to develop and test for explanations of the accounting standards used in countries where Islamic banks operate. Using multinomial logistic analysis to investigate the determinants of adopting any of the accounting standards sets (AAOIFI, IFRS, LOCAL), I find that both internal environmental factors, such as the level of education and the sophistication of the financial press, as well as enforcement factors, such as the existence of a centralised Sharia committee, are likely to have an impact on the accounting standards adopted by the Islamic banking industry. In regard to the second objective of examining the link between corporate governance disclosure, corporate social responsibility disclosure, and the adoption of accounting standards in the Islamic banking industry (IBI), multivariate regression was used to analyse the data. The results present that: there is an association between corporate governance disclosure and social responsibility disclosure with the accounting standard adopted in the country. The analysis also presents that both types of disclosure within the IBI is associated with the other non-accounting institutions in the country as openness to economy, political stability, and enforcement mechanisms such as a centralised Sharia committee in the country. This result implies that the specific accounting standards adopted by the Islamic banking industry are subject to the internal environment of, and the enforcement mechanisms imposed by, the country. This result further suggests that accounting institutions such as accounting standards adoption and non-accounting institutions are associated with disclosure practices in IBI. Therefore, a conclusion can be drawn that adoption of accounting standards within the Islamic banking industry is an important accounting institution which can be determined by other institutions, as well as affecting disclosure practices in the industry.

Para tanto foram analisadas PMEs que publicaram suas demonstrações contábeis em Diário Oficial do Distrito Federal, Espírito Santo, Minas Gerais, Mato Grosso e São Paulo no período de 2012 a 2015. Para avaliar o nível do disclosure contábil obrigatório foram analisadas a quantidade de notas explicativas divulgadas pelas PMEs, a quantidade de demonstrações contábeis publicadas e a quantidade de contas em seus balanços patrimoniais. Por esse motivo este trabalho utilizou o método de Regressão Linear para Dados de Contagem. Os resultados encontrados indicam que PMEs que informaram em notas explicativas seguir como o padrão contábil o CPC (Completo ou para PMEs), que contrataram serviços de auditoria externa, especialmente de firmas Big Four e que apresentaram endividamento elevado, possuem uma tendência a publicar um maior número de notas explicativas. Além disso, PMEs que declararam seguir o CPC para PMEs e foram auditadas por Big Four indicaram tendência a reduzir o número de contas em seus balanços patrimoniais, o que não significa que o nível de disclosure contábil nessas empresas esteja comprometido, uma vez que essas PMEs também tendem a divulgar mais notas explicativas, sendo, portanto, mais transparentes dessa forma, reduzindo o número de contas patrimoniais e ampliando as informações nelas contidas. / This study aims to verify the effects of the IFRS adoption, external auditing and leverage on the accounting disclosure level of small and medium-sized enterprises. In order to evaluate the level of the mandatory accounting disclosure, this study analyzes the quantity of information disclosed by SMEs on their financial statements reported in “Diário Oficial” of five Brazilian states: Distrito Federal, Espírito Santo, Minas Gerais, Mato Grosso and São Paulo. To evaluate the level of mandatory accounting disclosure, this study considers the number of notes, the number of published financial statements and the number of accounts in their balance sheets. For this reason, this research uses the Regression method with Count Data. The results indicate that SMEs that reported in their notes that they apply as accounting standard the IFRS (Full or for SMEs), that contracted external audit services, especially of Big Four firms and that had high leverage, have a tendency to disclose a larger number of notes. In addition, SMEs that have stated that they are applying the IFRS for SMEs and were audited by Big Four have indicated a tendency to reduce the number of accounts in their balance sheets, which does not mean that the level of accounting disclosure in these companies is compromised, they also tend to disclose more notes and are therefore more transparent in this way, reducing the number of equity accounts and expanding the information contained therein.

Em revisão da literatura especializada na temática, constatou-se que: (1) existe uma lacuna na investigação do gerenciamento de resultados no Brasil, visto que a maioria dos estudos se concentra no gerenciamento de resultados por accruals discricionários, havendo ainda poucos estudos sobre o gerenciamento de resultados por manipulações operacionais, assim como estudos que abordam ambas as formas de gerenciamento de resultados (MARTINEZ, 2013) e; (2) a qualidade da informação contábil (QIC) não é somente influenciada pelo padrão contábil, mas por pelo menos três fatores distintos: i) o ambiente legal e político em que as empresas estão inseridas, ii) o padrão contábil e; iii) os incentivos internos das companhias para a divulgação da informação contábil, sendo o primeiro fator mais relevante que os outros dois, inclusive por também influenciá-los (SODERSTROM; SUN, 2007). Assim, optou-se por mensurar as duas formas de gerenciamento de resultados e analisar o impacto nelas de três variáveis que se espera que capturem os efeitos dos três fatores que impactam na QIC, são elas: i) a regulação adicional de alguns setores da economia (primeiro fator); ii) as IFRS (segundo fator) e; iii) a presença das companhias nos segmentos especiais de listagem da BM&FBOVESPA (terceiro fator). Acredita-se que esta abordagem que avalia as IFRS em conjunto com demais fatores que impactam na QIC permita uma análise mais abrangente acerca do possível impacto das IFRS no gerenciamento de resultados. A população de interesse da pesquisa foram as companhias abertas não financeiras da BM&FBOVESPA e a amostra, coletada a partir da ferramenta Comdinheiro, contou com 1.619 observações empresa/ano para os modelos de accruals discricionários e com 1.592 observações empresa/ano para os modelos de manipulações operacionais. Para a operacionalização da pesquisa foram realizadas seis análises de regressão com correção robusta de White para dados em painel com efeitos aleatórios, cada regressão tinha como variável dependente uma métrica diferente para o gerenciamento de resultados das companhias, sendo que três buscavam capturar os accruals discricionários e outras três as manipulações operacionais. Os resultados sugerem que as IFRS não impactaram nas práticas de gerenciamento de resultados, seja por accruals discricionários ou por manipulações operacionais. A presença em setores regulados, no entanto, tende a exercer uma restrição à utilização do gerenciamento de resultados por accruals discricionários nas companhias, porém, não impacta no gerenciamento de resultados por manipulações operacionais. Em relação à presença nos segmentos especiais de listagem da BM&FBOVESPA, os resultados sugerem que nos últimos anos, quando o padrão contábil já era as IFRS, as companhias presentes em tais segmentos apresentaram menores valores absolutos de accruals discricionários e de manipulações operacionais. Conclui-se que as IFRS não foram capazes de diminuir o gerenciamento de resultados no Brasil possivelmente devido ao fraco ambiente institucional brasileiro (LOPES; WALKER, 2008), apresentando, inclusive, um teor formalístico que se caracteriza pela diferença entre a realidade prática e a proposta legal prevista para esta realidade (RIGGS, 1964, 1968). Além disso, contribuindo para literatura no Brasil, os resultados sugerem que as duas formas de gerenciamento de resultados são impactadas por fenômenos diferentes porque possuem incentivos e custos diferentes e, dessa forma, não devem ser tratadas como se respondessem aos mesmos incentivos. / This dissertation aimed to identify the impact of the IFRS adoption on earnings management (proxy for the earnings quality - EQ) of non-financial Brazilian companies on the Brazilian Securities, Commodities and Futures Exchange (Bolsa de Valores, Mercadorias e Futuros de São Paulo - BM&FBOVESPA). In reviewing the literature on the issue, it was found that: (1) there is a gap in the investigation of earnings management in Brazil, since most of the studies focuses on earnings management by discretionary accruals, there are few studies on earnings management by operational manipulations, as well as studies on both earnings management forms (MARTINEZ, 2013) and; (2) the earnings quality (EQ) is not only influenced by accounting standards, but by at least three distinct factors: i) the legal and political environment in which companies operate, ii) the accounting standards and; iii) internal incentives of the companies for the disclosure of accounting information, being the first factor more relevant than the others two, including by also influence them (SODERSTROM, SUN, 2007). Thus, it chose to measure both forms of earnings management and analyze the impact on them of three variables that are expected to capture the effects of the three factors that impact the EQ, they are: i) the additional regulation of some sectors of the economy (first factor); ii) IFRS (second factor) and; iii) the presence of companies in the special segment of BM&FBOVESPA listing (third factor). It is believed that this approach which assesses the IFRS together with other factors that impact the EQ allow a more comprehensive analysis on the possible impact of the IFRS on earnings management. The population of interest of the research was the non-financial public companies of BM&FBOVESPA and the sample, collected from the Comdinheiro tool, included 1,619 firm/year observations for models of discretionary accruals and 1,592 firm/year observations for models of operational manipulations. In order to implement the research were carried out six regression analyzes with White robust correction for panel data with random effects, each regression had as a dependent variable a different metric for earnings management of companies, and three sought to capture the discretionary accruals and three other the operational manipulations. The results suggest that IFRS had no impact on earnings management practices, either discretionary accruals or operational manipulations. The presence in regulated sectors, however, tends to have a restriction on the use of earnings management by discretionary accruals in companies, however, does not impact on earnings management by operational manipulations. Regarding the presence in the special segment of BM&FBOVESPA listing, the results suggest that in recent years, when the accounting standard was already IFRS, companies present in these segments had lower absolute values of discretionary accruals and operating manipulations. It is concluded that the IFRS were not able to decrease the earnings management in Brazil possibly due to poor Brazilian institutional environment (LOPES; WALKER, 2008), showing even a formalistic aspect which is characterized by the difference between the practical reality and Legal proposal planned for this reality (RIGGS, 1964, 1968). Also contributing to the literature in Brazil, the results suggest that both forms of earnings management are affected by different phenomena because they have different incentives and costs and, therefore, should not be treated as if they respond to the same incentives.

Capital markets development is an integral part of overall economic growth of any country. Accounting harmonization is aimed to increase the attractiveness of capital markets by creation of synchronized financial reporting environment globally so that the capital is effectively allocated with the lowest costs and increased liquidity. To the date, more than a hundred of countries implemented IFRS into the national accounting frameworks, therefore the need for the assessment of the real impacts on capital markets is obvious. The main goal of this study is to identify whether there is statistical evidence of the relationship between decreased/increased cost of equity capital among Russian listed companies and mandatory adoption of IFRS. Theoretical part includes an overview of the relevant theory, reasons of accounting harmonization as well as potential challenges. There are also described the main findings and real evidences of adoption impacts on the main capital and financial markets. Practical part of this paper is aimed to investigate whether the proposed benefits of IFRS adoption may be similarly observed in an environment of transition economy.
