Aboriginal participation in mineral development : environmental assessment and impact and benefit agreements

In a mineral development scenario, Aboriginal groups rely heavily on Environmental Assessment (EA) and Impact and Benefit Agreements (IBAs) to address their interests and concerns. While EA and IBAs are separate processes – EA is legislated and informed by the Crown, and IBAs operate in the realm of private contract law – together, the two are ostensibly part of a parallel process that connect the Aboriginal group(s), Government and the mining proponent. Indisputably, IBAs support a more inclusive development based on consultation, partnership and participation. IBAs and EA have the potential to enhance Aboriginal involvement in mineral development and positively influence the design and planning of the mine. This thesis examines the Tahltan Nation’s involvement and participation in the Galore Creek Project in British Columbia, and demonstrates the challenges and opportunities that arose during the EA and IBA process. It uses key informant interviews to gain multiple perspectives – from the proponent, Tahltan, and Government, to understand how the Tahltan utilized the EA and IBA to participate in the mineral development.

The industry role in policymaking : Policy learning in climate politics

Climatic change has sparked a broad range of responses on all societal levels. New initiatives and negotiations, scientific findings, and technological developments, have established a novel framework for policymaking and industrial abatement investments. Lessons on the evolving framework should be analysed and utilised to handle the dynamic reality of climate policymaking processes. Governments in the majority of economies only have an indirect and long-term influence on reducing industrial emissions, as they do not own the emitting operations. As representing one-third of the global carbon dioxide emissions, industry is therefore a key stakeholder group in whether or not the political agenda will be fulfilled. How industry perceives that obstacles and opportunities affect investment calculi are thus important. Hence, policymakers should facilitate policy learning (PL) to aid the creation of effective and efficient political agendas. This is important to acknowledge the policy and investment experiences of industrial actors and to deal with a number of plausible investment obstacles identified under the novel framework. Taking stock of PL and other policy theories, this thesis is aimed to develop recommendations for facilitating PL and thus contributing to more effective and efficient climate policy frameworks. The results highlight the role of industry in abatement and political strategies where policymakers need to gain knowledge on how industries perceive abatement investment obstacles and how these may be bridged. The intrinsic learning values of government-industry negotiated agreements (NAs) are emphasised and a framework for operationalising PL through NA designs is developed. PL is furthermore identified as important, and NAs are recommended as a policy instrument, to fill knowledge gaps identified in two case-studies of promoting complex and novel industrial operations. This thesis also recommends a participatory policy evaluation tool that is sensitive to industrial competitiveness and establishes a forum for discussions on perceived investment obstacles and opportunities under different conditions. The results are not aimed to provide a blueprint for a comprehensive climate policy framework but as a contribution to literature and the incremental learning that this thesis strongly promotes.

Šio darbo pagrindinis tikslas – ateities ir išankstinių sandorių analizė. Siekiant kryptingumo, paminėtos išvestinės finansinės priemonės yra ne nagrinėjamos savaime, o gretinamos su tradiciniais civilinės teisės institutais. Tam, kad būtų užtikrintas ateities ir išankstinių sandorių tikslus išnagrinėjimas, pačioje darbo pradžioje išsiaiškinama išvestinių finansinių priemonių specifika. Šis darbas paremtas problema, jog ateities bei išvestiniai finansiniai sandoriai yra vis labiau pasitelkiami Lietuvos Respublikoje vykstančioje civilinėje apyvartoje, tačiau šių instrumentų reguliavimo ar aiškinimo nėra. Tai leidžia nesunkiai prognozuoti, kad ateityje galime susidurti su didelėmis problemomis sprendžiant ginčus ar nesutarimus tarp skirtingų ateities bei išankstinių sandorių pusių. Tokios gresiančios praktinės problemos neabejotinai liudija darbo aktualumą. Siekianti išspręsti šią problemą, darbe siekiama suprasti, ar nebūtų galima šiuo metu egzistuojančių ir plačiai suprantamų civilinės teisės institutų reguliavimo pritaikyti nagrinėjamoms išankstinėms finansinėms priemonėms. Atlikta analizė leidžia patvirtinti darbo hipotezę „ateities sandoriai – tai ne sui generis priemonės, o paprasčiausiai kūrybingas skirtingų civilinės teisės instrumentų taikymas“. Hipotezės patvirtinimas reiškia, jog šalys, sudarydamos ateities bei išankstinius sandorius, neturi viso teisinio santykio sureguliuoti pačios. For the sake of single-mindedness, mentioned derivatives are being examined in relation to the traditional institutes of civil law, and not in themselves. Seeking deep exploration of futures and forward contracts, specifics of derivatives in general are being analyzed in the very beginning of this paper work. This paper work is based on the problem, that despite the derivatives are increasingly employed in the civil circulation of the Republic of Lithuania they are not regulated or interpreted enough. It is easy to prognosticate, that in the future we may face big problems when disputes between two counterparties of futures and forward contracts should be solved. Such menacing practical problems undoubtedly argue the relevance of this thesis. On the purpose to solve abovementioned problem, this paper work is designated to answer the question if the regulation of currently existing and well know institutes of the civil law can be applied to the derivatives scrutinized in this thesis. The analysis made enables us to confirm the hypothesis that “futures/forward contracts simply mean the creative application of different instruments of civil law and not the sui generis tools”. The thesis analyses shareholders' agreements in limited liability and joint stock companies. In a broader sense, both the agreements concluded by shareholders outside the articles of association or bylaws and the provisions of the constitutional documents which are not attached to shares but only bind the individual shareholders can be classified as shareholders' agreements. The thesis consists of a general and a special part. The objective of the general part is to describe the legal nature, effects, usual content and practical use of shareholders' agreements. Particularly, I intend to detail the main legal issues surrounding shareholders' agreements included in the constitutional documents and to suggest the methods of coping with these problems in the legal practice. Further, I will describe the corporate advantages of the shareholders' agreements as separate legal documents as well as their limits. The objective of the specific part of this thesis is to characterize the selected types of shareholders' agreements in terms of their practical use and legal regulation. I put special emphasis on different kinds of shareholders' voting agreements.

The objective of this thesis is to evaluate and describe Czech legislation regarding agreements intervening in the economic competition, namely with the focus on their actual form, specifics, characteristics and basic essentials, and to evaluate their correctness and business impacts, taking into account legislation and case law of the European Union. The purpose of the research is primarily to outline the basic elements of forms of prohibited agreements, highlight deficiencies of legislation related to them, and to argue findings arising from the literature and case law. The thesis is based on both Czech and European literature and judicature. The thesis is divided into six chapters which are complemented by the Introduction and the Conclusion. The First Chapter compares legislation of the Czech Republic and the European Union, while the attention is devoted in particular to the influence of European legislation and judicature on the development of Czech law and decision-making practice. It also focuses on certain differences and possibilities of their removal and overcoming.
