Types of shares in the regulation of the Business Corporations Act The purpose of this diploma thesis is to analyze, describe and elaborate changes that into the Czech legal order brought the Act No. 89/2012 Coll., the Civil Code and the Act No. 90/2012 Coll., on Companies and Cooperative association. The diploma thesis is divided into five chapters that process from the general to the specific issues and focus on foreign legal orders which deal with particular aspects of shares and types of shares. The first chapter of this thesis is focused on the general concept of security, its definitional delimitation and historical development of security as other property value and thing. Furthermore, this chapter deals with the concept of participating security and its importance in the new legislation. Finally, this thesis generally focuses on the possibilities of incorporation of rights and obligations into shares. The second chapter is a crucial part of this diploma thesis and deals with types of shares as such. Firstly, this chapter focuses on the interpretation of the term type of share and its definitional features. Acquisition of shares by employees of a joint stock company This master thesis analyses the regulation of acquisition of shares by employees of a joint stock company. The purpose of this study is to introduce in detail the grounds for individual methods by which joint stock companies can in accordance with Business Corporations Act allow their employees to acquire their shares under preferential terms and to point out provisions, where Czech legislation may not be in accordance with requirements of European legislation, in case such provisions would be identified. The legal regulation is interpreted via descriptive and analytical methods. Except for the introductory part and the conclusion, the thesis is systematically divided into three chapters. The first chapter deals with acquisition of own shares, as it bases a condition for one the methods by which employees of the joint stock companies may acquire shares of these companies under preferential conditions. Acquisition of own shares can have significant impact on some of the basic principles of European joint stock companies' regulation. The theme of this diploma thesis is " Contracting autonomy in construction of types of shares and its limits". Its aim was to analyse the domestic legal regulation and to clarify the limits in the construction of types of shares. To achieve this aim, the author tried to interpret the limits of the key provisions of the Business Corporation Act with the support of professional literature and comparisons with foreign legal systems, especially with the United Kingdom. The aim of the thesis was fulfilled. The key provisions were analysed, and the limits were set. The author of the thesis concluded that the current legislation would merit an amendment to achieve legal certainty and to eliminate the non-compliance of the practical and theoretical level. At the time of elaboration of this work, it was submitted an amendment to the Chamber of Deputies of the Parliament of the Czech Republic as a Parliamentary Press No. 207, which should solve most of the problems. The aim of the thesis was assess the usefulness of different methods of technical and fundamental analysis in the trading of securities on the stock exchange. Choose the appropriate investment strategy for a particular industry.First has been performed a calculation of the theory efficient markets. For this purpose has been used two tests, correlation tests and runs test. The theory of market efficiency was demonstrated. But still has been performed the calculation of active strategies.Then was made the technical analysis. We used moving averages and oscillators, RSI, ROC and momentum. Based on these tests, we can´t select an appropriate investment strategy.Final test was carry out with using fundamental analysis. Fundamental analysis consist from testing addiction of revenue at coefficient alfa. Sector services shown 0. And at other sectors amount to possitive values. In last of all I advised pasive strategy.

The subject of this thesis is a technical analysis as a specific method for prediction of the future trend of equities. The topic is introduced by an analysis of investment opportunities in markets in the Czech Republic and in the world, by a comparison of analytical methods. The main part consists of exploration and description of selected indicators of technical analysis. On their basis business strategies are created and reflected in automated trading systems. These strategies are subject of testing on historical data and of subsequent optimization to maximize potential profitability. The results of testing are summarized and evaluated in the final phase of this thesis that also analyzes advantages and shortcomings of the technical analysis and gives an idea for further investigation.

Využití metod UI v algoritmickém obchodování / AI techniques in algorhitmic trading

Diploma thesis is focused on research and description of current state of machine learning field, focusing on methods that can be used for prediction and classification of time series, which could be then applied in the algorithmic trading field. Reading of theoretical section should explain basic principles of financial markets, algorithmic trading and machine learning also to reader, which was previously familiar with the subject only very thoroughly. Main objective of application part is to choose appropriate methods and procedures, which match current state of art techniques in machine learning field. Next step is to apply it to historical price data. Result of application of selected methods is determination of their success at out of sample data that was not used during model calibration. Success of prediction was evaluated by accuracy metric along with Sharpe ratio of basic trading strategy that is based on model predictions. Secondary outcome of this work is to explore possibilities and test usability of technologies used in application part. Specifically is tested and used SciPy environment, that combines Python with packages and tools designed for data analysis, statistics and machine learning.

My thesis is concentrated on basic types of securities, their measurement and reporting, according to Czech legislation, International Financial Reporting Standards and US GAAP. I deal with origin occasions of individual accounting systems and their structure at the beginning of my thesis. Then I describe different classification of securities. The main part is about equity and debt securities. I use shares and bonds to show right way of measurement, recognition and reporting of securities, according to Czech legislation, IFRS and US GAAP. In conclusion I compare measurement and reporting methods of individual accounting systems and their influence on reports.

Český trh s akciemi / Stock Market in the Czech Republic

This work focuses on the Czech stock market. Work is focused on the application of the theory of efficient markets, which is one of the theories explaining the evolution of prices of securities, the stock market in the Czech Republic from 2000 to 2008. Efficient market theory represents a random walk, which is used as a tool to describe the phenomenon where the future price changes are random divergence from past prices. The thesis is divided into several parts. The first part presents an actual stock market in the Czech Republic. Because most of the work deals with the analysis yields the PX stock index was that in the next section in detail described and analyzed. Furthermore, the Czech stock market has been analyzed in terms of structure and trading volume. The next section has described the theory of efficient markets. Was described briefly the history of this theory. Another part of this work can be described as a purely practical. First, the work focuses on the market in the one year time series of returns. In second part were analyzed medium-long term consisting of three year time series of returns. The last analyzed period was long term, consisting of eight-year time series of returns from 2000 to 2008.
