The Optimal Strategy of Mergers and Acquisitions under UncertaintyLee, Kuo-Jung 24 June 2006 (has links)
This paper applies a real option approach to analyze the optimal decisions of mergers, stock offers, and cash offers. We use the two-stage approach to investigate the optimal decisions of mergers and acquisitions. At the first stage, the merger company has to choose the target company to obtain the largest synergy, which comes from the increasing return to scale, improved performance, acquired R&D, and increased market power. At the second stage, the main work is to determine the takeover threshold (timing), exchange rate of stocks or bid premium under the three forms of mergers and acquisitions. We find that the increasing return to scale, improved performance, and increased market power will lower takeover threshold and speed up merger activity. Finally, the forms of mergers and acquisitions will affect the timing and the returns of the acquirer and acquiree. Cash offers will happen even later than mergers and stock offers.
This thesis also constructs a model to study the multi-firms¡¦ merger strategies and derives the multi-firms¡¦ synergy value, timing and terms of merges. In addition, we study the effect of firms¡¦ competitive intensity, market power, fixed cost, and demand shocks on the decisions of merges. We find that the increased competitive intensity, increased market power, higher fixed cost, and lower demand shocks will enhance the motives of merges and accelerate merger activities.

Nairobi, one of Africa's fastest developing urban centers, is home to many business organizations contributing to Kenya's economic and social development. A country is rapidly experiencing an economic shift; Kenya heavily relies on the informal economic sector, with small and medium- sized enterprises (SMEs) being the most significant sector contributing to economic development. Like in many African nations, it has been shown that women are the most significant players in the urban informal sector, where they trade in different goods and services either as owners, managers, or employees. As such, they are the largest workforce that contributes to the country's economic growth. Facilitating women’s entrepreneurship means improving the sector, enhancing growth, and reducing poverty. This research aimed to determine the roles informal urban market structures play in facilitating women's entrepreneurship in Nairobi. Using a case study of the city and a systematic review of literature, the research finds that informal market structures play multiple roles that encourage and facilitate women to be involved in the informal market and contribute to the fight against poverty in the country.

From the 1980s, Tavares continues his reflections now through the prism of a contextual view of international political economy, where advances various trials that have examined the main causes and consequences of financial globalization and weaves a series of critiques of neoliberal policies, especially applied the brazilian economy after the 1990s / Esta dissertação tem como principal objetivo, analisar a trajetória intelectual da economista Maria da Conceição Tavares, perpassando os seus principais ensaios desde 1963, quando produziu o seu primeiro ensaio Auge e declínio do processo de substituição de importações , passando pela análise dos processos de acumulação de capital e industrialização no Brasil, que marcou duas principais obras da autora, a primeira como tese de professora livre-docente da UFRJ sob o título Acumulação de capital e industrialização no Brasil (1974) e a segunda tese de professora titular também defendida na UFRJ, intitulada Ciclo e crise: o movimento recente da economia brasileira (1978).
