Práce se zamýšlí nad významem a důvody vzniku euroreginů.Zabývá se otázkou institucionálního a organizačního zajištění, podrobněji rozebírá finanční stránku rozvoje euroregionů, důležitou otázkou je i postavení euroregionů v rámci legislativy a na co se zaměřují jeho činnosti. Další z otázek, kterou se práce zabývá, je funkce euroregionů a jakým způsobem přispívají k eliminaci disparit vzniklých periferní polohou a jak posilují vzájemné vazby v příhraničních regionech.

Czech Republic has become a new cross border partner of Austria since its ac-cess to European Union in 2004. The both states could profit from their mutual cross border cooperation from 2004. The cross border cooperation was first taken patronage by the Initiative Interreg, later after the start of a new programming period (2007-2013) by the Operational Programme Cross-Border Cooperation. The main task of Master Thesis is evaluation of their cooperation during the mentioned period 2007-2013. The Evaluation is made on the basis of analysis of obtained data and on the basis of results of questionnaire survey.

Tato diplomová práce analyzuje vývoj a historii přeshraniční spolupráce v rámci Evropské unie. Dále jsou v rámci práce analyzovány projekty předložené v česko-rakouském programu ve dvou realizovaných programech - Phare CBC a INTERREG.

Práce pojednává o právní úpravě přeshraničních fúzí v evropském, českém a francouzském právu. V případě evropské úpravy se autor zaměřuje na základy přeshraničních fúzí v primárním a sekundárním právu, rovněž zmiňuje stěžejní judikáty ESD týkající se svobody usazování včetně rozhodnutí ve věci Sevic z roku 2005. Dále autor analyzuje českou právní úpravu obsaženou v zákoně č. 125/2008 Sb. o přeměnách obchodních společností a družstev. Ve třetí části je srovnána navrhovaná francouzská právní úprava přeshraničních fúzí s českou úpravou. V příloze je stručně pojednáno o komanditní společnosti na akcie a zjednodušené akciové společnosti, tedy o formách společností, které se budou moci účastnit přeshraničních fúzí a které česká praxe nezná.

This thesis focuses on the issue of cross - border mergers of capital companies. The first part provides the insight into the Czech legal framework with respect to its commercial, accounting and tax aspects. The next part demonstrates an example of cross - border merger by acquisition with the Slovak public limited company transferring to Czech public limited company. Based on this example, recommendations are provided and suggestions are offered for successful carrying out of cross - border mergers in general.

Legal regime of transboundary shipments of waste The aim of my thesis titled "Legal regime of transboundary shipments of waste" is to deliver a comprehensive analysis of legal aspects of cross-border shipments of waste. The thesis aspires to describe and interpret the various regulations and norms that govern this area, regardless of whether they are of international, European or national origin; it also evaluates whether the legislation provides sufficient tools for protection of the environment and whether the cross-border shipments of waste are desirable from the perspective of environmental protection. The thesis consists of eleven chapters. The first three chapters provide a theoretical introduction to the topic - chapter one contains the basic objectives and definition of the legal regulation of cross-border shipments of waste; chapter two outlines the fundamental principles of the environmental law and their applicability to the shipments of waste; and chapter three introduces the reader to the historical development of the subject matter in question. Chapters four to eight of the paper are devoted to the description and analysis of the legislation currently applicable. The thesis deals with the new forms of cross-border transformation after the big amendment of the Transformation Act, which came to effect on 1 January 2012. The particular new options in the area of the cross-border transformations are analyzed in connection with the relevant case law of Court of Justice. The thesis follows the scheme of the Act, therefore the first chapter deals with general issues of cross-border transformations. This chapter identifies the conception of the cross-border transformation and then the categories of the entities which can participate in cross-border transformation. Then I deal with the various types of cross-border transformations. The first transformation analyzed is the cross-border merger. In addition to another the question of cross-border merger exclusively of Czech companies to foreign company is addressed in this chapter The next chapter deals with cross-border division. The special attention is paid to the possibilities of the cross-border division of societas europaea. The third chapter deals with the cross-border transfer of assets. Cílem předložené práce byla analýza, zda a jekým způsobem mohlo využívání různých platebních instrumentů a platebních systémů, zejména po zavedení jednotné měny euro v rámci eurozóny, příp. EU, způsobit dopady do některých makroekonomických a mikroekonomických oblastí. Analýza byla provedena na těchto platebních instrumentech za léta 1993 až 2004: příkaz k úhradě, příkaz k inkasu, šek, platební karta a e-money. Zároveń byla provedena predikce odhadovaného vývoje do roku 2010 s ohledem na vliv projektu SEPA. Výsledky byly shrnuty do 7 závěrů.

Práce se zabývá analýzou jednotlivých možností, které evropské komunitární právo nabízí obchodním společnostem, které se chtějí spojovat přes hranice jednotlivých členských států. Podrobně rozebírá všechny tři možnosti, kterými jsou založení evropské společnosti fúzí akciových společností, založení evropské družstevní společnosti fúzí družstev a uskutečnění přeshraniční fúze kapitálových společností podle desáté směrnice o přeshraničních fúzích. Zabývá se též navazujícími českými předpisy, včetně posledních legislativních návrhů. Na závěr se na základě dosavadních zkušeností z praxe snaží o výhled do budoucna.

The diploma thesis is focused on two thematic units. The first on is analysis of cross-border cooperation between Austria and Slovenia. The aim of this part is to find out the forms of cooperation between the states, its advantages or disadvantages. Analysis method of realized cross-border programs and regarding current situation has been used. The second unit is focused on analysis of cross-border part citizen´s identity which is seen as specific region. Goal of this part is to find out the impacts of meeting and melting two different nations in one area but also how is the relation of these neighbour nations who are sharing one border. The implementation of research has been made by qualitative and quantitative research: participant observation, guided interview and questionnaire. The combination of these methods achieved results that could be applied to the borderland region.
