Čechová, Linda January 2011 (has links)
Error! Unknown document property name. English summary The aim of the thesis is to present the possible ways of a relocation of a registered office of a company to other member state of the European Union. Furthermore, I tried to focus on common complication which can be faced in practical realization of such transfer, as well as on forthcoming legislation and possible perspectives which can be expected. I believe that this topic is very current and progressive and that the wish for cross-boarder movability of companies will be increasing. The thesis is composed of ten chapters, each of them dealing with different aspects of relocation of the registered office. Chapter One is introductory and defines basic terminology used in the thesis and reasons why I've devoted myself to this subject matter. Chapter Two examines the term "personal statute of a company". The chapter consists of six parts. Part One focuses on registered office of a legal entity. Part Two investigates the term personal statute itself. Part Three addresses the issue of theory of the Registered office and the Part Four the opposite theory of Incorporation. Part Five briefly introduces some other theories and Part Six contains a summary and my own opinion. Chapter Three is subdivided into three parts and provides an outline of relevant Czech...

Historický vývoj přeshraniční spolupráce: příklad Euroregionu Šumava / Historical development of cross-border cooperation: example Euroregion Šumava

Jánová, Zuzana January 2015 (has links)
The thesis deals with the historical development of cross-border cooperation in the Euroregion Šumava which is the Czech part of the Czech-German and the Czech-Austrian border defined as Euroregion Šumava/ Bayerischer Wald - Unterer Inn/ Mühlviertel. The main objective is to find out how joint cross- border cooperation has changed from the initial idea of joint cross-border cooperation through the establishment of the Euroregion Šumava to the present. Another objective is to identify regional differences in the development of cross-border cooperation from the perspective of three model areas that have different scale levels. The overall aim is to identify changes in the evolution of cross-border cooperation and an attempt to explain the causes of possible variabilities. The thesis is based on quantitative research in the form of cross-border analysis of completed projects and qualitative research based on structured interviews with selected respondents. A prerequisite of this thesis is both the shift from cross-border cooperation "bottom up" to "top down" and the subsequent interconnection of both forms. It is further assumed considerable regional differentiation. Both assumptions were confirmed through mutual reporting periods as well as comparison of model municipalities. Ivanov, Vladimir January 2013 (has links)
Corporate Mobility in European Union Law The thesis deals with the latest developments in corporate mobility in the light of the recent CJEU decisions and its inherently formulated doctrine. After a brief introduction of the discussed general concepts, a dissection of previous case law and relevant legislation, the author explores the ways in which the current changes in the conception of cross-border conversions have influenced corporate mobility as a whole and the perception of freedom of establishment in particular. The question whether further legislative actions have to be taken in order to enable companies to take advantage of these developments is debated. The thesis is divided into five logical clusters which are structured in the following manner. Firstly, I analyze the fundamental pillars of corporate mobility, liability and capital protection doctrines that serve as the tangential object of interest to the actual subject matter as they represent the wider legal framework of European company law. Secondly, a comprehensive summary of the preceding case law of the Court on the issue of freedom of establishment is presented, providing an insight on the current issues, which are thoroughly discussed and analyzed in the remainder of the thesis. In Chapter four, the VALE case is further...

INICIATÍVA SPOLOČENSTVA INTERREG IIIA ? PROGRAM SUSEDSTVA MAĎARSKO-SLOVENSKO-UKRAJINA / INICIATIVA SPOLOČENSTVÍ INTERREG IIIA ? PROGRAM SUSEDSTVÍ MAĎARSKO-SLOVENSKO-UKRAJINA

Cirbusová, Martina January 2007 (has links)
