Přeshraniční spolupráce EU a vybraným státem / The Cross-border co-operation EU and chosen state

The theme of my thesis is The Cross-border co-operation Czech Republic and Germany in the framework of programme INTERREG IV in period 2007-2013 Emphasis is placed on analysis, and subsequent comparison of the cooperation between the two countries. The thesis is divided into three main parts. The first part is devoted to the European Union, regional policy in the European Union, cross-border cooperation in general and the history of the European territorial cooperation. In the second part of the thesis is an analysis of crossborder cooperation within the Programme Cross-border Cooperation of Czech Republic and Saxony and analysis of cross-border co-operation within the Programme Cross-border Cooperation of Czech Republic and Bavaria. In the last part of this thesis is the comparison of both operational programs and Euroregions, which are part of a subsequent evaluation of the results and their possible contribution to removing regional disparities.

The aim of this work is to analyse the companies under the private international and European law, their cross-border mobility and the problems associated therewith. Crucial emphasis is placed on the synthesis of foreign and Czech authors and confrontation of theory and practice in the light of the current global development of company law in private international law. The key point is the determination of personal status of the company and the conflict between the incorporation theory and the real seat theory. At the outset the author explains the reasons which led him to write this thesis, including the methods used to do so. The whole thesis is divided into four main thematic areas. In the first chapter, some of the basic concepts are defined in order to clarify the thematic framework within which the thesis will be dealt with. The second chapter addresses the definition of the term "Company", its personal status, various approaches to determine the effects of different conflict theories and the regulatory competition arising thereof. The thesis follows the preparation of Czechoslovak TV's Channel Two, covering a period of twelve years from the start of the preparation process in 1958 till the first day of Channel Two's regular broadcast on May 10th 1970. The thesis' area of interest covers the proposals, plans and ensuing organisational measures that resulted in the historical event of launching a multi-channel television broadcast in Czechoslovakia. The period of 1958-1970 is split into sections, according to the stages of preparation for the launch. The introductory part of the thesis deals with the political grounding for the implementation of a multi-channel broadcast in Czechoslovakia, as well as with the initial steps in creating the technological support for Channel Two. The second part introduces the evolution and finalisation of the Channel Two project and its organisation in relation to the majority Channel One. The following chapter(s) focus on the formation of Channel Two's independent head division as well as the department's evolution until the launch of the regular broadcast. This section covers the changes in personnel within the department, an outline of its key creative collaborators and supplies a schema of how Channel Two's production was organised. The goal of this diploma thesis is provide a basic overview about conditions which has to be met for providing of tax advisory in selected countries of the European Union. The first part contains information about legislation of European Union which has significant influence on the tax advisory. The European legislation is followed by a description of the regulation of the profession of tax advisor and tax advisory in the Czech Republic, including a description of the Chamber of Tax Advisers of the Czech Republic. The last part of the diploma thesis, based on the questionnaire survey, is the comparison of the situation and regulation of the tax adviser profession in selected countries of the European Union. After comparing the situation in individual member states, the principles of regulation in selected European Union countries are described and a description of the facts and conditions that must be accepted when a foreign entity decides to provide tax advisory in that member country.

This thesis deals with the topic of cross-border mergers in the Czech republic. In the introductory part, the expressions like merger, cross-border merger are explained and reasons and possible obstacles of the merger (cross-border mergers) execution described. In the following chapter, I mention the possibilities of cross-border mergers in the Czech republic up to now. The thesis also handles the influence of the Directive on cross-border mergers of limited lability companies and the Verdict of the European Court of Justice in the matter of sp. zn. C-411/03 SEVIC Systems AG on the final version of the new legal Act on Transformation of Companies and Cooperatives. In the next chapter, I deal with the legal, accounting and taxation aspects of the cross-border mergers under the current conditions and according to czech legislation. I also included a chapter about the control of mergers of competitors. The last chapter mentions a concrete example of the real first cross-border merger in the Czech republic.

The masters thesis Payments and position of SEPA payments in payment systems deals with the transition of the national payment system to SEPA payment instruments in the Czech Republic, which is coming into force this year. Banks will have to fulfil requirement of interoperability and will have to be able to proceed payments in XML form. The theoretical part defines payments by the payment form and territorial payments in the first chapter. In the 2nd chapter, the legal framework with focus on new legislation affecting the completion and implementation of the SEPA requirements is described. The following two chapters are devoted to payment systems in the Czech Republic, European Union and telecommunication network SWIFT. The 5th chapter discusses about the SEPA project, with the main emphasis on the definition of SEPA instruments. The practical part is dedicated to analysis of foreign payment fees in selected banks with a focus on individuals.
