Anglický abstrakt diplomové práce - Kateřina Majerová Policejní spolupráce na česko-bavorské hranici v letech 1989-2012 This diploma thesis deals with police cooperation on the Czech-Bavarian border. The police forces of a particular state are supposed to promote and enforce abiding by the law in a territory surrounded by the state borders. Borders are more and more penetrable even for criminal issues; therefore, the cooperation with colleagues on the other side of the borderline is essential for fulfilment of the above-mentioned task. In terms of time the topic of this thesis is delimited by the period between 1989 and 2012. The aim of the thesis is to verify the fulfilment of Karl Deutsch's concept of transactionalism on the example of this particular cooperation. For this purpose the author examines three areas on which she demonstrates the fulfilment of this concept - compatibility of states in the view of police cooperation, existence of a common interest and forms of interaction and their development. The diploma thesis consists of four chapters. Firstly, the author studies the concept of border as a place of clash and contact which analytically helps to fulfil Deutsch's concept. Therefore each and every state holds its own position in these matters. Difference among legal approaches results in patients seeking desirable treatment abroad. The purpose of this thesis is to present the main features of mediation with cross-border element, especially the most important aspects of relevant regulation in light of EU Mediation Directive 2008/52/EC ("Directive") and No. 202/2012 Coll. Act on Mediation and Change of Some Laws ("Mediation Act"). The thesis is composed of four chapters. The first chapter's purpose is to define the main principle of mediation and its position within ADR system. The second chapter deals with principal questions of the relation between mediation and international private law. The third chapter discusses cardinal aspects of mediation according Directive, its reflection within national regulation, i.e. within Mediation Act and subsequent comparison with regulation of selected member states. For the purpose of the comparison mentioned above, I use quotations from corresponding laws of particular member states in English translation. The fourth chapter deals with the position and role of mediation within the area of international dispute resolution as well as a look at newly adopted ICC Mediation Rules.

- Companies in Private International Law The purpose of this diploma thesis is to examine regulation of companies in private international law in the Czech Republic and also from the European Union law perspective. The thesis is divided into four main chapters. First chapter provides a brief definition of the basic legal concepts that are central to this thesis - definition of a company and definition of a private international law. Second chapter explains the concept of lex personalis and two opposing conflict of law theories, which link companies to a certain system of law; the incorporation theory and the real seat theory. Third chapter focuses on the relevant Czech legislation, especially on the Czech Commercial Code, which contains provisions on determining lex personalis of a company as well as rules on cross-border transfer of seat of a company. Forthcoming re-codification of private law in Czech Republic is also discussed with regard to the regulation of companies in private international law. Fourth, the most extensive chapter of this thesis describes and analyzes the European Union law relating to the freedom of establishment of companies. The presented thesis seeks to provide a comprehensive commentary on the status of companies and trusts in the area of private international law with special emphasis on the modern development of Czech law. Aforementioned instruments were chosen especially with respect to their frequented use for asset management purposes. The essential part deals with status of companies in the European Union along with the main discrepancy between member states in determining the connecting factors. Aside from defining a nature of company and the fundamental theories setting its personal status, the author puts forward a historical excursus into the jurisprudence of Court of Justice of the European Union in shaping the freedom of establishment for legal persons. The section concludes with the topic on mergers and conversions as vehicles enabling the cross-border transfer of company seats. The structure of the subsequent part reflects a high dependency of shape of trusts and trusteeships on national legislation. Tourism is becoming an ever more important part of the national economy. In advanced economies, the majority of inhabitants are employed in the services sector, which includes tourism. Currently tourism is at the peak of its development in the Czech Republic. A new, modern infrastructure is being built to connect up the natural and cultural treasures. My personal judgement is that it is primarily the finances from European funds, which have been streaming into the country for several years now, that have a large influence in this development. I see the market deficit in the CR to be poor communications between individual stakeholders. The comprehensive interconnection of services, information systems and tourist destinations. The aim of my work is to propose possible future cooperation for individual original, attractive stakeholders in experiential tourism within the territories of the Czech Republic, above all the Jindřichův Hradec district with its overlap into Lower Austria (Waldviertel). These stakeholders will then jointly form an area where both marketing and the professions are connected; this is known in the EU under the title of a tourism learning area (TLA). They can also be understood as destinations where individual stakeholders involved in experiential tourism are interconnected. The basic idea of the TLA seems relatively simple, however its implementation requires precise coordination and multilateral cooperation, and it is this that I want to achieve within this thesis.

The purpose of my dissertation was to make an analysis of factors influencing the process of the carrying out of the cross-border merger of the Czech company with the company in the European Union. Solution procedure stems from a general definition of acquisitions and mergers, their historical development, reasons for the carrying out thereof, through the picture of these processes in international standards of financial reporting up to the regulation in the European Union. When analyzing the rules for cross-border mergers within the EU, I ascertained problematic places consisting in non-finalization of harmonization - in accounting context - of mergers, and in possibilities of a selection of a tax solution. Apart from the Czech legal regulation, I also analyzed the Slovak legal regulation since the last application part contains a practical example of merger of the Czech company and two Slovak companies carried out in 2009 and prepared on the basis of empirical data.

Procedural aspects of mediation in EC law Eva Rivera, 2011 1 Abstract The objective of this dissertation is the determination of the significance of procedural aspects of mediation and the answer to the question to what extent it has been considered within European Union law. The research is based on the assumption that the acknowledgment of a procedural relevance of mediation is crucial for its overall effectiveness. Mediation is besides its feature as a communication technique becoming ever more important as a dispute resolution procedure for civil and commercial conflicts in Europe. In this context the role of mediation within and in relation to other procedures for the resolution of disputes has to be considered. While on one hand the terminology and the differences between mediation and other forms of Alternative Dispute Resolution (ADR) as well as certain judicial attempts of settling disputes may not always be easily determined, on the other hand, it can be stated that the ADR form of mediation is beyond its early stages and clearly shows its own procedural relevance. Cross-border cooperation (CBC) influenced the regional development of the border regions. CBC is very much supported by the European Union and its funding policy. Cooperation between border regions is considered as a key to the joined Europe. Since 1989 there is a special programme supporting CBC within the member states of EU. A new programme supporting cross-border cooperation between the member states and the candidates' countries "Phare CBC" was developed in 1993. This paper is focused on selected issues of cross border cooperation of Euroregion Šumava, Pilsner region and South Bohemian region. Euroregion Šumava was established in 1993. It is a voluntary association of cities, villages and other joined organizations intent on the cross border cooperation with similar association on Bavarian and Austrian site of border. These three associations established trilateral Euroregion Šumava{--}Bayericher Wald{--}Mühlviertel. Together they implement the principles of European regional policy. Cross border activities of Euroregion Šumava were analyzed on followed issues: 1. Euroregion budget and its development between 1998{--}2006 2. Projects supported by Small Projects Fund realized by Euroregion 3. Projects realized under the financial support of Small Projects Fund Phare CBC and Interreg IIIA (focusing on the projects´ holders, priority areas and districts) Pilsner and South Bohemian regions were established in 2001 as regional authorities. They provide national and regional service partly financed by their own resources (mainly tax income) and partly by grants received from central authorities. Together they constitute the cohesion region of NUTS 2 "Southwest". Pilsner and South Bohemian regions create joint regional development policy and strategic documents because of implementing Regional operational programme. So far CBC was not part of their common regional policy. Cross border activities are analysed on the projects realised under the Interreg IIIA programme, which was managed by the Secretary of Cohesion region. Special focus is put on the projects´ holders, priority areas and regional aspects. Results of analysis are summarized in graphs, tables and maps.
