Resumé: Standardized forms of concluding contracts in international trade The contemporary international trade is defined by the standardized approach to commercial transactions. The purpose of my thesis is to analyse legal issues concerning contract formation by means of standardized legal forms in international trade. Chapter One describes the development of standardization in international trade. It introduces and defines basic terminology covering standardized forms of contract formation: standard terms, standard clauses, boilerplate terms, form and model contracts and legal manuals. Chapter Two addresses the process of contract formation under the United Nations Convention on Contracts for International Sale of Goods (CISG) in comparison with the regulation in the Principles of European Contract Law (PECL), Principles of International Commercial Contracts (UNIDROIT Principles, UPICC), Draft Common Frame of Reference (DCFR) and the Proposal for a Regulation of the European Parliament and of the Council on a Common European Sales Law (CESL). Consensus and commercial terms: theoretical and comparative analysis This final thesis deals with the topic of the battle of the forms using the theoretical apparatus of rules governing the formation of contract. The problem is modeled (and therefore limited) for the case of formation of contract for the sale of goods concluded between merchants when each of them uses his/her own commercial (standard) terms. Another limitation of the thesis is connected with the use of classical contractual paradigm which is based on the continuity of offer and acceptance in the process of contracting. The key element of contract is found in consensus, therefore it is consensus which is analyzed in connection with extensiveness of terms, about which the minds have to meet in order to form the contract, and also in connection with the content of already formed contract. The final thesis has two objectives. First, it is to verify on theoretical level that no matter what principle in the process of formation of contract is used (whether mirror-image rule or not) both law professionals and legal theory are forced to find solutions which are in accordance with the principle of economic analysis of contract. Commercial terms and clauses in business transactions Abstract The master thesis is focused on the topic of commercial (standard) terms and clauses in business transactions. With respect to increased demands on the entrepreneur, the relevant provisions will be interpreted differently in the business relationship than in the case of a consumer relationship. Standard terms standardize the contracting process and reduce costs. Legislation of commercial terms remains concise but it contains some news. Significant change is the express regulation of the knock-out rule, which is used to determine the final content of a contract in the case of conflict between standard terms. Section 1752 newly contains express regulation for unilateral change of standard terms. A major novelty is specific content/formal control of standard terms which is regulated section 1753. Party is protected against the terms with which that party would scarcely have accepted had it been aware of them. Surprising terms are ineffective. I detta arbete undersöks Incoterms® 2010 maritima villkor, FAS. Framförallt hur det kommer sig att den inte används lika ofta som de övriga samt vad som är avgörande vid valet av villkor. Undersökningen genomfördes med en kvalitativ ansats och data samlades in genom litteraturstudie samt två kvalitativa intervjuer: en företagsrepresentant och en sakkunnig inom logistikrätt. En teorigenomgång av både allmän karaktär av Incoterms® samt tidigare forskning kring dess användning blev grunden till det teoretiska ramverket. Resultatet visar flera olika faktorer till att FAS inte används lika ofta som de övriga villkoren. De mest framträdande faktorerna är riskövergången, brytpunkter, betalning samt okunskap. / This work presents a study of the Incoterms® 2010 seaterm, FAS. The main questions are; why is it not used as often as the other terms for sea transportation, and, what are the main decisions when choosing Incoterms®. The study was carried out with a qualitative approach and data were collected through a literature study and two qualitative interviews; one with a company representative, and one who is an expert in logistics law. A theoretical review of Incoterms® and previous research, constructs the theoretical framework used. The result show several aspects for FAS not being used as often as the other terms. Most common aspects are; passing of risk, break point, payment and lack of knowledge.

Les contrats publics à l'épreuve de l'aléa en droit anglais et français / Public contracts facing unforeseen and uncertain events in English and French Law

La question du traitement de l’aléa affectant les contrats publics semble opposer de façon « incommensurable » les droits anglais et français. Si le droit français est doté de règles de droit objectif permettant, dans l’intérêt général, le traitement de l’aléa affectant les contrats publics sans accord des parties, rien de tel n’existe en droit anglais ou la règle de la force obligatoire commande l’intangibilité de l’accord initial. La comparaison anglo-française permet, grâce à cet antagonisme, de mettre en exergue les ressorts profonds du traitement de l’aléa affectant les contrats publics au travers de l’opposition théorique entre force obligatoire et intérêt public. Dans cette perspective, les règles générales permettant, en droit français, le traitement de l’aléa sans accord des parties apparaissent comme étant fondées sur une conception économique et téléologique du contrat et de sa force obligatoire, que l’on peut également identifier dans certains aspects du droit anglais des contrats. En outre, le mode de traitement de l’aléa priviligié en Angleterre aussi bien qu’en France est l’accord de volontés – initial ou subséquent. Néanmoins, les possibilités de modification du contrat en cours d’exécution sont drastiquement limitées par le droit de l’Union européenne. A l’inverse, les stipulations initiales qui tendent à ériger, du fait de la généralisation des clauses standardisées, un régime contractuel autonome de traitement de l’aléa, apparaissent désormais comme le mode incontournable d’adaptation des contrats publics en cours d’exécution. / The question of the treatment of uncertain/unforeseen events affecting public contracts seems to oppose in an immeasurable way English and French laws. While, in French law, general rules provide, in the public interest, the treatment of uncertain/unforeseen events affecting public contracts without the consent of the contractors, no such provisions exist in English law, where the sanctity and intangibility of contract prevails. Thank to this antagonism, the proposed comparison enables to highlight the deep motivations of the treatment of uncertain/unforeseen events affecting public contracts, through the theoretical opposition between sanctity of contract and public interest. In this respect, the general rules allowing, in French law, the treatment of the uncertain/unforeseen events without the consent of the parties appear to be based on an economic and teleological approach of the contract and its biding force. Surprisingly, the latter approach can also be noticed, in some respects, in the English law of contracts. Moreover, the priviledged mean to treat uncertain/unforeseen events in England as well as in France is the agreement of the parties – whether ex ante or ex post. Nonetheless, the possibilities of variating the contract in the course of its performance have been drastically limited by the European Union law. By contrast, the intial terms which tends to erect an autonomous regime of treatment of uncertain/unforeseen events through the spreading of standard terms appear to be the major and indispensable mean of adaptation of public contracts in the course of their performance.
