This thesis examines the role of market micro-structure and communication in takeovers that involve shareholders' investment decisions and the selection of a takeover mechanism by a raider under asymmetric information. For this purpose, rational expectations equilibrium models are employed and examples are worked in detail. / In the context of market micro-structure, it is shown that there is a greater probability of success of a takeover when the shareholders are risk averse that when they are risk neutral, and the probability that a takeover succeeds is related non-positively to the fraction of shares held by the raider. / In order to study communication, two takeover mechanisms are studied which are tender offers and negotiated takeovers. A negotiated takeover allows for communication between the shareholders and the raider before any takeover announcement. It is shown that communication offsets partially the negative impact of risk aversion on the probability that a hostile takeover occurs.

The following report gives an overview of my internship completed with HEB Construction Limited on the tender for Tamahere to Cambridge section of the Waikato Expressway.
The focus of the internship was on quantity surveying and the process of tendering. An emphasis was also put on investigating and understanding aspects of tendering related to the New Zealand Transport Authority.
After analysing the work completed during the internship, the main finding was that efficiency during the early stages of quantity surveying can be increased. In the future, this will be achieved through replacing scale rulers with computer software which simplify many of the time consuming processes currently used to capture the information on design drawings.

Thesis title:Special modes of contracting by entrepreneurs This paper deals with the specific ways of closing a contract regulated by the Civil Code, such as auction, public tender and public offer. However, before proceeding to the very subject of this work, it is necessary, at least in the essential features to say, what is a contract and what is the typical way of closing a contract, when it is afterwards discussed what is the special ways of closing a contract. The first chapter deals with the concept of a contract and a typical way of closing it. The second chapter summarizes how to deviate from a typical way of concluding contracts and what arrangements are then used for this procedure. Since this work is aimed at entrepreneurs, so it deals with the specific ways of closing a contract particularly from their point of view. Therefore the paper firstly defines who is an entrepreneur according to the Civil Code and how the rules for contracting are different in regard to entrepreneurs.
