000808884.pdf: 201087 bytes, checksum: 46563735427900616006923eefdff5dc (MD5) / Este trabalho tem por principal objetivo analisar e refletir sobre a instituição da empresa individual de responsabilidade limitada (EIRELI) no ordenamento jurídico brasileiro, levando em consideração suas raízes, seus fundamentos, as ideias do legislador por meio de seu projeto de lei, valendo-se, para tanto, de uma pesquisa bibliográfica de obras gerais e específicas sobre o tema, revistas, legislação, consulta a sítios eletrônicos diversos, utilizandose, ainda, de dados extraídos do sítio eletrônico da Junta Comercial do Estado de São Paulo. A metodologia utilizada foi o método analítico dedutivo, elaborando-se uma análise do novo instituto jurídico empresarial, partindo-se do seu projeto de lei até após a publicação da Lei nº 12.441/2011. O procedimento adotado foi a leitura, seleção de material, interpretação, fichamento do material coligido, análise, discussão, síntese, sistematização, elaboração da primeira redação do trabalho e revisão, que redundou na elaboração da presente dissertação. Abordou-se desde os institutos que cercam a matéria, como a personalidade jurídica e a afetação patrimonial pessoal do empresário individual, analisando, também, um pouco mais profundamente, o projeto de lei de sua criação, bem como a própria Lei nº 12.441/2011, as características peculiares desta nova modalidade, com reflexões sobre o tema, expondo uma visão de resultado sobre a realidade da EIRELI, utilizando-se, para tanto, dos dados colhidos no sítio eletrônico da Junta Comercial do Estado de São Paulo, que apontam os números de inscrições deste tipo empresarial, corroborando para a conclusão final do trabalho, em que se constatou a necessidade de algumas reformas na legislação que cerca a matéria, para que se atinja o resultado almejado pelo legislador brasileiro quando da criação deste novo instituto empresarial / The objective of this work is to analyze and reflect about of the institution of individual limited liability company (EIRELI) in the Brazilian legal system, taking the roots, fundaments, the legislator ideas with his bill, using a literature survey of general and specific works about this subject, magazines, law, consulting various electronic sites, using also data extracted from the electronic website of the Board of Trade of the State of São Paulo. The methodology used was the deductive analytical method, developing an analysis of the new legal business, starting up with your bill until after the publication of Law 12.441/2011. The procedure adopted was reading, material selection, interpretation, book report of material collected, analysis, discussion, synthesis, organization, elaboration of the first draft of the work and review, which resulted in the preparation of this dissertation. It approaches the institutes surrounding the matter, as the legal personality and personal asset allocation of the individual entrepreneur, analyzing a little deeper the bill and the Law 12.441/2011, the peculiar characteristics of this new mode, with reflections about the subject, exposing a view of the reality of EIRELI, using the data collected on the website of the Board of Trade of the State of São Paulo, which indicate the numbers registration of such business, confirming to the final completion of the work, which noted the need for some legal reforms, to achieve the desired result by Brazilian legislators when creating this new institute business
