Komanditní společnost v českém právu / Limited Partnership in the Czech Law System

The thesis clarifies the operation of the limited partnership in the Czech law system. In particular, it explains the establishment, the operation and the expiration of the limited partnership. There are stated the basic characteristics of the limited partnership and there are described the differences between unlimited partner and limited partner. The establishment of the limited partnership from the limited liability company by the change of the legal form is explained on the concrete example. In conclusion, there is the explanation of the various manners of expirations.

[pt] A partir de pressupostos teóricos da argumentação (Shiffrin, 1987; Wegman, 1994; Gryner, 2000; Gille, 2001) aliados a estudos que tratam de falas opinativas (Shiffrin 1990; Shi-xu, 2000) e a trabalhos realizados no âmbito da avaliação (Labov, 1972; Linde, 1997; Martin, 1999, 2003), este estudo investiga a dimensão avaliativa da argumentação na fala opinativa de profissionais de uma empresa em processo de mudança. A metodologia de estudo compreende a análise das entrevistas apresentadas por quatro empregados da empresa, acerca de como avaliam a atuação do grupo gestor da organização e de como vêem as suas próprias possibilidades de atuação neste contexto. A análise dos dados permitiu a emergência de padrões que identificam a avaliação como um movimento argumentativo, bem como desvendou marcas avaliativas que incidem pervasivamente na estrutura da argumentação do discurso de opinião dos informantes desta pesquisa. Os resultados também mostram que a avaliação pode marcar a opinião pela modificação dos papéis de autor e animador (Goffman, [1979] 2002, 1981), além de poder ser formatada na sustentação através de silogismo inferencial a partir de narrativas factivas, hipotéticas ou fictivas (Oliveira, Bastos e Pereira, 2007). / [en] From theoretical budgets on argumentation (Shiffrin, 1987; Wegman, 1994; Gryner, 2000; Gille, 2001) allied to studies which deal with opinative speeches (Shiffrin 1990; Shi-xu, 2000) and researches developed in the scope of evaluation (Labov, 1972; Linde, 1997; Martin, 1999, 2003), this study looks into the evaluative dimension of argumentation in opinative speech by professionals at a company in process of change. The study methodology takes into account the analysis of interviews given by four employees of the company towards their evaluation of the organization administrative group and of their own possibilities to act in this context. The data analysis found out the appearance of standards that identify the evaluation as an argumentative move, and unveiled as well the evaluative marks that pervasively occur in the argumentation structure of the opinion discourse by the informers of this research. The results also show that evaluation may assign opinion by the exchange of author and animator roles (Goffman, [1979] 2002, 1981), besides the possibility of being shaped in sustaining through inferential syllogism based on factual, hypothetical or fictive narratives (Oliveira, Bastos e Pereira, 2007).

O objetivo principal desta dissertação é analisar as tecnologias de aplicativos da Web 2.0, desde uma perspectivas evolucionária, e dos seus impactos nas empresas em nível global. Desta forma, para poder entender o seu nascimento, essência e importância econômica para as empresas, se tomou como base teórica o conceito evolucionário de revoluções tecnológicas e paradigmas tecno-econômicos, o qual serviu como modelo para interpretar a atual revolução das tecnologias de informação e comunicação (TIC) e seu conseqüente paradigma tecnoeconômico, e na qual se constatou que este grupo de tecnologias surgiu no período de tempo atual de dito paradigma conhecido como “intervalo de reacomodação” (turning point). Por outro lado, se ressaltou que uma das principais características no processo de difusão de cada paradigma tecno-econômico é o seu impacto na organização das empresas. Desta forma, a teoria evolucionária se apresentou como a abordagem adequada para entender tanto o caráter da empresa atual, entendida esta em termos do conjunto de suas rotinas (conhecimentos e habilidades), quanto as suas principais inovações organizacionais como respostas aos desafios apresentados pela própria difusão do paradigma tecno-econômico atual das TIC, na qual o acumulo permanente de novos conhecimentos e informações, isto é, de rotinas dinâmicas se tornam variáveis chaves para o próprio processo permanente de inovação, vital para as empresas. Diante da crescente utilização das tecnologias de aplicativos da Web 2.0 entre as empresas a nível mundial como meios potenciais para atingir esses objetivos, o presente trabalho analisou o seu potencial para gerar de forma mais fluida novos conhecimentos e informações, isto é rotinas dinâmicas, tanto dentro da organização das empresas como na interação com os seus consumidores, refletindo-se, assim, no aumento de inovações permanentes de novos produtos e serviços. / The main objective of this dissertation is to analyze the technologies of Web 2.0 applications, from an evolutionary perspective, and its impacts on businesses globally. Thus, in order to understand its birth, nature and economic importance for companies, it was taken as theoretical basis the evolutionary concept of technological revolutions and technoeconomic paradigms, which served as a model to interpret the current revolution in information and communication technologies (ICT) and its consequent techno-economic paradigm, in which it was found that this group of technologies originated in the current time of said paradigm known as turning point. On the other hand, it was emphasized that a key feature in the process of diffusion of each techno-economic paradigm is its impact on business organization. Thus, evolutionary theory appeared as the appropriate approach to understand both the character of the current company, which is understood in terms of its set of routines (knowledge and skills), as its main organizational innovations as answers to the challenges presented by the own diffusion of the current ICT techno-economic paradigm, in which the continuous accumulation of new knowledge and information, that is, dynamic routines, become key variables to the self process of continuous innovation, vital for companies. With the increasing use of Web 2.0 application technologies among the companies in the world as a potential means to achieve these goals, this study examined its potential to generate more fluidly new knowledge and information, that is dynamic routines, both within the business organizations and in their interaction with their consumers, which was reflected in the increase of permanent innovations of new products and services.

Tačiau konkrečiai vertinant ūkininko ūkio valdymą, susiduriama su ūkininko ūkio kaip verslo organizacijos valdymo funkcijų analizavimo mokslinėje literatūroje stoka, o taip pat ir ūkininko ūkio sampratos neapibrėžtumu. Todėl buvo atliktas ūkininkų nuomonės tyrimas, siekiant išsiaiškinti kokias veiklas, būdingas verslo organizacijoms, vykdo ūkininkai, ko pasakoje, pateiktas ūkininko ūkio kaip verslo organizacijos valdymo tobulinimo projektas, pasiūlymai, kurie leidžia išsamiau įvertinti ūkyje vykdomas valdymo funkcijas. / There are used many organization management functions in farmer’s farm: farmer’s have to do accounting, hire workers and supervise them, make goods and create services, build image of their work. However evaluating farmer’s farm management more precisely, we have to face with lack of farmer’s farm as business organization management functions analysis in scientific literature. Also with uncertainty of farmer’s farm conception. Therefore, there was made analysis of farmer’s opinion, in order to find out what activities similar to business organizations farmers do. That allowed to make organizations management improvement project in farmer’s farm as business organization and to give suggestions for evaluating management functions in farm more detailed.

Magistro baigiamajame darbe išanalizuoti Lietuvos ir užsienio autorių lankstaus darbo laiko organizavimo teoriniai aspektai, siekiant atskleisti lankstaus darbo laiko organizavimo motyvacinę reikšmę organizacijų darbuotojams. Remiantis mokslinės literatūros analize, atlikta teorinėje dalyje, įvykdytas įvairių organizacijų darbuotojų požiūrio į lankstų darbo laiką motyvacijos aspektu tyrimas, kurio metu nustatyti motyvaciniai darbuotojų veiksniai bei lankstaus darbo laiko poveikis respondentų motyvacijai lyginant su kitų motyvacinių veiksnių poveikiu. Anketinės apklausos būdu surinkti empirinio tyrimo duomenys leido nustatyti, kad lankstus darbo laikas labiau motyvuoja tik atskirus darbuotojus, pagal individualius jų poreikius ir nėra svarbiausias darbuotojų motyvacinis veiksnys. / This master’s final paper analyzed the Lithuanian and foreign authors of flexible working time arrangements theoretical aspects, in order to reveal flexible working time arrangements motivational significance of workers organizations. Based on literature review, carried out the theoretical part, employees of various organizations committed approach to flexible working time of the motivation aspect of investigation, during which the motivating factors for workers and flexible working time on the motivation of the respondents in relation to other motivational factors. The questionnaires collected by means of the empirical survey data revealed that more flexible working hours only motivates individual employees, according to their individual needs and not the primary motivating factor for employees.
