第一章緒論本章就撰寫本論文之動機、問題重點、研究方法予以說明。 第二章股份有限公司股東會特別決議本章以表決權為基礎首開其端，依次說明其意義 、性質、歸屬。次就特別決議表決權行使之方式、性質、限制、方法、對象等問題分 別討論，其中因近代股份有限公司規模日益龐大、股份分散，欲形成特別決議，誠有 困難，斯有代理制度產生，乃參酌外國法例，就其流弊、及存廢問題，作一通盤檢討 。 第三章股份有限公司股東會特別決議之濫用，本章僅就濫用問題，就各國立法例以比 較觀點作一簡介，並對我國有關規定加以分析說明。 第四章股份有限公司股東會特別決議濫用之救濟，本章就各國立法例以比較觀點作一 簡介，並就其中之反對股東收買請求權之意義、性質、發生原因，歸屬及收買價格、 其準日、程序等予以說明。 第五章結論除對本論文研究重點作一總結外，並就現行公司法有關規定，試作修正建 議，以備採酌。
