El presente trabajo tiene como problema de investigación el encontrar si las cláusulas
importadas propias del Common Law en operaciones de Fusiones y Adquisiciones en el
mercado peruano, realmente funcionan al ser adaptadas de acuerdo con el Código Civil de
1984. La pregunta es que, al no pasar por un proceso de adaptación a nuestra realidad, no
sea posible encontrar las figuras jurídicas necesarias para poder proceder con su correcta
interpretación, lo que desencadenaría que se generen graves complicaciones en los contratos
entre las partes. Lo que se pretende con este trabajo, es, inicialmente, explicar las principales
cláusulas importadas del derecho anglosajón, para luego analizarlas, y tomando ello como
base, explorar los vacíos que estarían llenando en la regularización peruana de Derecho
Corporativo. Frente a ello, se desarrollan dos hipótesis. La primera es que efectivamente es
completamente viable que se incorporen Cláusulas del derecho anglosajón en la legislación
peruana sobre los contratos de Fusiones y Adquisiciones, pues estas encuentran sustento en
determinados artículos del Código Civil ya existentes que ayudaría a su interpretación bajo
nuestra legislación. La segunda hipótesis lo niega, y considera que deben incorporarse y
modificarse ciertos artículos del Código Civil, para así el legislador y las partes sepan como
deben aplicarse. En el análisis también se tomó en cuenta si es necesario o no actualizar el
Código Civil, al estar en un mundo tan versátil; o si por el contrario este debe seguir tal como
esta. Asimismo, la metodología a seguir es analizar una por una las principales Cláusulas, su
definición e interpretación, como suelen ser pactas, y luego explicar los principales problemas
que contienen con relación al Código Civil. El trabajo termina concluyendo que si bien hay
varios artículos del Código que siguen vigentes, deberían agregarse muchos otros. Una
mayor regulación sobre contratos que antes no existían, genera menos vacíos y problemas
de interpretación en el presente. / The present paper has as an investigation problem to find out if the clauses imported from the Common Law in Mergers and Acquisitions operations in the Peruvian market, really works
when adapted according to the 1984 Civil Code. The question is that, since they have not
been properly adapted to our reality, it is not possible to find the necessary legal concepts to
proceed with their proper interpretation, which would lead to serious complications in the
contracts between the parties. The purpose of this work is, initially, to explain the main clauses
imported from the Anglo-Saxon law, then analyze them, and taking this as a basis, explore
the gaps that would be filling in the Peruvian regularization of Corporate Law. Two hypotheses are developed. The first is that it is indeed completely viable to incorporate clauses of common law in the Peruvian legislation on Mergers and Acquisitions contracts, since these find support in certain articles of the Civil Code already in existence that would help their interpretation under our legislation. The second hypothesis denies it, and considers that certain articles of the Civil Code should be incorporated and modified, so that the legislator and the parties know
how they should be applied. The analysis also took into account whether or not it is necessary
to update the Civil Code, being in such a versatile world; or if on the contrary it should remain
as it stands. Likewise, the methodology to follow is to analyze one by one the main clauses,
their definition and interpretation, as they are usually agreed, and then explain the main
problems they contain in relation to the Civil Code. The work concludes that although there
are several articles of the Code that are still in force, many others should be added. Greater
regulation of contracts that did not exist before generates fewer gaps and problems of
interpretation in the present.

Le rôle du législateur dans la mise en œuvre efficace et équitable du droit de l'inculpé d'être jugé dans un délai raisonnableThiaw, Abdoul Karim 12 November 2023 (has links)
L'auteur analyse la mise en œuvre du droit constitutionnel de l'inculpé d'être jugé dans un délai raisonnable. Partant du constat de l'allongement des délais judiciaires en matière pénale au sens large (les procès criminels y compris) malgré la baisse continue du taux de criminalité et du volume des poursuites des infractions pénales graves, l'auteur démontre l'impuissance des tribunaux à faire respecter cette garantie. Il démontre ensuite que cette impuissance est due au fait que deux des principales causes de ces délais relèvent du législateur. L'auteur en conclut donc qu'une intervention législative, à travers une réforme en profondeur de certains aspects de la législation pénale, est nécessaire si l'on souhaite parvenir à une mise en œuvre à la fois efficace et équitable de cette garantie constitutionnelle. Une telle initiative législative pourrait d'ailleurs renforcer la collaboration entre les tribunaux et le législateur et elle constituerait un complément nécessaire à la jurisprudence constitutionnelle. Pour y arriver, l'auteur analyse les raisons historiques et constitutionnelles qui assurent l'historicité d'une intervention législative dans ce domaine et celles qui expliqueraient les difficultés persistantes des tribunaux à régler cette problématique. L'analyse se fait principalement dans le cadre du système juridique anglo-canadien et, accessoirement, dans celui de la France, l'objectif étant de mieux illustrer le propos dans deux contextes juridiques différents, soit les traditions juridiques de la common law et du droit romano-civiliste. L'auteur présente finalement des pistes de solutions à explorer au Canada pour effectuer la nécessaire réforme du droit criminel et du droit pénal réglementaire pour assurer durablement la mise en œuvre équilibrée du droit constitutionnel concerné. La thèse se divise en deux parties. La première porte sur l'historique de la protection du principe de célérité du procès pénal (d'où est tiré le droit constitutionnel en cause) à partir du droit romain et par la suite en droit anglo-canadien et en droit français jusqu'à nos jours. Cette partie démontre l'historicité de l'intervention du législateur pour résoudre la problématique des délais judiciaires et fait ressortir les limites consubstantielles à une tentative de règlement par la voie jurisprudentielle. La seconde partie analyse les raisons profondes de l'allongement des délais judiciaires en matière pénale et elle démontre que, pour des raisons constitutionnelles, c'est le législateur qui a compétence pour intervenir sur deux de ces causes. Cette partie explore finalement, par l'exemple canadien, les réformes du droit criminel et du droit pénal réglementaire qui pourraient assurer la protection efficace et équitable du droit constitutionnel.

Les trusts anglo-américains (anglais, américain et des Iles Cook) coexistent avec les trusts de droit civil (les fidéicommis argentin, bolivien, panaméen et la fiducie française). Ils appartiennent aux deux familles de droit de Common Law et romano-germanique et ont des structures différentes. Les trusts exprès anglo-américains sont créés par acte unilatéral du constituant et mettent en place une relation trustee-bénéficiaire. Les trusts de droit civil sont créés par contrat (ou testament) entre le constituant et le fiduciaire et ne donnent pas des droits réels aux bénéficiaires. Malgré leur différence de structure, les deux trusts fonctionnent de manière équivalente, grâce au transfert de propriété au fiduciaire et à l’étanchéité du patrimoine fiduciaire. Les réserves héréditaires sont un élément extérieur à la structure des trusts testamentaires ; ceux-ci fonctionnent de manière analogue. Les techniques d’investissement et de gestion fiduciaire sont aussi similaires : des clauses conditionnelles d’accès ou fin de la propriété fiduciaire et des pouvoirs discrétionnaires donnés au trustee sont communs aux deux modèles de trust. La séparation du patrimoine sert à mettre en place des trusts de gestion, de protection ou de garantie de financement de projet, de défaisance ou de titrisation. Le fonctionnement du FCP, similaire à celui des Unit Trusts, devrait donner la propriété fiduciaire des actifs au dépositaire. Des éléments de la loi, extérieurs à la structure de la fiducie, qui n’existent pas chez ses homologues latino et anglo-américains, empêchent son fonctionnement normal. Nous proposons de modifier la loi sur la fiducie, sur les FCP et les fonds de titrisation / Anglo-American express private trusts, Latin-American fideicomiso and French fiducia”. Common Law trusts (English, American and Cook Islands) co-exist with civil law domestic trusts (Argentinean, Bolivian and Panamanian fideicomiso and French fiducia). They belong to the Common Law and continental law families respectively and have different structures. Anglo-American express trusts are settled by a settlor (declaration, gift) or by a will that creates an equitable relationship between the trustee and the cestui, whereby both share legal and equitable interests on the trust property. Civil law trusts are settled by a contract between the settlor and the trustee and by a will. Thus, a civil law trust beneficiary has only personal remedies against a trustee in respect of breach of trust. Despite the structural differences, both types of trusts operate in similar ways, due to the transfer of property to the trustee and the separation of the trust property. Testamentary trusts also work in a similar way; forced heirship is an external element of both. Trust managing and investment techniques and practices are also similar: condition precedent and condition subsequent clauses and discretionary trusts and powers are common to both trust models. Separation of the trust property allows for the settlement of protective trusts, trusts for project financing, defeasance and securitization. French Mutual Funds are comparable to Unit Trusts. Both should give legal title to the trustee (custodian). External elements of French law, which do not exist in Anglo or Latin American trusts, restrain the normal operation and use of French fiducia. We propose to modify the fiducia, mutual and securitization funds law.

Re-imagining and re-interpreting African jurisprudence under the South African ConstitutionNdima, Dial Dayana 11 1900 (has links)
Text in English / The substitution of the dominant Western jurisprudence for South Africa’s indigenous
normative values during colonial and apartheid times has resulted in a perverted
conception of law that presents Western jurisprudence as synonymous with law. In
the era of the constitutional recognition of African law where the application of the
democratic principle demands that the newly re-enfranchised African communities
deserve to be regulated by their own indigenous values, the resilience of this legal
culture has become problematic. To reverse this situation legal and constitutional
interpreters must rethink and reshape their contributions to the achievement of the
post-apartheid version of African law envisioned by the South African Constitution.
The application of African law in a free and liberated environment must reflect its
own social, political and legal cosmology in which its institutions operate within their
own indigenous frame of reference. A study of the anatomy of African jurisprudence
as a means of gaining insight into the indigenous worldview which was characterised
by the culture of communal living and the ethos of inclusiveness to counter the
prevailing hegemony of autonomous individualism, has become urgent. To achieve
this such pillars of African jurisprudence as the philosophy of ubuntu must be
exhumed in order for African law’s rehabilitation under the Constitution to be
undertaken on the basis of its authentic articulation uncontaminated by colonial and
apartheid distortions.
The task of developing the African law of the 21st century to the extent required by
the Constitution is a challenge of enormous proportions which demands an
appreciation of the historical and political environment in which African law lost its
primacy as the original legal system of South Africa after Roman-Dutch law was
imposed on the South Africa population. The revival of African law becomes more
urgent when one considers that when Africans lost control of their legal system they
had not abdicated sovereignty voluntarily to the newcomers. The validity of the
imposition of Western jurisprudence is vitiated by the colonial use of such imperial
acts as colonisation, conquest, and annexation as the basis on which the regime of
Roman-Dutch law was imposed on South Africa.
Ever since, African law has been subordinated and denigrated through colonial and
apartheid policies which relegated it, via the repugnancy clause, to a sub-system of
Roman-Dutch law with whose standards it was forced to comply. The repugnancy
clause left African law a distorted system no longer recognisable to its own
constituency. The advent of the new dispensation introduced a constitutional
framework for re-capacitating South Africa’s post-apartheid state institutions to recentre
African law as envisioned by the Constitution. This framework has become
the basis on which legislative and judicial efforts could rehabilitate the indigenous
value system in the application of African law.
The courts of the new South Africa have striven to find the synergy between
indigenous values and the Bill of Rights in order to forge areas of compatibility
between African culture and human rights. An analysis of this phase in the
development of African law, as evidenced by the present study, reveals successes
and failures on the part of the courts in their efforts to rehabilitate African law in line
with both its value system and the Bill of Rights. These findings lead to the
conclusion that whilst South Africa’s legislative and judicial institutions have not yet
achieved the envisioned version of African law, there is an adequate constitutional
framework through which they could still do so.
This study, therefore, recommends that the above institutions, especially the
courts, should adopt a theory of re-indigenisation that would guide them as they
proceed from the indigenous version of African law which is the basis on which to
apply the Bill of Rights. The application of such a theory would ensure that the
distorted ‘official’ version of African law which was imposed by colonial and
apartheid state institutions is progressively discredited and isolated from the body

Verslag van die Maatskaplike Werker ingevolge artikels 14(4) en 15(1) van die Wet op Kindersorg as 'n Juridies Gefundeerde Hulpmiddel vir die Kinderhof' daar te stel. Die studie fokus onder andere op vroeere wetgewing rakende sekere regte van kinders voor die instelling van kinderhowe in Suid-Afrika, die aard en instelling van die kinderhof, die posisie van kinderhowe binne die hierargie van howe en die kinderhof se handeling. Ooreenkomstig die administratiefreg word die klem veral geplaas op die regsvereistes wat vir alle administratiewe handelinge geld - soos deur Wiechers (1984) gesistematiseer en deur Eckard (1988) op kinderhofondersoeke van toepassing gemaak is.
Regswetenskaplike begrippe met inagneming van die relevante gemeneregtelike beginsels, die tussentydse Grondwet, ander relevante wetgewing en regspraak word ontleed ten einde die betekenis en invloed daarvan vir die verslag van die maatskaplike werker duidelik te maak. By implikasie hied hierdie ontleding ook riglyne vir die skryf van die verslag vanuit 'n regsperspektief.

regsbeginsels wat ontleed is, word doelgerig en planmatig aangewend in 'n poging om uitvoering aan die doelstellings van die kinderhof te verleen en die bewyswaarde van inligting maksimaal te verhoog.
Kritiese stellings asook verskeie dilemmas waarmee die maatskaplike werkers in die praktyk te make het, word aangespreek en word nuwe betekenis aan die begrippe "maatskaplike werker" en "verslag" rakende kinderhofaangeleenthede verleen.

baan die weg tot verdere navorsing en ontwikkeling op hierdie terrein. / This investigation attempts to establish a jurisprudential basis for the "The
Report of the Social Worker according to articles 14(4) and 15(1) of the Act on Child Welfare as a Juridically Based Aid for the Children's Court". The study focuses inter alia on earlier legislation concerning certain rights of children prior to the establishment of children's courts in South Africa; the nature and institution of children's courts; the position of children's courts within the hierarchy of courts, as well as actions of the children's court.
In accordance with Administrative Law the accent falls especially on legal
requirements for all administrative actions as systematised by Wiechers (1984) and as applied by Eckard (1988) to examination in such courts.
An analysis is made of jurisprudential concepts such as Common Law
principles, the Interim Constitution, and other relevant acts of parliament and court verdicts in order to clarify their meaning and influence for this report. By implication this analysis also furnishes guidelines for writing the report within jurisprudential perspectives.
With the aid of these perspectives a preliminruy model is presented within a specific structure for the writing of this report. The jurisprudential principles analysed, are purposively and methodically applied in an attempt to satisfy the goals of the children's court and maximise the value of evidence given. Critical statements and several dilemmas confronting social work practice are addressed, and in the court situation new meaning is accorded to concepts such as "social worker" and "report".
By means of a limited exploratory empirical investigation within the confines of the Christian Social Services of the Northern Transvaal the present criticism of reports delivered to courts by social workers as well as their jurisprudential limitations have been confirmed. Specific knowledge deficiencies have been identified and a renewed social work perspective on children's courts as specialist field in social work has been established. Legal and other relevant requirements for this report - as found in the literature study - have been confirmed. This investigation constitutes a new contribution to social work literature and

Summaries in English and Afrikaans / Text in Afrikaans / Until 1988, hearsay-evidence in our legal system was governed by common
law. During this period resistance developed regarding the practice that hearsay which complied
with certain exceptions could indeed be allowed. Case law excluded further exceptions being added.
Legislation was enacted in 1988 in which hearsay was defined, a total exclusionary rule retained,
but the Courts given a wide discretion to allow hearsay. Via this legislation a more accommodating stance towards hearsay was introduced.
This dissertation aimed at measuring whether the legislation achieved its objectives and consisted of analysing case law and interviewing Judges and Advocates.
The conclusion arrived at is that the legislation has only marginally changed the usage
of hearsay in our legal system. The major obstacle lies in the attitude of practitioners who
continue to distrust hearsay and do not utilize the mechanism provided by statute. / Tot en met 1988, is hoorse-getuienis in ons regstelsel gemeenregtelik beheer. In

Hierdie verhandeling se hoofdoel was om te bepaal of die wetgewing in die doel geslaag bet. Om tot
'n bevinding te kom is regspraak ontleed, en is onderhoude gevoer beide met Regters en die
Advokatuur.
Die slotsom bereik dui daarop dat die wetgewing maar weinig verander bet in die gebruikmaking van
hoorse-getuienis in ons regstelsel. Wat die wetgewing self betref, hoewel daar sekere besware
te make is oor sekere bepalings, verskaf dit tog 'n bruikbare instrument. Die grootste
struikelblok is gelee in die instelling van die praktisyns wat bly vasklou aan 'n gevestigde vrees

Intégration sociale des immigrants au Canada : conformité des comportements matrimoniaux des jeunes immigrants face à la population canadienne au fil des générationsMeunier, Mélanie 02 1900 (has links)
Près d’un Canadien sur cinq est né à l’étranger. Les niveaux d’immigration ne cessant de croître, la façon dont ces nouveaux venus s’intégreront à leur société d’accueil joue grandement sur l’avenir du pays. Dans les études d'intégration, une attention particulière est portée aux jeunes formant la première et la seconde génération puisqu’ils représentent le lien intergénérationnel entre membres de leurs familles, communautés culturelles et natifs canadiens. Ce mémoire porte sur les tendances liées aux comportements matrimoniaux des différentes générations d’hommes et de femmes provenant de diverses régions géographiques, comparativement à ceux de la population canadienne, incluant l’analyse du rôle que pourraient y jouer les communautés culturelles. En utilisant le recensement de 2001, l'analyse fait une distinction entre le Québec et le reste du Canada, et se concentre sur la probabilité de vivre ou non en union selon l’âge puis, pour ceux en union, la probabilité d’être marié ou en union libre. Les résultats démontrent que les comportements matrimoniaux des immigrants issus d’une union mixte (ayant un parent né au Canada) se conforment plus rapidement à ceux de la population locale que ceux ayant deux parents nés à l’étranger. Aussi, nos résultats révèlent que les immigrants issus de diverses régions géographiques présentent des comportements matrimoniaux et des profils selon le statut générationnel distincts alors que certains d’entre eux ne montrent aucun signe de convergence vers les comportements matrimoniaux des natifs canadiens. Finalement, les résultats liés à la taille et à la présence d’une communauté culturelle varient selon les différents modèles. / Nearly one out of five Canadians was born abroad. Immigration levels keep growing and the ways in which these newcomers integrate into Canada will greatly affect the future of the country. In studies of integration, particular attention should be paid to young people of first and second generations, as they represent the intergenerational link between their families, cultural communities and native Canadians. This thesis focuses on the covariates of the matrimonial behaviours of different generations of immigrant men and women from different origin regions, compared to those of the local population, and examine the possible effects of cultural communities. Using 2001 census data, the analysis distinguishes between Quebec and the rest of Canada, and focuses on the probability of living in union by age and, of those in union, the probability that the union be marital versus common-law. Results show that the behaviors of immigrants of mixed unions (with one Canadian-born parent) are much more similar to those of local population, than those with both parents born abroad. Moreover, migrants of different geographic regions of origin display markedly different behaviors and different patterns of social integration across the generations, with some showing no evidence of a convergence to local norms. Finally, the effects of size and presence of a cultural community varies across the different models.

Czech courts regularly deal with a question of so-called just satisfaction; particularly, when, on what basis, and how much should be awarded. Just satisfaction, as a form of damages, is primarily compensatory. However, there are some indications that it is perfectly legitimate for law of damages to pursue also another aims than compensation such as prevention or punishment. This view was recently upheld by the Czech Constitutional Court and the Highest Court of the Czech Republic. According to doctrinal approach, it is the domain of punitive or exemplary damages as a specific Anglo-American instrument that covers these two principles (prevention and punishment). Still, the Czech Civil courts consistently refuse to award exemplary damages albeit they do not provide us any sound argumentation. The author of this article suggests it is inaccurate and only partial understanding of exemplary damages that causes the current judicial refusal of them. While focusing on current English and Czech law, the author in his article describes exemplary damages in great detail with respect to their theoretical, conceptual and systematic position. Esta tese tem por objeto o estudo do direito sucessório dos companheiros na união estável, tema que, cada vez mais, tem despertado grande interesse da sociedade. O ser humano, em decorrência de sua falibilidade e suscetibilidade a doenças, ferimentos e velhice, está sujeito à morte, fim inexorável de sua existência. A pessoa fenece, enquanto seus bens remanescem, sendo transmitidos a seus herdeiros, legítimos ou testamentários, e legatários. A sucessão legítima é aquela que se dá de acordo com a ordem preferencial estabelecida na lei; a testamentária, a que ocorre de acordo com a declaração de última vontade do falecido, expressa em testamento. Os herdeiros legítimos podem ser necessários ou facultativos: estes podem ser afastados da herança pelo fato de o falecido dispor de seus bens sem contemplá-los; aqueles, entretanto, não podem ser privados de parcela mínima da herança, a que têm direito, chamada de legítima, a não ser que sejam excluídos da sucessão por ato de indignidade ou deserdados pelo testador, em decorrência de ato atentatório à sua pessoa, nas hipóteses previstas em lei. O Código Civil de 2002 modificou profundamente a sucessão decorrente dos vínculos conjugal e convivencial. O cônjuge passou a concorrer não só com os descendentes do autor da herança, dependendo do regime de bens, mas também com os ascendentes, neste caso independentemente do estatuto patrimonial adotado. Ademais, foi elevado à categoria de herdeiro necessário, à qual antes só pertenciam os descendentes e ascendentes do de cujus. O companheiro supérstite, por outro lado, não foi declarado expressamente herdeiro necessário, embora também concorra à herança com os descendentes e ascendentes do morto. A presente pesquisa examina a posição sucessória daqueles que vivem em união estável, considerada entidade familiar pela Constituição da República Federativa do Brasil, em contraste com a sucessão do cônjuge, a fim de perscrutar, por meio de ampla investigação bibliográfica, legal e jurisprudencial, se o companheiro deve ou não ser considerado herdeiro necessário, do que dependerá seu direito à legítima. / The objective of this thesis is to examine succession law in connection with common law marriage (stable union), an issue that has garnered increasing public attention. Due to their intrinsic fallibility and vulnerability to disease, injury, and old age, human beings are subject to death, to the inexorable end of their existence. Yet while human beings are destined to meet their end, their property and assets remain behind, transferred to their heirs, either legitimate or testamentary, and legatees. Legitimate succession is based on the order of preference, as prescribed in law; testamentary succession is based on a statement of last wishes by the deceased, as expressed in a will. Legitimate heirs may be necessary or optional: although the latter may be left out of the inheritance by the deceased upon disposition of his or her property and assets, the former may not be deprived of a minimum share of the inheritance, to which they have a right, also known as legitime, unless they are excluded as a consequence of an act of indignity or disinherited by the testator by virtue of an offense against such person, as provided for by law. The 2002 Brazilian Civil Code significantly modified succession for cases of marriage and cohabitation. The spouse may now claim a share of the inheritance alongside the testators descendants, depending on the particular marital property system applied, and ascendants as well, in this case irrespective of the specific property division system invoked. In addition, spouses are now classified as necessary heirs, a category previously reserved for descendants and ascendants of the deceased. However, the Civil Code does not expressly include surviving partners as necessary heirs, although they are entitled to claim a share of the inheritance alongside the ascendants and descendants of the deceased. This study considers the succession rights of individuals in common law marriage, considered a family entity under the Constitution of the Federative Republic of Brazil, in contrast to spousal succession, with a view to examining, through a detailed investigation of the existing legal literature and jurisprudence, if partners should or should not be deemed necessary heirs, a determination on which their right to legitime largely depends.
