The purpose of this study is to test the relation, if any, between use of fair value measurement and reported performance ratios of the firms and finally its effect on CEO compensation in Sweden. This research aims to contribute knowledge of decision makers about the performance-pay link in Sweden by comparing the changes of CEO compensations across the years, before and after the use of fair value method. In this sense, firms divided in two models of ownership structure: firms with family concentration and firms with dispersed ownership structure. This paper intent to contribute the explanations of existing researches from the USA and China about exponential increase in CEO compensation after the use of fair value method, with the data of Swedish listed companies. The data set of this study was highly dependent of the accessibility of information. The social construction and operational significance of fair values : a case study of a financial services organisation

The focus of this doctoral research is on developing an enhanced understanding of the nature and operational significance of fair values by studying the organisational systems and processes through which such values are produced. The external reporting of fair values in corporate financial statements has created significant controversy and debate, particularly during the global financial crisis with various accusations and competing defences as to whether or not such a form of accounting caused or exacerbated the crisis. Fair value accounting has been debated mainly from a relevance and reliability perspective, with much attention paid to the relative usefulness of fair value accounting to investors and claims and counter claims relating to the reliability and subjectivity of fair values compared to historical costing approaches. Investigation into implementation issues affecting reliability, however, has been little studied. While an emerging strand of the literature has pointed to the importance of recognising fair value accounting’s social constructed nature, relatively few research papers have examined the construction of fair values and the ways in which such values are shaped by social and organisational contextual influences. This research contributes to such an emerging literature through a detailed case study of the construction of fair values in an international financial services organisation. The primary focus of analysis is the work of the organisation’s central governing body in this area, namely its Fair Value Committee (FVC). The work of the FVC provides a rich empirical base from which to examine the key factors and perspectives influencing the organisation’s approach to fair values. In particular, through a detailed analysis of its formal minutes and supporting interviews with senior members of the FVC and other key organisational actors, the research documents and reflects on the nature and direction of change that the organisation experienced during the global financial crisis with respect to the operation of its fair value system. The main research findings in relation to the nature of the fair value system are: Firstly, the operation of an organisational fair value accounting system emerges not as a demonstrative example of objective, arm’s length pricing but as a social, relational process influenced by the organisational context. Secondly, in studying the way in which fair values are made sense of or constructed to be market consistent, patterns of sensemaking generally invoke a rational and prudent view of the market, which stimulates questioning as to whether fair value accounting is inherently pro-cyclical and exacerbates swings in the financial market. Thirdly, ‘fair value’ pricing should not be seen as being without a semblance of order and routine. Fourthly, the observed growing dependency of fair value accounting on valuation experts provides confirmation of the weakening jurisdictional authority of auditors and their monitoring role in overseeing fair value accounting. Finally, the research reveals clear evidence of the constitutive effects of fair value accounting on the organisation’s investment policy and permitted investments. As such, the acceptance of specialist models to construct fair values should not only be seen as being reflective of the particular organisational context but also serving in part to permit (and encourage) investments in esoteric financial instruments - a constitutive impact on the organisation's investment strategy and risk profile. The study encourages a greater empirical analysis of the operational construction, development and utilisation of fair values so as to advance knowledge and move the debate beyond polemical debates on the status of fair value accounting.

The diploma thesis deals with the basic concepts of measurement which were developed in the area of financial accounting. It focuses on the main features of measurement selected assets and liabilities according to the IFRS (International Financial Reporting Standards). The thesis largely deals with the phenomenon of "fair value" in the contemporary form of the IFRS and in connection with the exposure draft "Fair Value Measurement". The role of measurement in the present financial crisis is also mentioned. The last chapter of the thesis is based on measurement of the selected assets and liabilities according to the Czech Accounting Legislation in comparison with the IFRS.

This master's thesis is dealing with the topic of employee stock options (ESOs), primarily with the valuation of ESOs in accordance with the accounting standard IFRS 2 at corresponding fair value basis. The goal of this thesis is a critical analysis of the standard mentioned, with respect to the conditions of the Czech Republic. The theoretical part comes with the basic characteristics of employee stock options and explains how the traditional option-valuation models can be modified for the purpose of ESOs valuation. It is also concerned with discussion about fundamental features of the fair value basis necessary for the valuation process. The essential part of this thesis is the critical analysis focusing on the rationality of accounting methods, disclosure requirements and also on a theoretically correct determination of model inputs. Critical analysis is followed by case study aimed on evaluation of an authentic option plan. The practical part also demonstrates advanced methods of valuation using the Black-Scholes and the binominal models as well as the Monte Carlo simulation. In the conclusion, I present proposals for changes of the IFRS 2. According to the results of the critical analysis, supported by case study, greatest shortcomings were identified in the disclosure requirements. Proposals for changes are aimed mainly on this problem.

The aim of this master thesis is to describe the contemporary legislation and financial aspects of the de- mergers and spin offs of the corporation. The first chapter deals with the problematics of corporation transformations and the conditions of their realisation. The next chapter focuses on de-mergers and spin offs as such, their particular forms, on the project of de-merger as the principal legal act, on protection of stakeholders (creditors and debtors of the corporation) and other aspects. The third chapter analyses financial aspects of the corporation division. The attention is paid on the duty of preparing the financial statement and appraisement of assets and liabilities that go over to the successor corporation. The fourth part of this paper is devoted to the question of business valuation, the categories of the enterprise value and selected methods of its measurement. The fifth chapter describes the tax duties of the corporations participating on the de-merger (or spin off). The last part of this thesis is practical. It deals with de-mergers and spin offs of corporations, that were recorded into the Business Register in 2014. De-mergers and spin offs that were found during the analyses are sort by the location of the divided corporation, its legal form and other aspects.

O uso do valor justo e suas relações com os valores de mercado das instituições financeiras / The use of fair value and its relations with the market value of the financial institutions

O objetivo principal desta dissertação foi estudar as relações dos valores de mercado, dos patrimônios líquidos contábeis e da utilização do valor justo como base única de mensuração para ativos e passivos financeiros nos bancos listados em três importantes bolsas de valores que requerem ou permitem o arquivamento de demonstrações financeiras no padrão IFRS, a BM&FBOVESPA, a LSE e a Euronext. Mais precisamente, sob três pontos: (i) se o uso de uma contabilidade plena ao valor justo torna os patrimônios contábeis próximos dos valores de mercado das instituições; (ii) se as empresas que se utilizam em maior extensão do valor justo como base de mensuração apresentam patrimônios contábeis mais próximos ao valor de mercado e (iii) se os lucros líquidos e resultados abrangentes totais das entidades seriam significativamente diferentes caso fosse utilizada a contabilidade plena ao valor justo. As análises foram efetuadas tomando a amostra conjuntamente, segregada por bolsa e também por porte a um nível de significância (?) de 5%. O procedimento estatístico utilizado foi o de confecção de Testes de Hipóteses de Médias para Amostras Emparelhadas (t-Student ou Wilcoxon). Os resultados apontam que: (i) o uso do valor justo como base de mensuração única aproxima os valores contábeis dos patrimônios de seus pares de mercado, porém sem significância estatística; (ii) tanto as instituições que usam em maior extensão o valor justo quanto aquelas que se utilizam em menor nível apresentam patrimônios contábeis significativamente diferentes de seus respectivos valores de mercado e (iii) o uso do valor justo como base única de mensuração não altera significativamente os valores dos lucros líquidos e resultados abrangentes totais contábeis. / The main objective of this dissertation was to study the relations between the market values, the accounting equities and the use of the fair value as the single measurement basis for financial assets and liabilities for the banks listed at three important stocks exchanges that require or allow the filling of the financial statements in the IFRS standard, the BM&FBOVESPA, the LSE and the Euronext. More specifically on three points: (i) if the use of the full fair value accounting make the accounting equities closer to the institutions\' market values; (ii) if the enterprises that use in higher extension the fair value as measurement basis presents accounting equities closer to the market values and (iii) if the entities\' net income and total comprehensive income would be significantly different if it was used the full fair value accounting. The analysis were carried out taking the sample in conjunction, segregated by stock exchange and also by size at a significance level (?) of 5%. The statistical procedure used was the making of the Hypothesis Tests for Means of Matched Samples (t-Student or Wilcoxon).The results show that: (i) the use of fair value as the single measurement basis approximates the accounting values of the equities to their market peers, but without statistical significance; (ii) both the institutions that use fair value in higher extension and those that use in lesser level present accounting equities significantly different from their respective market values and (iii) the use of fair value as the single measurement basis does not change significantly the values of the net income and the total comprehensive income.

Procyclical effects of fair value accounting : A study of Nordic investment property companies

Fair value accounting for investment property has been mandatory in the EU since the adoption of IFRS 13 and has been both heavily criticized and praised. Previous research suggests that there are some inherent issues with fair value accounting for investment property, such as lacking reliability and persistence of reported unrealized earnings. There is also evidence of unrealized earnings influencing dividends and share price development related to fair value accounting in a procyclical manner. The purpose of this study is to enhance knowledge about whether fair value accounting in listed Nordic investment property companies causes procyclical effects on dividend payout and stock market behaviour. To fulfil this purpose, a quantitative analysis of financial reports and share prices of listed Nordic investment property companies was conducted. This study confirms that fair value accounting has a strong influence on dividends and share price development.
