Esta pesquisa inova ao investigar a dinâmica do Conselho de Família e sua influência no processo de governança e sucessão nas empresas de controle familiar. Visando responder a questão de pesquisa \"Como a dinâmica do Conselho de Família influencia e é influenciada pelo processo de governança e sucessão nas empresas de controle familiar?\", empreendeu-se umestudo de casos múltiplos aplicado a três empresas de controle familiar e a um grupo de consultores especialistas. Foram realizadas entrevistas semiestruturadas no período de fevereiro a abril de 2017 com membros da família que compõe ou compuseram o Conselho de Família das empresas aqui estudadas e também com os consultores especialistas na temática Governança Corporativa, empresas familiares e Conselho de Família. Além das entrevistas, foi realizada a análise documental dos livros que contém a historia das empresas e da própria família, informações disponibilizadas no web site das empresas, notícias e matérias veiculadas na imprensa e materiais elaborados pelos consultores. O referencial teórico aborda as temáticas de governança corporativa, empresas familiares, Conselho de Administração, Conselho de Família e por fim, sucessão e conflitos nas empresas de controle familiar. Os resultados indicam que a implantação de um Conselho de Família contribui para a preparação e formação dos herdeiros e sucessores, facilitando assim a passagem do bastão, além de atuar na resolução de conflitos incentivando o diálogo entre a família e para com a empresae contribuindo ainda para manutenção e amadurecimento das práticas de governança corporativa. / This research innovates when investigating the dynamics of the Family Council and its influence on the process of governance and succession in family firms. Aiming to answer the research question \"How do Family Council dynamics influence and is influenced by the process of governance and succession in family firms?\", a study of multiple cases has been undertaken and applied to three family firms and to a group of expert consultants. Semi-structured interviews were carried out in the period from February to April 2017, with members of the family who composes or composed the Family Council of the companies studied here, and also with the expert consultants in the thematic Corporate Governance, family firms and Family Council. In addition to the interviews, it was performed a documentary analysis of the books that contain the history of companies and the family itself, information available on the website of the companies, news and materials published in the press and materials prepared by consultants. The theoretical reference addresses the issues of corporate governance, family firms, Board of Directors, Family Council and finally succession and conflicts in family firms. The results indicate that the introduction of a Family Council contributes to the preparation and training of heirs and successors, thus facilitating to pass the baton forward, as well as acting in conflict resolution, encouraging dialog between the family and to the company and also contributing to maintenance and maturity of corporate governance practices.

In this dissertation, the strategic planning process in a family owned firm of Saudi Arabia will be discussed. The main aim is to develop a comprehensive model of strategic planning, specific and customized to the family businesses of Saudi Arabia. The model will encompass all the factors that are unique to the Saudi Arabian family businesses, such as the family culture of Saudi business families, the interfamily dynamics that shape the strategic approach of the family and the unique market conditions or the external environment that influences the strategic planning process of family owned firms in Saudi Arabia. The literature review extensively covers the topic of strategic planning, family business dynamics and major salient features of family business described by various authors. The literature review also discusses the models of family business that define the interaction of various elements in family owned firms, their drawbacks and the gaps in applicability of these documented models to family businesses in general and specificallyt o Saudi Arabian family businessesT. he literaturer eview revealst hat there is no comprehensivem odel of strategicp lanning processf or the family owned firms that highlight all the critical factors that shape the strategic planning process and also documents uccessfufli rms that haveb enefitedf rom thesem odels. Based on an extensive survey of the family owned firms of Saudi Arabia and statistical analysis of various unique features of such firms, the most critical factors that play a major role in strategy formulation could be isolated. These critical factors helped in designing the strategic planning model for the family owned firms of Saudi Arabia. The model was practically implemented and validated in 10 family businesses of the kingdom and results confirm the applicability of this model. The model formulation and validation in the family firms of Saudi Arabia, forms the main focus of this dissertation.

Durante el desarrollo de la presente investigación, encontramos que la mayor cantidad de empresas en nuestro país son las empresas familiares, que representan incluso el 60% de nuestro PBI, también hemos encontrado en la información de diferentes fuentes bibliográficas que el periodo de vida de estas empresas tiende a ser muy corto o a encontrar en el camino de su desarrollo crisis que no se han podido superar o que han generado que se estanque el crecimiento de las mismas. Por este motivo, decidimos plantearnos la hipótesis de que la presencia del directorio en una empresa familiar, en conjunto con el número de sus trabajadores, SI está relacionada con las ventas de la misma. Para ello tomamos una muestra no probabilística de empresas familiares de diferentes tamaños en las que evaluamos la presencia de variables como el directorio, las generaciones, consejo familiar y años de funcionamiento. Finalmente, estas variables las evaluamos mediante un enfoque cuantitativo; en el cual obtuvimos que efectivamente el directorio y la cantidad de trabajadores de la empresa familiar, si está relacionada estadísticamente y de manera significativa con sus ventas. / During the development of this research, we found that the largest number of companies in our country are family businesses, which even represent 60% of our GDP, we have also found in the information from different sources that the life span of these companies tends to be very short or to find in the path of their development crises that have not been overcome or that have led to stagnation of their growth. For this reason, we decided to consider the hypothesis that the presence of the board of directors in a family business, together with the number of its employees, is related to the sales of the same. To this end, we took a non-probabilistic sample of family businesses of different sizes in which we evaluated the presence of variables such as the directory, generations, family council and years of operation. Finally, we evaluated these variables in a quantitative approach; in which we obtained that effectively the directory and the number of workers in the family business it is related statistically and in a significant way with its sales. / Tesis
