Efeitos da propriedade familiar sobre os eventos de fusão e aquisição / Effects of family ownership on merger and acquisition events

As empresas familiares geralmente são conhecidas como empresas com propriedade detida e gestão exercida por pelo menos um membro de uma família empresária. Historicamente, essas empresas foram um objeto pouco estudado pela academia, apesar de sua importância. Esta dissertação tem como objetivo geral analisar os efeitos da propriedade familiar sobre os eventos de fusão e aquisição, por meio da investigação do efeito da propriedade familiar sobre a propensão a realizar fusões e aquisições, do efeito da participação percentual da família no capital sobre essa propensão e da comparação do retorno anormal acumulado de empresas familiares e não familiares após eventos de fusão e aquisição. Para testar as hipóteses de pesquisa foram utilizadas as técnicas estatísticas Probit e regressão linear simples. A população de estudo foi composta por companhias abertas brasileiras com registro em bolsa de valores. Com base nessa população construiu-se uma amostra de 216 empresas. O período de investigação incluiu os anos de 2007 a 2011. Os resultados encontrados confirmaram a hipótese de que as empresas familiares são menos propensas a realizar fusões e aquisições do que as empresas não familiares. Esses resultados são relevantes na medida em que confirmaram a única constatação equivalente disponível na literatura. Contudo, a participação percentual da família no capital não mostrou nenhuma relação com a propensão a realizar fusões e aquisições. Por fim, os resultados não mostraram evidências para suportar a hipótese de que o retorno anormal acumulado após eventos de fusão ou aquisição seja superior para as empresas familiares. / Family firms are generally known as companies whith property held and management exercised by at least one member of an entrepreneur family. Historically, these companies have been an object little studied by the academy, despite their importance. Criação de valor em fusões e aquisições: a influência do sentimento de mercado / Value creation in mergers and acquisitions: the market sentiment influence

A literatura na área de finanças relacionada ao tema de fusões e aquisições (F&As) é abrangente e tem como um dos temas principais de pesquisa os fatores que determinam o grau de criação (ou destruição) de valor nesses processos. Com a evolução dos conhecimentos na área de finanças comportamentais a condição ou estado em que se encontra o mercado acionário no momento em que ocorrem as F&As também passa a ser foco de estudo. Dando seguimento aos trabalhos de Bouwman, Fuller e Nain (2009) e Batista e Minardi (2010) que estudam esse tema, este trabalho tem como objetivo central determinar se o sentimento de mercado (mercado em alta ou mercado em baixa) no momento do anúncio de F&As tem influência no grau de criação de valor para os acionistas das empresas adquirentes. Esta pesquisa analisa, principalmente pelo emprego de regressões cross section, os eventos ocorridos entre 2001 e 2011 de empresas listadas na Bovespa e se diferencia das demais por (i) considerar um robusto processo de identificação e controle de eventos cujos resultados podem ser contaminados por sobreposição de efeitos de outros eventos não relacionados, (ii) propor diferentes proxies para determinação do estado ou condição em que se encontra o mercado (iii) realizar variações metodológicas como forma de avaliar a robustez dos resultados e (iv) expansão dos estudos empíricos pela inclusão de eventos recentes. Os resultados parecem ser divergentes e dependentes da metodologia empregada. Quando há exclusão de eventos com possibilidade de sobreposição de efeitos, não há evidência estatisticamente significante de que haja influência do sentimento de mercado sobre a criação de valor na maior parte dos resultados. Por outro lado, os resultados obtidos para amostra contendo todos os eventos (mas controlados para sobreposição de efeitos de outros eventos distintos) indicam, em muitos casos com significância estatística, que existe relação entre o sentimento de mercado e a criação de valor, sendo esta menor em períodos de mercado em alta. As análises realizadas também são úteis para evidenciar que os resultados são sensíveis à forma como o sentimento de mercado é definido (proxy de sentimento de mercado escolhida), já que se constata, em alguns casos, resultados até mesmo contrários. Mesmo sem alteração da proxy empregada, os resultados também parecem se alterar quando os limites (threshold) que segmentam os diferentes níveis de sentimento de mercado são alterados. Por outro lado, de forma geral, os resultados se mostram consistentes para ambas as proxies de mercado utilizadas (Ibovespa e IBRX-50) para estimar a criação de valor e também para as análises onde possíveis outliers são excluídos. / Mergers and Acquisitions (M&As) finance literature is vast and extensive, being one of its main themes of research the value creation (or destruction) determinants in these processes. More recently, with behavioral finance theory development, the market condition (bull or bear market) during M&As announcements has increasinly attracted researches attention. Continuing Bouwman, Fuller and Nain (2009) and Batista and Minardi (2010) who have already studied this topic, this paper intends to determine whether the market sentiment (bull market or bear market) by the time of M&As are announced influence the value created for acquiring companies shareholders. This research analyzes, mainly by cross section regressions, the events announced between 2001 and 2011 for companies listed at Bovespa and differs from previous works by (i) considering a robust identification and controlling process of events whose results can be affected by other unrelated events, (ii) proposing different proxies for determining the market sentiment (condition), (iii) conducting methodological variations in order to assess the results robustness and (iv) extending empirical studies in the area by analysing recent F&As events. The results seem to vary and to dependent on the methodology employed. When events with possible confounding effects are excluded, in most results there is no statistically significant evidence that the market sentiment is related to value creation. Nevertheless, results obtained for the sample containing all events (but controlled for confounding effects) indicate, in most cases with statistical significance, that there is a relationship between the market sentiment and value creation, which seems to be higher during bear markets. This study is also useful to show that results also depend on how market sentiment is defined (which market sentiment proxy is adopted). Even when the proxy employed is not changed, results also seem to change depending on the threshold defined in order to segment market sentiment. In the other hand, results seem to be generally consistent regardless of the market proxy employed to estimate value creation (Ibovespa and IBRX-50) and regardless of the exclusion of potential outliers.

Investigação do impacto da propriedade familiar em eventos de aquisições no Brasil / Investigation of the impact of family ownership on events of mergers and acquisitions in Brazil

Este trabalho investiga os impactos provenientes da propriedade familiar em eventos de aquisições. Foram analisados 355 anúncios concluídos de eventos de aquisições, realizados por 122 empresas públicas no período de 2009 a 2013. Os dados foram obtidos do banco de dados da Thomson Reuters SDC Platinum e também da Thomson Reuters Eikon. Foi utilizada a metodologia de estudos de eventos (MacKinlay, 1997; McWilliams & Siegel 1997), para aferir os retornos anormais em aquisições de empresas familiares e não familiares. Para analisar os dados obtidos, foram empregadas análises univariadas, bivariadas e regressões multivariadas reportadas com erros-padrão robustos por Hubber-White Sandwich, e técnica não paramétrica estatística de resampling Bootstrap. Foram empregados, ainda, testes de robustez para a variável explicativa grau de concentração acionária e de benchmark de retorno de mercado. Outrossim, foram adotadas variáveis específicas de empresas familiares, para melhor mensurar o impacto da propriedade familiar sobre os retornos anormais analisados. Como principais achados da dissertação, foram encontrados evidências de que empresas familiares geram valor em aquisições. Encontrou-se, também, que não há evidências de que empresas familiares tenham maiores retornos anormais positivos que empresas não familiares. Reporta-se, ainda, que o retorno anormal está relacionado positivamente à empresa familiar cujo gestor é membro da família controladora. Por outro lado, não se encontraram evidências de que os retornos anormais em aquisições de empresas estejam relacionados positivamente às empresas de primeira e segunda gerações familiares. Por fim, relata-se que não há evidências de que haja relação positiva entre o grau de concentração acionária detida pela família controladora e retornos anormais em aquisições. / This study investigates the impact of family ownership on acquisitions of enterprises. On this purpose, we analyzed 355 acquisitions made by 122 public firms during the sample period 2009 to 2013. The data on acquisitions of enterprises were obtained from Thomson Reuters SDC Platinum and Thomson Reuters Eikon database. This study employs the Methodology of Event Study (MacKinlay, 1997; McWilliams & Siegel 1997) in order to obtain the performance on acquisitions measured by the abnormal return. Furthermore, were employed univariate, bivariate statistical analysis and multivariate regression analysis. Those regressions were reported with robust standard errors by Hubber-White Sandwich. Additionally, as a robustness test, this study reported the non parametric robust statistical test; yclept, Bootstrap. Besides, were applied further robust techniques, due to better measure the impact of the variable family firms on the dependent variable abnormal return. Our findings suggest that there is evidence that family firms generate value on acquisitions of enterprises. Moreover, this study founded that there is no evidence that family firms have higher abnormal returns than non-family firms. This research, withal, sheds lights on the fact that abnormal return it is positively related to family firms which has a family member as a director, vice president or CEO of the company. On the other hand, it is founded on this research that there is no evidence that abnormal returns are associated to the first and second generations. Ultimately, it is reported that there is no evidence that exists positive relation among the variable power concentration (stake owned by the controlling family) and abnormal returns on acquisitions of enterprises.

A integração pós-fusão dos sistemas e da tecnologia da informação nas fusões e aquisições em instituições bancárias / The integration of systems and information technology in post mergers and acquisitions of banking institutions

Com esta pesquisa buscou-se identificar os fatores presentes na integração pós-fusão dos Sistemas e Tecnologias de Informação (STIs) que influenciaram a integração e os seus resultados, em fusões e aquisições entre instituições bancárias nacionais. Como estratégia de pesquisa foi adotada a triangulação de métodos qualitativos e quantitativos. Foram realizadas entrevistas com executivos ligados às áreas dos STIs e aplicados questionários às equipes dos bancos pesquisados que estiveram formalmente envolvidos com as atividades de integração. Para o tratamento e análise dos dados qualitativos utilizou-se a técnica da Análise de Conteúdo e para os dados quantitativos a técnica estatística multivariada Modelagem de Equações Estruturais. Os fatores considerados mais influentes para a integração pós-fusão dos STIs foram a qualidade e a expertise das equipes de integração dos STIs, que envolveu o conhecimento das características técnicas dos Sistemas de Informação (SIs) e das regras de negócios dos bancos; a gestão da integração, que coordenou os esforços de gerenciamento das atividades de integração dos STIs, valorizando o trabalho em equipe e otimizando o uso dos recursos computacionais; as configurações dos STIs, cuja similaridade entre elas ajudou a acelerar a integração e a redução de problemas técnicos; os conhecimentos oriundos das experiências prévias em que o conhecimento tácito se revelou importante, até mesmo como um fator de empregabilidade, não obstante a ausência de processos internos formais para transformar o conhecimento tácito das equipes técnicas em conhecimento explicito; o alinhamento estratégico dos STIs que apresentou menor relevância para a integração mesmo refletindo as funcionalidades dos SIs dos bancos adquiridos e que foram inseridas nos SIs dos bancos adquirentes, pois o uso dos recursos tecnológicos pode ter impacto limitado; a infraestrutura e arquitetura dos STIs, o fator menos relevante, dadas as facilidades de comunicação entre elas, e a sua desativação nos bancos adquiridos. Entre os resultados positivos, o aumento da eficiência dos STIs e o incremento das respectivas capacidades, associados à melhoria na qualidade dos SIs, constituíram-se nos principais legados da integração, seguidos pelo aumento da satisfação dos usuários desses STIs e pelo impacto positivo nas equipes técnicas dos STIs. A redução de custos da Tecnologia de Informação não apareceu como resultado relevante da integração. O resultado negativo deveu-se à deficiência em explorar as oportunidades de aprendizado com o processo. Outro aspecto significativo revelado pelo estudo, refere-se às sinergias técnicas conseguidas, que poderão alavancar a rentabilização dos bancos adquirentes, dado o potencial das elevadas economias de escala que elas podem proporcionar. / With this research we tried to identify present factors in the post-merger integration of Systems and Information Technology (STIs) that influenced the integration and their results in mergers and acquisitions among national banking institutions. As a research strategy it was adopted triangulating between qualitative and quantitative methods. Interviews were conducted with executives linked to the areas of STIs and completed questionnaires with the teams of the banks surveyed who were formally involved with integration activities. For treatment and analysis of qualitative data it was used the technique of Content Analysis and quantitative data with multivariate statistics called Structural Equation Modeling (SEM). The most influential factors for the post-merger integration of STIs were the quality and expertise of the teams for the integration of STIs, which involved knowledge of the technical characteristics of the Information Systems (ISs) and the rules of business of banks; management of integration, which coordinated efforts to manage the integration activities of STIs, valuing teamwork and optimizing the use of computational resources; the configuration of STIs, whose similarity between them helped to accelerate integration and reduction of technical problems; the knowledge from the previous experiences in that tacit knowledge was an important, even as a factor of employability, despite the absence of formal internal process to transform the tacit knowledge of the technical teams in explicit knowledge; the strategic alignment of STIs, which was less relevance to integration even reflecting the features of ISs of banks that were acquired and incorporated in the ISs of the acquiring banks, because the use of technological resources may have limited impact; the infrastructure and architecture of STIs, the factor less relevant, given the communication facilities between them, and their deactivation in the acquired banks. Among the positive results, the increased efficiency of STIs and increasing their capacities, associated with improving the quality of the ISs were the main legacies of integration, followed by increased user satisfaction of STIs and the positive impact on technical teams of STIs. Reduction of Information Technology costs did not appear as a relevant result of integration. The negative result was due to deficiency in exploring the opportunities for learning through the process. Estudos realizados no Brasil e no exterior têm obtido evidências de que as empresas experimentam retornos anormais, em média, nulos ou próximos de zero em anúncios de aquisição de outras firmas, mas com elevada dispersão. Identificar fatores que possam explicar tal variância, com foco na estrutura de governança das empresas adquirentes, é o tema desta tese. De forma mais específica, a presente tese procura investigar se características ligadas à estrutura de controle e propriedade e ao conselho de administração das firmas adquirentes apresentam relações estatisticamente significantes com o retorno anormal das adquirentes nos anúncios de aquisição, nas direções sugeridas pela literatura. As análises foram efetuadas com uma amostra de 249 anúncios de aquisições feitos, entre 2001 e 2013, por empresas negociadas em bolsa no Brasil. Os resultados indicam que, em média, tais transações criaram valor para os acionistas das adquirentes. Todavia, como ocorrido em outros estudos, foi observada elevada dispersão. Por meio de análises de regressão linear múltipla, foram obtidas evidências de relação positiva entre o retorno anormal das adquirentes e a concentração da propriedade, especialmente em altos níveis e nas mãos do maior acionista (em termos de direitos de votos). Este resultado corrobora a hipótese de que a concentração da propriedade alinha os interesses dos acionistas controladores aos dos demais acionistas. Também foram obtidas evidências de relação negativa entre o retorno anormal e o controle estatal. Além de se encontrar uma relação negativa, foram obtidas evidências de destruição de valor nas aquisições feitas por tais empresas. Tais resultados estão em linha com a hipótese de que os acionistas minoritários de tais empresas estão sujeitos a maior nível de expropriação pelo controlador. É preciso, todavia, tomar os resultados com cautela, pois o número de observações em que a adquirente tem controle estatal é baixo (apenas 3,2% da amostra). Ainda sobre a identidade do controlador, não foram obtidas evidências de relação estatisticamente significante entre o retorno anormal e o controle familiar. Tal resultado é consistente com os obtidos em estudos realizados com dados de outros países. Com relação ao conselho de administração, foram obtidas evidências de uma relação positiva entre a sua independência e o retorno anormal. Este resultado pode ser explicado tanto por uma redução dos conflitos de interesses em empresas com conselhos mais independentes, quanto por uma melhoria do processo decisório em decorrência da redução das chances de ocorrência de vieses cognitivos. Em termos gerais, esta pesquisa apresenta evidências de que as características da estrutura de governança das empresas adquirentes podem colaborar para explicar a variância nos retornos anormais associados a anúncios de aquisições em um ambiente caracterizado por maior concentração do controle e da propriedade. / Research in Brazil and abroad has obtained evidence that firms experience, on average, zero or near zero abnormal returns on announcements of acquisitions of other firms, but with high dispersion. Identifying factors that may explain such variance, focusing on the governance structure of the acquiring firms, is the subject of this thesis. More specifically, this thesis aims to investigate whether characteristics related to the structure of ownership and control and of the board of directors of the acquiring firms show statistically significant relationships with the abnormal return of acquiring firms on acquisition announcements, in the directions suggested by the literature. Analysis was performed over a sample of 249 announcements of acquisitions made between 2001 and 2013 by publicly-traded companies in Brazil. The results indicate that, on average, such transactions have created value for acquiring companies\' shareholders. However, as other studies have found, high dispersion has been verified. By using multiple regression analysis, evidence of a positive relationship between abnormal returns of acquiring companies and their ownership concentration has been verified, especially at high levels and in the hands of the largest shareholder (in terms of voting rights). This result supports the hypothesis that concentration of ownership aligns the interests of the controlling shareholders to the interests of other shareholders. Evidence of a negative relationship between abnormal returns and state control over acquiring firms has also been found. In addition to such negative relationship, evidence of value destruction in acquisitions made by those companies has been verified. These results are in line with the hypothesis that minority shareholders of such companies are subject to higher levels of expropriation by the controlling shareholder. However, it is necessary to take the results with caution because the number of observations on which the acquirer has state control is low (only 3.2% of the sample). Still regarding the identity of the controlling shareholder, no evidence of a statistically significant relationship between abnormal return and family control over the acquiring companies has been found. This result is consistent with those obtained in studies over data from other countries. With regard to the board of directors, evidence of a positive relationship between independence and abnormal returns has been found. This result can be explained both by a reduction of conflicts of interests in firms with more independent boards, and by an improvement in the decision-making process due to a reduction of the probability of occurrence of cognitive biases. Board diversity also showed a positive relationship with abnormal returns, but with statistical significance in only part of the analysis. Overall this research presents evidence that the characteristics of the structure of corporate governance of acquiring firms can contribute to explain the variance in abnormal returns associated with acquisition announcements in an environment characterized by concentration of control and ownership.

A integração pós-fusão dos sistemas e da tecnologia da informação nas fusões e aquisições em instituições bancárias / The integration of systems and information technology in post mergers and acquisitions of banking institutions

Com esta pesquisa buscou-se identificar os fatores presentes na integração pós-fusão dos Sistemas e Tecnologias de Informação (STIs) que influenciaram a integração e os seus resultados, em fusões e aquisições entre instituições bancárias nacionais. Como estratégia de pesquisa foi adotada a triangulação de métodos qualitativos e quantitativos. Foram realizadas entrevistas com executivos ligados às áreas dos STIs e aplicados questionários às equipes dos bancos pesquisados que estiveram formalmente envolvidos com as atividades de integração. Para o tratamento e análise dos dados qualitativos utilizou-se a técnica da Análise de Conteúdo e para os dados quantitativos a técnica estatística multivariada Modelagem de Equações Estruturais. Os fatores considerados mais influentes para a integração pós-fusão dos STIs foram a qualidade e a expertise das equipes de integração dos STIs, que envolveu o conhecimento das características técnicas dos Sistemas de Informação (SIs) e das regras de negócios dos bancos; a gestão da integração, que coordenou os esforços de gerenciamento das atividades de integração dos STIs, valorizando o trabalho em equipe e otimizando o uso dos recursos computacionais; as configurações dos STIs, cuja similaridade entre elas ajudou a acelerar a integração e a redução de problemas técnicos; os conhecimentos oriundos das experiências prévias em que o conhecimento tácito se revelou importante, até mesmo como um fator de empregabilidade, não obstante a ausência de processos internos formais para transformar o conhecimento tácito das equipes técnicas em conhecimento explicito; o alinhamento estratégico dos STIs que apresentou menor relevância para a integração mesmo refletindo as funcionalidades dos SIs dos bancos adquiridos e que foram inseridas nos SIs dos bancos adquirentes, pois o uso dos recursos tecnológicos pode ter impacto limitado; a infraestrutura e arquitetura dos STIs, o fator menos relevante, dadas as facilidades de comunicação entre elas, e a sua desativação nos bancos adquiridos. Entre os resultados positivos, o aumento da eficiência dos STIs e o incremento das respectivas capacidades, associados à melhoria na qualidade dos SIs, constituíram-se nos principais legados da integração, seguidos pelo aumento da satisfação dos usuários desses STIs e pelo impacto positivo nas equipes técnicas dos STIs. A redução de custos da Tecnologia de Informação não apareceu como resultado relevante da integração. O resultado negativo deveu-se à deficiência em explorar as oportunidades de aprendizado com o processo. Outro aspecto significativo revelado pelo estudo, refere-se às sinergias técnicas conseguidas, que poderão alavancar a rentabilização dos bancos adquirentes, dado o potencial das elevadas economias de escala que elas podem proporcionar. / With this research we tried to identify present factors in the post-merger integration of Systems and Information Technology (STIs) that influenced the integration and their results in mergers and acquisitions among national banking institutions. As a research strategy it was adopted triangulating between qualitative and quantitative methods. Interviews were conducted with executives linked to the areas of STIs and completed questionnaires with the teams of the banks surveyed who were formally involved with integration activities. For treatment and analysis of qualitative data it was used the technique of Content Analysis and quantitative data with multivariate statistics called Structural Equation Modeling (SEM). The most influential factors for the post-merger integration of STIs were the quality and expertise of the teams for the integration of STIs, which involved knowledge of the technical characteristics of the Information Systems (ISs) and the rules of business of banks; management of integration, which coordinated efforts to manage the integration activities of STIs, valuing teamwork and optimizing the use of computational resources; the configuration of STIs, whose similarity between them helped to accelerate integration and reduction of technical problems; the knowledge from the previous experiences in that tacit knowledge was an important, even as a factor of employability, despite the absence of formal internal process to transform the tacit knowledge of the technical teams in explicit knowledge; the strategic alignment of STIs, which was less relevance to integration even reflecting the features of ISs of banks that were acquired and incorporated in the ISs of the acquiring banks, because the use of technological resources may have limited impact; the infrastructure and architecture of STIs, the factor less relevant, given the communication facilities between them, and their deactivation in the acquired banks. Among the positive results, the increased efficiency of STIs and increasing their capacities, associated with improving the quality of the ISs were the main legacies of integration, followed by increased user satisfaction of STIs and the positive impact on technical teams of STIs. Reduction of Information Technology costs did not appear as a relevant result of integration. The negative result was due to deficiency in exploring the opportunities for learning through the process.
