The diploma thesis addresses the issue of the effect of the introduction of leniency program and its reforms on the European competition policy and above all of its effect on investigation of forbidden cartel agreements. Leniency program is currently one of the main tools being implemented in fighting cartels. It works by providing immunity to the first company that provides relevant proof of the cartels existence. This work has three main goals. Firstly it aims to analyse the effectiveness of the leniency program and its reforms when it comes to uncovering cartels. The second goal is to unveil the European Commissions strategy concerning granting leniency and its development over the time. The last goal is to provide a quality analysis of all three forms of leniency and their mutual comparison. This diploma thesis is divided into four chapters: two theoretical and two practical chapters. The first one explains the issue of cartel agreements, individual types of cartels, investigation and its methods and the principals of imposing fines. The analysis of the leniency program itself, its introduction in 1996 and the following reforms in 2002 and 2006 will be the main topics of the second chapter. The third chapter contains the analysis of all Commissions decisions against cartels from 1993 till April 2016. It contains data relating to the development of number of decisions, the amount of fines, the size of the cartels and the percentage of the leniency granted in this period. The forth and the last chapter will focus on a case study of the LCD cartel and on the basis of theoretical findings contained in the first two chapters it will uncover the principles of this particular cartel and the investigation procedures.

Efficient enforcement of cartel law This thesis deals with the issue of effective enforcement of cartel law, focusing on the interaction between public and private enforcement. The aim of this thesis is to compare the enforcement systems of cartel law in Czech, European and American legal systems, in particular to compare the form and functioning of two key tools of public and private enforcement, i.e. the leniency program and the actions for damages, to analyse the interaction between them, reveal the main tension and finally to compare the solutions to this conflict that are offered by different legal systems. I am comparing the solutions offered by current legislation in the EU and the Czech Republic with the solutions of US antitrust law where both tools coexist and have been successfully operating for some time. On the basis of such comparison I will try to determine whether the current solution is effective or whether there exists a more suitable one. The thesis consists of three parts. The first part is divided into two chapters, where the first chapter defines the basic terminology that relates to the issue of antitrust law enforcement. In the public enforcement there is growing trend of using modern tools such as leniency programme or settlement decisions. These are based on the cooperation between competition authorities and undertakings. On the other hand such cooperation and very often disclosure of confidential information by undertakings may threaten their position in terms of potential civil law suits by consumers or business partners. A presente dissertação abarcará cinco temas bastante específicos: a defesa da concorrência, a defesa do consumidor, a prática do cartel, as formas consensuais de seu combate e investigação e o bem-estar do consumidor. No Brasil, verifica-se que, tanto a defesa da concorrência como a do consumidor se unem por um objetivo comum: o bem-estar do consumidor. Por isso, práticas tidas como ofensivas à ordem econômica podem desencadear danos graves aos consumidores, sendo um relevante exemplo disto a formação de cartéis, especialmente os relacionados à alteração artificial de preços. Dentre as práticas abusivas previstas no CDC, foi lançada elevação de preços sem justa causa, o que torna possível que a prática do cartel ou, ao menos, os seus efeitos sobre o preço, possam vir a ser reprimidos por ambas as esferas. Nesse sentido, buscou-se analisar os institutos consensuais de combate aos cartéis previstos na lei de concorrência: o “compromisso de cessação de conduta” e o “programa de leniência”, assim como seus possíveis efeitos benéficos sobre os consumidores. Desta feita, a presente dissertação visou a responder aos seguintes problemas de pesquisa: (i) qual o arcabouço jurídico-institucional à disposição da defesa do consumidor e da concorrência? (ii) qual o liame entre estas duas esferas? (iii) o que é “cartel” e de que forma ele atinge os consumidores (iv) o que são o “compromisso de cessação de conduta” e o “programa de leniência” e qual a sua utilidade ao combate dos cartéis? A conclusão obtida é que a defesa da concorrência e a do consumidor possuem um objetivo comum, o bem-estar do consumidor, a primeira de forma mediata e a segunda, imediata. Ademais, verificou-se o “cartel” como uma conduta altamente agressiva à livre concorrência e aos interesses dos consumidores, sendo possível que seus efeitos, de forma indireta, sejam penalizados pelo CDC. Finalmente, verificou-se a grande utilidade das formas consensuais – “compromisso de cessação de conduta” e “programa de leniência” – não apenas ao combate aos cartéis quanto à imediata cessação de seus efeitos, mas também como grande ferramenta de prova de sua ocorrência e garantia do bem-estar dos consumidores. / The presente dissetation involves five very specific issues: antitrust, consumer protection, cartels, consensual forms of its combat and investigation and consumer welfare. This thesis aims to analyze the efficiency of the leniency programme. This programme is currently the most important cartel fighting instrument in EU and Czech Republic. The first section deals with cartel agreements and their impact in general. It also shows reasons for implementation of the leniency programme and other cartel fighting instruments. Second section concerns on general principles of leniency programme and its position within current system of law. The next two parts contains description and history of leniency program in EU and Czech Republic. They also analyze decisions of European Commission and Office for the Protection of Competition in Czech Republic. This analysis creates the most important part of this section. The last section aims at juridical institutes able to endanger efficient functiong of leniency programme in future and defines their relation to this programme.

This thesis aims to provide a legal framework concerning Leniency Program which is by far one of the most successful tools in detection and prosecution of criminal cartel conduct, which has been recently perceived as one of the most important and dangerous anticompetitive conduct. Under the current system, an applicant making a leniency application will apply to seek full immunity from sanctions. If full immunity is not available, the applicant can apply for a reduction of any fine levelled against it. The study examines the level of transparency, predictability and effectiveness in the Czech Republic, European Union and United States. Chapter three provides an overview of a historical aspect of a Leniency Program including case law and recent development in each of abovementioned jurisdiction. In order to take all aspects into account, an impact of this program on human rights and recidivism is also discussed in this paper. Final chapter contains a recent development concerning Antitrust Damages Actions and rules on disclosure of evidence on leniency.
