Enhancing board motivation for sustainable competitive performance of Thailand's business co-operatives

This study aims to answer the main questions "Does the motivation of Co-operative Board of Directors affect the Co-operative's performance in Thailand, and to what extent?", and "Which factors affect the motivation of Co-operative's Board of Directors?" The methods used consist of both quantitative and qualitative approaches: Structural Equation Modeling (SEM) and in-depth interview, respectively. The study result suggests that the motivation of Co-operative Board of Directors significantly affects the Co-operative's performance with a standardized factor loading of 0.144. Surprisingly, the types of motivation that affect the Co-operative's performance are not those of altruism, but they are those of personal interests, i.e. to gain reputation from the community or society, to obtain honors or awards, and to gain the feelings of accomplishment from working. However, this result is subject to the condition that cooperative performance is measured solely in financial terms and quality of management. This is due to the current limitation in standardizing the measurement of cooperative performance in social terms and should be left for future research. Factors that are found to affect Board Member motivation include the knowledge, skills and experience possessed by the Board Members, Board authority and function, the composition of the Board (the presence of external persons) and lastly, the quality of the Board meetings. Specifically, Board authority and function is the characteristic determining whether the Board is involved in the Co-operative operation. Factors whose relationship with Board motivation was not found included the one person one vote principle, Board size, chairman-manager duality, Board term, and Board structure (the presence of a compound Board).

Board Independence, Audit Quality and Earnings Management: Evidence from Egypt

no / Using a unique dataset for Egyptian firms, we investigate the relationship between board independence, audit quality and earnings management. We test whether firm-level corporate governance provisions matter in an emerging market setting characterised by weak legal enforcement and inadequate external discipline by the market for corporate control. Our results cast doubt on the notion that a higher ratio of nonexecutive members is associated with lower earnings management. We find that the effect of board independence on earnings management practices is contingent on the levels of ownership held by executive directors and large shareholders, as well as the composition of audit committee. In addition, the results are consistent with the view that high-quality auditors are effective in reducing earnings management.

- 1 - Abstract Business management The purpose of this thesis is to analyze selected aspects of business management with an emphasis on the legal regulation of instructions given by a general meeting, including instructions on request. The thesis also deals with specifics of business management in a monistic system of management of a stock corporation or in a group of companies. The thesis is divided into four chapters; each of them is closed with a partial summary which informs briefly about the topic being discussed and the resulting conclusions. The introductory chapter focuses on a management board of the stock corporation as a body which has an exclusive competence in business management and it defines the concept of business management and its limits in a decision-making process within the stock corporation. Chapter two deals with internal and external powers of the management board and it shows their mutual coherence and the resulting impacts on business management. Chapter three describes the internal organization of management of the stock corporation. Firstly, the decision-making process of the management board as a collective body is analyzed according to the Civil Code, s. 156 and, subsequently, the rules of delegation of powers are being discussed as drafted in the Business Corporations Act....

Envolvimento dos conselhos de administração na estratégia das organizações / Involvement of boards of directors in the strategy of the organizations

Esta tese tem o objetivo de analisar o envolvimento do conselho na estratégia com relação ao perfil do conselho de administração e ao grau de internacionalização das empresas. Para isso, foi realizado um levantamento quantitativo com 38 conselheiros de empresas listadas na BMF&Bovespa e classificadas nos níveis diferenciados de governança corporativa. Dentre o total de 150 empresas listadas nos níveis diferenciados, a amostra do estudo foi de 25,3%. Os resultados mostraram que, nas empresas listadas nos níveis diferenciados de governança, o conselho de administração tem elevado envolvimento nas estratégias. Isso se comprovou pelas hipóteses do estudo, que mostraram que o conselho se envolve mais nas atribuições estratégicas do que nas demais. Eles também se envolvem mais nas premissas (em primeiro lugar) e na formulação (em segundo) do que nas demais etapas da gestão estratégica, a implementação e o controle. Os conselhos de administração dessas empresas também estão muito envolvidos com as decisões de competitividade global, mesmo aqueles nas empresas que não estão em alto grau de internacionalização. Destacou-se que decisões de maior impacto financeiro são as que tem maior envolvimento do conselho. Outras decisões, por sua vez importantes, apresentaram notas relativamente baixas como os aspectos mercadológicos e de pesquisa e desenvolvimento, o que ajuda a ter uma noção mais clara do tipo de envolvimento. Em sintonia com os estudos anteriores sobre envolvimento dos conselhos na estratégia, mesmo se envolvendo bastante, os conselhos das empresas pesquisadas acreditam que o nível ideal de envolvimento é maior. Os achados também sugeriram uma possível relação entre o perfil do conselho e seu nível de envolvimento nas estratégias, de forma que os conselhos com maior número de membros externos, mais centralizadores e que possuem comitês de estratégia são também os que apresentaram níveis maiores de envolvimento nas estratégias. / This thesis aims to examine the involvement of the boards of directors in strategy management, relating the board profile and the level of internationalization of the company with the level of involvement. A quantitative survey was made, with 38 directors of companies listed at BMF&Bovespa. Also, those companies were classified in the differentiated levels of corporate governance. Among the total 150 companies listed on different levels, the sample of the study was therefore 25.3%. Results showed that, for companies listed in the differentiated levels of governance, their board of directors was highly involved in the strategic management. First hypothesis was then confirmed, showing that boards are more involved in strategic tasks than in others. They also are more involved in the formulation and definition of mission, vision and values, comparing to the other stages of strategic management, implementation and control. Boards of directors of these companies also were highly involved with the decisions of global competitiveness, even in those companies that are not on the highest degree of internationalization. It was found that boards tend to be more involved in global competitiveness decisions which have greater financial impact. Other decisions, in turn important, notes showed relatively low as the aspects of marketing and research and development, which helps to have a clearer idea of the type of involvement. Other important decisions, such as market aspects and research & development, received low grades and therefore, boards do not get involved in these decisions. The findings also suggested a possible relationship between the profile of the board and their level of involvement in strategies, so that boards with the highest number of external members, and which tend to centralize more, are also those who had higher levels of involvement in strategies.

Community perspectives, Caribou user participation and the Beverly-Qamanirjuaq Caribou Management Board in Northcentral Canada

The conservation of wildlife species plays a profound part in development issues in northern areas. In recent years, northern wildlife management has become a complicated process of cross-cultural communication. This thesis begins with an outline of the relations between First Nations and Euro-Americans in the context of the dynamics between wildlife scientists and aboriginal subsistence-based communities. The current economic, social and political characteristics of subsistence systems are discussed. The emergence of co-management systems is described in a review of wildlife management institutions existing in northern Canada and Alaska. An analysis of the activities of the Beverly-Qamanirjuaq Caribou Management Board (B-Q CMB) and the relative participation of traditional users and government wildlife scientists forms the core of an exploration of the nature of wildlife co-management. In order to understand some of the perspectives of local caribou-using communities within the co-management framework, interviews were held with members of the Inuit community of Arviat, Nunavut and the Sayisi-Dene community of Tadoule Lake, Manitoba. Finally, the general role of co-management institutions in securing the viability of communal property regimes is discussed with specific reference to the case of the B-Q CMB.

The aim of this study is to understand the co deployment process Council of the campus manager Ara?ua? to verify whether its implementation was due to the participation of the school community or occurred only as mere compliance regimental. Therefore, we analyzed several documents produced by the Board and the Directors College since the publication of the General Rules of IFNMG, in January 2011, which established the creation of the Management Council (GC), until the effective implementation of the (CG) of campus Ara?ua?, which took place only in March 2015. The study of this process revealed an institution whose democratic practice, although still incipient, considering the delay of this implementation has shown that, in the process, its leaders guided their actions and decisions from participation the school community. This appreciation of participation is often perceived in the discussions presented in the documents produced by the committees and boards.
