IN ENGLISH: This thesis is focused on the monistic structure of joint-stock companies. The aim of the thesis is to analyse board structures in selected countries, subsequently to identify the features which are typical for a monistic governance structure and, finally, to compare these findings with statutory provisions in the Act on Commercial Corporations. The thesis is divided into seven separate chapters. Chapter One is subdivided into two parts. Part One is an introduction to the topic and attempts to define the term corporate governance. Part Two explains the importance of internal company structure for corporate governance. Chapter Two analyses board structures in Great Britain, the United States, France, Italy, Switzerland, the Netherlands, in the Czech version of Societas Europaea and also, for the purpose of comparison, the typical dualistic internal corporate structure known from Germany. The subjects of the analysis are the relevant statutory provisions on the one hand, and the functioning of governance structures in practice on the other hand. The aim of the thesis is to characterize the new monistic system of corporate governance of the joint-stock company introduced by the Business Corporations Act and compare it with the french classical system. The scope of the research is focused mainly on the analysis of the basic interpretative problems that arise within the new legislation and the main differencies and similarities of the czech and french monistic systems. The thesis is composed of three chapters, first of them mainly defining the theoretical differentiation of the monistic and dualistic system of corporate governance. The Chapter Two is the most important part because it examines the pitfalls of the relevant Czech legislaslation on the monistic system. The Board of directors and the Statutory director are the main bodies set up within this system. The monistic structure of a Czech joint-stock company after recodification of private law This thesis deals with a regulation of the monistic structure of a Czech joint-stock company, which has been introduced by the Business Corporations Act as a part of the recodification of private law. The aim of the thesis is to identify the basic problems of interpretation of the regulation, summarize possible variants of interpretation and present specific solutions. The thesis is divided into four parts. At the beginning of the first section the basic grounds of corporate governance explaining the internal operation of a business corporation are described. Further in this section the two basic organizational models of a joint-stock company are introduced and characterized, the monistic model with the Board of Directors and the dualistic model with the Executive Board and the Supervisory Board. This part also includes the comparison of selected foreign models. The second part focuses on the basic issues of regulation of the monistic structure in the Business Corporations Act. Ernst Haeckel (1834-1919), Professor für Zoologie an der Universität in Jena, war der bedeutendste Vertreter des deutschen Darwinismus und wurde zum Wegbereiter einer neuen naturwissenschaftlich-monistischen Weltanschauung. Vor allem beeinflusst durch Goethes pantheistische Ideen und Darwins Entwicklungslehre betonte Haeckel die Beseeltheit der Natur, die Einheit von Gott und Welt, Geist und Materie, und anorganischer und organischer Natur. Im ersten Teil dieser Arbeit werden das Leben und Werk Haeckels mit einem besonderen Bezug zu denjenigen monistischen Themenbereichen, die auch in Tschechien Resonanz gefunden haben, vorgestellt. Im zweiten Teil wird die Rezeption des Haeckelschen Monismus im tschechischen Kulturraum am Ende des 19. und am Anfang des 20. Jahrhunderts präsentiert. The primary aim of this thesis is to conduct a comparative analysis of the former and the current private law regulations concerning governance of joint-stock companies. What this thesis mainly focuses on are practical impacts of the change and problematic areas which are uncertain to interpret. This work is divided into two parts, theoretical and practical application. The former deals with the definition of the term corporate governance, theoretical bases of corporate governance and governance models and theories. In the latter the most fundamental changes brought by the recodification are taken into consideration, these being the possibility of choice between monistic and dualistic corporate governance systems, adaptation to the new regulations and the changes regarding the statutory representative. In this section, the thesis comments on the terms due care and and business judgement rule.

European company is a supranational form of public limited company. The aim of European Union was to make unified legal form for enterprises. The aim was not very successful because of disagreement of member states on employee participation. Also the fragmentation of legal frame of European company is too deep. The thesis analyse legal basis of European company and ways of its establishment. Examples from practice of Court of Justice of the European Union show difficulties in seat transfer before European company existed. Statistics and charts demonstrate unique position of Czech Republic. It is because of the absolutely highest number of established European companies, which is caused by trading trend with ready-made companies.

The French Benedictine monk Henri Le Saux (Abhishikt.ananda) sought to establish an
Indian Christian monasticism, emphasizing Hindu ad1•aitic experience. He understood advaita
as both nondual and non-monistic. Using phenomenology and comparative philosophy. this
thesis explores his understanding and experience of advaita, comparing it to both traditional
Hinduism and neo-Vedanta, as well as to Christianity and Zen Buddhism. Abhishiktananda's
description of his experience is examined in relation to perception, thinking, action. ontology and
theology. Special attention is given Lo comparing the views of the Hindu sages RamaQa
Maharshi and Gnanananda, both of whom influenced Abbishiktananda.
Abhishiktananda believed that advaita must be directly experienced; this experience is
beyond all words and concepts. He compares Christian apophatic mysticism and Hindu
sannyiisa. This thesis examines his distinction between experience and thought in relation to
recent philosophical discussions.
Abhishiktananda radically reinterprets Christianity. His affirmation of both nonduality
and non-monism was influenced by Christian Trinitarianism, interpreted as an emanation of the
Many from the One. Jesus' experience of Sonship with the Father is an advaitic experience that
is equally available to everyone. Abhishiktananda believes that the early Upanishads report a
similar experience. A monistic interpretation of advaita only developed later with the
"dialectics" of Shankara's disciples. In non-monistic advaita, the world is not an illusion. Using
ideas derived from tantra and Kashmir Saivism, Abhishiktananda interprets mayii as the .fakti or
power of Shiva. He compares .fakti to the Holy Spirit.
Abhishiktananda distinguishes between a pure consciousness experience (nirvikalpa or
kel•ala samudhi) and a return to the world of diversity in sahaja samiidhi. Ramar:ta and
Gnanananda make a similar distinction. Sahaja samadhi is the state of the jf11anmukti, the one
who is liberated while still in the body; it is an experience that is referred to in tantra and in
Kashmir Saivi.\'m . Abhishiktananda never experienced nin•ikalpa samiidhi, but he did experience
sahaja sam&lhi.
The appendix provides one possible synthesis of Abhishiktananda's understanding of
