The emergence and change of Pharmacia Biotech 1959-1995 : the power of the slow flow and the drama of great events

This is the second volume of a dissertation dealing with industrial marketing change processes. The empirical part of the dissertation describes a set of marketing organization changes in Pharmacia Biotech. In 1959 Pharmacia AB launched a completely new separation product for biochemical separation and entered a period of steady growth and development in a completely new business area. By the second half of the 1980s, Pharmacia Biotech AB, subsidiary of the multinational pharmaceutical corporation Pharmacia, had become one of the world's major suppliers of biotech products and services. In 1986, following a sustained period of sharp sales increases and growth, Pharmacia Biotech acquired its main competitor LKB-Produkter AB. The merger process of the two companies triggered off a number of important marketing organization changes. One of these concerned the physical distribution and the stocks of biotech supplies. A centrally coordinated project was also started for restructuring the company's after sales service operations. These two projects overlapped with two other change processes with significant effects on Pharmacia Biotech's marketing organization. In one of the biggest business deals ever concluded in Sweden, the whole Pharmacia corporation was integrated into a large conglomerate, the Procordia Group. During the same period, the company entered a phase of internationalization in which the former country based net of marketing subsidiaries was rearranged and adapted to a new international situation. Regions and sub-regions were formed, and heavy emphasis was put on reorganizing the market organizations in Europe. These reorganization processes are the focus of a historical study of Pharmacia Biotech AB covering the period 1959-1995, including a prologue starting in the 1930s. The story is the empirical part of a study of industrial marketing change processes. It complements a separate analysis volume entitled "Concurrence, Transition and Evolution - Perspectives of Industrial Marketing Change Processes". / Utgör del av författarens diss.

This is a dissertation (consisting of two volumes) dealing with industrial marketing change processes. The study explores a key theoretical and practical problem in industrial marketing; how to create major organizational marketing change in large and complex industrial companies. The study focuses on the interplay between longitudinal, strategic changes in marketing operations and the moving contexts in which they emerge. On theoretical and empirical grounds a number of perspectives on industrial marketing change processes become apparent. In the analysis of a set of focal marketing change episodes, several structural-contextual and temporal focuses are featured. Marketing change episodes are viewed as embedded in a set of concurrent change processes. They are also part of marketing system transitions, building on, while breaking with, the structures of prior changes, moving towards new states of functioning. Marketing change episodes are also viewed as embedded in more long-term, historical processes of change. Putting in focus the industrial marketing change processes, the study embraces the idea of an inseparable relationship between change and stability. The study of the dynamic interplay between marketing change agency and moving contexts concludes with a set of theoretical and managerial issues. The empirical part of the study describes a set of marketing organization changes in Pharmacia Biotech AB between 1989 and 1993. These reorganization processes are the focus of a historical study of the company covering the period 1959-1995, including a prologue starting in the 1930s. Práticas de saúde e modernidade na cidade de Parnaíba, Piauí (1850 a 1930) : um estudo arqueológico

Revolutions and changes in the field of ideas during the nineteenth and early twentieth century, rely on conceptions of modernity and progress. The consolidation of the capitalist system and consumption in the West interfered deeply in social relations. Among many of these transformations, changes in daily habits intervened in the public and private space, changing secular habits considered appropriate on social standards so far. Bodily health and public hygiene were covered by such transformations. The concern with these evils, together with the European way of life, which was at the beginning of the changes that were to come, forced the installation of laws governing the application of policies for public health. In this context of ideological innovations, the city of Parnaíba was in a phase of modernization with a trade developed, as well as other cities. Renewals in economic and social relations, bodily health became part of the daily habits of the population, and are also used for social distinction. To illustrate and understand the ways of modernity in the city of Parnaíba took a case study of the People's Museum Pharmacia, especially his medicine bottles. From the perspective of Archaeology Interpretive was possible to understand consumer practices geared to health in the city of Parnaíba, realizing its insertion into the capitalist system, the adoption of the bourgeois order and the development of modern conceptions, seated in the positivist thinking, which will consolidate the scientific discourse pharmacists in the transition to the twentieth century, in opposition to the healers, and apothecaries. / O século XIX é um período marcado por grandes transformações. As revoluções e mudanças no campo das ideias durante o século XIX e início do século XX, se apoiam nas concepções de modernidade e progresso. A consolidação do sistema capitalista e do consumo no Ocidente interferiu profundamente nas relações sociais. Dentre muitas destas transformações, as mudanças nos hábitos cotidianos intervieram no espaço público e privado, alterando hábitos seculares considerados adequados diante dos padrões sociais até então. A saúde corporal e a higiene pública foram contempladas por essas transformações. A preocupação com esses males, juntamente com o estilo de vida europeu, que se encontrava no principio das transformações que estavam por vir, forçaram a instalação de leis que regulamentassem a aplicação de políticas voltadas para saúde pública. Neste contexto de inovações ideológicas, a cidade de Parnaíba encontrava-se numa fase de modernização com um desenvolvido comércio, assim como outras cidades do país. Renovações nas relações econômicas e sociais, a saúde corporal tornou-se parte dos hábitos cotidianos da população, sendo também usada para distinção social. Para ilustrar e entender os caminhos da modernidade na cidade de Parnaíba tomei por estudo de caso o Museu Pharmacia do Povo, notadamente seus frascos de medicamentos. Sob a ótica da Arqueologia Interpretativa foi possível compreender práticas de consumo voltadas para a saúde na cidade de Paranaíba, percebendo sua inserção no sistema capitalista, a adoção do modo burguês e o desenvolvimento de concepções modernas, calcadas no pensamento positivista, que consolidará o discurso científico dos farmacêuticos na transição para o século XX, em oposição aos curandeiros e boticários.

The influence of national culture on cross-border M&A

<p>In theory, the phrase "mergers and acquisitions" (abbreviated M&A) refers to buying, selling and combining different companies in order to gain improved financial performance, create a global presence, and face the global competitive market. Nevertheless, many researches have underlined the high rate of failure among M&A, and the difficulty to achieve expected results and synergies. Among the reasons of failure, many analysts have pointed out the determinant influence of the cultural aspect in the success or the failure of a cross-border merger. However, the cultural issue in M&A is often neglected and too less stressed.</p><p>In order to have a better understanding of the cultural aspect in the merger and acquisition process, and point out its influence on the merger process as well as the corporate culture, we first present a theoretical part introducing the cross-border merger and acquisition concept with the perspective of the national culture, and the role that leaders could play in order to limit the negative impact of culture and the clashes on cross-border M&A. Therefore, a part including three cases of "cultural failure" in the merger process illustrates the concepts explained in the theoretical part. Those well-known cases are: DaimlerChrysler, UpJohn & Pharmacia, and Volvo – Renault. The cases show how the cultural issue had been underestimated and had implied cultural clashes and extra-costs for the companies involved.</p><p>After concluding our findings, we end the thesis with a prospective part based on the possible evolution of the merger and acquisition market. Indeed, we believe that our research topic will gain importance in the future, and the influence of culture on M&A deals may increase.</p>

Tive por objetivo apresentar a história da Escola de Pharmacia e Odontologia de Uberaba tendo como baliza a Reforma Educacional de 1931 e os motivos que levaram ao fechamento deste empreendimento em 1936. Como referencial teórico dentro do campo da história das instituições escolares, buscamos em Magalhães (1999, p. 61) a segurança de que “a história das instituições educativas constituiu [e constitui] um domínio do conhecimento”. Como fonte documental, utilizei um conjunto de documentos originais desta instituição presente no Arquivo Público de Uberaba, assim como diversos periódicos locais, atas e pareceres do Conselho Nacional de Educação. O resultado da pesquisa foi seu visível avanço sobre as bibliografias que trataram desta mesma temática, demonstrando que a Escola de Uberaba foi vitima de seu próprio tempo e de sua própria história. A Revolução de 1930 fez sua parte e surpreendeu com a dura gestão educacional iniciada por Francisco Campos por meio de sua Reforma Educacional, tendo como consequência, direta ou indireta, o fechamento de inúmeras instituições de ensino superior no país, dentre elas, a Escola de Pharmacia e Odontologia de Uberaba. / The theme of this thesis is the Pharmacy and Dentistry School of Uberaba (Uberaba School) and the strategies undertaken by Mineiro Lacerda, his chief officer, to the constitution and consolidation of the school. It aims to present the history of School Pharmacy and Dentistry having as goal to analyze why this institution of higher education succumbed after the Education Reform 1931, understanding the attempted process of formation and consolidation of institution of higher education in the Triangulo Mineiro area. The theoretical framework in the field of History of School Institutions, based on Magalhães (1999, p. 61) is the certainty that "the history of educational institutions was [and is] a domain of knowledge". As the main source we used a set of documents found in the Public Archives of Uberaba. This is a collection of documents of the Pharmacy and Dentistry School. The Lavoura e Commercio newspaper and the opinions of the National Council of Education were also primary sources of the survey. Among the findings is greater accuracy of the facts, based the documents analyzed on the history of Uberaba School. Through this work it was possible to analyze the consequences of the 1931 Reform for this private higher education institution, as it was before the reform; and which was considered a strategic location of pharmaceutical training and dentists in the Triangulo Mineiro and region. The termination of the activities of Uberaba School was accompanied by the closing down of many institutions of higher education in the country.
