1 One-tier organisational structure of Czech joint-stock companies and British public limited companies Abstract This thesis deals with selected issues of one-tier board structure of a joint-stock company in the Czech and British legislation. The emphasis is placed on the position and regulation of the Board of directors, its members, shareholders, and their mutual relationship. Not only has the present legal regulation been monitored, but also its historical roots, which significantly influenced the evolution of the institute and its present form. The first chapter deals with corporate governance. It includes all aspects and theories, which as a whole have completed the position of a shareholder as well as a joint-stock company itself. Moreover, diffuse and concentrated ownership is explained, as well as separation of ownership of the company from its management, and the related "principal"-"agent" problem. Also, the basic characteristics of Anglo-Saxon and continental approach to the law have been reflected. The second chapter describes and clarifies the essence and the form of one-tier board structure as it is regulated in the UK. Assessment of the internal control systems of small and medium scale enterprises in Ghana (case of Adenta municipality)

ABSTRACT Small and medium enterprises (SMEs) have been considered as the engine of economic growth and for promoting equitable development. Nowadays, they represent about 60% of all types of enterprises in Ghana, with providing high job opportunities to its labour force. As these enterprises need to focus their development, the internal control mechanism is a means and a way of directing, monitoring and measuring the SMEs resources. It plays a vital role in preventing, detecting fraud and protecting the physical and intangible resources as well as leading to the high efficiency of the business operation. Therefore, focusing on this business area is a timely issue and a rewarding one since it contributes a lot to the majority of business enterprise involved in SMEs. This study examines internal control practices and describes the effect of internal control systems on the performance of Ghanaian small and medium-size enterprises specifically in ADENTA MUNICIPAL ASSEMBLY. Questionnaires were sent to the various selected SMEs. Through observation and personal interviews, the views of respondents on the state of internal control systems were sought. The study employed a multiple case analysis in identifying internal control system practices in the SMEs. The study found out that, contrary to what is generally suggested, SMEs are aware of the importance of having a good internal control system. Also, not all of the components of the COSO framework were found in SMEs.

This diploma thesis "Application of the theory of the process of forming coalitions of regional councils in the Czech Republic after the elections in 2008 and 2012" discusses the process of establishing regional coalitions in the region of the South Moravian and the Central Bohemia. The aim is to answer the question of what form of the regional coalitions formed during the regional elections. Furthermore, I was describe how did the process of establishing regional coalitions and what were the key factors, that decide the outcome of negotiations. For these reasons, this thesis analyzed the official declaration of election programs, performances by regional politicians in political or public debate. The intention of this thesis is through the use of a theoretical framework and analysis of documents, describe in detail the development process, which was formed coalition and identify possible strategies of individual actors. There is a comparison of expenditures on advertisement with Czech advertisement market. When we are talking about advertisement, it is important to mention cultural differences. The biggest part of my thesis consists of legal and ethical regulation, when you can see the main differences in compare to Czech republic. The end of thesis belongs to Advertising self-regulation, which is represented by National Council for Self-Regulation in Bulgaria and Rada pro reklamu in Czech republic.

Diploma thesis "Nordic Cooperation. Its Transformation in the Second Half of the 20th Century and Its Current Shape" deals with the Nordic cooperation among Denmark, Finland, Iceland, Norway and Sweden from the second half of the 20th century with the focus on the period from the 1990s till 2008. At the beginning, there is an introduction to the history of cooperation in Scandinavia till the 1990s and a description of two main institutions of the Nordic cooperation: the Nordic Council and the Nordic Council of Ministers. The main chapter analyses the Nordic cooperation from the 1990s, it focuses on areas and intensity of the cooperation and describes concrete programmes, projects, institutions, targets and results of the cooperation. The thesis also deals with the question of the impact of the three Baltic States involvement in the Nordic cooperation in the 1990s. The answer is that the internal Nordic cooperation has been developing very intensively - it was demonstrated by the analysis of the Nordic cooperation in the 1990s in the main chapter - without any affecting of the Baltic States involvement in the main. On the contrary, the Baltic States involvement has brouhgt the external opportunity for the Nordic countries to integrate into the cooperation in the Baltic Sea region.

Michaela Klusáková DEPARTMENT: The History and History Didactics Department SUPERVISOR: PhDr. Jiří Hnilica, Ph.D. ABSTRACT The main goal of the thesis The "Religious" Remigration during the First Czechoslovak Republic Era is to provide a comprehensive view on the issue, focusing on specific places of return, which are the towns of Velký dvůr u Zábřehu, Sulejovice, Čížkovice, Encovany, Vikýřovice, Suchdol nad Odrou a Žitný ostrov na Slovensku. The thesis is divided into three thematic chapters. The first chapter focuses on the general development of remigration in chronological order, the second chapter addresses to specific locations where the descendants of the White Mountain refugees had settled. The third chapter discusses general issue of the First Czechoslovak Republic "religious" remigration. The core of the study lies in the analysis of the White Mountain emigrants descendants return to Czechoslovakia. While processing this thesis we used direct methods of research of primary written and pictorial sources. We have conducted their criticism of interpretation and synthesis. The United Nations Security Council is primarily responsible for maintenance of international peace and security according to the Charter of the United Nations. To achieve this goal, it is authorized to adopt resolutions binding on member states under Chapter VII of the Charter. Considering the character of situations to which the Security council responds through its Chapter VII resolutions, this legal instrument often stirs emotions among the general public. But what does the law itself say about the Chapter VII resolutions? What is their legal nature and value in the field of public international law? This thesis provides an analysis of the Chapter VII resolutions, offers a definition of a Chapter VII resolution and analyzes some specific resolutions by which the Security Council acted more as a quasi-judicial or a quasi-legislative body. Through analysis of content limits of the Security Council powers, the thesis endeavors to confirm that binding nature of the Chapter VII resolutions as well as an obligation of member states to give effect to those resolutions do have its boundaries; and despite the special role of the Security Council in the field of public international law, its Chapter VII resolutions cannot have unlimited content. Diplomová práce se zabývá charakteristikou postavení orgánů statutárního města Mladá Boleslav. Zejména je kladen důraz na zastupitelstvo města a jeho výbory, radu města a její komise, primátora a magistrát. Cílem je zaměřit se na jejich postavení, strukturu, pravomoc a působnost. Dále se snaží zachytit změny u jednotlivých orgánů, ke kterým došlo jak z hlediska demografických tak sociálních charakteristik. Konkrétně jsou porovnávány dvě po sobě jdoucí volební období 1998-2002 a 2002-2006.
