Para tanto, foram observadas as relações deste arranjo com o direito do trabalho, com contratos correlatos e com os elementos oriundos da administração de empresas, de forma a demonstrar que: i) A cláusula de performance não fere, por sua natureza, nenhuma lei brasileira em vigência no contexto da elaboração deste trabalho; ii) A cláusula de performance tem por objetivo definir as bases e os níveis esperados de quantidade e qualidade de cumprimento das obrigações do contrato e definir as consequências do seu adimplemento positivo e negativo; iii) A cláusula de performance não deve ser interpretada, per se, como elemento de caracterização de subordinação trabalhista; iv) Em determinadas hipóteses, a cláusula de performance poderá servir de instrumento hábil para a rescisão do contrato de agência; v) A existência de incentivos direcionados à performance das partes no cumprimento das obrigações estabelecidas tem o potencial de afetar o desempenho das partes na respectiva relação contratual. / This master's dissertation aims to investigate the causes and consequences of inserting the performance clause in the agency agreement. Therefore, the relationships were observed this arrangement with labor law, with related agreements and those from elements of business administration in order to demonstrate that: i) the performance clause does not, by its nature, violate any Brazilian law in force in the context of the elaboration of this work; (ii) the performance clause aims at defining the basis and expected levels of quantity and quality of performance of the obligations of the contract and defining the consequences of its positive and negative performance; iii) the performance clause should not be interpreted, per se, as an element of characterization of labor subordination; iv) in certain cases, the performance clause may serve as a skillful instrument for the termination of the agency contract; v) the existence of incentives directed to the performance of the parties in the fulfillment of the obligations established have the potential to affect the performance of the parties in the respective contractual relation.
