Key determinants of effective board of directors : evidence from Nigeria

The 2008 financial crisis that led to the collapse of companies and economic recession in most countries has also increased the concern for transparency, accountability and regulatory oversight and once more put corporate governance and board effectiveness on the front burner of big business issues all over the world. The board is seen as a key player in governance of companies and there is need for a better understanding of how this body works. Majority of the research work in these areas has been in developed economies and not much work has been done in the area of board effectiveness in the emerging markets of Africa. This thesis examines the relationship between key board characteristics and board effectiveness. It also explored the impact of certain mediators on this relationship. Unlike most studies on board which focus on firm performance and mostly in developed markets, this study was conducted in an emerging market and the focus was on board effectiveness. Based on the work done by other researchers in developed economies the researcher developed a theoretical framework and a set of hypotheses to examine the relationship between board characteristics and board effectiveness and the impact of certain mediators on this relationship. Board characteristics considered in this research include board size, CEO duality, board independence, and board diversity. In addition, the impact of board human capital on board effectiveness was also considered. Additionally, the researcher examined if the relationships between board characteristics and board effectiveness will be affected by organization type, ownership, age and size. The empirical examination of the hypotheses developed from the theoretical framework presented in this study show that board characteristics, apart from professional human capital, do not have any significant impact on board effectiveness. Board professional human capital was found to have a positive relationship with board operations and board cohesiveness and also with board effectiveness. The results show that in Nigeria, board diversity and human capital are the most important board structural factors that impact board effectiveness. They also show that board processes of operations, cohesiveness and decision making have significant impact on board effectiveness. Finally the results show that board process factors are more important than board structural factors in determining board effectiveness. The study shows that these relationships were not significantly affected by organization type, ownership, age or size. The study contributes to understanding of board effectiveness in an emerging market where board roles and processes are still developing; by examining both traditional variables such as board size, CEO duality, board independence and other organizational attributes such as board job related diversity and board professional human capital variables. In addition, this is the first study to examine board effectiveness in publicly quoted companies in Nigeria. The study will also contribute to better governance practices in Nigeria, where lack of good governance has been blamed for the slow economic development and growth. The theoretical framework and the findings of this thesis are expected to stimulate scholars for further research into identifying the characteristics that boards must possess if they are to be active and effective. They should also stimulate practitioners and scholars of strategy, organizational behaviour and corporate governance to examine boards and their activities from many perspectives, particularly from the process side.

The expanding role of community college trustees in student success

For generations American community colleges, governed by boards of trustees, have successfully provided open access to higher education. Today, all colleges are under intense pressure to improve student success rates. Using qualitative methodology, this grounded theory case study analyzed the expanding role of community college trustees in a college that has transformed to embrace student success. This study examined the expanding role of trustees through their eyes and the eyes of senior administrators. Their perceptions culminated into eight major themes: Achieving the Dream, Board of Trustees Institute, student success, data, leadership, partnership, trust, and vision. Two other themes of note developed: outcomes-based funding and the influence of Dr. Byron McClenney. Time expenditure on trustee duties and professional development concluded the findings. Conclusions drawn reveal that a transformational culture change from an emphasis solely on student access, to one of access plus student success began with the Board. Trustees developed an expanded skill set of awareness and acuity regarding student success data in order to interpret and use data effectively, resulting in an increased amount of time spent on Board duties and training. The Board now makes data driven decisions that have transformed fiscal policy to reflect the student success agenda. The primary focus of the Board is on how their actions affect student success rather than only on enrollment numbers and budgets. Through this process, the Trustees and Chancellor have developed a genuine and open partnership that extends to senior administrators. The Trustees continue to observe the boundaries of their policy-making roles as they ask the right questions without getting into day-to-day operations of the college. Because of limited research on community college trustees and student success, this study adds to available literature and may provide value to trustees, presidents, and chancellors who are changing their institutional culture to one focusing on student success. Conclusions drawn from the study may be used to enhance the education of trustees on their expanded role. The findings may also serve as a guide in helping trustees understand how to prioritize student success without stepping over the line into daily college operations. / text

CEO Duality In Listed Corporations: Is There An End To The Dichotomous Debate?

CEO duality has been the subject of debate for over twenty years and shows no signs of abating. With conflicting theoretical and empirical evidence underpinning the debate the practice has fluctuated, investor perception of board leadership structure has altered, international regulation has reacted, scholarly conceptualizations of duality have become overly complex, and the need to understand duality and conclude the debate has increased. This thesis explores duality in listed corporations and aims to form an appropriate solution to end the dichotomy. My solution requires one to confront misunderstandings which have led to a traditional insistence towards structural reform and prolonged the contentious debate, and recognize an underlying contention which needs to be resolved to bring finality to the debate. I argue finality is possible if a process oriented approach is adopted and corporations recognize the need to be technically equipped to deal with leadership structures in the modern corporate arena.

Governance for Innovation – Board Leadership and Value Creation in Entrepreneurial Firms

This dissertation has identified, developed and empirically tested concepts associated with the capacity of chairpersonship to promote innovation in entrepreneurial small and medium-sized enterprises (SMEs). A multi-methodological approach is applied in five studies, comprising a systematic literature review, three empirical studies and a concluding conceptual paper. The dissertation focuses on how the chairperson of the board of directors influences value creation in entrepreneurial SMEs. Value creation in this context is about the performance of strategic leaders at entrepreneurial firms’ upper echelons in acting and making strategic choices aimed at increasing firms’ capability to engage in innovation. Innovation is defined as the generation and/or adoption of an idea or behaviour, relating to a product, service, device, system, policy or program, which is new to the adopting organization. Innovation has been widely recognized as a concept central to economic growth and societal development. Governance is widely recognized as essential for the support and development of innovations in firms. However, the academic literature is scarce regarding how the chairperson of the board can contribute to and promote innovation in SMEs. This dissertation offers theoretical and empirical insights into how the chairperson of the board of directors influences value creation in entrepreneurial SMEs. In this respect, the dissertation offers a conceptual framework and a research model for understanding board leadership in promoting innovation in entrepreneurial SMEs. The framework and research model emphasize the behavioural aspects of board leadership and show how these are related to the development of entrepreneurial SMEs. Furthermore, the findings in this dissertation provide actionable knowledge for practitioners and policymakers. In this respect, the dissertation contributes theoretical and empirical understandings of the benefits of employing external chairpersons with relevant knowledge and experience in SMEs. These insights also provide practitioners with advice on the qualifications and processes that can help them to develop innovation-promoting boards.

Transitioning New Board of Directors Members from Peripheral Roles to Active Leadership Roles

abstract: The National Association of Community College Teacher Education Programs (NACCTEP) was established to promote the community college role in the recruitment, preparation, retention, and renewal of teachers. NACCTEP is led by a 13-member executive board consisting of community college teacher education administrators and faculty members from across the United States. Board members expressed concern that their first year consisted of them trying to learn their role as a board member including how to participate in board activities. By the time they became fully knowledgeable about their role and became more active participants, their two-year term was completed. They also indicated that initially they felt disconnected from veteran board members. To address this issue, an orientation/leadership suite was developed for new board members to assist them in transitioning from peripheral roles to full active roles. The suite included activities such as an association orientation web page, participation in monthly board conference calls, a face-to-face leadership session, and mentoring by veteran board members. The communities of practice (CoP) framework shaped this action research study and the activities of the suite were designed to foster a CoP. This action research study utilized a mixed-method research approach in which both qualitative and quantitative instruments were used to gather data. The descriptive statistics indicated that on average, new board members perceived mentoring was effective, understood their role on the board, experienced a sense of a community of practice, considered themselves as active on the board, and believed the leadership orientation suite was effective. An analysis of the qualitative data resulted in four themes: community, communication, participation, and efficacy. Overall, the findings indicated that the new board member orientation/leadership suite assisted new board members transition from peripheral roles to active leadership roles through developing a sense of community; facilitating and sustaining communication; defining, supporting, and encouraging participation; and increasing efficacy in their roles. Through the learning of their roles, the new board members became knowledgeable, comfortable, and confident in serving as board members, which facilitated their participating in the NACCTEP board's CoP. / Dissertation/Thesis / Ed.D.
