Defective Arbitration Clauses in International Commercial Contracts / Arbitražinės išlygos su spragomis tarptautinėse komercinėse sutartyse

Usually in a drafting process of a contract arbitration clause is left at the end of a contract. Sometimes it happens that parties really do not wish start discussions on how should arbitration clause look like or what details should it contain, because either parties think they would never come to a conflict or they are short in time and leave arbitration clause unconsidered. Absence of proper attention when drafting arbitration clauses is likely to give rise to defective arbitration clauses, which lead to much higher than expected time and money costs or even make arbitration impossible. Master thesis analyses defective arbitration clause types and provision of a way to create correct arbitration clauses. In order to reach this goal gradual completion of tasks is necessary, which involves: a) identification of the main features of defective arbitration clause, b) identification of the main elements of well drafted arbitration clause, c) identification of the main types of defective arbitration clauses, d) provision of a classification of defective arbitration clauses, e) provision of as much as possible ways to avoid defective arbitration clauses and f) analysis doctrine and case law in this field and result encompassing conclusions. Kartais nutinka taip, kad šalys nerodo didelio noro kelti diskusijų dėl to kaip turėtų atrodyti arbitražinė išlyga arba kokius sudėtinius elementus ji turėtų turėti. Šalys gali manyti, kad ginčas mažai tikėtinas, todėl neverta gilintis į arbitražinę išlygą arba dėl laiko stokos įkeliama atsitiktinė arbitražinė išlyga. Pakankamo dėmesingumo trūkumas ruošiant arbitražinės išlygas dažniausiai leidžia kilti arbitražinėms išlygoms su spragomis, kurios esant ginčui priverčia šalis sugaišti daug daugiau laiko ir suvartoja daug daugiau finansinių resursų nei tikėtasi arba išvis paverčia arbitražą kaip ginčų sprendimo būdą šalių atveju neįmanomą. La théorie générale des obligations contractuelles ne traite de la rupture du contrat qu’au travers de la résolution. Elle n’évoque pas non plus la notion de durée du contrat. L’attention des juristes français est ainsi essentiellement portée sur la résolution pour inexécution et sur la résiliation unilatérale fautive du contrat à durée indéterminée. Une autre présentation, plus neutre, est possible : il s’agit d’étudier la sortie du contrat et, plus particulièrement, la possibilité offerte aux parties de prévoir la sortie anticipée de leurs relations contractuelles.Il est alors possible de se rendre compte que la pratique, face aux lacunes de la théorie générale, a su adapter l’existant afin de prendre en compte l’évolution du contrat depuis le début du XIXème siècle. De nombreuses clauses, qui permettent à un contractant de sortir de manière anticipée du contrat, se sont ainsi développées sous des appellations diverses et sont aujourd’hui présentes dans tous les contrats. L’analyse de la jurisprudence fait apparaître que le contentieux qui en résulte, non seulement porte sur des problèmes communs, mais tend à apporter des solutions communes ; à tout le moins perçoit-on la nécessité d’un traitement unitaire. L’étude, repoussant la distinction classique entre la résolution et la résiliation, recherche l’existence d’une unité, cherche à vérifier l’existence de la clause de sortie qui instituerait une faculté de sortir de manière anticipée d’une relation conclue pour une durée déterminée. Pour cela, la clause de sortie est appréhendée comme toute autre clause « autonome ».Dans un premier temps, il faut démontrer l’existence d’un objectif commun de validité. Il est question tout d’abord de faire ressortir la fonction commune des clauses, qui est de prémunir le titulaire de la faculté de sortie contre une atteinte à son intérêt. L’unité se poursuit dans la nature de la clause : issue d’un accord des parties, elle met en place un droit potestatif. Elle prend alors les traits d’une condition résolutoire « moderne », adaptation contemporaine de la modalité de l’obligation prévue par le Code civil.Dans un second temps, une fois qu’elles sont valablement prévues, les clauses de sortie doivent encore répondre à un objectif commun d’efficacité : la sortie s’exerce par acte unilatéral et obéit alors aux règles applicables à ce dernier. Au-delà de ce régime, on peut se rendre compte qu’il existe des modalités communes à toutes les clauses de sortie. Les effets des clauses de sortie, enfin, présentent ou doivent présenter une certaine unité, que la sortie mise en œuvre soit réussie ou qu’elle soit « manquée ». / The general theory of the contractual obligations treats breach of contract only through the “résolution”. It does not mention either the concept of duration of the contract. The attention of the French jurists is mainly focused on the cancellation for non-fulfilment and the offending termination of the agreement without any term. Another presentation, more neutral, is however possible, studying the exit of the contract and, more particularly, the opportunity given to the contracting parties to envisage the exit of their contractual relations.Then it is possible to realize that the practice, against the gaps of the general theory, knew to adapt existing concepts in order to take into consideration the evolution of the contract since the beginning of the 19th century. Thus many clauses, which make it possible to one of the contracting parties to leave the contract, developed under various names and are today present in all the contracts. The analysis of jurisprudence reveals that the litigations which result from it, not only relate to common problems, but also tend to bring common solutions ; at the very least, one perceives the need for a unit treatment. The study, pushing back the classical distinction between the “résolution” and the “résiliation”, seeks the existence of a unit, seeks to check the existence of the exit clause which would institute a faculty to leave in a way anticipated of a relation concluded for one limited duration. For that purpose, the exit clause is approached like any other “autonomous” clause.Initially, it is necessary to show the existence of a common objective of validity. It is question first of all of emphasizing the common function of the clauses, which is to secure the holder of the faculty of exit against a loss of interest. The unit continues in the nature of the clause: resulting from an agreement of the parties, it sets up a “potestative” right. It then takes the features of a “modern” “resolutive condition”, contemporary adaptation of the condition of the obligation envisaged by the Civil code.In the second time, once they are validly provided, the clauses of exit must meet a common aim of effectiveness : the exit is exerted by unilateral act and then obeys the rules applicable in this case. Beyond this mode, one can realize that there exist common conditions to all the clauses of exit. The effects of these clauses, finally, present or must present a certain unit, whether the exit put in work is successful or that it failed.

Une vision et une cohérence d’ensemble : telles sont les qualités qui manquaient à la notion de déséquilibre significatif inscrite dans trois règles du Code de la consommation, du Code de commerce, et nouvellement du Code civil. Tels sont également les objectifs que se propose d’atteindre cette étude, au travers d’une double démarche. Par la conception, en premier lieu, d’une méthode unitaire et séquencée de qualification du déséquilibre significatif, construite à partir des deux règles spéciales, et applicable à chacune d’elles, mais aussi généralisable, au-delà de celles-ci, à la règle de droit commun des contrats. Par l’élaboration, d’autre part, d’un principe de solution destiné à régir l’articulation entre ces trois règles, prenant la forme d’un principe de non-cumul et de non-option, lequel suppose, pour être pleinement réalisé, de procéder à une redéfinition du domaine d’application personnel de chacune d’elles. / A vision and an overall coherence: these are the qualities that were missing from the notion of Ŗsignificant imbalanceŗ inscribed in three rules of the Consumer code, the Commercial code, and, most recently, the Civil code. These are also the objectives that this study proposes to achieve through a double approach. First, it proposes a unitary and sequenced method of qualifying the significant imbalance constructed from the two special rules, and, while being applicable to each of special rules, it can also be generalized beyond them in the general rule of common law. Secondly, it elaborates to form a solution principle intended to govern the articulation between the new rule of common law and one of the pre-existing consumer or competition law, consisting of a principle of non-cumulation and non-option which requires, more broadly, a redefinition of the scope of both.

Characteristics of the relative clause in Korean and the problems second language learners experience in acquiring the relative clause

The purpose of this study is to investigate three pertinent aspects of the relative clause in Korean: the form-function of the relative clause, the processing of the head-final relative clause and the acquisition of relative clauses as a second language. Based on universal typology, this study proposes that the linguistic category of the descriptive verb lies between the attributive adjective and the verb. With this identification, the study claims that the modifying ending -(u)n has the prototypical semantic function of the perfective aspect. The perfective aspect is, however, interpreted differently according to the verb types and this provides a solution to the form-function distinction: when the descriptive verb is suffixed by -(u)n, the attributive adjective expresses a permanent state; with the processive verb the relative clause denotes the completion of action or process. The analysis of the linear ordering of elements in the verb phrase reveals that grammatical morphemes are related in the strict grammatical rules, which progressively build up conceptualisation. Contrary to the views presented in previous studies, this study argues that incremental and left-to-right processing, the relative clause has semantic constraints on the head noun. The overall order of difficulty in the acquisition of relative clauses determined by a completion task, a combination task and a grammaticality judgment 'Oh OP>IO>SU>DO>GE, which does not accord with the Noun Phrase Hierarchy (NPAH). / The study finds that markedness theory and configurational analysis are also unable to explain the order exhibited in this study due to the head-final at characteristics of the relative clause. The processing ease is the main contributing factor for learners successfully performing the tasks by utilizing the mental lexicon, SOV canonical word order, case particles and temporal adverbs in sentence initial position. The study also evaluates the effectiveness of instruction and the merits of pedagogical grammar. Incorporating findings from the present study, some suggestions are made for the development of a pedagogical grammar for the relative clause in Korean.
