Nákupní centra jako determinanta způsobu života / The shopping centres as a lifestyle determinant

The main subject of my dissertation is a theoretical-empirical analysis of shopping centers as a specific type of subculture. Closer analysis of the shopping center's influence on contemporary lifestyle and consumer behavior patterns is accented. The whole structure of the dissertation is divided into three main thematic sections: 1. Shopping centers in the process of globalization and unification of human culture. 2. Shopping centers as a specific type of institution and subculture. 3. Shopping centers as a determinant of contemporary lifestyle. The source of information and data utilized for processing this dissertation are both theoretical literature and practical observation in Prague's shopping centers. This diploma thesis deals with selected methods that large companies can use to optimize their business results in the international environment. It focuses namely on methods of outsourcing, offshoring, tax optimization and cash flow management. The first part briefly describes globalization in the world economy and transnational corporations as its major players. The next two chapters are devoted to strategies which lead to cost reductions of enterprises due to outsourcing and offshoring. The fourth part characterizes the way offshoring enters into foreign markets in the form of foreign direct investments. The fifth section deals with tax optimizations for multinational companies. The sixth part mentions the measures taken so far in the area of tax coordination in the world and in particular the European Union and the last chapter briefly defines various options which can be used for cash flow optimization.

Business Trust This diploma thesis deals with the designation of the trust as a possible operator of a business enterprise, and so its use as an equivalent of a business corporation. The main goal is to compare these two entities in their differences and to find out whether the operation of the enterprise through the trust can be attractive for its settlor and what will be the advantages and disadvantages of this arrangement. The thesis is divided into seven chapters, including the introduction and the conclusion. After the introduction to the diploma thesis, the second chapter deals with a brief outline of what the trust is and the complexity of its legal regulation. It continues with a brief overview about the existence and functioning of the trust under the Czech Civil Code. The third chapter defines the trust as a business entity. It deals with the trust as an entrepreneur in business relations, and outlines settlor's possibility of anchoring business operations to the trust and conveying the necessary assets. The fourth chapter compares some interesting aspects of business corporations with their possible equivalents in the trust, thus outlining conformities and differences in their functioning. The liquidation is defined in law, accounting and tax perspective. The practical part of the thesis shows process of liquidation on the example of fictitious company but also on the company from the practice. On the other companies the hypothesis is verified: "Business corporations which are more than 50 % owned by the state publish financial statements."

Vypovídací schopnost účetních závěrek obchodních korporací v konkurzu / The Ability of the Financial Statements of Insolvent Companies to Provide Reliable Information

This thesis aims to analyse the financial statements of entities that filed for bankruptcy in 2015. Firstly, the theoretical part of the thesis provides explanations for technical jargon in relation to insolvency and subsequent proceedings in relation to entities that went bankrupt. Secondly, it also elucidates related legislation through analysis of particular items in financial statements - the balance sheet and the profit and loss statement - to determine the problematic indicators within these statements that can aversely influence the ability of financial analysis to provide accurate and reliable information regarding the financial health of the entity. Finally, the last theoretical chapter addresses the advantages and limitations of the particular financial ratios and analysis that is used in the subsequent practical part of the thesis. The goal of the practical part of the thesis was to determine the ability of the analysed financial ratios to provide reliable information to shareholders and third parties to assess company health, and also scrutinise potential limitations. Since the thesis focuses on bankruptcy, the researcher analysed financial statements from three years prior to their bankruptcy. The aim was to determine whether the analysis, and in particular, which financial ratios could raise red flags and predict the nearing financial difficulties these entities were about to endure.

This thesis deals with the issue of liquidation of business corporations without legal successor. It defines the liquidation of the legal, accounting and tax perspectives. It provides a practical example via the liquidation of the fictitious company Opera s.r.o. At the end of the thesis is trying to prove the hypothesis: " The percentage ratio value of the share liquidation balance to the basic capital of the company in forced liquidation is at zero while voluntary liquidation is on average around 50%", on the liquidation cases from practice.

Reorganizace insolventních firem -- srovnání vybraných zemí / Reorganization of Insolvent Companies – a Comparison of Selected Countries

This dissertation deals with the non-performing loans of companies that are resolved within insolvency proceedings, with a focus on reorganization. The work compares insolvency systems of various developed markets with those of emerging/transition economies. The practical part is oriented toward domestic insolvency issues in the Czech market based on a survey structured as a questionnaire that was responded to by top insolvency professionals, bankers and lawyers. The survey was followed-up and complemented by structured interviews with selected respondents. The work also entails practical observations arising from the author´s recent working experience with debt-recovery both in the Czech market and abroad. The dissertation seeks answers regarding whether reorganization provides banking creditors with added-value and the transferability of western approaches to reorganization in the context of the environment of transition economies. A clear answer to this complex question is not found and based on his research the author remains skeptical as to the frequent and often over optimistic opinions provided in support of the general benefit of reorganizations.
