Right to information of corporations The master thesis is focused on corporations as liable subjects to the right to information. The thesis also deals with a conflict of constitutional laws during the proces of requesting the information from corporations. There is a dynamic development of constitutional right to information from year 2000 on in the Czech Republic. A brief Right to Information Act and not so many amendments made it possible to complete the information law by using extensive judicature. The amount of case law in that field of law is unusual in continental law system. However, the judicature of a few last months indicates that extensive interpretation of the right to information already reached its height and further extension of information law stopped for some time. In some cases we witness even the limitation of information rights. Nevertheless the right to information of corporations is still a very turbulent field of law with its unresolved constitutional conflict. Many kinds of informations still stay behind the curtain, out of a public surveillance. Analýza vlivu legislativních změn na účetnictví podniku / Analysis of the impact of legislative changes on the accounting

The aim of my thesis was to show the influence of legislative changes on the accounting of business corporations. Analyses were performed on actual legislative changes, which to the greatest extent related to the recodification of private law in the Czech Republic and their entry into force of law about and concerning commercial companies and collectives. These factors resulted in adjustments to several provisions of laws regarding accounting and related supplementary regulations. On the basis of these analysed legislative changes, case studies were subsequently developed for a specific business corporation, namely the company STAX Metal Fibers s.r.o. The individual parts of the case studies were developed according to the actual state of the business corporation, and these case studies may be used by the enterprise to enhance its business activities further. The suggestions were concentrated on the area of reserve funds created within the accounting entity, the introduction of common stock, the possibility of advance or down payment in proportion to share of profits and a proposal to use sanctions from outstanding claims. In the conclusion recommendations were made concerning legislation with a special focus on the ambiguity of some terms in different laws.

Název, abstrakt a klíčová slova v anlickém jazyce New corporate law imperativeness and dispositivity Abstract This dissertation thesis focuses on the basic premise that the autonomy of the will, as a fundamental principle of private law, also applies to corporate law. When researching the imperative and dispositive norms of corporate law, one must examine how the autonomy of the will can be manifested and limited. All the limitations of the autonomy of the will to dispose of its private-law relations are realised through certain limits, which set boundaries that cannot be overstepped by the subjects of legal relations. Therefore, this paper contains the categorisation of the types of restrictions on the autonomy of the wills and the limits through which these types of restrictions on the autonomy of the will are realised. Exploring the limits of the autonomy of the will leads to a preliminary conclusion that all these categories follow a general requirement, that the legal actions should be in accordance with the meaning and purpose of law. The meaning and purpose of a legal norm can be considered as a basic criterion for defining the legal norm as imperative or dispositive. The thesis is focused on the conflict of interest issue with relation to the management of business corporations, adjusted especially in the Business Corporations Act. The conflict of interest has been codified in a more detailed way after the recodification of the private law and this new codification brought up questions concerning practical application. The aim of the thesis is an analysis of the effective conflict of interest rules, providing proposals on how to solve some uncertainties which may appear and showing opinions of experts. The aim is also to show concrete examples of non-legislative adjustment in the conflict of interest area, especially through the corporate governance codices. The first chapter contains general information on conflict of interest, because the private law is not the only branch of law, where it can be found. In Czech public law, for example, is effective Conflict of Interest Act. Unfortunately, due to limited extent of the thesis it is not possible to analyse even the whole conflict of interest topic in private law, therefore the scope of the thesis is restrained on the general issues contained in the Sec. 54 and following of Business Corporations Act. The main objective of the thesis is to analyze the topic of leading multicultural teams, with a specific attention to the particular example of the company XYZ; and answer the research questions with the gathered data and construct recommendations. The theoretical part provides a comprehensive overview of the concepts of multinational corporations, teams, multicultural teams and leadership. The assumptions derived from the theory serve as a base for the following empirical part, where the theoretical research is completed with a qualitative study. The qualitative study was conducted in cooperation with the company XYZ and professionals working directly in the multicultural teams were interviewed. By combining the findings from both theoretical and empirical part, many of the assumed benefits, especially the increased creativity, of the multicultural teams were confirmed. However, the negative aspects were identified as well, with the more difficult communication above all.

The topic of this diploma thesis "Customer oriented organizational structure" deals with matrix organizational structure within multinational corporation. At the beginning the author first listed and characterized main theoretical terms. Afterward, the professional experiences were described using questionnaire and interview as survey methods. The author then analysed effectiveness of current matrix structures as well as of its transformations. The final part is proposing optimal scheme of matrix structure for corporations with appropriate guidelines.

Analýza vlivu daní a evropských dotací na HDP a nezaměstnanost v České republice. / Analysis of influences of tax and European subsidies on GDP and unemployment in the Czech Republic

The aim of this thesis is to analyze what was the influence of corporate tax rate and total paid amount on corporate income tax on GDP and unemployment in the Czech Republic. The essay also describes the impact of European subsidies given to Czech corporates as primary receivers on GDP and unemployment in the Czech Republic. A comparison of these two macroeconomic factors is provided. Conclusions show that there are some impacts which are not supposed to be transferred to a concrete comparable numbers. The thesis provides detailed overview of main impact of derivation of European subsidies given to Czech companies as primary receivers and changing corporate income tax on GDP and unemployment. The comparison of above influences is provided both on theoretical basis and the real one in the period of 1993-2013 for the Czech Republic. Conclusions and author's ideas are supported by professional publications. The thesis provides information on how the problematic is width and deep within these impacts. Any reader can create his/her own opinion on the problematic based on provided information and data.

Transnational organizations (TNCs) can be considered as an economic drivers which are able to adapt to changing economic climate. The ability of being present in more than one country give them the opportunity to raise their competitiveness through choosing the countries according to its preferences. Recently the relation between nation states and the TNCs has been changed slowly. The number of TNCs is growing and they are able to play an active role in the wolrd economy. Their activities produce possitive and negative externalities thus it is possible to find their followers and opponents at the same time. The aim of this thesis is to analyze whether the economic power of the TNCs is growing significantly or not.

Theoretical part of the thesis describes volunteering, its types, terminology, models and perspectives. Volunteering is examined from view of ecomonics, social-psychology or game theory. In last part of theoretical part is described the structure of volunteers on Czech Republic by age, education or religion.
