Primary and secondary liability of members of the Board of Directors against third persons The aim of my thesis is to analyse thoroughly the regulation of primary and secondary liability of members of the Board of Directors against third persons (so-called 'outside liability') under the laws of the Czech Republic. The reason for choosing this topic is that it is relatively overlooked by most of the authors since they primarily focus on liability of the Directors against their own company (so-called 'inside liability'). By conducting my research I intend to redress such an omission and prove the significance of this issue. Chapter one provides a general overview of the inside liability issue. It explains why the Directors are in discharging their duties primarily accountable to the company for the damage caused by a breach of their duties and why third persons are entitled to claim damages from the Directors only in cases laid down in special statutory provisions. This master's thesis is concerned with an issue of criminal liability of legal entities. Emphasis is put on the czech legislation, more precisely on the act no. 418/2011 Sb., on Criminal Liability of Legal Entities and their Prosecution, that came into force on 1. 1. 2012. This act was adopted in response to the obligations under international law that are binding on the Czech Republic. The main aim of this thesis is to make its readers possible to get acquainted with the regulations of the establishment and termination of criminal liability of legal entities in the Czech Republic and to point out some problematic parts of the law. The thesis is divided into three parts. The first part deals with the general questions of criminal liability of legal entities, in particular with the historical development of such a conception, its possible models, definition of the legal entity and with the reasons for and against criminal liability. Topic of my diploma thesis is The Administrative punishment of legal persons. Lability of legal entities is considered to be very actual and controversial at the present time not only in the Czech republic, in connection with criminal law refom, but in the whole Europe. The solution of problematic question of effective sentencing legal persons and detering them from other illegal activities, has been a frequent issue of political profesional a nonspecialists discussion during the last ten years. Diplomová práce se v první části zabývá zahájením podnikání fyzické osoby. Věnuje se požadavkům kladeným na podnikatele při zahájení podnikatelské činnosti. Popisuje druhy živností, registrační povinnosti a daňové povinnosti. V druhé části popisuje vedení daňové evidence: evidenci příjmů a výdajů, evidenci pohledávek a závazků, evidenci majetku a zásob, mzdovou evidenci, evidenci rezerv a evidenci DPH. V další části je zpracován příklad na vyplnění daňového přiznání.

My final diploma thesis represents the theme "Image Seen by Touch." with subtitle "Blind Art Focusing on Photography." I define art for blind people and its history focusing primary on the contemporary art and its perception. My interest is how to transform Art for blind people and its technical parameters. I focus on authors dealing with such artworks and their contribution to the Blind Art. My aim is to find out whether I can succeed as a photographer for the blind people. It is a kind of photography that cannot be seen but can be touched - i.e. visual medium.

This paper establishes ground for the redesign of Brno-střed city district web page. For the purpose of this study web pages of several municipalities were evaluated: Brno-střed city district, Nové Město na Moravě, Praha 1 and Plzeň. Study shows how the selected municipalities fulfill the legal regulations of the Act no. 106/1999 on free access to information and the Act no. 81/2006 Coll. which states that municipalities are obligated to provide the information on web pages also to handicapped or disabled. Furthermore the usability analysis and quantitative survey were applied to municipality web page in Brno-střed region to determine the public needs and requirements. Presented findings indicate both significant failure in fulfilling the law and public dissatisfaction with Brno-střed web page content and structure. Tato diplomová práce se zabývá účinky nového zákona č. 108/2006 Sb., o sociálních službách, na motivaci zdravotně postižených osob k práci. Práce je zaměřena na konkrétní skupinu zdravotně postižených osob, a to na klienty domovů pro osoby se zdravotním postižením. I když se nový zákon o sociálních službách zaměstnáváním zdravotně postižených osob přímo nezabývá, mohl by mít na zaměstnanost klientů nejen domovů pro zdravotně postižené osoby významný vliv. Teoretická část diplomové práce se zabývá zaměstnáváním osob se zdravotním postižením v České republice a v Evropské unii. V analytické části práce je zařazena případová studie. Jejím cílem je na konkrétních klientech konkrétního domova pro osoby se zdravotním postižením dokázat demotivaci k práci, kterou s sebou nový zákon o sociálních službách přinesl. V rámci výzkumného šetření byla uplatněna také dotazníková metoda, kdy respondenty jsou domovy pro osoby se zdravotním postižením v České republice. Závěrečná část práce je zaměřena na zdůvodnění potřeby vytvoření vhodnějšího parametrického nastavení stávajícího systému, aby došlo k odstranění či alespoň zmírnění pracovně demotivačních účinků zákona.

There are a lot of people with mental illness among the homeless. Mental illness is one of the many causes of homelessness and homeless people are more likely to have mental health problems compared to the general population. Currently, the system of social work with homeless people and people with mental illness in the Czech Republic is sophisticated. This diploma thesis focuses on social work with clients suffering from these health and social issues. The theoretical part of the thesis defines homeless people, people with mental illness and social work, as perceived by the contemporary academic literature. It deals with the current state of social work with mentally ill homeless people. The aim of the thesis is to determine reference points that are used by the social workers working with mentally ill homeless people. A qualitative research strategy was used to carry out the research part of the diploma thesis, which was conducted by a survey method using the technique of a semi-structured interview. Data analysis was evaluated using elements of grounded theory. The research group consisted of six communication partners who carry out social work in the following areas: shelter, night shelter, day centre and field social work. The research has shown that based on their own experience, social workers create a vision of social work. Obstacles to meeting these visions are massive barriers that are mostly systemic. The principle of indirect correlation applies here if the level of the system is higher, the barrier is less easy to influence, but it has a more devastating impact on the client. Significantly fewer barriers come from people. The social workers can influence these barriers to a certain extent. The disparity between barriers and support in social work related to a working vision is threatening, but social workers mobilize their power of defence and a "pointless" way to the vision in the area of barriers that can be influenced. The results of the thesis can provide feedback to the work of the communication partners. In addition, the thesis can be inspiring for experts as well as the general public as it points to a lack of health and social care for mentally ill homeless people related to big legislative contradictions in protecting the clients' freedom and their best interest.
