Corporate governance in Taiwan: The nonmonotonic relationship between family ownership and dividend policy

This study examines the relationship between cash flow rights and dividend payout policy of listed family firms in Taiwan, an economy characterized by a predominance of family-controlled firms. Dividend payout levels are important because they are crucial to governing the firm and managing its investments. The empirical results show that at a low level of controlling families¡¦ cash flow rights, the threat to lose control any time makes controlling families claim more in dividends. This yields a positive relationship between dividend payout and the cash flow rights of controlling families. Meanwhile, at a moderate level of controlling families¡¦ cash flow rights, the entrenchment effect creates a negative relationship. Finally, at the very highest level of controlling families¡¦ cash flow rights, excessive firm-specific risk again yields a positive relationship. This nonmonotonic relationship between controlling family cash flow rights and dividend payout also holds for financially mature firms that have high earned to contributed capital mix.

Comparison of Classification Effects of Principal Component and Sparse Principal Component Analysis for Cardiology Ultrasound in Left Ventricle

Due to the association of heart diseases and the patterns of the diastoles and systoles of heart in left ventricle, we analyze and classify the data gathered form Kaohsiung Veterans General Hospital by using the cardiology ultrasound images. We make use of the differences between the gray-scale values of diastoles and systoles in left ventricle to evaluate the function of heart. Following Chen (2011) and Kao (2011), we modified the way about the reduction and alignment of the image data. We also add some more subjects into the study. We treat images in two manners, saving the parts of concern. Since the ultrasound image after transformation to data form is expressed as a high-dimensional matrix, the principal component analysis is adapted to retain the important factors and reduce the dimensions. In this work, we compare the loadings calculated by the usual principal and sparse principal component analysis, then the factor scores are used to carry out the discriminant analysis and discuss the accuracy of classification. By the statistical methods in this work, the accuracy, sensitivity and specificity of the original classifications are over 80% and the cross validations are over 60%.

The Role of Internal Audit Independence on Performance in Public Family Business

Family-owned enterprise is a typical governance structure around the world. In addressing the governance issues in family business, the founding family usually utilizes the direct or indirect ownership structure and also the management design to mitigate the typical agency-principal problem among founding family and the professional managers in family businesses. However, scholars indicate that the majority shareholders, such as the founding family in a family business, will induce the principal-principal agency concern, and also have the possibility to exploit the minority shareholder¡¦s interests in publicly traded family businesses. Thus, the corporate governance today will not only focus on mitigating the typical agency-principal problem, but also the principal-principal agency problem in family businesses. This study tries to examine the role of the internal audit¡¦s independence in addressing the performance issues in publicly traded family businesses in Taiwan. From the agency theory viewpoint, this study try to utilize the questionnaires method to estimate the degree of the internal audit¡¦s independence, and future examine its performance impact in family businesses in Taiwan. This study suggests that the internal audit power, and the internal audit independent execution, can be two kinds of independence indexes in estimating the degree of internal audit¡¦s independence. The results indicate that the internal audit¡¦s independence will generate direct and moderated impact on publicly trade family business¡¦s performance in Taiwan. Specifically, the more independent board of directors a family business has, the better performance that this focal firm behaves. Moreover, the internal audit¡¦s independence will generate positively direct impact on firm performance in a family business. Additionally, the degree of internal audit¡¦s independent execution will moderate the positive impact from independent board of directors and family leadership on firm performance in publicly trade family businesses in Taiwan. This study provides referable values in estimating the internal audit¡¦s independence in publicly trade businesses. And it also provides theoretical and practical implications in addressing governance issues in family businesses in Asia.

Bankers användning av kovenanter

Kovenanter ett amerikanskt fenomen som successivt har spridit sig över världen. I Sverige börjades olika typ av kovenanter användas under 1960-talet som kreditvillkor vid företagsfinansiering. Men även om kovenanter blivit ett vanligt verktyg inom den svenska kreditverksamheten sedan 1960-talet, finns det fortfarande bristande kunskaper om dess praktiska användande.  Denna studies syfte är att utforska hur bankers användning av kovenanter i låneavtal påverkas av företagsspecifika, relationsspecifika, lånespecifika och andra faktorer. Studien är inriktad till att studera svenska bankernas användning av kovenanter vid företagskreditgivning och kommer därför inte att behandla privat och offentlig sektor.   Studiens ansats är abduktiv, som möjliggör en växling mellan teori och empiri. För att öka förståelsen kring kovenanters användning har semistrukturerade intervjuer genomförts. Urvalet är begränsat till sex stycken av Sveriges största banker. Insamlad empiri har därefter tolkats utifrån agency theory of covenants, som härstammar från agent och principal teori. Därefter avslutas studien med en presentation av slutsatser, samhällsmässigt kunskapsbidrag, etiska bidrag, egna reflektioner och begränsningar samt förslag på vidare forskning.   Studiens resultat påvisar att kovenanter har en viktig funktion som kontroll och riskhanterings mekanism i låneavtal, men det ersätter inte behovet av realsäkerheter. Dessutom tyder resultatet på att användningen av kovenanter främst påverkas av låntagarens storlek, förmåga att lämna säkerheter, lånelöptid och storlek, samt lånets användningsändamål. / Covenants are an Americans phenomenon that has been successfully spread around the world. Different types of covenants are regularly used in Sweden and has been used in corporate loan contracts since 1960. Despite that covenants has been a commonly used tool in the Swedish loan contracts since the 1960s there is still a lack of knowledge about covenants practical use. The purpose of this study is to research the use of covenants in loan agreements from banks point of view, and explain how different factors such as borrower characteristic, loans characteristic, bank-borrower relationships and other factors can affect banks’ practice of using of covenants. The research question in this study is how different factors such as borrower characteristic, loans characteristic, bank-borrower relationships and other factors can affect Swedish banks’ practice in using of covenants. The study is aimed to research the Swedish banks' use of covenants in corporate debt, therefore the private and public sectors financiering are not considered. The survey has an abductive approach that provides ability to move back and forth from theory to empirical data. In order to explore the phenomena of covenants closely the semi-structured interviews are used for collecting data. Participants from the six largest banks in Sweden were selected to participate in the research. Collected data has been interpreted based on agency theory of covenants, which originates from the agent-principal theory. Finally the conclusion of the study is presented as well as socially knowledge contribution and suggestions for the further research. The results collected from the survey shows that the covenants have an important function as control and risk management mechanism in the loan agreement, but it does not replace the need for real security. The survey also shows that the use of covenants is mainly affected by the borrower's size, ability to provide collateral, loan duration and size, and the loan's purpose.

Extensions of principal components analysis

Principal Components Analysis is a standard tool in data analysis, widely used in data-rich fields such as computer vision, data mining, bioinformatics, and econometrics. For a set of vectors in n dimensions and a natural number k less than n, the method returns a subspace of dimension k whose average squared distance to that set is as small as possible. Besides saving computation by reducing the dimension, projecting to this subspace can often reveal structure that was hidden in high dimension. This thesis considers several novel extensions of PCA, which provably reveals hidden structure where standard PCA fails to do so. First, we consider Robust PCA, which prevents a few points, possibly corrupted by an adversary, from having a large effect on the analysis. When applied to learning noisy logconcave mixture models, the algorithm requires only slightly more separation between component means than is required for the noiseless case. Second, we consider Isotropic PCA, which can go beyond the first two moments in identifying ``interesting' directions in data. The method leads to the first affine-invariant algorithm that can provably learn mixtures of Gaussians in high dimensions, improving significantly on known results. Thirdly, we define the ``Subgraph Parity Tensor' of order r of a graph and reduce the problem of finding planted cliques in random graphs to the problem of finding the top principal component of this tensor.

Multi-purpose multi-way data analysis

In this dissertation, application of multi-way analysis is extended into new areas of environmental chemistry, microbiology, electrochemistry and organometallic chemistry. Additionally new practical aspects of some of the multi-way analysis methods are discussed. Parallel Factor Analysis Two (PARAFAC2) is used to classify a wide range of weathered petroleum oils using GC-MS data. Various chemical and data analysis issues exist in the current methods of oil spill analysis are discussed and the proposed method is demonstrated to have potential to be employed in identification of source of oil spills. Two important practical aspects of PARAFAC2 are exploited to deal with chromatographic shifts and non-diagnostic peaks.GEneralized Multiplicative ANalysis Of VAriance (GEMANOVA) is applied to assess the bactericidal activity of new natural antibacterial extracts on three species of bacteria in different structure and oxidation forms and different concentrations. In this work while the applicability of traditional ANOVA is restricted due to the high interaction amongst the factors, GEMANOVA is shown to return robust and easily interpretable models which conform to the actual structure of the data. Peptide-modified electrochemical sensors are used to determine three metal cations of Cu2+, Cd2+ and Pb2+ simultaneously. Two sets of experiments are performed using a four-electrode system returning a three-way array of size (sample ?? current ?? electrode) and a single electrode resulting in a two-way data set of size (sample ?? current). The data of former is modeled by N-PLS and that latter using PLS. Despite the presence of highly overlapped voltammograms and several sources of non-linearity N-PLS returns reasonable models while PLS fails. An intramolecular hydroamination reaction is catalyzed by several organometallic catalysts to identify the most effective catalysts. The reaction of starting material in the presence of 72 different catalysts is monitored by UV-Vis at two time points, before and after heating the mixtures in an oven. PARAFAC is applied to the three-way data set of (sample ?? wavelength ?? time) to resolve the overlapped UV-Vis peaks and to identify the effective catalysts using the estimated relative concentration of product (loadings plot of the sample mode).
