Provisional measures in international arbitration as a response to parallel criminal proceedings

The central subject of this thesis is the power of an arbitral tribunal to order a state to refrain from pursuing criminal proceedings against a commercial enterprise if such an investigation constitutes an abuse of power or an attempt to obtain an unfair procedural advantage or harass of the investor, rather than a legitimate exercise of the state’s police power. The first chapter addresses the nature of international arbitration and how different theoretical models may help to explain the limits of the arbitrators’ adjudicative powers and the attitude of various national legal orders and domestic courts to arbitration agreements, proceedings and awards. The second chapter analyzes different approaches to investment arbitration as a form of global governance, and reviews arbitral jurisprudence on the interaction between protection of foreign investment and states’ power to conduct criminal proceedings. The third chapter focuses on jurisprudence of the International Court of Justice (ICJ) and various arbitral tribunals on provisional measures affecting the conduct of criminal proceedings. It identifies key developments and trends in the jurisprudence, especially with respect to the rights that could be protected by such measures. Finally, the fourth chapter addresses the question how to balance the states’ right (or even an obligation) to combat global corruption and crime, one the one hand, and the due process rights accorded to private entities when their commercial and investment disputes are resolved through international arbitration, on the other hand. / Graduate / 2022-03-19

Appeals in criminal proceedings Abstract This diploma thesis deals with appeals in criminal proceedings. The aim was mainly to analyse the current legislation on appeals and the problematic areas of this institute from the perspective of experts in the field of criminal law, where the thesis offers their different views on fundamental issues related to appeals. These questions concern in particular the functioning of this institute in practice, its effectiveness, economy and efficiency, as well as the evaluation of the principles on which the appeal is based with de lege ferenda considerations. For better orientation of this criminal institute the thesis first maps the development of appeals in criminal proceedings during the second half of the 20th century and the 21st century, when three criminal codes and fundamental amendments gradually came into force, in which the regulation of appeals sometimes changed fundamentally to the current form. Status of insolvency practitioner in insolvency proceedings Abstract This diploma thesis provides a comprehensive legal analysis of the status of the insolvency practitioner not only at the very beginning of insolvency proceedings until filing the final report at the end of insolvency proceedings, but also an analysis of the insolvency practitioner profession itself, including the legal conditions imposed on the insolvency practitioner necessary to obtain a license to perform activities as an insolvency practitioner. The first chapter is a short historical excursion across the legal regulations of the status of insolvency practitioner from the Imperial Decree of 1869 to the present. The second chapter is devoted to the authorization to perform the activities of an insolvency practitioner including its eventual termination or cancellation by the supervisory authority. Le nantissement de créance a longtemps été délaissé par les acteurs économiques en raison du régime juridique inadapté qui lui était applicable. Les dispositions concernant le nantissement de créance mises en place par l’ordonnance du 23 mars 2006 relative aux sûretés ont permis de rendre cette garantie attractive pour les créanciers grâce à l’élaboration d’un régime adapté, cohérent et souple.La pratique a toutefois révélé certaines incertitudes dues aux imprécisions des dispositions actuellement en vigueur, source d’un important contentieux et d’insécurité juridique pour les parties.Cette insécurité est accrue au moment où les créanciers ont besoin de s’assurer de l’efficacité de leur sûreté, c’est-à-dire en cas d’ouverture d’une procédure collective à l’encontre du constituant.En effet, l'évolution du droit des entreprises en difficulté a conduit à la mise en place d’une protection accrue du débiteur et une recherche de maintien de l'activité de l'entreprise. Afin de parvenir à cet objectif, les droits des créanciers sont considérablement restreints puisqu'ils sont soumis à une discipline collective et ne peuvent notamment plus poursuivre le paiement de leur créance, ni procéder à la réalisation de leur sûreté.Ainsi, l’étude du fonctionnement du nantissement de créance est nécessaire afin de déterminer si cette sûreté peut être efficace pour le créancier nanti si une procédure collective est ouverte à l’encontre du constituant.Il convient de démontrer que l’efficacité du nantissement de créance dépend des droits qu'il confère au créancier, tels que la notification de la sûreté et le droit exclusif au paiement de la créance nantie. Néanmoins, cette garantie ne trouvera réellement sa place parmi les sûretés les plus protectrices que si ces prérogatives lui sont reconnues également en cas de procédure collective.L'examen du fonctionnement du nantissement de créance et des droits qu'il confère permet de mettre en exergue la possibilité pour le créancier nanti d’exercer et de conserver son droit exclusif au paiement même après le jugement d'ouverture, ce qui confirme l'efficacité de cette sûreté. / Pledges over receivables have long been neglected by actors of the economy because of its inadequate legal system. But since the order from March 23rd, 2006 and the new provisions regarding security it implemented, the consistent, appropriate and flexible system has become more attractive for creditors.In practice however, the current provisions are too imprecise to reassure the involved parties who remain uncertain and insecure in their litigations.This uncertainty increases when creditors need to ensure that their security is efficient, i.e. when launching collective insolvency proceedings against the grantor.Indeed, the debtor has become more protected with each alteration of bankruptcy proceedings law which seeks to keep companies active. To that end, creditors’ rights have been greatly restricted: they are subjected to collective discipline and cannot continue paying their receivables.In this context, it appears necessary to study pledges over receivables to ascertain if said security can work for the secured creditor in case of collective insolvency proceedings against the grantor.We shall demonstrate that the efficiency of pledges over receivables depends directly on the rights it gives to the creditor, such as notifying the security and granting exclusive right of payment of the secured receivable. However, this guarantee can only become one of the most protecting securities if these rights are also granted in case of collective proceedings.By examining how pledges over receivables and the right they grant work, we can highlight the possibility for the secured creditor to exercise and keep their exclusive right of payment, even after the opening judgment; thus confirming the efficiency of the pledge over receivables.

The experiences of children in middle-childhood regarding children's court procedures

Current statistics show an alarming number of children entering the South African children’s court system annually. Yet little to no research has been conducted involving children who actually attend children’s court within the South African context, specifically since the promulgation of the new Children’s Act 38 of 2005. Consequently, very little knowledge regarding these children’s experiences and where the court system may be failing them exists. Statutory intervention with children in the middle-childhood phase is based on the premise that such intervention is in the best interest of the child. The process begins with the assignment of a social worker who is tasked with conducting a comprehensive investigation into the child’s life. Once this investigation has been finalised, the child and all relevant parties will attend children’s court where a final decision will be made regarding the child’s future care. The question arises how children experience children’s court procedures and whether there are areas where improvement would be warranted, especially since heavy caseloads often result in postponements which could exacerbate any negative experiences. With a view to gaining insight into middle-childhood children’s experience of children’s court procedures, the researcher conducted a qualitative, applied study using a collective case study design. Two literature studies form the knowledge base of the study, where the first explores the various areas of development in middle childhood and the second the children’s court process, with specific reference to the relevant legislation and polices underlying this process. In-depth interviews with nine children in the middle-childhood phase who had been exposed to children’s court procedures allowed the researcher to gather data from the children’s perspectives, rather than from the perspective of professionals as is the case in the majority of other studies. This empirical study contributed to the knowledge base by providing evidence that children are not by any means adequately prepared for children’s court and do not meaningfully participate in the process. Furthermore, empirical evidence revealed that children in middle childhood often associate negative emotions – notably fear, sadness and anger – with children’s court procedures. From this empirical study, it was concluded that social workers need to take responsibility for ensuring that children are comprehensively prepared for court procedures. L’extension de la procédure collective pour confusion des patrimoines permet de soumettre une pluralité de débiteurs à une unique procédure collective. Les récentes réformes ont profondément modifié la nature de ce mécanisme : longtemps perçu comme une véritable sanction, ce dernier tend de plus en plus à être utilisé comme un simple outil de restructuration, voire de protection. Ses effets autrefois redoutés sont aujourd’hui recherchés. La thèse révèle la complémentarité de ces derniers dans le traitement des situations de confusion des patrimoines et propose plusieurs solutions permettant d’assurer leur prévisibilité. Elle suggère également plusieurs pistes de réflexion permettant de mettre en adéquation les cas de recours au mécanisme à la nature particulièrement originale des effets produits par ce dernier. / Extending a collective insolvency procedure in the case of estate compels a number of debtors to comply with a unique collective procedure. Recent reforms have deeply modified the nature of this mechanism: for a long time perceived as a sanction, it is now used as a simple tool for restructuring, and to an extent a tool for protection. Its consequences were once dreaded, whereas now they are coveted. This thesis enhances the complementarity that exists between the latter when dealing with situations of estate confusion and offers several solutions enabling foreseeability. Furthermore, it opens up to several lines of thoughts that can correlate cases when resorting to this mechanism to the particularly original effects generated by the latter.

Lodging of claims in insolvency proceedings Abstract The goal of this thesis is to analyze legislation and court decisions concerning the lodging of claims in insolvency proceedings, from the lodging itself to the admission of a claim or the termination of creditors participation in the proceedings. Throughout the thesis, the author describes specific institutes that pertain to lodging of claims and at the same time points out, how they cohere. The thesis is divided into six parts, which are further split into chapters and sections. The aim of the first chapter of the thesis is to acquaint a reader not versed in insolvency proceedings with its essence, inasmuch is necessary for their understanding of the more specific topic of the lodging of claims. The second part focuses on the concept of claims and their definition within insolvency law. 1 Criminal Order Abstract The topic of this thesis is a criminal order as an institute of criminal procedural law and at the same time as a kind of decision in criminal proceedings. The first part of the thesis states a detailed description of the recent legal regulation of a criminal order, a systematic classification of a criminal order in the Criminal Procedure Code, the relationship between a criminal order and other provisions of Chapter Twenty of the Criminal Procedure Code is analyzed. Adoption Proceedings Abstract This thesis deals with the current legal regulation of adoption proceedings. Adoption proceedings are one of the non-contentious proceedings which are initiated on basis of motion and in which court decides on the personal status of the adoptee and adopter. The thesis is divided into 5 parts in which the procedural and substantive regulation of adoption is discussed with the aim to provide an explanation of adoption proceedings as the legal regulation of this institute does not fully respect the division of the law into substantive and procedural. After a brief introduction, the first part is devoted to the historical excursion in which I describe the basics of the adoption as set by the ancient Roman law. The Position and Application of Claims of the Secured Creditor in Insolvency Proceedings Abstract The topic of this thesis is the position and application of claims of the secured creditor within the special and to some extent independent type of civil court proceedings, which is insolvency proceedings. The object of insolvency proceedings is the bankruptcy or imminent bankruptcy of the debtor and the method of its resolution. It is more than clear, that the creditors who are involved in this proceedings have an interest in ensuring that their claim is satisfied as much as possible. The aim of the paper, as its name itself suggests, is not a general description of the course of insolvency proceedings, but a comprehensive analysis of the position and application of claims of the secured creditors. In the insolvency law, we understand the concept of secured creditor somewhat more narrowly compared to the general substantive law, which is based on the Civil Code.
