UFGInclui was created by CONSUNI Resolution 29/2008, for students who declared themselves as indigenous and black quilombolas. Knowing that the Jataí Regional of the Federal University of Goiás has 7 indigenous and 8 black quilombolas who entered by means of the program UFGInclui, the present research has the objective of analyzing the academic performance of these students, verifying the use and relevance of the permanence policies. This objective meets some objectives of the UFGInclui program, which are: to gradually democratize access to the Federal University of Goiás, through an affirmative action policy that contemplates the access and permanence of students coming from public schools, (...) indigenous and black quilombolas; to follow the trajectory of the students who enter by means of UFGInclui, in order to provide institutional support for their good academic performance; to extend the policies of permanence of the students in the graduation courses of the Federal University of Goiás. The study is set as a qualitative research, being developed from bibliographical research, documentary research and empirical research. The theoretical framework adopted is anchored in the analyzes of authors such as Brandão (2005), Bernardino (2004), Chauí (2001), Foucault (1970), Munanga (2003), Pacheco e Silva (2007), Silvério (2003) and others. The following documentary corpus is analyzed: the legislation, which includes the policies of higher education in Brazil; the legal orders, resolutions and specific regulations of the Federal University of Goiás; statistical data from the system used by FUG - SIGAA, on the academic performance of students of the UFGInclui program. The present study was carried out with the students enrolled in the UFGInclui program, indigenous and black quilombolas from public schools, who had a voluntary participation, with the right reserved to withdraw from the research at any stage, and with the guarantee of confidentiality and confidentiality of the information collection. The data was collected with 15 of the 16 students, considering there was a dropout from one of the black quilombola students. For data collection a semi-structured questionnaire was applied and semi-structured interviews, documentary analysis and direct observations were carried out. The results of the study reveal that the academic performance of the participating students accompanies the performance of the class. The students reported that if there were no permanence policies, they would have already dropped out of their courses because they would not be able to stay in the university and away from the family without financial aid and pedagogical accompaniment. / O presente estudo analisa o desempenho acadêmico dos discentes ingressantes nos Cursos da Universidade Federal de Goiás, Regional Jataí, pelo Programa UFGInclui criado pela Resolução CONSUNI nº 29/2008, destinado a discentes que se autodeclararam indígenas e negros quilombolas. Sabendo que a Regional Jataí da Universidade Federal de Goiás possui 7 indígenas e 8 negros quilombolas ingressantes pelo programa UFGInclui, a presente pesquisa tem como objetivo analisar o desempenho acadêmico desses discentes, verificando a utilização e a relevância das políticas de permanência. Tal objetivo vai ao encontro de alguns objetivos do Programa UFGInclui, quais sejam: democratizar gradativamente o acesso à Universidade Federal de Goiás, por meio de uma política de ações afirmativas que contemple o acesso e a permanência de alunos provenientes de escolas públicas, (...) indígenas e negros quilombolas; acompanhar a trajetória dos estudantes que ingressarem por meio do UFGInclui, com vistas a fornecer apoio institucional para o seu bom desempenho acadêmico; ampliar as políticas de permanência dos estudantes nos cursos de graduação da UFG. O estudo configura-se como uma pesquisa qualitativa a presente investigação se desenvolve a partir de pesquisa bibliográfica, pesquisa documental e pesquisa empírica. O referencial teórico adotado ancora-se nas análises de autores como: Brandão (2005), Bernardino (2004), Chauí (2001), Foucault (1970), Munanga (2003), Pacheco e Silva (2007), Silvério (2003) e outros. É objeto de análise o seguinte corpus documental: a legislação, que compreende as políticas de educação superior no Brasil; os ordenamentos legais, resoluções e normativas específicas da UFG; dados estatísticos provenientes do sistema utilizado pela UFG – SIGAA, sobre o desempenho acadêmico dos discentes do programa UFGInclui. O presente estudo foi realizado com os alunos ingressantes pelo programa UFGInclui, indígenas e negros quilombolas provenientes de escolas públicas, os quais tiveram participação voluntária, com o direito reservado de se retirar da pesquisa em qualquer etapa, e com a garantia de confidencialidade e sigilo das informações coletas. Os dados foram coletados com 15 dos 16 discentes, tendo em vista que houve evasão de um aluno negro quilombola. Para coleta de dados aplicou-se questionário semiestruturado e realizaram-se entrevistas semiestruturadas, análise documental e observações diretas. Os resultados do estudo revelam que o desempenho acadêmico dos discentes cotistas acompanha o desempenho da turma. Os discentes relataram que, se não houvesse as políticas de permanência da UFG Regional Jataí, já teriam desistido do Curso, pois não conseguiriam se manter na Universidade e longe da família sem o auxílio financeiro e o acompanhamento Pedagógico.

However, the articles of association are not the only and exclusive means the partners have for regulating their rights and obligations insofar as they may enter into other contracts, complementary and accessory to the articles of association. Among these complementary agreements, we accent the quotaholders agreement. The quotaholders agreement is the contract entered into by partners of a limited liability company to discipline their rights and obligations, taking into consideration, in varying degrees, the corporate relationship derived from the company. The present study aimed at analyzing the legal regime applicable to the quotaholders agreement, in view of the doctrine that divides agreements in three spheres (existence, validity and effectiveness) and, also, pursuant to applicable legislation, especially regarding the application of Law 6,404/76 to limited liability companies. We conclude that the quotaholders agreement (i) exists when partners of a limited liability company enter into an agreement, in parallel to the articles of association, in order to discipline their rights and obligations; (ii) is valid when it does not violate applicable legislation or the articles of association, nor is used to harm third parties; and (iii) effects, always, the contracting parties and, provided that certain requisites are observed (filing with the company s headquarters and register before the Public Commercial Board), third parties, including the company / A escolha das características de uma sociedade limitada é realizada pelos sócios quando da sua contratação, formalizada por meio do contrato social, pautado pelos limites impostos pelo ordenamento jurídico. Entretanto, o contrato social não esgota todas as possibilidades dos sócios pactuarem acerca dos seus direitos e obrigações, vez que os sócios podem realizar outros negócios jurídicos, de caráter complementar e acessório ao contrato social, dentre os quais se destaca o acordo de sócios. O acordo de sócios consiste no pacto firmado por pessoas titulares de direitos de sócio de uma sociedade limitada, o qual tem por fim disciplinar direitos e obrigações entre suas partes, visando, em menor ou maior grau, a relação societária derivada da sociedade limitada. O presente trabalho buscou analisar qual o regime jurídico do acordo de sócios, levando em conta a divisão do negócio jurídico em três planos (existência, validade e eficácia), bem como as características da sociedade limitada e a legislação aplicável ao caso, em especial a aplicabilidade das disposições da Lei 6.404/76 à sociedade limitada. Concluímos, assim, que, o acordo de sócios (i) passa a existir quando titulares de direitos de sócios de uma sociedade limitada firmam um acordo onde disciplinam, à margem do contrato social, o exercício de direitos e deveres dos sócios; (ii) será válido quando não descumprir qualquer preceito legal ou do contrato social, tampouco for utilizado para prejudicar terceiros; e (iii) será eficaz, sempre, perante as partes signatárias e, desde que preenchimentos certos requisitos (arquivamento na sede da sociedade e registro Junta Comercial), perante terceiros, inclusive a sociedade

The cut for this research are the students from the 2009 period 2016. The intention is to verify if the implementation of the quotas in the university has had an impact in the undergraduate courses, increasing the number of students of public schools, as well as to verify who they are included, if they remain in the university and what their academic performance in non-quota students. The research is of quantitative nature and the methodological procedure for the accomplishment of this study was based on the cadastral information of the academic life of the students, which is in the computerized system of the Unioeste called "Academus", being used the universe of the data, that is, this study did not is by sampling. The micro data were provided by the Unioeste Technology Center. The result of the research indicates that there was a high impact of the quota policy in the university, with a high increase in the number of public school students, especially in the courses where there is greater competition in the selective admission process, reaching a percentage of 390% in the medical case The study also revealed that the included students are: economically most needy; that these students, in the general average, enter younger, have a higher grade of achievement, have fewer disapprovals, are less likely to graduate from the university and are more educated. As well as, once included, these students do not interfere, negatively, in the quality of the teaching of the institution, demystifying the idea that the quotaholders would possibly lower the level of education in the universities. / O objetivo deste estudo foi avaliar o impacto da política de cotas na Universidade Estadual do Oeste do Paraná – Unioeste – Campus de Cascavel, a qual foi implantada na instituição no ano de 2009. O recorte para esta pesquisa são os ingressantes do período de 2009 a 2016. O intuito é verificar se a implantação das cotas na universidade gerou impacto nos cursos de graduação, elevando o número de estudantes de escolas públicas, bem como verificar quem são os incluídos, se eles permanecem na universidade e qual é o seu desempenho acadêmico em relação aos estudantes não cotistas. A pesquisa é de cunho quantitativo e o procedimento metodológico para a realização deste estudo foi baseado nas informações cadastrais da vida acadêmica dos estudantes, constante no sistema informatizado da Unioeste, denominado “Academus”, sendo utilizado o universo dos dados, ou seja, este estudo não é por amostragem. Os micros dados foram fornecidos pelo Núcleo de Tecnologia da Informação da Unioeste. O resultado da pesquisa aponta que houve alto impacto da política de cotas na universidade, com alta elevação do número de estudantes de escolas pública, principalmente nos cursos em que há maior concorrência no processo seletivo de ingresso, chegando a um percentual de 390%, no caso de Medicina. O estudo revelou também que os estudantes incluídos são economicamente mais carentes; que estes estudantes, na média geral, ingressam mais jovens, possuem nota maior de aproveitamento, possuem menos reprovações, evadem-se menos da universidade e formam-se mais. Bem como, uma vez incluídos, estes estudantes não interferem, negativamente, na qualidade do ensino da instituição, desmistificando a ideia de que os cotistas, possivelmente, baixariam o nível de ensino nas universidades.
