The dissertation deals with different approaches to determining the value of synergies of companies implementing mergers in the mechanical engineering industry in the Czech Republic. This topic was chosen because of the high number of mergers, as well as the failure to achieve the effects planned. As a result, the consequence of such transactions is not the expected value growth for the owners. In the theoretical part of the thesis, mergers are defined from a legal point of view, and the historical development in the studied area is described. Based on the results of previous research, the systematization of the motives of mergers was carried out. The most common reason is the planned economic benefits in the form of cost savings or revenue growth. This part also describes the merger efficiency evaluation procedures used in previous research. Two approaches were identified, the first based on financial analysis indicators, and the second on discounted cash flow. The main objective of the dissertation is to propose adjustments to the procedure of valuation of companies implementing mergers in order to make it possible to identify the formation of synergy. Therefore, the data of companies operating in the mechanical engineering industry from 2004 to 2011 was used. As part of factor research, statistical tests of significance and dependence were used; the methods of classification and regression trees, as well as the linear regression model, were used to predict synergy. First, using the revenue indicators and operating profit, the transactions were divided into successful mergers and unsuccessful mergers. Based on this division, statistically significant differences in the financial analysis indicators were identified between companies implementing successful and unsuccessful transactions. Statistically significant differences were identified in the indicators of labour cost to revenues, depreciation to revenues and asset turnover ratio. All of the companies examined (target, bidder and newly created) were valued using the discounted capital cash flow method. Based on this valuation, factors that affect the value of the synergy achieved before implementation of the merger were identified. The indicators of return on assets, short-term financial assets to assets, cash flow to assets, and cash flow to interests were identified as statistically significant. These indicators were subsequently used to create prediction models. The first model predicts whether synergies will be achieved, and the second model predicts what the value of the synergies will be. The second model was subsequently incorporated into the pre-merger company valuation model

Från år 2010 till år 2019 har OMXS30 kännetecknats av en stark prisuppgång på 84,2 % under perioden. Författarna vill analysera om det är en multipelexpansion eller stigande vinster som har drivit prisuppgången för OMXS30, samt analysera drivande faktorer för indexets P/E-multipel. Syfte: Syftet med studien är att analysera vad som drivit prisutvecklingen av OMXS30 från år 2010 till år 2019. Studien syftar även till att analysera hur de utvalda faktorerna har påverkat P/E-multipeln på OMXS30 under denna period. Metod: I Uppsatsen appliceras ett kvantitativt och deduktivt tillvägagångssätt för att uppnå studiens syfte. Författarna har använt sig av enkla och multipla regressioner som analysmetod för att analysera de utvalda faktorernas påverkan på P/E-multipeln för OMXS30 under tidsperioder om fem och tio år från år 2010 till år 2019. Slutsats: Trots att OMXS30 visat på en stark prisuppgång har ingen betydande multipelexpansion skett eftersom vinsttillväxten utvecklats likvärdigt med priset. Räntans starka korrelation och signifikans med P/E-multipeln på OMXS30 är i linje med både teori och resultatet från tidigare studier, vilket innebär att sambandet även gäller i den lågräntemiljö som studiens tidsperiod präglats av. Även skuldsättningsgradens samband med P/E-multipeln uppvisade statistisk signifikans på 1 % under studiens tidsperiod, vilket kan ses som en ny värdedrivare att ta hänsyn till när P/E-multipeln analyseras eftersom dess frekvens i tidigare studier varit begränsad. / Background and problem: The price of an asset can be described as a function of the profit it generates, as well as how much investors are willing to pay for that profit. Prior studies have presented contradicting results regarding if it is the variation in the valuation multiple that drives stock prices,or if it is changes in the growth rate of the profits. Between 2010-2019, the Swedish stock index OMXS30 has been characterized by its strong development of 84,2 %, and the authors want to analyze if the strong development of OMXS30 has been driven by a multiple expansion or profit growth. Theauthors will also analyze value drivers of the P/E ratio for the entire index. Purpose: The purpose of the study is to analyze what has driven the price development of OMXS30 between year 2010 to year 2019. Furthermore, the study aims to analyze how the chosen value drivers have contributed to the development of the index during the chosen time period. Methodology: The study applies a quantitative and deductive approach to fulfill the purpose of the study. The authors have applied both simple and multiple regressions as method of analysis during periods of five and ten years, in order to analyze how the chosen value drivers impacts the P/E ratio of the OMXS30. Conclusion:The strong price development of the OMXS30 has not resulted in a significant multiple expansion,which can be derived to the fact the profit growth has had an equally strong development on theindex. The statistically significant and highly correlated relationship between the interest rate andthe P/E ratio of the OMXS30 is in line with both theory and previous studies on the topic, which implies that the relationship remains true in the low interest environment that has been present during the chosen time period. The relationship between the debt to equity ratio and the P/E ratiowas statistically significant at 1 % during the chosen time period, which makes the ratio a new value driver to consider when the P/E ratio is analyzed, especially since the mentioning of the debt to equity ratio as a value driver for the P/E ratio has been limited in both theory and previous studies.

The value of the company is calculated on 1. 1. 2015 by application of income methods. Specifically, the valuation is processed by method of discounted cash flow method DCF entities and the economic value added method EVA. The starting point of valuation is the strategic analysis, financial analysis and the analysis of value drivers. Based on these analyses will be determined value of the company.

Exploring the value drivers of industrial consultancy services in the age of digitalization : A study conducted in association with Sweco Industry

A number of studies have explored the drivers behind value creation, often referred to as value drivers. These studies point out that the generalizability of research on value creation to other contexts is difficult. One such context in which the value drivers remain unidentified is the context of industrial consultancy services. In the age of digitalization, where industries are becoming more complex and knowledge intensive, consultancy services have grown increasingly important for industrial customers. At the same time, globalization intensifies the competition on consultancy markets creating a high pressure on consultancy firms’ ability to continuously enhance value creation for their customers. Based on these challenges, the purpose of this thesis is to explore how value creation can be enhanced through the identification and utilization of value drivers in industrial consultancy services. Two research questions were formulated based on this purpose and addressed by means of a qualitative study conducted in the paper and pulp industry in Sweden. Semi-structured interviews were conducted with six managers and decision makers from five multinational companies that use consultancy services. The thematic analysis of the interviews led to the identification of 13 value drivers that play key roles in value creation in industrial consultancy services: Individual competence, Organizational resources, Availability, Personal relationship, Communication, Personal attributes, Timeliness, Usage of time, Performance, Cost, Customer-organizational involvement, Documentation and Progress by feedback. Ten among these drivers were considered benefits, while three were considered sacrifices. Consultancy firms should strive towards minimizing the negative effects on value creation caused by sacrificial value drivers and maximize the positive effects on value creation caused by beneficial value drivers. In addition, the thesis contributes a model in which the 13 value drivers can be used by both industrial customers of consultancy services and consultancy firms for the purpose of evaluating and enhancing value creation. Specifically, the model offers a tool that (I) compares different consultancy firms or projects in terms of value creation, (II) evaluates and analyzes projects and collaborations with respect to value creation and (III) enhances value propositions and value creating processes.

The Interconnectedness of Relationships for a Propulsion and Maneuvering System : A case study with a supplier network perspective in the maritime industry

The purpose of this case study is to understand how actors interact from a supplier perspective within the marine business, discuss what the findings are implying, and develop a marketing strategy for a propulsion and maneuvering system. Industrial marketing is an essential activity for companies to delivering and managing value to their stakeholders. The academic body of this research uses network theory and relationship marketing as a framework for understanding the social setting.  The research focuses on understanding and interprets how relationships are interconnected to actors and how the links for a relationship are formed. There are too few studies with a normative approach focusing on a product, which can have practical usefulness for managers, entrepreneurs, and organizations. This study applies a case study design for a supplier perspective in the marine business with an abductive method. The data collection uses a qualitative approach to get in-depth knowledge of how the participants perceive the world. In the iterative process for gathering data, the first phase uses unstructured interviews, and in the second phase, semi-structured interviews. The findings imply that information is an essential element for a relationship to create trust and commitment between actors. Information is further discussed for how it can influence decisions that play a significant part for the focal supplier and discussions concerning how marketing activities can be developed for the propulsions and maneuvering system.

Identifikace faktorů ovlivňujících hodnotu strojírenských podniků v ČR / Identification of Value Determinants of the Mechanical Engineering Enterprises in the Czech Republic

This doctoral thesis is focused on value based management. The basic principle of value based management states that the main object in an organization is value enhancement. Within an organization the concept of value based management connects activities and people participating in business processes to maintain that the resources the owners put into the business are evaluated. The essential task of value based management is to find and identify factors which contribute increasing performance and creating the value of a company, known as value drivers. The purpose of this thesis is to identify the factors which by significant amount affect the value of the mechanical engineering enterprises in the Czech Republic. In the first part of the thesis an analysis of current academic knowledge in area of value drivers is made. The base of the analysis is created by foreign resources because there is only limited amount of information in domestic literature. Besides the determination of value approach and its benefits attention is mainly paid to organizing results from value generators area. Findings of secondary resources analysis are used for own research problem. The second part of the thesis includes determination of the main objects and the research problem as well as formulation of the research questions and tested hypotheses. The third part is focused on describing methods which were used in the thesis. In the thesis was applied logical (induction – deduction, analysis – synthesis, generalization – concretaization) and empirical methods (comparsion method, quantitative research methods). Primary data was collected by using a questionnaire. Obtained data was analyzed using logarithmic decomposition of the return on equity, Boosted Trees and descriptive statistics (for example measures of location, measures of variability) and more statistical methods for analysis of statistical hypothesis (Kolmogorov-Smirnov test, Lilliefors test for normality, F-test, Student’s t-test, Chi-squared test, Fisher’s exact test, Spearman’s rank correlation coefficient). In the fourth part of the thesis the branch of manufacturing industry is characterized and the identification of performance factors is accomplished applying logarithmic decomposition of the return on equity. The other subjects of research were companies in a branch called “Manufacturing of machines and devices”. The fifth part of the thesis includes summary of findings of the prime research and its discussion. Primary data was obtained by a questionnaire survey and completed with accounting information of respondents. The findings of the research show that main determinants affecting the value of engineering companies in the Czech Republic are return on assets, profit margin, consumption, sales profitability, personnel costs and value added. The qualitative value drivers are good reputation, human resources (employees) and its characteristics, business and flexibility, performance and productivity, assets, competency responsible staff, attentiveness to requirement of customers, innovation and quality.
