A formação de grupos empresariais como estratégia de planejamento tributário e seu efeito no valor das empresas / The formation of business groups as a tax planning strategy and is effect and its effect on the value of companies

Os três artigos desta tese tratam especificamente de grupos empresariais e sua interação com valor, fatores institucionais e planejamento tributário. O primeiro trata do efeito da formação de grupos empresariais no valor de mercado das empresas, que, apesar do avanço na literatura sobre o tema, a falta de consenso quanto ao seu efeito o torna contemporâneo e sua resposta necessária. Os autores assumem que as estratégias empresariais variam entre setores e são influenciadas por fatores do ambiente institucional em que elas estão inseridas, para então avançar as estratégias metodológicas adotadas até então pela literatura; os resultados obtidos através do Propensity Score Matching (PSM), ferramenta capaz de avaliar a relação causal entre a formação de grupos empresariais e valor de mercado, sugerem que o efeito da formação de grupos empresariais no valor de mercado das empresas, em linha com o entendimento prévio de diferentes em estratégias para diferentes setores, varia entre os setores, e as empresas do setor de serviços apresentam valores mercado menores quando decidem pela constituição de grupos empresariais. Sob a influência desta descoberta, o segundo artigo buscou os motivos que levariam essas empresas a se organizar em grupos empresariais, visto que esta obviamente não é uma decisão econômica de maximização de valor. Utilizando-se da teoria institucional, o segundo artigo se propôs a avaliar se essa é uma decisão influenciada por fatores institucionais, visto que a teoria institucional afirma que o ambiente institucional ao qual as empresas estão submetidas pode influenciar no desenvolvimento de estrutura formais em uma organização, em alguns casos mais profundamente que as pressões de mercado ou econômicas. Os resultados suportam a hipótese de que fatores institucionais presentes no ambiente empresarial, quando combinados, direcionam as decisões das empresas em se organizarem em grupos empresariais, mesmo que essa decisão resulte em menor valor de mercado. Os resultados anteriores foram decisivos para o desenvolvimento do terceiro artigo. Neste artigo, a formação de grupos empresariais foi considerada como uma estratégia de planejamento tributário capaz de reduzir custos tributários, mas não de agregar valor ao acionista. Os resultados apresentados neste artigo indicam que: i) em conformidade com pesquisas anteriores, as empresas se organizam em grupos empresariais em resposta a incentivos fiscais; e ii) essa decisão, por ser uma prática institucionalizada, não é capaz de gerar valor superior às que optaram por outra forma de organização. A estratégia metodológica adotada neste artigo abre uma infinidade de oportunidades para novas pesquisas de causa e efeito na área contábil, como o gerenciamento de resultados e problemas de agência. A combinação dos três artigos nos permite concluir que o planejamento tributário deve ser entendido como parte do processo de decisão e não um ato isolado, cujo único objetivo é o de minimizar o custo tributário das empresas; desta forma, seus resultados devem ser avaliados além das guias de recolhimento dos tributos. Os resultados apresentados nos três artigos são estatisticamente significativos, e os testes de robustez aplicados confirmam que as estratégias adotadas nos artigos foram adequadas. / The three papers in this thesis deal specifically with business groups and their interaction with value, institutional factors and tax planning. The first one deals with the effect of the decision on the formation of business groups in the market value of companies; despite the advances in the literature on the subject, the lack of consensus as to its effect makes it contemporary and its response necessary. The authors assume that business strategies vary between sectors and are influenced by factors of the institutional environment in which they are inserted to advance the methodological strategies that have been adopted in the literature; the results obtained through Propensity Score Matching (PSM), a tool capable of evaluating the causal relationship between the decision to form business groups and market value, suggest that the effect of forming business groups on the value of companies, in line with the previous understanding of different strategies in different sectors, varies between sectors and companies in the service sector have lower market values when deciding to set up business groups. Under the influence of this finding, the second paper sought the reasons that would lead these companies to be organized into business groups, since it obviously was not an economic decision to maximize value. Using the institutional theory, the second article proposed to evaluate if this is a decision influenced by institutional factors, since the theory affirms that the institutional environment to which the companies are submitted can influence the development of the formal structure in an organization, in some cases more deeply than market or economic pressures. The results confirm the hypothesis that institutional factors present in the business environment, when combined, direct the decisions of companies to organize themselves into business groups even if this decision results in lower market value. The previous results were decisive for the development of the third paper. In this paper, the formation of business groups was considered as a tax planning strategy capable of reducing tax costs, but not of adding value to the shareholder. The results presented in this article indicate that: i) according to previous research, companies organize themselves into business groups in response to fiscal incentives; and ii) this decision, being an institutionalized practice, is not capable of generating value higher than opted for another form of organization. The methodological strategy adopted in this article opens up a plethora of opportunities for new cause and effect research in accounting, such as results management and agency problems. The combination of the three papers allows us to conclude that tax planning should be understood as part of the decision process and not an isolated act, whose only objective is to minimize the tax cost of the companies; in this way, their results must be evaluated in addition to the guides of collection of taxes. The results presented in the three papers are statistically significant and the robustness tests applied confirm that the strategies adopted in the papers were adequate.

Planejamento fiscal e elusão tributária na constituição e gestão de sociedades: os limites da requalificação dos atos e negócios jurídicos pela administração / Tax planning and legal form abuse of private law on the constitution and management of companies

A presente tese de doutorado aborda o tema do planejamento tributário, aplicado à constituição e gestão de sociedades. Analisa-se o papel exercido pelo parágrafo único do artigo 116 do CTN, que supre uma lacuna da legislação brasileira, introduzindo a doutrina do abuso de formas de direito privado, de origem germânica, e adequando a legislação brasileira ao Estado Democrático de Direito, em que os princípios da legalidade e da livre iniciativa convivem, pacificamente, com os princípios da capacidade contributiva e da igualdade. Verifica-se, ainda, que a Lei Complementar n. 104/2001 estabelece um regime que nada tem a ver com o previsto no artigo 149, VII, do CTN. Examina-se, em seguida, a questão específica do abuso de formas de direito privado, em conexão com a teoria da causa do negócio jurídico e a relação desta com os artigos 421 e 187 do Código Civil. No que se refere especificamente à constituição e gestão de sociedades, procura-se identificar qual é a causa ou a função social do contrato de sociedade, com o objetivo de evidenciar de que forma as escolhas do contribuinte no exercício de sua atividade empresarial vinculam o Fisco. / The present thesis deals with the theme of tax planning, applied to the constitution and management of companies. The role of the single paragraph of article 116 from the National Tax Code is also analyzed, due to the fact that it remedies the omission of Brazilian legislation by introducing the so-called legal form abuse of private law doctrine, whose original creation harks back to Germany; in addition, this theory also conforms the Brazilian legislation to the Legal Democratic State, in which the principles of lawfulness and free enterprise cohabit, pacifically, with the principles of ability to pay and equality. Moreover, it can also be noticed that Supplementary Law n. 104/2001 establishes a regime that has nothing to do with article 149, VII of the National Tax Code. After that, the specific question of legal form abuse of private law doctrine is handled, in connection with the juristic acts cause theory and its relation to articles 421 and 187 from the Civil Code. When it comes down to the constitution and management of companies, the scope is to verify what the cause or social duty of the companys by-laws is, with the main objective of clarifying how the taxpayers choices during the practice of his activity peg the Tax Administration.

Planejamento tributário e valor da firma no mercado de capitais brasileiro / Tax planning and firm value in the Brazilian capital markets

Este estudo investiga se o planejamento tributário efetuado pelas companhias abertas é uma prática de gestão que gera valor para o acionista. Embora se possa conjeturar que o aumento de lucros proporcionado pela economia de tributos contribua para elevar o valor da firma, uma avaliação incompleta de todos os custos do planejamento tributário possibilita o surgimento de quadros em que os custos superam os benefícios, reduzindo o retorno para os acionistas e afetando negativamente o valor da firma. Estudos desta questão efetuados em outros países apresentaram resultados variados. Para a verificação empírica, utilizou-se de análise de dados em painel, realizada sobre uma amostra de 1.432 observações do tipo empresa-ano, composta por 310 companhias abertas negociadas em bolsa nos anos de 2007 a 2012. O valor da firma foi estimado pelo Q de Tobin e o planejamento tributário por duas métricas distintas, alternadamente: Book-Tax Differences, controlada por accruals, e total de tributos distribuídos na DVA, ambas padronizadas pelo ativo. Visando obter resultados robustos, a amostra foi estratificada em função da agressividade histórica das firmas quanto ao planejamento tributário. Os resultados mostram que existe uma relação negativa entre planejamento tributário e valor da firma no estrato das firmas mais agressivas, não tendo havido convergência de evidências no estrato das firmas menos agressivas. Em função das peculiaridades do mercado de capitais brasileiro, foram analisados também os efeitos da governança corporativa, da gestão familiar e da concentração acionária sobre a relação estudada. Os resultados mostram que estes fatores não conseguem conter a diminuição de valor ocorrida no estrato das firmas agressivas. A contribuição desta pesquisa para a literatura consiste na demonstração dos efeitos que os custos de agência exercem sobre as avaliações dos investidores no mercado de capitais e na evidenciação da relação negativa entre planejamento tributário e valor da firma, detectada no conjunto das firmas agressivas, o que pode orientar a conduta dos investidores, analistas de mercado e gestores. / This study investigates whether tax planning activities conducted by publicly traded firms represent a management practice that creates shareholder value. While one might say, at first, that the increase in profits provided by the tax savings contributes to raise the value of the firm, an incomplete assessment of all the costs of tax planning facilitates the emergence of scenarios in which the costs outweigh the benefits, reducing the return to shareholders and adversely affecting the firm value. Studies of this issue in other countries found mixed evidence. For the empirical verification, analysis of panel data was conducted on a sample of 1,432 firm-year observations, composed of 310 publicly traded firms in years 2007 to 2012. Firm value was estimated by Tobin\'s Q and tax planning was proxied by two distinct metrics, alternately: Book-Tax Differences, controlled by total accruals, and total taxes distributed in Value Added Statement, both scaled by total assets. In order to obtain more robust results, the sample was stratified according to historical aggressiveness of the firms\' tax planning. The results show that there is a negative relationship between tax planning and firm value in the stratum of the most aggressive firms. Evidence didn\'t converge for the stratum of less aggressive firms. Due to the peculiarities of the Brazilian capital markets, the effects of corporate governance, ownership concentration and family management over the investigated relationship were also analyzed. The results show that these factors can not contain the value destruction that occurs in the stratum of the aggressive firms. The contribution of this research to the literature consists in demonstrating the effects that agency costs have on firm evaluations made by investors in the Brazilian capital markets and the disclosure of the negative relationship between tax planning and firm value found in the group of the aggressive firms, which can guide the behavior of investors, market analysts and managers.

A critical analysis of South Africa's general anti avoidance provisions in income tax legislation

This treatise was undertaken to critically analyse the new general anti avoidance rules (new GAAR) as set out in sections 80A to 80L of the Income Tax Act1. A discussion on the difference between tax evasion and tax avoidance was performed in the first chapter. The goals of this treatise were then set out. An analysis of the requirements for the application of the new GAAR was performed in the second chapter. The courts have historically reviewed the circumstances surrounding an arrangement when determining whether tax avoidance has occurred. The new GAAR requires the individual steps of an arrangement to be reviewed in isolation. Secondly, the courts have historically held that the purpose test, when determining the taxpayer‘s purpose, was subjective. The wording of the new GAAR indicates that this test is now objective. Thirdly, the courts have historically viewed the abnormality of an arrangement based of the surrounding circumstances. The wording of the new GAAR requires an objective view of the arrangement. An analysis of the secondary provisions contained in sections 80I, 80B and 80J of the new GAAR was performed in the third chapter. With regards to section 80B, it was submitted that the Commissioner should issue an Interpretation Note detailing all the methods ―he deems appropriate.

This work brings a systematic approach to the design of a transaction-based transfer-pricing policy of a multinational group and related tax optimization. The foundation of the work is a description and analysis of all aspect of the transfer-pricing regulation including a detailed classification of particular business risks. Using a certain simplification of the complicated relations in multinational groups, a system compliant with transfer-pricing rules is designed, hence minimizing the tax risk. Further, I devote my attention to rather complicated areas of transfer-pricing like pricing of payments for intangible property, pricing in non-standard structures and allocation of exchange rate risk. After the build-up of the architecture of the transfer-pricing system, analysis of the tax optimization possibilities adhering to all regulatory requirements is carried out. The detailed description of the tax effective supply chain management planning concept and other planning instruments is presented. The final part is devoted to the negative tax implications of business restructuring steps analyzed on the examples of particular structures.

The main objective of this Master's thesis is to analyze the regulation of tax liability of legal person and on the basis of the analysis to reveal opportunities for optimization of the tax liability by means of practical examples of the application of tax optimization. To achieve this objective, the work is divided into five main chapters. The purpose of the first four chapters is to provide a sufficient theoretical base connected with tax optimization. This section begins with the interpretation of general problems of the theory of corporate taxes, which gradually passes into the interpretation of more specific areas. In the following part of the work the selected methods of tax optimization are used on illustrative numerical examples, the conditions for the application of optimization methods are determined and the situation before using the optimization and after the use is compared. The conclusion summarizes the possible ways of reducing the tax burden of the firm and the possibility of their practical use.

The aim of this thesis is to provide a description of the phenomenon of tax havens in relation to the Czech Republic. The thesis begins with description of theoretical background of this topic including the description of main sectors used for international tax optimalization. Among the areas of the optimization methods, which are described in this thesis, belongs dividends, royalty payments, interest income. The thesis presents an impact of tax haven existence to Czech economy. The impact on public budget is shown and counted on the model example of fictive international company. As a reaction of losses caused by profit shifting to more favourable jurisdictions international organizations are coming up with initiatives to reduce the possibilities of tax planning. The thesis is concluded with an overview which Czech republic should accept to reduce profit shifting to other jurisdictions.
