Informe Jurídico sobre la sentencia del Expediente N° 371-2015

El presente informe analiza el concepto de duda justificada sobre la independencia e imparcialidad de un árbitro, en el marco de un caso de anulación de laudo por las causales b) y c) del artículo 63 del decreto legislativo 1071, para a partir de ello esbozar que el criterio para concretizar el concepto de duda justificada a razón de un vínculo amical requiere emplear los elementos de proximidad e intensidad del vínculo al momento de efectuar el deber de revelación para la evaluación realizada por las partes. Para estos fines hemos recurrido a la legislación nacional sobre el arbitraje, las guías de buenas prácticas en el arbitraje, así como el análisis de sentencias que desarrollan el concepto de duda justificada sobre la independencia e imparcialidad de un árbitro (como es por ejemplo la resolución N° 43 del expediente N° 155-2012 de la Corte Superior de Justicia de Lima y la Sentencia del Tribunal Constitucional recaída en el expediente N° 02851-2010-PA/TC) y decisiones internacionales sobre recusaciones (ICSID Case ARB03/19). De igual forma, se analizó el desarrollo realizado por la doctrina de la imparcialidad e independencia y sus elementos (autores como Mario Castillo Freyre, Esteban Alva, Julio Wong, Francisco González de Cossío, Thomas Clay, Joshi Riddi, Marlen Estévez, entre otros). / The present study analyzes the concept of justified doubt as to the independence and impartiality of an arbitrator, in the context of a case of annulment of an award on the grounds b) and c) of Article 63 of Legislative Decree 1071, in order to outline that the criterion for determining the concept of justified doubt on the basis of a friendly relationship requires the use of the elements of proximity and intensity of the relationship at the time of making the duty of disclosure for the assessment made by the parties. For these purposes, we have resorted to the national legislation on arbitration, the guides to good practice in arbitration, as well as the analysis of judgments that develop the concept of justified doubt on the independence and impartiality of an arbitrator (such as, for example, Resolution No. 43 of Case No. 155-2012 of the Superior Court of Justice of Lima and the Constitutional Court's judgment in Case No. 02851-2010-PA/TC) and international decisions on challenges (ICSID Case ARB03/19). Likewise, the development of the doctrine of impartiality and independence and its elements (authors such as Mario Castillo Freyre, Esteban Alva, Julio Wong, Francisco González de Cossío, Thomas Clay, Joshi Riddi, Marlen Estévez, among others) were analyzed.

The edition of Law 13.129/2015, which amended the previous Law 9.307/96 (Arbitration Act), and the advent of the new Civil Procedure Code 2015, with significant changes regarding the regime of precedents, instigates the operators to seek a systemic balance that allows the adequacy between these two forms of conflict resolution. The judicial precedents have gained exacerbated importance in the recent legislative changes and due to that specialists discuss the approach and influence of the Anglo-Saxon system in Brazilian law, with origin in civil law. From this notorious importance given to judicial precedents and their effectiveness to jurisdictional system, we analyze the interference of judicial precedents and precedents in arbitration of law, especially in view of the importance that the Civil Procedure Code of 2015 has given to the so called by a new precedent system / A relação entre o Poder Judiciário e a arbitragem sempre foi tema de grande relevância na doutrina nacional e internacional. A edição da Lei nº 13.129/2015, que alterou a anterior Lei nº 9.307/96 (Lei de Arbitragem), e o advento do novo Código de Processo Civil de 2015, com significativas mudanças no que tange ao regime dos precedentes judiciais, instigam os operadores do Direito a buscar um equilíbrio sistêmico que permita a adequação entre essas duas formas de resolução dos conflitos. Os precedentes judiciais ganharam exacerbada importância nas recentes alterações legislativas, a ponto de especialistas debaterem a aproximação e influência do sistema anglo-saxão ao direito brasileiro, de raízes fincadas no civil law. A partir dessa reconhecida importância dada aos precedentes judiciais e ampliação de sua eficácia aos órgãos dotados de jurisdição analisa-se a interferência dos precedentes judiciais e súmulas nas arbitragens de direito, sobretudo diante da importância que o Código de Processo Civil de 2015 deu ao que vem sendo chamado por alguns de um novo sistema de precedentes

Informe sobre Resolución No. 43 del Expediente No. 00155-2012-0-1817-SP-CO-02

Conforme a lo resuelto por la sentencia de la Segunda Sala Comercial en el recurso de anulación de laudo interpuesto por Química Suiza S.A. contra Dongo-Soria, Gaveglio y Asociados S.R.L. seguida bajo el expediente No. 155-2012, el presente informe analiza los siguientes dos problemas jurídicos. En primer lugar, el presente informe analizará si es que el laudo arbitral objeto del recurso de anulación de laudo vulneró el derecho a la prueba y a la debida motivación de laudos arbitrales. Para ello, se evaluará el estándar de motivación de laudos arbitrales y las implicancias del derecho a la valoración probatoria. En segundo lugar, se analizará si el laudo arbitral cuestionado afecta el derecho a ser juzgado bajo los principios de independencia e imparcialidad, debido a un viaje realizado por uno de los árbitros junto con el abogado de una de las partes del proceso. A raíz de lo analizado, se plantea una propuesta con el objeto de solucionar los problemas vinculados a la exigencia de un reclamo previo en el arbitraje como requisito de procedencia del recurso de anulación de laudo arbitral, cuando ello no es posible por alguna razón. / Pursuant to the decision of the Second Commercial Chamber in the annulment of the award filed by Química Suiza S.A. against Dongo-Soria, Gaveglio y Asociados S.R.L. in case No. 155-2012, this report analyzes the following two legal issues. First, this report will analyze whether the arbitral award that is the object of the annulment of the award violated the right to evidence and the right to a reasoned arbitral award. To this end, it will evaluate the standard of reasoning of arbitral awards and the implications of the right to the evaluation of evidence. Secondly, it will be analyzed whether the arbitral award in question affects the right to be judged under the principles of independence and impartiality, due to a travel made by one of the arbitrators together with the attorney of one of the parties. As a result of this analysis, a proposal is made in order to solve the problems related to the requirement of a prior claim in arbitration as a requirement to procedural denial for the annulment of the arbitral award, when this is not possible for any reason.

Informe sobre la Res. 7 del Exp. 00022-2016-0-1817-SP-CO-01 (Sentencia de proceso de anulación de laudo seguido por KS DEPOR contra el CLUB SC)

En el presente Informe se analizará la Sentencia emitida por la Primera Sala Comercial sobre el recurso de anulación de laudo presentado por KS DEPOR S.A contra el Club Sporting Cristal, el cual fue tramitado bajo el Expediente No. 00022-2016-0-1817-SPCO-01. En específico, se hará un análisis respecto a la primera causal de anulación de laudo presentada por la demandante, vinculada a la supuesta vulneración al deber de independencia e imparcialidad por parte de dos de las árbitros al no haber revelado -de manera oportuna- hechos que atentaban contra estos principios del arbitraje y de los cuales la demandante tomó conocimiento una vez culminado el arbitraje. Esta causal fue declarada improcedente por la Sala Comercial al no haber presentado un reclamo previo, de conformidad con lo establecido en el artículo 63.2 de la Ley de Arbitraje. Tomando como base ello, y en primer lugar, el presente informe analizará si el requisito de formular reclamo previo, a efectos de demandar la nulidad del laudo bajo las causales b) y c) previstas en el artículo 63.1, se debe cumplir incluso cuando la falta de independencia e imparcialidad se descubre de manera posterior al arbitraje. En segundo lugar, se analizarán los alcances de los deberes de los árbitros de imparcialidad e independencia. Y, finalmente, se determinará si es que, efectivamente, las árbitros vulneraron o no los principios de independencia e imparcialidad y si es que correspondía anular o no el laudo. / This Report will analyze the Judgment issued by the First Commercial Chamber on the claim for annulment of the award filed by KS DEPOR S.A. against Club Sporting Cristal, which was processed under File No. 00022-2016-0-1817-SP-CO-01. Specifically, an analysis will be made with respect to the first cause for annulment of the award presented by the claimant, linked to the alleged violation of the duty of independence and impartiality by two of the arbitrators by not having disclosed -in a timely manner- facts that violated these principles and of which the claimant became aware once the arbitration was completed. This cause was declared inadmissible by the Commercial Chamber for not having filed a prior claim, in accordance with the provisions of Article 63.2 of the Arbitration Law. On this basis, and in the first place, this report will analyze whether the requirement of having to file a prior claim, for the purpose of claiming the nullity of the award under the grounds b) and c) provided for in Article 63.1, must be met even when the lack of independence and impartiality is discovered after the arbitration. Secondly, the scope of the principles of impartiality and independence will be analyzed. And, finally, it will be determined whether or not the arbitrators did indeed violate the principles of independence and impartiality.

From this introduction, the work seeks to define the extent of arbitrators obligations, focusing in what the ethical codes and internal rules of arbitral institutions says about this duty and about preserving the impartiality and independence of the arbitrator. Although the Brazilian Arbitration Act has expressly given the arbitrators the very same treatment as the one given to Court judges for criminal law purposes, there is no specific provision regarding the civil liability of arbitrators. The second part is exposed the liability theory in Roman law, and the evolution of this institute in the Brazilian system, highlighting the possibility of state condemnation due to constitutional torts. Deals with the analogous application of the theory of civil responsibility of the judge to the arbitrator, pointing out the differences between the lawsuit and the arbitration procedure. Once defined the extent of arbitrator´s obligations and how the arbitrator may be liable, this paper will takes into account both contractual and jurisdicional aspects of the arbitrators activity / Esta dissertação destaca o papel do árbitro no âmbito da arbitragem, bem como os deveres que este assume quando aceita o encargo. A partir dessa introdução, o trabalho busca definir a extensão das obrigações do árbitro e a natureza jurídica da sua relação com os demais personagens da arbitragem, apresentando o enfoque que os códigos de éticas e regimentos internos das instituições arbitrais dão a essas obrigações, destacando especialmente os deveres da imparcialidade e independência do árbitro. Conquanto a lei de arbitragem brasileira tenha expressamente equiparado o árbitro ao juiz estatal para efeitos de legislação penal, não há, na lei, tratamento específico à questão da responsabilidade civil do árbitro. Por isso, na segunda parte do trabalho é exposta a teoria da responsabilidade civil no Direito Romano, e a evolução desse instituto no ordenamento brasileiro, com destaque para a possibilidade de condenação do Estado em decorrência de atos ilícitos jurisdicionais. Aborda-se a aplicação análoga da teoria da responsabilidade civil do juiz ao árbitro, ressalvando as diferenças entre o processo judicial e o processo arbitral. Definida a extensão das obrigações e a forma como deve o árbitro ser responsabilizado, levando-se em conta os aspectos contratuais e jurisdicionais da atividade do árbitro
