Exclusionary clauses in South Africa have thus far been interpreted narrowly by the South
African Courts. It has been accepted that where a patient enters into a medical
contract/agreement with a hospital that includes a clause excluding the hospital and its
employees from any form of liability whether negligently or not, the patient has no form of
recourse against the hospital for any damages caused except that caused by gross negligence;
the hospital will be absolved of any form of liability. The term caveat subscriptor applies –
“let the signer be aware” that he/she is bound by the agreement signed by him/her whether or
not it was read and understood. The leading case in South Africa dealing with exclusionary
clauses in medical contracts is Afrox Healthcare Limited v Strydom. Since that decision the
Consumer Protection Act has came into existence. My research question involves
determining the impact an exclusionary clause would have, when analysed in terms of the
provisions of the Consumer Protection Act with particular reference to its applicability and
enforcement in medical/hospital contracts. The Afrox case has in itself been a controversial
decision, with many legal writers of the opinion that the principles laid down by the case
need to be overturned as the judgement is not in line with public policy. It is argued that with
the Consumer Protection Act in place, it can be assumed that exclusionary clauses in
medical/hospital will no longer be valid. The Act is a step in the right direction towards

Contractual exemption clauses under the South African Constitution : an examination of the potential impact of public policy and Ubuntu on such provisions.Sewsunker, Sheethal. 07 November 2013 (has links)
This dissertation will examine the current state of our common law in relation to its treatment of exemption clauses in contracts, and will focus on recent developments which may augur greater scope and a new approach to be taken in future for South African courts to ensure fairness and the promotion of substantive justice for contracting parties faced with such provisions. Whilst it is acknowledged that exemption clauses are considered to be an integral part of most contracts and are used to facilitate the efficient running of businesses, their continued use in standard form contracts have been viewed with judicial suspicion and scrutiny as the inherent nature of these clauses have the potential to operate unfairly against a contracting party by excluding their rights of recourse which they would have otherwise had at common law. Public policy has always been a benchmark against which potentially unfair contracts terms have been measured however, the advent of the Constitution has brought about a new meaning to be prescribed to public policy as the Constitutional Court has declared that it is now deeply rooted and informed by constitutional values of dignity, equality, freedom and more recently ubuntu which is to infuse the common law principles of contract. Despite these developments, the new meaning of public policy and the apparent elevation of the spirit of ubuntu as an overarching and founding constitutional value has not been fully utilised by courts in a manner which can effectively address these potentially unfair, one-sided and abusive exemption clauses by declaring them to be contrary to public policy. Notwithstanding legislative acknowledgement and the subsequent enactment of the Consumer Protection Act 2008 which has brought about greater regulation of unfair and unconscionable contract terms, it is argued that the testing of potentially unfair and abusive exemption clauses against the dictates of public policy and ubuntu in a constitutional context may provide the South African courts with a new approach to pursue greater substantive justice in respect of these notoriously problematic clauses. / Thesis (M.A.)-University of KwaZulu-Natal, Durban, 2012.

vague semantic content in the judicial decision as the motivation content of these
decisions, through a review of the legal literature and the humanities.
Thus, the work deals with procedural and theoretical aspects of the
motivation of judicial decisions, a topic that gains prominence within the
Constitutional rule of law and the theory of law, in order to generate controllability of
court actions and legitimacy of jurisdiction.
As a result, it provides a contribution to the understanding of the
current meaning of the dimensions of motivation when these vague semantic terms
are present, as well as a contribution to the understanding of the reasoning interaction
with other legal aspects of the civil procedure and constitutional rights and guarantees / O presente texto aborda o preenchimento de normas jurídicas com
conteúdo semântico vago na decisão judicial como conteúdo da fundamentação dessas
decisões, através de uma revisão da literatura jurídica e das ciências humanas.
Assim, o trabalho trata de aspectos processuais e teóricos da
fundamentação das decisões judiciais, tema que ganha relevo dentro do Estado
Constitucional e da teoria do direito, com vistas a gerar controlabilidade dos atos
jurisdicionais e legitimidade do exercício da jurisdição.
Como resultado, fornece-se uma contribuição para a reflexão do

Administration and private parties. The research question is: what are the mandatory provisions
of the arbitration clause agreed between the Administration and a private party, in view of the
legal-administrative regime? The text is divided into four chapters. The first chapter examines
the use of arbitration by the Administration in the context of state reform, whereby the
application of private methods of dispute resolution became meaningful in the public sphere.
This chapter also copes with investigating the evolution of arbitration in the Brazilian legal
system and jurisprudence. In addition, the chapter studies the conformation of arbitration in the
Administrative Law scenario. The second chapter ventures into the study of the peculiarities of
arbitration involving the Administration, bringing the main legal provisions that condition the
use of the arbitration. The third chapter, in its turn, addresses objective arbitrability, dealing
with some contributions of foreign law; about the criteria for the definition of ‘rights that may
be disposed’; regarding arbitrability in the context of government contracts and on the content
of the arbitration clause in light of arbitrability. In this chapter, a specific legal principle,
regarding the content of the arbitration clause, is constructed. In the fourth chapter, the
investigation analyzes how the arbitration clause must be structured, in view of the peculiar
provisions of the legal-administrative regime and of the principle built by this thesis. The fourth
chapter also promotes a practical investigation of arbitration clauses used in government
contracts already concluded. Finally, the research question is answered in the conclusion / Esta tese versa sobre a arbitragem, como método de resolução de controvérsias entre a
Administração Pública e o particular. A questão central de investigação (research question) é:
quais são os preceitos obrigatórios da cláusula arbitral firmada pela Administração e o
particular, em vista do regime jurídico-administrativo? O texto é dividido em quatro capítulos.
No primeiro capítulo, averígua-se que o uso da arbitragem pela Administração insere-se no
contexto de reforma do Estado, pelo qual a aplicação de métodos privados de resolução de
controvérsias passou a fazer sentido na esfera pública. Este capítulo também se ocupa de
investigar a evolução da arbitragem no ordenamento jurídico e na jurisprudência brasileiros.
Ainda, o capítulo estuda a conformação da arbitragem no cenário do Direito Administrativo. O
segundo capítulo incursiona no estudo das peculiaridades da arbitragem envolvendo a
Administração, trazendo as principais disposições jurídicas que condicionam o uso do instituto.
O terceiro capítulo, por sua vez, aborda a arbitrabilidade objetiva, tratando sobre alguns
contributos do direito estrangeiro; acerca dos critérios para a definição da disponibilidade; a
respeito da arbitrabilidade no contexto dos contratos administrativos e sobre o conteúdo da
cláusula arbitral em face da arbitrabilidade. Neste capítulo, constrói-se um princípio jurídico
específico a respeito do conteúdo da cláusula arbitral. No capítulo quarto, a investigação analisa
como a cláusula arbitral deve ser estruturada, em vista dos preceitos peculiares do regime
jurídico-administrativo e do princípio construído por esta tese. O capítulo quarto promove,
outrossim, uma investigação prática a respeito de cláusulas arbitrais já usadas em contratos
administrativo. Finalmente, responde-se à pergunta inicialmente realizada, apresentando-se
uma conclusão
