A sucessão na empresa familiar tem sido considerada por seus estudiosos como o mais importante desafio a ser enfrentado por aquelas companhias na luta por sua perpetuação. Os processos de transição do controle da família enfrentam várias dificuldades típicas de qualquer transição gerencial ou de propriedade na firma, mas são complicados por fatores subjetivos presentes na interação das dinâmicas empresarial e familiar. Nas sucessões familiares os conflitos emergem, frequentemente, da indiscriminação entre os papéis sociais na família e na empresa. Tais conflitos envolvem questões ligadas à propriedade do negócio, à sua administração e aos interesses da família. A Nova Economia das Instituições adicionou ao corpo teórico das finanças corporativas uma série de variáveis comportamentais desconsideradas pela Economia Neoclássica com o objetivo de imprimir maior realismo às análises teóricas. O presente trabalho investiga as proposições da Teoria Econômica de Finanças para o comportamento dos administradores quanto à escolha da Estrutura de Capital na firma e sua utilidade para os Processos Sucessórios como elemento atenuante de conflitos. As conclusões apontam para uma interdependência entre decisões de Estrutura de Capital e Processo Sucessório, e para uma grande importância da forma de financiamento no longo prazo para o sucesso da Sucessão na Empresa Familiar, além de sugerirem pesquisas mais avançadas no sentido de compreender melhor esse contexto. / Experts consider the process of succession in the family business as the most important challenge in their fight for perpetuation. The transition processes encounter various difficulties common to managerial transitions, yet they are made more complicated due to subjective factors present in both the family and management arenas. During succession processes, conflicts often arise out of a difficulty to differentiate between social and business roles in the family. Such conflicts involve issues such as ownership, management styles and family interests. The New Institutional Economics added a series of behavior variables to the theoretical body of corporate finance. Such variables, previously not considered by the Neoclassic Economics, were added so as to bring a higher level of realism to the theoretical analysis. This dissertation investigates the propositions put forward by the Economic Theory of Finance regarding the behavior of managers as far as their choice of Capital Structure for the business and its validity as conflict attenuation in the process of Succession. The conclusions put forward here point toward an interdependency between decisions regarding Capital Structure and Succession in the Family Business. In addition to that, they highlight the importance of long term financing for a successful process, and suggest further investigation that could support and illustrate the conclusions.

Finansiell Bootstrapping : En flermetodsforskning inom ämnet Bootstrapping och dess tillämpande bland medel-stora till stora bolag

The aim of this investigative thesis was to further study the use of financial bootstrapping in medium to large sized enterprises. The thesis furthermore aimed to investigate if there are any prerequisite bootstrapping methods used in correlation to annual turnover, industry as well as to conduct research to whether enterprises are aware of their current use of financial bootstrapping. The study can conclude that financial bootstrapping is used among medium to large sized enterprises. Furthermore, the study can also conclude that there exists a correlation between desired bootstrapping methods used and annual turnover. A correlation to the current lifecycle phase currently presided in, in regard to a specific financial bootstrapping method used could not be solely concluded as well as industry-based preferences in regards to specific bootstrapping methods could not be established. The thesis overall conclusion is that further research is needed to conclude if there exist any industry-based preferences towards usage of specific bootstrapping methods, as well as further research should be aware of problems this study has identified in order to better prepare future study in the aimed field. / Syftet med studien var att undersöka tillämpandet av finansiell bootstrapping bland medelstora och stora bolag. Studien ämnade även att vidareutforska huruvida det råder omsättnings & branschspecifika bootstrappingsmetoder samt förtydliga om det återfinns företag som själva inte framhäver sitt tillämpande. Resultaten visade att finansiell bootstrapping tillämpas bland medelstora och stora bolag samt att det råder vissa omsättningsspecifika bootstrappingsmetoder. Slutsatsen är att trots gynnsamma resultat krävs det vidareforskning inom ämnet för att ytterligare kunna påvisa branschspecifika bootstrappingsmetoder som dessutom kan generaliseras till en bredare population. Forskarna kan även konkludera att det krävs ett beaktande till rådande problematik denna studie påträffat för att öka framtida validitet ytterligare i genomförda studier.

La plupart des études en gestion sur la performance des entreprises sont centréessur l'explication de la relation entre les facteurs internes ou des caractéristiquesintrinsèques de l'entreprise (niveau d'endettement, diversification des produits, lastratégie concurrentielle, etc.) et son performance. Cette thèse vise à déterminerquels sont les facteurs de risque exogènes qui ont un impact sur la performance desentreprises en République Dominicaine? Ces facteurs, affectent-ils différemment lesmicro, petites et moyennes entreprises en fonction de leur secteur d'activité. Quelest le risque pour chacun des plus représentatifs sous-secteurs des entreprisesDominicaines? Nous avons constaté que les facteurs de risque les plusstatistiquement significatifs sont les dépenses de consommation des ménages, letaux d'intérêt des banques commerciales, l'investissement total, le taux de changede DOP à USD et le déficit de la balance commerciale. La composition etl'importance des facteurs varient considérablement en fonction de la taille desentreprises et le sous-secteur auquel ils appartiennent. Les grandes entreprises sonten moyenne moins risqué que des moyennes, petites et micro entreprises, n’importequel que soit le sous-secteur auquel ils appartiennent. / Many of the management studies on the performance of the company are focusedon explaining the relationship between the internal factors or intrinsic characteristicsof the firm (debt level, diversification of products, competitive strategy, etc.) and itsperformance. This thesis seeks to determine, what are the exogenous risk factorsthat impact the performance of all companies in the Dominican Republic? Thesefactors differentially affect the micro, small and medium enterprises according to theirbusiness sector. What is the risk on each of the most representative sub-sectors ofthe Dominican companies? We found that the most statistically significant riskfactors are the household consumption expenditure, the interest rate of commercialbanks, the total investment, the DOP to USD exchange rate and the deficit on thetrade balance. The composition and importance of the factors significantly variesdepending on the size of the company and the sub-sector to which it belongs. Also,large firms are on average less risky than medium, small and micro regardless of thesub-sector they belong. / Muchos de los estudios de gestión sobre el performance de la empresa se enfocanen explicar la relación que existe entre los factores o características intrínsecas de laempresa (nivel de endeudamiento, diversificación de productos, estrategiacompetitiva, etc.) y el performance de la misma. Esta tesis busca determinar¿cuáles son los factores exógenos de riesgo que impactan el performance de lasempresas de la República Dominicana? Si estos factores afectan de forma diferentea la micro, pequeña y mediana empresa según su actividad empresarial. ¿Cuál es elriesgo que tiene cada uno de los sub-sectores más representativos de las empresasdominicanas? Encontramos que los factores de riesgo estadísticamente mássignificativos son el consumo de los hogares, la tasa de interés de los bancoscomerciales, la inversión total, la tasa de cambio de DOP a USD y el déficit en labalanza comercial. La importancia y composición de los factores varíasignificativamente según el tamaño de la empresa y el sub-sector al que pertenece.También, en promedio, las empresas grandes tienen menos riesgos que lasmedianas, pequeñas y micro sin importar al sub-sector que pertenezcan.
