Status of governing body of business corporation in liquidation Abstract The frequency of cases of business corporations in liquidation has an increasing trend, however, it cannot be said that the academic interest would sufficiently cover the topic of liquidations. There are still a number of insufficiently answered questions that lead to completely opposite conclusions in practice. This diploma thesis deals with one such issue, which is the position of the statutory body of a business corporation in liquidation. In the ranks of the professional community, one can also encounter certain doubts about the existence of the statutory body of a business corporation in liquidation, that the statutory body should cease to exist. This paper seeks to answer this question through a critical analysis of legal regulations and compilations of works by the professional community. At the beginning the work briefly defines the individual terms in the first chapter for the needs of this work in order to maintain the conceptual unity. The terms are business corporation, statutory body, liquidation and its purpose and, last but not least, the liquidator. Duties of a member of governing body of a limited company in financial difficulties Abstract This thesis discusses duties of a member of governing body of a limited company in financial difficulties, specifically chosen institutes not only from corporate law but from insolvency law as well. The main goal of this thesis is to define period of financial difficulties and to create a basic overview of legal duties that are connected to this period. When analysing individual duties, where I take into consideration conclusions from specialised literature and from decisions of the courts, I focus on problematic parts of the enacted law. The thesis proposes de lege ferenda propositions and also reflects on the amendment to the Business Corporations Act. The thesis is divided into four chapters. The first chapter deals with the due managerial care and diligence. It is the key duty, which is imposed on the members of governing body of a limited company. In the second chapter I discuss the state of financial trouble of the company. The Czech lawmaker tries to reflect on this economical state by the institutes of insolvency and impending insolvency, which I focus on within this part. Normalitet och styrning i en förskola för alla (Normalization and governing in a pre-school for all)

The purpose of this study is to analyze how special education is done in relation to what is considered "normal". The aim is to discuss how the normalization discourse appears in a pre-school for all and, by extension, how the need of special education is articulated in relation to the normalization discourse. This study also intends to discuss how the perception of what is normal affects special education in pre-schools. The study draws upon previous research within the special education area through which we make our position. Since there is only a few studies in this chosen field which are based on empirical data, our study indicates the importance of more research in this field. The qualitative empirical material of the study is based on ethnography, which means we've got a wide material. In the thematic analysis the data is treated of equal value. The results of the analysis show that the educators seems to unknowingly follow several norms in their work. We then highlighted the key words normalization, attitude and environment. In this way we illuminate how the normalization discourse might look like in a pre-school for all and how special education relates to what is considered normal. In the perspective of Foucault’s thoughts about power and control, we found that there is political control of educators’ work based on the current political document, national curriculum 98 (2010). The national curriculum, and other contextual documents, seems to be normative and controlling of the teachers’ behavior which is to navigate children towards desirable behaviors. A big part of those behaviors are interaction and good language skills. The teachers' behavior is based on the national curriculum 98 (2010) and its value system where everyone has the right to be who they are. But indirectly governing is staged, in order to control and direct towards the desirable.

Evaluation of the Board-Mentor Program of the Association of Governing Boards of Universities and Colleges

In 1977 the Association of Governing Boards of Universities and Colleges developed a Board-Mentor Program to assist college and university trustees to enhance the organization and performance of their governing boards. This study evaluated through survey research this program utilizing presidents and trustees who participated in the program over a three-year period. The data were analyzed to determine changes that occurred as a result of participation in the program and if the program met the purposes and goals for which it was established. Twenty-one institutions, public and private, located in thirteen different states participated in this evaluation. Presidents and trustees agreed that the goals of the program were important and participation in the program was perceived helpful in the realization of the program goals. A positive correlation existed between the importance of the goals of the program and the helpfulness of the program in the realization of the program goals. Presidents and trustees identified several areas where change occurred as a result of program participation, and suggestions for program refinarent and change were identified by respondents. The study concluded with six recommendations including the need for additional study of trustee development programs. / Ed. D.

Linking Governance and Performance: ICANN as an Internet Hybrid

The Internet Corporation for Assigned Names and Numbers (ICANN) is a hybrid organization managing the most critical Internet infrastructure - the Domain Name System. ICANN represents a new, emerging Internet self-governance model in which the private sector takes the lead and the government sector plays a more marginal role. Little is known, however, about what is actually happening in this new organization. The dissertation (a) systematically assesses ICANN's overall performance based on a set of evaluative criteria drawn from its mission statements; (b) explores possible factors and actors that influence ICANN's overall performance by tracing the governance processes in three cases based on a preliminary conceptual framework; and (c) suggests practical and theoretical implications of ICANN's governance and performance in its broader institutional context. The study finds that although differing governance processes have led to different performance outcomes (Lynn et al. 2000), "stability" has been the defining value that has shaped the overall path of ICANN's governance and performance. The study characterizes ICANN as a conservative hybrid captured, based on specific issues, by the technical and governmental communities. It also proposes the concept of "technical capture" to suggest how technical experts can have significant, but often implicit, influence over the policy development process in organizations. / Ph. D.

The Study of Public Administration in Korea: The Executive-Centered Approach to Public Administration and Its Legacy

The purpose of this dissertation is to examine if, and how, the executive-centered approach to public administration, which emphasized public administrators' unwavering loyalty to the president, intellectually shaped the founding and growth of Korean mainstream public administration in the 1962-1987 period. Specifically, this dissertation identifies the four normative tenets underlying the executive-centered approach and conducts comprehensive qualitative content analysis of mainstream scholars' journal articles and book chapters to investigate if, and how, such normative tenets framed the intellectual trajectory of Korean mainstream public administration in the 1962-1987 period. The major findings of this dissertation indicate that: 1) Korean public administration was intellectually founded upon the four tenets of the executive-centered approach and such tenets became fully entrenched as unassailable normative beliefs in Korean mainstream public administration scholarship in the 1962-1987 period and 2) Korean mainstream public administration scholars' strong commitment to the executive-centered approach led them to uphold executive-centered governing order, in which the president exercised exclusive control of public administrators, and to champion the authoritarian developmental state, in which the authoritarian president pushed administrators into controlling civil society and market in line with his political and policy agenda, in the 1962-1987 period. This dissertation also contends that in the post-1987 period, the advent of the new governing order of separation of powers created an intellectual dilemma for Korean public administration scholars because their blind adherence to the executive-centered approach, which stressed administrators' exclusive responsiveness to the president, came into essential tension with the new governing order of separation of powers, in which administrators were required to be simultaneously responsive to not only the president, but also the legislative and judicial branches. / Ph. This study is about teachers in socially oriented subjects and their attitudes and experiences regarding working with controversial issues in teaching. Previous research has shown that there are shortcomings and major challenges in handling controversial subjects in the classroom. Therefore, I chose to investigate this by interviewing eight subject teachers in socially oriented subjects. The purpose of the study was to examine different teachers' work with controversial issues and their experiences of opportunities and challenges respectively in teaching controversial subjects. After conducting a qualitative interview study with eight teachers, the results were consistent with previous research. The results of the study indicate a lack of time and challenges associated with working on controversial issues, as they are difficult to handle and can lead to conflicts and disruptions in the classroom. Consequently, some teachers choose not to teach about controversial issues. However, on the other hand, the results of the study show that there were teachers who encouraged working with controversial issues as they considered it important to socialize students into society by addressing controversial topics. They believed that by doing so, students develop into democratic citizens with political tolerance. Another interesting finding from the interview study is that certain schools as a whole choose not to work with controversial issues to avoid negative consequences. This is interesting because other schools in the study, for example, those with UN profiles, focus on challenging students with controversial issues to develop them into democratic citizens of society. One can therefore conclude that working with controversial issues is a task that must involve the entire school, not just the teacher, as it requires efforts from management, colleagues, teachers, and students. Thus, in schools where only the teacher is responsible for addressing controversial issues without support from management or colleagues, it may lead to a reduction in teaching on controversial subjects.
