Povinnost péče řádného hospodáře v komparativním pohledu / Duty of due managerial care - a comparative point of view

The main goal by writing of this thesis was to provide a contribution to the discussion regarding the interpretation of selected legal terms contained in the Czech concept of the due managerial care, with the help of comparison with the development of this legal element in the law of neighbouring Austrian republic, which is (to my knowledge) still not significantly professionally accounted for in our academic environment. The Austrian concept of the duty of due managerial care is in Czech academic literature not often considered, therefore I offer in order to allow for mentioned comparison in this thesis an overview analysis of the present legal regulation of the duty of due managerial care in Austrian law, whereas emphasised are the aspects, which are further used in the breakdown of constituent issues, alternatively aspects, which distinguish Austrian law from Czech law. I am trying to provide deeper insight into selected number of topics and to formulate my own conclusions regarding partial issues with the help of comparative findings from the Austrian law in the relation to the most common form of business corporation, the limited liability company. All the planning process is guided to accomplish a specific urban plan that serves a determined public interest resulting from the law system. The planning process includes the plan preparation and its future execution. Therefore, the plan preparation and execution are State duty, besides its periodic revision. The plan execution has a peculiar problem, that consists in the submission or not to the plan dispositions, because of the its prospectus quality, that can induces a different execution, or no execution, hypothesis that is in conformity with the exercise of discretion competence of the public administrator. However, in case of the administrator doesn t do the law duties concerning of the urban planning, like preparation, execution and revision, law consequences, sometimes directed to the illegal act or omission producted, sometimes directed to the responsable person, will can be applied basis on the law system / O trabalho consiste na análise do planejamento urbano enquanto dever jurídico do Estado. Todo o processo de planejamento é direcionado à realização de um plano urbano específico que atenda a determinado interesse público decorrente do ordenamento jurídico. O processo de planejamento compreende a elaboração do plano e a sua subseqüente execução. Assim, a elaboração e a execução do plano de urbanização são deveres do Estado, além de sua revisão periódica. A execução do plano passa por um problema peculiar, relacionado à vinculação ou não às disposições do plano, uma vez que seu caráter prospectivo pode ensejar a sua execução de maneira diversa, ou ainda, a sua não-execução, configurando-se hipótese de exercício de competência discricionária do administrador. Caso se verifique, contudo, que o administrador não realiza os deveres jurídicos decorrentes do planejamento urbano, consistentes na elaboração, na execução e na revisão do plano, conseqüências jurídicas, ora direcionadas ao ato ou omissão ilegais produzidos, ora direcionadas ao sujeito por elas responsável, poderão ser aplicadas com base no ordenamento jurídico
