Previous issue date: 2017-04-17 / The present thesis aims to analyze the extension of the limits of the arbitral jurisdiction, from a
objective point of view, in the related contract when only one, or just a few of them, presents an
arbitral clause and the dispute arose requires the analysis not only of the this, or these, specific
contracts, but also of the other contracts of this same “contractual net” that does not have an
arbitral clause in it.
The issue becomes relevant at the moment that the Defendant does not agree with the
discussion, in the arbitration, of the contract that does not have an arbitral clause, and the
arbitrator has the tough job to decide whether he has jurisdiction to scrutinize the whole dispute,
including the ones related to the contract that does not have an arbitral clause.
The analysis of the problem requires a deep exam of the legal regime of the related contracts
and of the jurisdictional characteristic of the arbitration, in a manner that allows to stablish the
premises which are important to give basis to the conclusions / A presente tese tem por finalidade analisar a extensão dos limites objetivos da jurisdição
arbitral nos contratos coligados quando apenas um, ou alguns, desses contratos contém uma
convenção de arbitragem e o litígio que surge demanda a análise não só deste, ou destes,
específicos contratos, mas também de outros instrumentos desta mesma “rede contratual” no
qual não foi inserida a convenção de arbitragem.
A problemática ganha relevância a partir do momento em que a parte requerida não concorda
com a discussão, na arbitragem, do contrato que não contém a convenção de arbitragem, de
forma que surge para o árbitro a árdua tarefa de decidir se ele tem ou não jurisdição para
analisar a integralidade do litígio ou se ele deve deixar de lado as questões referentes ao
contrato que não contém a convenção de arbitragem.
O exame do problema proposta demanda uma profunda análise do regime jurídico dos
contratos coligados e do caráter jurisdicional da jurisdição arbitral, de forma a permitir a
delimitação de premissas importantes sobre as quais se assentarão as conclusões

CONTRACTUAL PROCESSES IN MOVIE LAW - ABSTRACT Thesis Contractual Processes in Movie Law revolves around the phenomenon of audiovisual works. Its purpose is to familiarize the reader with the process of creation of an audiovisual work from a legal perspective as well as to describe basic contractual relationships arising during that process. This thesis consists of two parts. The first focuses on basics of Copyright Law and its legal sources. It further contains an analysis of law concerning audiovisual production and Movie Law along with an overview of applicable terminology. The second part elaborates on contractual obligations originating within the process of creation of an audiovisual work. The following types of contracts are described thoroughly: licence agreement, contract of employment, contract of services, contract of work and fixed job contract. Previous issue date: 2017-02-14 / In business context, freedom (inserted in the private autonomy context) lays
foundations to the so-called complex contracts, which may be named as so due to
aspects of different nature (subjective, normative, volitional, and objective). They are
atypical, besides tending to show gaps and being of duration and relational. Complex
contracts attract other contracts that become related to them, forming a complex
contractual system. It is to this matter that this study converges by aiming to address
the interpretation of complex contracts, including an overview of related contracts.
The research underlying this thesis is relevant because its theme was given almost
none doctrine treatment; moreover, there is an increasing demand for such contracts
in the business market. Achieving such an aim required synchronizing the demand
for complex contracts with contemporary society and its complexity, which imposes
the need to reduce complexities by means of selection (choices). For that, the
language works as a mediator of distinct complexities arising from the legal,
economic and political systems. The interpretation of complex contracts must be
drawn from the concrete situation: all various elements making it up are allocated
according to its economic and practical function, which is revealed by its specific
cause; the elements are filtered by the vector of the circumstances of the case so
that the filtered ones are weighed against the legal system by means of general
clauses of objective good faith, contractual balance and social function of contracts.
Therefore, in a process called “meta-contractuality”, rules to interpret the complex
contractual system will derive from the complex contract itself to be used in the same
contractual system in case of conflicts to solve / No âmbito negocial, a liberdade (inserida no âmbito da autonomia privada)
fundamenta os contratos complexos, que podem ser assim caracterizados por
diversas vertentes (subjetiva, normativa, volitiva, objetiva) e que são atípicos com
tendência a ser lacunosos, de duração, relacionais. Os contratos complexos atraem
outros contratos que passam a ser a eles coligados, formando um sistema contratual
complexo. É para esse contexto que converge este estudo, que tem por objetivo
tratar da interpretação dos contratos complexos, incluindo uma visão dos contratos
coligados. Justifica-se tal investigação por ser o tema pouco tratado pela doutrina;
também se percebe demanda crescente de tais contratos no mercado negocial.
Alcançar tal objetivo pressupôs sincronizar a demanda por contratos complexos com
a sociedade contemporânea e sua complexidade, que impõe a necessidade de se
reduzirem as complexidades por meio da seleção (escolhas). Para tanto, a
linguagem mostra-se como intermediadora de complexidades distintas advindas dos
sistemas jurídico, econômico e político. A interpretação dos contratos complexos
deve ser feita com base na situação concreta: alocam-se todos os elementos
diversos que os compõem conforme sua função prática e econômica, que é revelada
pela sua causa concreta; filtram-se os elementos pelo vetor das circunstâncias do
caso para que os elementos filtrados sejam ponderados relativamente ao sistema
jurídico por meio de cláusulas gerais da boa-fé objetiva, do equilíbrio contratual e da
função social dos contratos. Portanto, do próprio sistema contratual complexo vão
emanar as normas de interpretação — a metacontratualidade — que sobre o mesmo
sistema contratual incidirão para dirimir eventuais conflitos

The old contractual models and their remedies are not sufficient to cover the current dynamics, this is the case of related operations that require efficient tools for their solution.In this context, the author develops a series of techniques or mechanisms for the efficient and effective solution of the identified problems, consolidation and suspension. It proposes that these mechanisms respond to the contractual mechanics of the current trade, which involves a series of intricate and related relationships, grouping in a single process the solution of the controversy.Likewise, the advantages and elements required by these mechanisms to operate will be analyzed. / Las operaciones comerciales del mundo moderno son complejas y presentan, muchas veces, una serie de controversias igualmente sofisticadas. Los viejos modelos contractuales y sus remedios no son suficientes para abarcar la dinámica actual, este es el caso de operaciones conexas que requieren herramientas eficientes para su solución.En ese contexto, el autor desarrolla una serie de técnicas o mecanismos para la solución eficiente y eficaz de las problemáticas señaladas, la consolidación y suspensión. Propone que dichos mecanismos respondan a la mecánica contractual del comercio actual, la que implica una serie de relaciones intrincadas y conexas, agrupando en un solo proceso la solución de la controversia. Les droits audiovisuels des manifestations sportives constituent un ensemble juridique complexe en constante évolution. La reconnaissance du monopole d’exploitation de la manifestation sportive au profit de l’organisateur, qui légitime la commercialisation des droits, constitue la pierre angulaire de cette construction. L’identification des entités titulaires des droits ne va pas de soi, le propriétaire n’ayant pas systématiquement vocation à les commercialiser. La procédure de mise en concurrence sur le marché demande de plus à être clarifiée compte tenu de la proximité des régimes juridiques en présence. Dans ce contexte, la commercialisation des droits donne lieu à un contrat dont la qualification juridique doit être précisée au regard des différentes dénominations rencontrées. L’environnement du contrat, qui permet d’appréhender comment sa réalité juridique est prise en compte par le droit à l’information et les contrats périphériques, ne peut pas être ignoré. Il s’agit ainsi de rechercher les implications juridiques attachées aux droits audiovisuels des manifestations sportives, de la phase de commercialisation au contrat. Plusieurs champs juridiques complémentaires et imbriqués irriguent alors cette recherche sur les droits audiovisuels des manifestations sportives, renforçant ainsi sa spécificité / Sports broadcasting rights are governed by a complex legal code in constant evolution. The notion that the organizer retains exclusive rights to the use of the sporting event, which legitimizes the commercialization of these rights, is the cornerstone of the system. Identifying the entities that hold the rights is not easy as the owner does not systematically retain commercialization rights. The approach to bringing broadcasting to market must be clarified due to the overlapping of legal domains. In this case, the commercialization of rights is outlined in a contract whose legal characteristics must be specified in accordance with the different denominations involved. The context in which the contract is drawn up cannot be ignored as it allows one to understand how its legal reality is taken into account by the right to information as well as related contracts. This dissertation looks at the legal implications of audiovisual broadcasting rights of sporting events, from the commercialization phase to the contract. Several complementary legal fields are linked to the research on sports broadcasting rights, thus strengthening its originality
