The suitability of the South African corporate tax regime for the use of South African resident intermediary holding companies

An Intermediary Holding Company (“IHC”) is a company that is interposed between an ultimate holding company and the operating subsidiaries of a group of companies. The IHC operates at an international level such that either its holding company or its subsidiaries or both are located in a country foreign to the IHC. Its main functions are to acquire, manage and dispose of the assets of the group of companies and to facilitate structural flexibility of a group of companies. Investors have tax and non-tax reasons for conducting business using an IHC, and, depending on the reasons, they determine the location of the IHC based on the characteristics of potential host countries. This thesis analyses the suitability of the South African corporate tax regime for the use of South African-resident Intermediary Holding Companies. The South African government has the objective of promoting South Africa as a gateway for investment in Africa and for this reason the present research is important. Such an objective could be adversely affected by a corporate tax regime that is not suitable for the operations of an IHC. Furthermore, the Katz Commission recommended in 1997 that South Africa should consider introducing a regime that is suitable for the location of holding companies. In discharging its functions the IHC attracts liability for corporate income tax, capital gains tax, controlled foreign company tax and dividends tax. It also exposes itself to anti-avoidance measures such as thin capitalisation and transfer pricing provisions. The existence of such taxes and anti-avoidance measures in the tax system of a country may deter investors from locating an IHC in such country. Exchange control regulations could also adversely affect the ability of the IHC to perform its functions effectively, as their purpose is to restrict the movement of capital out of the country. The South African legal system contains all these taxes and anti-avoidance measures as well as exchange control provisions. However, it also contains tax instruments that alleviate the tax burden on an investor using an IHC such as the participation exemption, advance tax rulings and a network of tax treaties. Against this background this thesis analyses the South African corporate tax system to determine whether it is suitable for locating an IHC. In the analysis, a comparative study is done of the tax systems of two of the most effective IHC host countries, namely the Netherlands and Mauritius. In addition, a brief discussion of the special features contained in the tax systems of Belgium, Ireland and the United Kingdom outlines why these jurisdictions are not necessarily successful in attracting IHCs. The thesis also discusses harmful tax practices and the attitude of the international community towards countries that engage in harmful tax competition in order to determine the limits to which a country should use the tax system to attract investment. Finally, the thesis makes recommendations as to what adjustments could be made in order to enhance the suitability of South Africa to host an IHC. The thesis recommends a special dispensation as regards corporate income tax and exchange control that would apply to wholly-owned South African companies that own foreign subsidiary shares and loans that consist of 80% of the gross asset total of these companies. / Thesis (LLD)--University of Pretoria, 2010. / Mercantile Law / unrestricted

This diploma thesis is focused on the analysis of trust funds taxation, which is being prepared in Czech Republic based on comparison with existing arrangements in Great Britain, Italy, Switzerland and France. In the first part terms relevant to trust fund problematics used in the following parts of the thesis are defined. Also Hague Convention is mentioned, since it explains function of trust funds in continental countries. In the second part, the focus is on the analysis of legal and tax arrangement in chosen jurisdictions with emphasis on taxation in individual situations. The last part deals with legislation of trust funds based on the new civil code. Key issue here is analysis of tax legislation concerning the trust funds taxation in the Czech Republic and a proposal of taxation possibilities on the basis of comparing it with existing taxation in chosen jurisdictions. At the end of this part, arrangement of trust funds, which is contained in Model Tax Convention on Income and Capital, is mentioned.

Promoting South Africa as an investment gateway : the influence of tax legislation

The South African government announced in 2008 that it intends to promote South Africa as a suitable company headquarter jurisdiction for investment in Africa in general and the sub-Sahara region in particular. The 2010 Taxation Laws Amendment Bill introduced a number of tax changes to lure headquarter companies to South Africa. The new South African headquarter company regime attempts to attract foreign direct investment through these changes. The government plans to make South Africa a gateway for African investments. In order to achieve this goal the regulatory, economic and legal frameworks need to be suitable for international investment. This study analyses the tax characteristics of an ideal holding company regime and investigate the importance that is placed on tax considerations compared to non-tax considerations by companies when faced with investment decision making and whether tax is a primary driver of such decisions. A single source ethnographic case study is used to analyse the process followed by an organisation, and the considerations used by the key decision makers within this organisation, for setting up a holding company in South Africa to drive an investment and business expansion. The case study consists of an investigation into the process followed, the strategy formulated and the structuring of the business for making the investment in selected African countries. It further investigates where the ultimate holding company will be located as a headquarter company for all further Africa business expansion. It was found that the tax considerations are mainly a favourable capital gains tax regime, low income taxes, no or low tax on dividends, a favourable tax treaty network, the absence of controlled foreign company legislation and a liberal thin capitalisation and transfer pricing regime. Non-tax factors also play a significant role in decision making when considering the investment destination. These factors include: economic and political stability; adequate physical, business, accounting and legal infrastructure; the absence (or limited presence) of bureaucratic obstacles; adequate communication channels; the ability to repatriate profits freely; an effective banking system; and the availability of an adequate dispute resolution mechanism. There is a definite distinction between tax specific strategies where enterprises are set up to take advantage of tax incentives provided by certain jurisdictions and where an investment decision is taken and aligned with business decisions to align these strategies to take advantage of a favourable tax regime Jurisdictions that only concentrate on tax incentives will find it difficult to attract foreign direct investment. Decision makers that are held responsible for investors’ capital will take tax as well as non-tax aspects into account when deciding to invest in a country and to set up holding company in that jurisdictions. An evaluation of selected changes proposed in respect of the South African mining tax regime

The South African mining tax regime is a fairly mature legislative framework. The legislator has made numerous changes to the legislation in order to respond to the trends of the industry. This framework has arguably been behind the substantial contribution of the mining industry to the South African economy. Recent trends have seen numerous jurisdictions especially in the African continent changing and in some instances completely replacing their entire framework with new legislation. South Africa has recently come under pressure to make substantial changes to its mining tax framework in a manner that mere legislative amendment might not suffice. This follows the recommendations of inter alia the ruling party, African National Congress which proposes changes to the mining tax regime. Due to the fact that the proposed changes could have a significant impact on the mining industry as well as South Africa as a mining nation, the state has established the Davis Tax Committee to investigate the viability of the proposed changes as well as the advantages and disadvantages thereof. The Davis Tax Committee has made interim recommendations which at most are in favour of retaining the status quo and making minor changes to the current mining tax framework. Prior to making an evaluation of the recommendations made by the Davis Tax Committee it is necessary to lay the basis of the recommendations which includes giving an overview of the current mining tax regime as it is and thereafter discussing the calls for change in the said regime. The Law 11.638/07 instituted several changes to accounting standards that provided conditions for the convergence of international accounting standards and mainly segregation between corporate accounting and tax accounting. The research will discuss about the Transitional Tax Regime (RTT), Control Accounting Tax Transition (FCONT), implemented by the Federal Revenue of Brazil (RFB), taxes on sales, tax reflections on the PIS / PASEP and COFINS and adjustments in the Book of Calculation of Taxable Income (LALUR), in order to neutralize the tax effects arising from the application of Law n. 11.638/2007. To achieve the goal, we carried out a qualitative study based on literature review of existing legislation, standards of technical pronouncements, and a few books ever published on the subject, seeking to characterize the likely effects arising from the Law on direct taxes. The thesis is focused on the tax regime of allowance organizations in Czech Republic. The aim of this thesis is evaluate tax regime of allowance organizations in Czech Republic and find a solution that optimizes the tax. The subobjectives are the evaluation of tax regime of ZS a MS Velhartice and the draft of solution leading to optimization legal entity´s income tax. The object of study is allowance organization ZS a MS Velhartice. The data was provided by school. These are primarily directives relate to secondary activities, the deed of establishment, annual financial statement, tax declaration of legal entity´s income tax in 2015. Further information was provided by allowance organization´s accountant. The allowance organization applies a simplified accounting. It will be appropriate to create analytics account for every secondary activities separately. It was also recommended to update secondary activities' calculations. The important factor of cost classification of an allowance organization is distribution of administrative cost for main and secondary activities. It would be appropriate to determine accurate method. The allowance organization should have a secondary electricity meter and hydrometer. Furthermore it will be necessary to involve another employee for check of the state of electricity meter and hydrometer.

Na esfera normativa, a atividade de incorporação imobiliária tem demonstrado ser um eficaz instrumento de acesso à moradia digna. Trata-se de atividade que se caracteriza pela construção e alienação, total ou parcial, de unidades imobiliárias autônomas a serem construídas ou em construção. E por envolver a alienação de coisa futura, o negócio incorporativo apresenta elevado risco de perdas para os adquirentes, que pode ser significativamente minorado com a adoção do regime do patrimônio de afetação da incorporação imobiliária, instrumento que se caracteriza pela segregação do acervo patrimonial de cada incorporação do patrimônio geral do incorporador. Ele protege o adquirente da unidade imobiliária contra eventual falência ou insolvência civil do incorporador, ou de atraso injustificado na execução da obra. Ocorrendo uma dessas situações, a assembleia geral dos adquirentes decidirá pelo prosseguimento da obra ou pela liquidação do acervo patrimonial. Em qualquer dos casos, o incorporador é afastado da direção do empreendimento e a comissão de representantes dos adquirentes assume a administratação do empreendimento afetado para, se viável a construção, continuar a execução da obra, ou liquidar o acervo patrimonial da respectiva incorporação afetada. Entretanto, como o referido regime de afetação é de implantação opcional, ao alvedrio do incorporador, este necessita de estímulos para compensar as restrições decorrentes do regime de afetação. Para esse fim, foi instituído o regime especial de tributação para o referido patrimônio de afetação, com o objetivo de simplificar e reduzir a carga tributária da incorporação afetada, em relação aos tributos federais incidentes sobre a atividade incorporativa, quando comparada com as formas de tributação normal do incorporador pelo regimes de lucro real ou pelo regime de lucro presumido.

Análisis de la reforma tributaria y su influencia en la recaudación tributaria de las microempresas / Analysis of the tax reform and its influence on the tax collection of micro-enterprises

El presente trabajo analizará los regímenes tributarios relacionados con las microempresas en el Perú. Además, de los resultados obtenidos, esta investigación dependerá de la inspección de los antecedentes nacionales, para comprender la magnitud de la problemática; y también de la revisión de antecedentes internacionales, para tener en cuenta la forma en que otros países latinoamericanos han enfrentado este tema y los pasos que han dado. La importancia de la investigación de este tema radica en los efectos inmediatos sobre la administración tributaria y los contribuyentes. Esta influencia en la administración tributaria se debe principalmente al alto nivel de informalidad en el país, causado por la evasión y elusión de impuestos. Esto suele significar que solo una parte de esos contribuyentes tiene una carga tributaria y, la otra parte de esos contribuyentes goza de los beneficios sin ninguna obligación ante las autoridades tributarias. En ese sentido, nos centraremos específicamente en la evaluación del Nuevo Régimen Único Simplificado (NRUS) y del Régimen Mype, así como en el impacto que tienen en la recaudación de impuestos, sobre todo en las microempresas, que representan el mayor porcentaje de la participación de la industria peruana. Para esta finalidad, se analizará el marco conceptual y también el marco regulatorio que ha regulado a las microempresas a lo largo de las décadas. Finalmente, plantearán las conclusiones al presente trabajo y la opinión crítica con respecto al problema examinado. / This paper will analyze the tax regimes related to microenterprises in Peru. In addition to the results obtained, this research will depend on the inspection of national antecedents, to understand the magnitude of the problem; and also on the review of international antecedents, to take into account the way in which other Latin American countries have faced this issue and the steps they have taken. The importance of researching this topic lies in the immediate effects on the tax administration and taxpayers. This influence on tax administration is mainly due to the high level of informality in the country, caused by tax evasion and avoidance. This usually means that only a part of those taxpayers have a tax burden and the other part of those taxpayers enjoy the benefits without any obligation before the tax authorities. In this sense, we will focus specifically on the evaluation of the New Simplified Single Regime (NRUS) and the Mype Regime, as well as the impact they have on tax collection, especially on micro-enterprises, which represent the largest percentage of the Peruvian industrial participation. For this purpose, the conceptual framework will be analyzed, as well as the regulatory framework that has regulated micro-enterprises throughout the decades. A comparative study of double tax agreements between South Africa, Mauritius and China

Mauritius has, in recent years, become one of the preferred financial centres owing to its business-friendly economy, preferential tax regime, wide tax treaty network and solid infrastructure. The Mauritian economy and people have greatly benefitted from the country’s success as a financial centre. One benefit offered by the Mauritian tax regime is the ability and ease with which a person can gain residency to access the preferential tax rates that the country offers. South Africa has recently re-introduced a headquarter tax regime, which will make it a competitor with Mauritius for channelling international trade and foreign direct investment. Previous research focuses on the elements of international taxation and highlights some of the benefits that a company could enjoy by using Mauritius as an offshore base. One of the key elements of a successful headquarter company regime is that of a wide tax treaty network which offers preferential terms for taxing certain income classes. The aim of this study is to provide a theoretical construct for the comparison of double tax agreements, with the goal of identifying those that provide preferential terms for the taxation of certain income classes and the elimination of double taxation. This study focuses on the double tax agreements between South Africa, Mauritius and China, highlighting some of the deficiencies of the South African agreement with China and comparing those with Mauritius’s agreement with China. These deficiencies and the preferential tax regime that Mauritius offers will inevitably provide multi-national companies with tax saving opportunities if they use Mauritius as an offshore base. This study will point out some of the areas where possible tax saving opportunities could be identified. The study further aims to provide a platform from which the South African headquarter company regime can be assessed and analysed. This is specifically important if South Africa is to compete with Mauritius.
