Strategie flexikurity při skončení pracovního poměru v právní úpravě České republiky a Švédského království / Strategy of Flexicurity in the Termination of the Employment contract in the Legislation of the Czech Republic and the Kingdom of Sweden

The thesis deals with the concept of flexicurity and its effects in the termination of the employment contract in the Czech Republic and the Kingdom of Sweden. The main aim of the thesis is to describe and compare both legislations from flexicurity perspective and suggest changes in the czech legislation. Strategy of flexicurity is one of the most discussed topics not only in the field of labour law but also in the field of social security systems and active labour market policies during the past few years. The concept of flexicurity can in a simplified way be characterized as a policy approach that tries to combine the flexibility of labor markets and job security for employees. According to the experts, flexicurity could help solve issues such as globalization or effects of economic crisis and higher unemployment occured due to the crisis. The thesis is composed of five chapters, each of them dealing with different aspect of the concept of flexicurity and its application in the Czech Reoublic and the Kingdom of Sweden. Chapter One defines and explaines the concept of flexicurity as such, followed by examples of succesful European flexicurity models. Vybrané zásady českého a anglického smluvního práva / The Selected Principles of Czech and English Contract Law

(in English): The final thesis deals with the analysis of selected principles of the Czech and English contract law. The aim of the final thesis was to highlight common and different features of the Czech and English law based on the selected principles and simultaneously to illustrate the differences in legal reasoning between the two countries. The author describes the significance of the English law in the first chapter, followed by the chapter concerning formation of a contract in the Czech and English law. Attention is being paid to an offer, further analysis includes the possibility of revocation of an offer and the different approaches adopted to these problems in the legal frameworks of the Czech Republic and England. The author than proceeds to the description of acceptance of an offer, formation and conclusion of a contract and effectiveness of an acceptance in the case of distance dealing between the parties. Comparison with PECL and UNIDROIT is being made and the author concludes, that both the Czech and English contract law adopt the same solutions for an acceptance and conclusion of a contract, which, however, do not coincide with the rules laid down in PECL and UNIDROIT. A onerosidade excessiva no Direito Civil brasileiro / Hardship in the Brazilian civil Law

Esta dissertação tem como tema a onerosidade excessiva no direito civil brasileiro. Primeiramente, fazem-se necessários uma noção inicial da figura, uma delimitação conceitual do problema e uma síntese de seu desenvolvimento histórico no direito civil brasileiro. Feito isso, são apresentadas as teorias utilizadas para sua fundamentação pela doutrina e pela jurisprudência brasileiras antes do advento de texto legal expresso sobre a matéria. Concluída essa fase preparatória, adentra-se no direito positivo vigente, precisamente no Código Civil, para explicar o conteúdo da onerosidade excessiva, de seus pressupostos e de suas conseqüências. São diretamente estudados os artigos 478, 479, 480, 317 e ainda outros específicos de alguns tipos contratuais. São abordados ainda alguns tópicos correlatos que finalizam o entendimento da matéria, como os pressupostos negativos da figura, sua incidência em contratos de sinalagma indireto e nos contratos aleatórios e as diferenças nos pressupostos para sua configuração no Código de Defesa do Consumidor. / The theme of this dissertation is known in english as hardship, which means the fundamental alteration of the equilibrium of the contract. Firstly, it is necessary to make an introductional notion of the figure, a conceptual delineation of the problem and a summary of its historical evolution in the brazilian civil law. After that, it is presented the theories used by authors and courts to reason the solution of the problem before the existence of legal text about the issue. Then, we study the related articles of the Brazilian Civil Code to explain the content of hardship, the content of its requirements, and the content of its consequences. The articles 478, 479, 480, 317 are directly studied, and also other articles from particular named contracts. Some related issues finalize the understanding of the theme, as the negative requirements of the figure, its incidence in some particular categories of contracts, and the difference of its requirements in the Consumer Defense Code.

Darbe nagrinėjami apsaugos nuo nepagrįsto atleidimo iš darbo klausimai. Tema nėra nauja, tačiau nepakankamai išsamiai nagrinėta. Apsaugos nuo nepagrįsto atleidimo iš darbo analizei teisinėje literatūroje skiriamas nepakankamas dėmesys. Siekiant įrodyti iškeltą hipotezę, kad Lietuvos teisės aktai, reglamentuojantys apsaugą nuo nepagrįsto atleidimo iš darbo, atitinka tarptautinius standartus, analizuojamos tarptautinės ir nacionalinės apsaugos nuo nepagrįsto atleidimo iš darbo teisės normos. / There are researched questions of protection from unjustified dismissal in this work. This theme is not new, but it is not properly studied. There is given too little attention for analysis of protection from unjustified dismissal in law literature. In pursuance of hypothesis, that Lithuanian law, which regulate protection from unjustified dismissal, are parallel to international standards; there are analyzed international and national law standards for protection from unjustified dismissal. In the first part of work there is analyzed conception of unjustified dismissal, which is consolidated in International Law Organization, Europe Union as international regional organization and national law acts. After accomplishing of law analysis of standard acts it is concluded, that there is not given definition of unjustified dismissal in the researched international and national law acts. Legitimacy of dismissal is related with criteria of important reasons. In the second part of work there is discussed and by comparative aspect analyzed measures of protection from unjustified dismissal, which are consolidated in international and Europe Union member states national law acts. In the third part generalised the practice of Lithuanian Highest Court in cases of unjustified dismissal. There is given the interpretation of Labour Code of Lithuanian law standards by Lithuanian Highest Court, because judiciary practice is promoting application of fair and equal law standards. The first part discloses conceptions of deeds provided in the Labour Code of the Republic of Lithuania (Paragraphs 2 (2) and 2 (7) of Article 235) and also how those deeds display in the relations governed by the Labour Law. There are some suggestions made how the Employer could organize protection of his property, property rights and property interests. The second part contains analysis of regulation of termination of employment contracts due to gross breach of work duties changed since the rehabilitation of the Independence of Lithuania Republic. The order of application of termination of the labour contract as a disciplinary punishment is analysed on the ground of the valid Labour Code and the unified court practise formed by the Supreme Court of the Republic of Lithuania. There are drawn some conclusions based on questionnaire filled by Lithuania companies. The conclusions on the subjects analyzed in the first and second parts of the work are drawn by the author at the ending as well as the list of literature referred to.

Darbo apimtis - 73 puslapiai. / This master's work analyzes contract of repayable services, the legislation of the Republic of Lithuania and European Union, scientific literature and practice of Lithuanian Supreme Court which is related on this topic. In order to implement the tasks, which were set in the beginning of master’s work, author presents the concept and main peculiarities of the contracts of repayable services, contracts compiling, implementation, and possibilities to change the conditions or countries of repayable services contract’s. Also this work presents analyzes of parties rights and obligations, liability limits of this agreement. In the end of this master’s work author presents the conclusions and arguments to approve the raised hypothesis. This master’s work contents 73 pages.

[pt] O objetivo desta dissertação é analisar a dupla função do parágrafo único do artigo 473 do Código Civil: (i) garantir que a denúncia seja feita após o cumprimento de um período mínimo do contrato, apto a permitir o seu adimplemento satisfativo e a amortização dos investimentos realizados pelo denunciatário e (ii) garantir que o denunciatário seja notificado com antecedência necessária para tomar providências a fim de se preparar para o término do contrato. Tendo em vista os interesses que o parágrafo único do artigo 473 do Código Civil visa tutelar, pretende-se verificar se o referido dispositivo legal deve acarretar a manutenção compulsória do contrato ou o pagamento de indenização por danos materiais e quais danos devem ser indenizados. Para isso, parte-se da análise da resilição unilateral, prevista no caput do artigo 473 do Código Civil, como direito potestativo, distinguindo-a do distrato, da resolução do contrato e da denúncia. Também serão examinadas as hipóteses em que a lei admite a resilição unilateral e a possibilidade de as partes estabelecerem contratualmente a denúncia unilateral do contrato mediante aviso prévio ou pagamento de multa. Em seguida, se examinará a boa-fé objetiva como critério de aferição da abusividade da denúncia; a função do dever de aviso prévio; a função do prazo estabilizador; e os critérios para fixação de prazo razoável. Por fim, o terceiro capítulo irá tratar das formas de reparação do dano decorrente da resilição unilateral do contrato - quais sejam, a execução específica da obrigação e o pagamento de indenização por danos materiais - e dos danos a serem indenizados. / [en] This dissertation aims to analyze the double function of the sole paragraph of article 473 of the Civil Code: (i) ensure the termination by notice is made after the fulfillment of a minimum period of the contract, allowing its satisfactory performance and the amortization of the investments made by the reported party, and (ii) ensure the reported party is notified early enough to take action in order to prepare for the termination of the contract. In view of the interests that the sole paragraph of article 473 of the Civil Code aims to protect we intend to verify whether the aforementioned legal provision should result in the compulsory maintenance of the contract or the payment of compensation for material damages, and which damages should be compensated. To that end, we initially analyze the unilateral termination, foreseen in the caption of article 473 of the Civil Code, as a potestative right, distinguishing it from dissolution, contract cancellation and termination by notice. Also examined are the hypotheses in which the law allows unilateral termination and the possibility of the parties contractually establishing the termination by claim of the contract upon prior notice or payment of a fine. Then, objective good faith is examined as a criterion for assessing the abusiveness of the termination by notice; the duty of prior notice; the function of the stabilizing period; and the criteria for setting a reasonable period. Finally, the third chapter deals with the remedies for unilateral termination of the contract - namely, the specific performance of the obligation and the payment of compensation for material damages - and the damages to be compensated.

It is now more than two years since the new Civil Code (OZ), which unified the previous predominantly two-way regulation of the discharge of obligations in one single codex, became effective. As a follow-up to this legally significant event, the focus of my PhD thesis (dissertation) has been on analyzing the resulting changes in comparison with the foregoing legal regulation of the Civil Code and the Commercial Code, including a deliberation on whether such changes have been positive or, alternatively, whether the new regulation can be reproached for certain shortcomings. Although the regulation of OZ which deals with the termination of obligations due to unilateral legal act (such as satisfaction/fulfillment of an obligation (in Czech: "splnění"), deposition in court custody (in Czech: "složení do soudní úschovy"), withdrawal from a contract (in Czech: "odstoupení od smlouvy"), contract cancellation fee (in Czech: "odstupné"), cancellation/termination of a contract by a notice of cancellation/termination (in Czech: "výpověď smlouvy"), and unilateral set-off (in Czech: "jednostranné započtení")) mostly follows up the preceding regulation, it also introduces certain new elements. 團體壽險是員工福利思潮下之產物,至今已成為分散、轉嫁企業人身及責任風險不可或缺之風險管理工具。而團體壽險以一張保險單承保多數被保險人,此項「團體」之特性使其在核保、保險費、部分有效性及契約條款之設計上,有別於一般之人壽保險。目前,各家保險公司之團體壽險保險單悉以主管機關制訂之「團體一年定期人壽保險單示範條款」為依據。此示範條款以團體為要保人、團體成員為被保險人,將團體壽險定位為由第三人訂立之人壽保險契約,使團體壽險契約受到欠缺保險利益而無效、有無保險法第一○五條之適用及指定、變更受益人之權利人為誰之質疑。其次,團體壽險契約條款中的保險契約構成部分條款、被保險人資格條款、保險契約終止條款、契約轉換權條款、免責條款及不可抗爭條款等亦存在諸多問題,實有檢討予以修正之必要。 因此,本文乃以探討示範條款所涉法律爭議問題為中心,參酌國內學說見解並比較美國判例及美國保險監理官協會所制訂之「團體壽險定義及標準條款模範法案」,對團體壽險契約條款之增訂及修正提出七項建議,包括重新定位團體壽險契約當事人、重視逆選擇防範及被保險人權益保障、明訂兩年不可抗爭期間及團體信用壽險不適用契約轉換權條款及受益人條款、修正個別被保險人保險契約終止之時點及保險人免責事由等,希冀本文之淺見能使示範條款更為完善。 / Group life insurance arises from the thought that employers have the responsibilities to take care of their employees. Until now, group life insurance has become an important part of industries’ risk management plans for distributing and transferring industries’ life and liability risk. Group life insurance insures more than five persons in one policy, and this “group” characteristic makes group life insurance different from general life insurance in many aspects: underwriting, premiums, partly effective and contract clauses. Presently, provisions of group life policies are based on“Model Provisions for Group Yearly Term life Policies”promulgated by competent authority. According to Article 2 of the model provisions, the policyholder is the “group”, and the members of the group are insureds. In other words, group life insurance is entered into by third party. This causes three problems needed to be solved: (1) If the policyholder has no insurable interest in the insured, shall group life insurance be void? (2) Is Article 105 of Insurance Act applicable to group life insurance? (3) Who has the right to designate or change the beneficiary? In addition, there are still some problems in other model provisions including the entire-contract provision, eligibility requirements provision, termination provision, conversion provision, exception clause and incontestability provision. It is necessary to review and revise the model provisions. Therefore, this study focuses on related legal issues of the model provisions. Referring to scholars’ opinions and comparing American verdicts and “Group Life Insurance Definition and Group Life Insurance Standard Provisions Model Act” issued by The National Association of Insurance Commissioners, this study concludes by providing several suggestions in revising the model provisions: (1) The policyholder and the insured should be referred to as members of the group, not “group”. (2) Emphasize on preventing adverse-selection and protecting the insured’s right. (3) Augment incontestable period of two years and a clause which provides that conversion provision and beneficiary provision are not applicable to credit group life insurance. (4) Revise the termination provision and exception clause. Hope these suggestions will make the model provisions more perfect.
