The study of corporate governance of Taiwan, focus on self-governance mechanism.

Latterly, ¡§corporate governance¡¨ has become an important idea all over the world. There are many companies around the world went bankrupt. Those are often because that their directors or CEOs did not manage the company for the profit of their shareholders, but for their self. In order to make their benefits, the directors and CEOs even did many things illegally to harm the interest of the company. In order to stop this trend, the administration all over the world attempts to reform their corporate governance system. Although the corporate governance system of Taiwan has also been improved during the recent years, it is hard to say that our system is in the perfect condition. Hence, the purpose of this thesis is to try to analyze the corporate governance system of Taiwan, and to give some suggestion for the governance system in the future. There are six chapters in this thesis. Next segment is the introduction of these chapters. Chapter 1: Descript the incentive, purpose, range and structure of this thesis. Chapter 2: Discuss the agency theory, introduce the idea of ¡§corporate governance¡¨, and realize the capital structure of the company in Taiwan. Chapter 3, 4, 5: Analyze the self-governance mechanisms in Taiwan. The self-governance mechanisms include shareholder, board and supervisory board. At the end of each chapter, the thesis will give some suggestion about our corporate governance in the future. Chapter 6: Summarize all the viewpoints and suggestion in this thesis.

Analysis on Competitiveness of Steel Industries in China & Taiwan- Taking Galvanizers & Coil Coaters as an Example

Among global steel markets in recent years, China steel industry expands the fastest with the largest capacity and most fiercest competitions, also bringing the greatest impacts to global and Taiwan steel markets. A few aggressive Taiwan mills have set up their production facilities in China and commissioned. This study conducts in-depth analysis on the leading Taiwan middlestream galvanizers & coil coaters (the products are hot-dip galvanized & pre-painted steel sheets, hereinafter called ¡§galvanized & pre-painted steel¡¨). Besides, the steel works are categorized into Taiwan works, China works-Taiwan capital, China works-foreign capital, and China local works based on different capital sources. Analysis and evaluation are done in light of every activity in value chain. Six types of galvanizers & coil coaters are categorized based on different facilities and processes. Type I: Integrated galvanizers & coil coaters Type II: CSP galvanizers & coil coaters Type III: Independent galvanizers Type IV: Independent coil coaters Type V: Independent galvanizers & coil coaters Type VI: Independent full-process galvanizers & coil coaters Owing to their different market environments, development backgrounds, technologies, human resources and management, this study will analyze their strengths, strategies adopted, possible future development trends and potential challenges. This study especially focuses on one issue: in the atmosphere of competition and cooperation between steel mills in Taiwan and China, how China independent galvanizers & coil coaters-Taiwan capital and Taiwan parent company upgrade their competitiveness is crucial. Synthesizing related literature & theories, market & mill information and interviews, verifying by comparison, four conclusions are obtained as follows. 1. The more value chain activities a mill has, the more profits and stronger competitiveness it acquires. 2. Taiwan markets of galvanizing & pre-painted steel are already saturated. The competitiveness & development strategy a globalization enterprise should adopt is to increase its export percentages and establish offshore production bases. 3. For those mills setting up independent galvanizers & coil coaters in both China and Taiwan, the marketing strategies they should employ are described as follows. 3.1 Both China and Taiwan works receive orders and manufacture for their domestic markets. In terms of exports, only Taiwan parent company receives orders for both. But they export through Taiwan¡¦s existing channels globally. 3.2 To ally with different downstream industries and benefit each other. 3.3 China products are exported to ASEAN 10 nations, or 10+3, or 10+4, or any country that hasn¡¦t accuse China mills of dumping, whereas Taiwan products are sold to China, or any country that hasn¡¦t accuse Taiwan mills of dumping. 3.4 Products should be differentiated. Order receiving, production planning, lead-time and customer service should be flexible and elastic. 3.5 The chosen customers and suppliers must be big and strong in their region. Thus, the overall enterprise competitiveness is excellent. 4. In the past, steel companies self-expand to grow whereas today they grow via merger and acquisition. Any enterprise must have its value-creation strategy, i.e. it must have a growth strategy to react to the fierce market competitions. This study provides six recommendations for the competitiveness & growth strategies which could be adopted by domestic Taiwan independent galvanizers & coil coaters. 1. For the investors who invest in independent galvanizers & coil coaters for the first time, the first choice should be Type VI: independent full-process galvanizers & coil coaters. The second choice should be Type V: Independent galvanizers & coil coaters. Next, to set up an independent galvanizer is superior to an independent coil coater. 2. Independent Galvanizers & Coil Coaters should adopt the growth strategy that horizontal developing to a certain scale at the outset is the priority. Next, they should develop toward upstream instead of downstream. In order to eliminate capacity, they should ally with different downstream industries. 3. In the market of demand exceeding supply, mills usually self-expand to achieve larger scale. Nevertheless, when the market is oversupplied, it is recommended to adopt acquisitions. 4. Independent galvanizers & coil coaters choose the most beneficial investment items & scale and start their oversea development based on their growth strategies. 5. In the initial phase of plant construction, independent galvanizers & coil coaters should negotiate with upstream raw material suppliers regarding raw material supply matters. A good relationship should be built in order to secure stability of raw material sources. 6. To manage China mills-Taiwan capital and compete with other mills, the following measures are recommended. 6.1 To take advantage of the enterprise strength, develop specialized products and promote marketing features. 6.2 To promptly establish market reaction mechanism via the internationalization strategy of ¡§Integration-Responsiveness¡¨. 6.3 To employ human resources management to aid internationalization strategy. 6.4 Integration model created by overseas plant construction or acquisition can be adopted to integrate an enterprise¡¦s organization, culture and resources via dynamics management system.

There are a lot of difficulties that have to be overcome in the speaker-independent (S.I.) phrase recognition system . And the feasibility of accurate ,real-time and robust system pose of the greatest challenges in the system. In this thesis ,the speaker-independent phase recognition system is based on Hidden Markov Model (HMM). HMM has been proved to be of great value in many applications, notably in speech recognition. HMM is a stochastic approach which characterizes many of the variability in speech signal. It applys the state-of-the-art approach to Automatic Speech Recognition .

A branch, price, and cut approach to solving the maximum weighted independent set problem

The maximum weight-independent set problem (MWISP) is one of the most well-known and well-studied NP-hard problems in the field of combinatorial optimization. In the first part of the dissertation, I explore efficient branch-and-price (B&P) approaches to solve MWISP exactly. B&P is a useful integer-programming tool for solving NP-hard optimization problems. Specifically, I look at vertex- and edge-disjoint decompositions of the underlying graph. MWISP’s on the resulting subgraphs are less challenging, on average, to solve. I use the B&P framework to solve MWISP on the original graph G using these specially constructed subproblems to generate columns. I demonstrate that vertex-disjoint partitioning scheme gives an effective approach for relatively sparse graphs. I also show that the edge-disjoint approach is less effective than the vertex-disjoint scheme because the associated DWD reformulation of the latter entails a slow rate of convergence. In the second part of the dissertation, I address convergence properties associated with Dantzig-Wolfe Decomposition (DWD). I discuss prevalent methods for improving the rate of convergence of DWD. I also implement specific methods in application to the edge-disjoint B&P scheme and show that these methods improve the rate of convergence. In the third part of the dissertation, I focus on identifying new cut-generation methods within the B&P framework. Such methods have not been explored in the literature. I present two new methodologies for generating generic cutting planes within the B&P framework. These techniques are not limited to MWISP and can be used in general applications of B&P. The first methodology generates cuts by identifying faces (facets) of subproblem polytopes and lifting associated inequalities; the second methodology computes Lift-and-Project (L&P) cuts within B&P. I successfully demonstrate the feasibility of both approaches and present preliminary computational tests of each.

A Study of Effective Operations of Independent Directors

Abstract The aim of a company¡¦s legal system is to harmonize the conflict interests among stakeholders for pursuing the company¡¦s maximum value. However, in the recent years, we have seen that a lot of enterprises happened abuses one after another. Securities authority and investors therefore deem the corporate governance necessary to enhance. Facing the insufficiency of corporate governance, Taiwan added the Articles 14-2, 14-3, 14-4, 14-5 of Securities and Exchange Act when the Act was amended in January 2006. These added articles introduced the system of independent directors, but they caused the disputes in the domestic industries and academic circles. This article is trying to find the ways of improvement for each problem in order to promote the efficiency and competence of independent directors, as well as induces the following major conclusions and suggestions. 1. Conclusions (1) The topic of independent directors is still a difficult issue. (2) It has to meet six elements for promoting the efficiency and competence of independent directors. They are: a. independency; b. professional and time input; c. proper incentive of monitor and control; d. freely acquire the needed data and information for monitoring and controlling; e. economic cost of monitor and control, or efficient monitor and control; f. adequate limits of authority for controlling and balancing. (3) Only legal system and honest and trusted operation are working at the same time, can the efficacy of corporate governance be brought into fully play. (4) The fulfillment of corporate governance needs the implement of all members in the company. 2. Suggestions (1) The facet of legal regulations: a. amend the Article 27 of Company Law; b. independent directors occupies 50% of the number of all board directors; c. the shareholders with holding rate less than 1% in the company are elected as independent directors. (2) The facet of systems: a. whether the company sets up the independent directors or not is the company¡¦s free selection; b. the solutions or opinions of the independent directors for the items on the agenda should be bulletined on the Market Observation Post System and the company¡¦s website; c. appropriate rewards; d. compelling standards for setting up other functional committees.

This study proposes a polarization-independent liquid-crystal Fresnel lens using the twisted nematic liquid crystal (TN-LC). At the high voltage state, the TN-LC behaves as an optically anisotropic material which makes the proposed LC Fresnel lens possess a polarization-insensitive characteristic. Two kinds of LC Fresnel lens, photoresist type and patterned electrodes type, are prepared in our experiment. Experimental results reveal that the photoresist type has a high diffraction efficiency and a good polarization-independent characteristic. However, its diffraction efficiency cannot be switched off. Contrarily, the patterned electrode type has the characteristics of the switch-off and good polarization-independent with a moderate diffraction efficiency

Model Testing: Automatic Generation of Test Case

Software testing is a vital part of the software development process and is costly. Due to the increased use of the unified modeling language and model driven architecture approach in systems analysis and design, model-based testing has been discussed as a prominent solution for software testing to reduce the cost of software testing. Prior researches proposed an integrated method which utilizes the artifacts from the Platform Independent Model (PIM) to construct the test path and constrained class tuples. These two can then be integrated to construct an Integrated Testing Model (ITM) for determining the test data and test cases for Model-Based Testing. This study develops a methodology which extracting the information from ITM to construct the test cases. The research methodology is articulated using the design science research methodology. A prototype embedded methodology has been developed to automatically generate the test cases. A usability evaluation is performed on the prototype to demonstrate its usability. With this methodology, the test cases can be generated automatically; thereby reducing the cost and enhancing the efficiency of Model-Based Testing.
