In 2008 the acquisition attempt of Schaeffler, a private held company based in the remote Bavarian town of Herzogenaurach, to acquire Continental AG, a public listed company and member of the top 30 companies in the German stock exchange index (DAX) made headlines in Germany and abroad. It was not only the first time a private held company launched a take-over attempt on a DAX listed company, but also the way Schaeffler prepared and exercised its acquisition has not been seen before. The deal, which was initially seen as a ‘right out of a M&A text book piece’ of how to plan and exercise a perfect hostile acquisition, developed more and more to become a major threat to the existence not only for Continental, but also for Schaeffler. This case study will outline the development of the case with (1) an introduction, (2, 3) a look inside Schaeffler’s and Continental’s history and existing businesses, (4) the look outside to the industry the two companies act within and (5) later describe the underlying reasons and strategies formulated by Schaeffler to acquire Continental, (6) the preparations and (7) actions taken as a part to implement its goals. It will finally (8) give an overview of the development after an investor agreement between Schaeffler and Continental was concluded and (9) suggest some questions and points to be discussed in the closing remarks.

<p>Business has seen tremendous growth through internationalization over the last several decades.  As  one  of  the  strategies  for  companies  to  internationalize,  acquisition  has since then been a well-studied subject. Various steps have to be gone through in order to  acquire  a  company.  Afterwards,  companies  need  to  take  different  measures  to ensure  the  success  of  the  acquisition.  Culture  is  usually  considered  as  the  most important  aspect  which  determines  post-acquisition  success.  The  purpose  of  this master dissertation is to thus investigate company’s internationalization via acquisition regarding    the    pre-acquisition    decision-making    and    post-acquisition    cultural management. The  theoretical  framework  consists  of  literature  of  pre-acquisition  decision-making process and post-acquisition culture management. These theories are put together in an analytical  model  where  possible  connections  are  intended  to  achieve.  It  will  also  be used as a foundation in gathering and analyzing the empirical data.   In  a  qualitative  approach,  the  empirical  data  was  gathered  through  semi-structured interview with the president of Getinge International Group. These findings were also complemented with secondary data such as corporate websites, documents and various scientific articles. The findings of the study show that planning, evaluating, negotiating, making the deal and    integration    are    the    five    essential    steps    concerning    the    process    of internationalization  through  acquisition.  The  authors  find  out  that  identifying  of acquisition  candidates  is  not  necessarily  a  part  of  pre-acquisition  as  the  theory  may suggest.  The  distinction  between  bolt-on  and  platform  acquisition  is  of  critical importance to determine the different criteria and procedure certain company is going to take. This proves to be much more practical, where theoretical support has not been fully established. Both national and corporate cultures are of crucial importance for the success of company’s post-acquisition culture management. According to the finding of this research, two factors seem to link pre and post acquisition process; one is the planning of how future organization is managed; the other is the appropriate choice of managing director.</p>

Depuis qu'elle existe, la psycholinguistique n'a cessé d'étendre ses centres d'intérêts, thématiquement et géographiquement. Le thème de l'acquisition du langage y est ancien, mais il reste un des plus intéressants grâce à l'enrichissement continuel de modèles théoriques et de méthodes d'approche ainsi qu'à la décentralisation du recueil de données au départ anglocentristes. La psycholinguistique développementale s'est fixée entre autres objectifs d'étudier le phénomène de l'acquisition du langage par le biais d'études comparatives considérant dans une large mesure la diversité des langues naturelles parsemées à travers le monde. C'est dans cette perspective que le présent travail a envisagé l'étude du Kirundi. L'étude a pris appui sur une définition fonctionnaliste de l'acquisition du langage : l'enfant apprend, non pas des formes purement grammaticales, mais des relations entre des formes grammaticales et des fonctions sémantiques et pragmatiques. Ainsi, elle a exploité la méthode expérimentale pour parvenir à connaître la nature des formes linguistiques que les enfants kirundophones utilisent pour exprimer les structures sémantico-pragmatiques d'agent d'action, de patient d'action et d'action selon qu'elles véhiculent une information ancienne (connue) ou une information nouvelle. Les résultats indiquent que les enfants kirundophones sont, comme les enfants francophones et anglophones, très tôt sensibles à la distinction des caractères “ connu ” et “ nouveau ” de l'information ; ils le marquent par l'usage de dispositifs morphosyntaxiques propres au kirundi et dont l'émergence se situe à des âges différents.

Application of performance measures to mergers and acquisitions

The main part of this thesis was devoted to applying performance measures in the analysis of mergers and acquisitions. Performance measures take into account the profitability of a company and the risk associated to that company.To analyze potential post-merger synergies one can combine the pre-merger financial results of two companies and calculate the value of an applicable performance measure. If the value exceeds that of the bidder by itself the merger is said to generate positive synergies. The thesis demonstrates how the calculations can be performed as well as advantages and disadvantages of various performance measures. Most performance measures involve company's returns. It was shown that only quarterly return is a reliable source of information about company's performance. To deal with quarterly data annualization method for all applicable ratios was developed. Several examples were created to demonstrate advantages and disadvantages of annualized applicable performance measures. Three real-world examples of recent acquisitions in Canada and USA were given and analyzed . / Mathematical Finance
