Wrongful trading and the standard of skill and care for corporate directors : a comparative study of corporate governance

The advent of popular capitalism has initiated many debates surrounding the role of the corporations and their officers both in the UK and the international community. In particular, the relationship of the director with his shareholders, creditors, employees and the broader community have been subject to greater scrutiny. This has developed the concept of the "director corporation" and redefined their role and objective in relating to all the nexus groups within and without the corporation. The objective of each nexus group will invariably differ and even involve conflict with others in the same corporate entity. The role of the law in formulating new standards of directors' duties and creating general objectives for the corporation is to seek to balance all interests within the corporate nexus. Insolvency law in England and Wales has been harnessed to achieve some progress in raising standards of director behaviour. With its unique evolution English insolvency law is seen not just as an efficient means of liquidating company assets. It is also a basis for providing the commercial world with legal devices which 'punish' those in that community who fall short of the standard of care demanded by the ever broadening shareholder base. The position is clarified by Peter Totty, a partner in Alien & Overy who, commenting on the Insolvency Service stated: "Insolvency law ... underpins all commercial law."' In the far reaching legislative reform programmes illustrated in the Companies Acts 1985, 1989 the Insolvency Acts 1986, 1994, The Company Directors Disqualification Act 1986 and the Royal Commission Report which led to the Acts2 the importance of policing directors and of developing their duties becomes increasingly apparent. The objective of this thesis is to analyse and explain the reasons for the particular development of section 214 IA 1986 and the broadening of its remit in the area of governance. In this respect I shall attempt to place in perspective its ability to act as a policing measure against the misconduct of directors in a society which is increasingly characterised by mass incorporation of business and the establishment of an entrepreneurial ethos.

La thèse analyse les conséquences de processus de bureaucratisation à l’œuvre au sein d’institutions publiques telles les préfectures. L’enquête a été menée auprès d’agents d’État du « Bureau des Étrangers », qui accueillent et se confrontent aux demandes administratives des usagers (les étrangers). Comment ces agents investissent-ils l’organisation bureaucratique ? Quelles sont les dynamiques de la rencontre avec l’altérité ? Sous une perspective pluridisciplinaire qui privilégie l’approche sociologique et psychosociologique, la thèse a cherché à élucider l’expérience des agents à partir de leur vécu et de leurs propos. Il apparaît que les agents vivent les contradictions institutionnelles entre rapports de domination et désinvestissement affectif. Autre résultat de la recherche, la mise au jour de la disqualification sociale et humaine à l’œuvre sous l’emprise des processus de bureaucratisation étudiés. / The thesis analyzes the consequences of bureaucratic processes at work in public institutions such as ‘’prefectures’’. The survey was conducted with the State agents of the "Foreign office", who welcome and face administrative requests from users (foreigners). How do these agents invest the bureaucratic organization? What are the dynamics of the encounter with alterity? From a multidisciplinary perspective that privileges the sociological and psychosociological approach, the thesis sought to elucidate the experience of the agents based on their personal experiences and their words. It appears that agents live institutional contradictions between relations of domination and affective disinvestment. Another result of the research is the discovery of social and human disqualification at work under the influence of the bureaucratization processes that are studied

O estudo se baseia na análise das trajetórias de vida e de trabalho dos vendedores ambulantes e tomou como hipótese a dimensão da “desqualificação social” analisada por Serge Paugam ao analisar o processo de precarização do trabalho na realidade francesa, destacando as especificidades de tal processo no Brasil, país com singularidades históricas na constituição e estruturação do mercado de trabalho, marcadas por profundas desigualdades socioeconômicas e culturais e por uma segmentação do mercado de trabalho. Para o exame desta hipótese o estudo fundamentou-se na teoria do reconhecimento dialogando com teses relativas à natureza das desigualdades sociais no Brasil, permitindo avaliar a passagem de elementos de situação de classe desses indivíduos, mas também atributos de “status” sociais que envolvem no plano simbólico, formas identitárias de pertencimento. Essa abordagem buscou ultrapassar uma dimensão puramente econômica, ou puramente simbólica de tal mudança para associá-la às formas de representação e de identidade inscritas num contexto de “novas sociabilidades” vivenciadas na precariedade e na informalidade das relações de trabalho. Verificou-se que tais sujeitos compartilham um processo ambíguo de desqualificação social, na forma de uma “autonomia perversa” e de um reconhecimento denegado, no que tange às condições de vida e ao acesso aos direitos e à proteção, pela interioriorização de uma identidade incerta e estigmatizada historicamente, mas por outro lado, pela possibilidade concreta de integração, ainda que periférica, que tal condição representa, reiterando formas de resistência e luta desses trabalhadores urbanos na busca do enfrentamento de suas condições de pobreza na atualidade. Such a thesis has the aim of investigating the transition of workers of their condition of employed in order for the condition of unprotected socially in the informal commerce of downtown of Salvador city (Bahia) in order to question in what circumstances such a misplacing process has represented a trajectory of social disqualification due to work disqualification socially in the streets. Such a study has been based on the analysis of the life trajectory and work of such vagrant sellers and it has had as a hypothesis of social disqualification which has been made by Serge Pauga when analyzing the process of work disqualification in France. It has specified such a process in Brazil as well which has been a country with historical singularities in its structural constitution of work field. as well as too many cultural, economical and social inequalities due to a segmentation of work field. In order to verify such a hypothesis such a study has been based upon the theory of recognition by comparing with other thesis works which have also been based on social inequalities in Brazil in order to evaluate the social status which involves the symbolical plan of identity ways. Such a study has gone beyond a dimension only economical or symbolical in order to associate the representation and identity in a context of new socializations by informal disqualification of work . It has been verified that such people share the same social disqualification as a way of perverse autonomy and a denied recognition in relation to their life situations and the access to the rights and protection due to a uncertain identity which has been stigmatized historically, otherwise by integration of a concrete possibility of integration even by its peripherical condition which has been represented within which reiterates ways of resistance and fight of such urban workers in order to improve their conditions of poverty nowadays.

This thesis focuses on the punishment of disqualification, as well as on its execution, control and related institutes. The main objective of the thesis defined in the Introduction is making a comprehensive summary of the issue with a focus on decision- making practice of the Czech courts. The text itself is divided into eleven chapters, some of which are divided into subchapters. In the Conclusion, the results of my thesis are summarized and evaluated. Besides that the thesis includes Content, Index of Abbreviations and Bibliography. The first chapter deals with general term of the punishment and it is divided into four parts. This thesis focuses on disqualification punishment in all of it phases. Its main objective is to provide the detailed insight into imposing this punishment. It also tries to answer the question whether the disqualification can be considered one of the alternative punishments or not. At first, general issues of sentencing and purpose of penal law are researched, including Czech penal system. As a next subject of the research, punishment of disqualification is analyzed: from substance and purpose of punishment, through conditions upon which it can be imposed, phases subsequent to imposition (execution of sentence, supervison of execution) to conditional suspension of sentence. Separate chapters try to explicate disqualification from driving motor vehicles, sentencing of youth offenders and legal entities. Extra chapter is dedicated to historical development of the institute. Comparation with legislation of some of the European countries is also included.

Le politique du développement : les usages politiques des savoirs experts et de la participation des populations indiennes au Mexique / Development politics : the political uses of expert knowledge and participation of indigenous peoples in Mexico

Mot valise véhiculé par les agences internationales, la notion de « développement avec identité » traduit une volonté de prendre en compte les spécificités locales et culturelles des populations autochtones et la promotion d’une approche en terme de développement, présenté comme universel et apolitique. C’est cette contradiction que cette thèse propose d’explorer. À partir du cas mexicain, il s’agit de comprendre comment les dispositifs de développement fonctionnent comme des instruments de connaissance, mais également comme des instruments performatifs par leurs inductions prescriptives et les usages sociaux qui en sont faits. Au final, le « développement avec identité » renvoie à un « art de gouverner » les populations marquées par une disqualification sociale. Celui-ci s’appuie sur deux volets : l’élaboration de savoirs spécifiques sur ces populations et la participation des individus et groupes autochtones aux dispositifs de développement. Cette thèse propose une contribution sociologique à l’analyse du développement et aux travaux sur la question autochtone. Cette étude de la circulation des discours, des instruments et des pratiques du développement se fonde sur une enquête ethnographique de trois espaces où se construisent, s’élaborent et se mettent en pratique les dispositifs du développement autochtone au Mexique : le bureau du Programme des Nations unies à Mexico, l’instance nationale en charge de l’action publique de développement des populations autochtones, et enfin des groupes sociaux de la région du Chiapas dans lesquels des dispositifs de développement sont également élaborés et mis en œuvre / A buzzword broadcasted by international agencies, the concept of “development with identity” refers to a willingness to take into account local and cultural specificities of indigenous peoples. It entails a promotion of the development approach, presented as both universal and apolitical. This thesis proposes to explore this contradiction. Focusing on the Mexican case, it aims to understand how development apparatuses function as instruments of knowledge, but also as performative instruments by their prescriptive inductions and the social uses they are made of. Finally, “development with identity” refers to an “art of government” of populations labeled as socially disqualified. It relies on two key components: the elaboration of a specific knowledge on these populations and the participation of indigenous individuals and groups in development apparatuses.This thesis proposes a sociological contribution to the analysis of development and works on indigenous issues. In order to study the circulation of development speeches, instruments and practices, this work is based on a political ethnography of three spaces in which the apparatuses of indigenous development in Mexico are elaborated, formulated and put into practice: the Office of the United Nations Development Program in Mexico, the national authority in charge of development public policy for indigenous peoples, and finally social groups in the region of Chiapas in which development apparatuses are developed and implemented

Disqualification of a governing body member and other persons from their positions in a business corporation Abstract The master thesis analyses the regulation of disqualification of directors and other persons from the management of a business corporation. The purpose of this study is to introduce in detail the grounds for disqualification and to define persons who might be disqualified based on each particular ground, moreover, to describe a scale of effects of a disqualification order and to deal with the consequences of acting while being disqualified. The attention is also drawn to several interpretative problems, which are construed. Additionally, the thesis reflects the regulation of the English Company Directors Disqualification Act 1986 and the relevant English case-law. Except for the introductory part and the conclusion, the thesis is divided into six chapters. The first chapter looks briefly at the disqualification as such and its purpose. Text of this thesis deals with the creation and termination of the position of a member of the governing body of a limited company. The first part of this text sets out the conditions under which this member is legally able to perform in his position, these are full legal capacity, no record of criminal conviction and there are no obstacles to undertaking a trade in the meaning of the Act No. 455/1991 Coll. The text also mentions the provisions § 38l of the Commercial Code, for it still applies on some cases on behalf of the provision § 779, paragraph 3 of the Act on Business Corporations. This text of this thesis continues to deal with the consequences of incapacity to perform in this position and states that in this case, the creation of such position is seen, as it never happened. In the case of capacity to perform in a position being lost after the position was created, the position terminates. Newly, a legal entity can become a member of an elective organ. However, to perform in this position, they have to choose a natural person as their representative. If there is no representative, the legal entity is represented by a member of board of directors or a company director. The aim of this thesis is to analyse the directors disqualification provisions (SS.63-67 BCA) and wrongful trading provisions (S.68 BCA) and to provide their comparison in the light of British model regulation. First chapter is introductory and provides a brief introduction into the topic. Second chapter deals with the law & economics aspects of the regulation. More specifically it introduces various stakeholders in company and their interests and incentives. Third chapter focuses on the relationship between the director and the company. Further attention is paid to the managerial contract, the duty to avoid insolvent liquidation, the duty of care and the business judgement rule. Fourth chapter deals with the director's liability towards the company. Fifth chapter relates to the directors disqualification. A presente dissertação tem como tema a representação da política e dos políticos nas minisséries brasileiras através do exemplo de O Brado Retumbante. Como problema de pesquisa, se propõe o seguinte: de que forma O Brado Retumbante exemplifica a representação da política e dos políticos pelas minisséries brasileiras, e como tais representações se relacionam com a construção de sentidos sobre política da emissora e com o contexto político brasileiro? Para tanto, se formulou o objetivo geral de problematizar a representação da política e dos políticos nas minisséries brasileiras através do exemplo de O Brado Retumbante, levando em conta a importância das especificidades estéticas e narrativas da minissérie em tal construção, sua relação com o contexto político brasileiro e com as noções de o público e o privado e desqualificação da política, e cinco objetivos específicos. São eles: a) Descrever de que forma o contexto político brasileiro é apresentado em O Brado Retumbante e como isso se reflete na representação da minissérie; b) Relacionar a representação da política e dos políticos da minissérie com as noções de despolitização midiática e declínio do homem público; c) Problematizar a maneira como a minissérie constrói as suas personagens, inserindo sua construção dramatúrgica em um contexto com forte presença de heroísmo, melodrama e dramatização social, especialmente as que ocupam cargos políticos; d) Entender como o modelo temático-narrativo se traduz em escolhas técnico-estéticas na construção visual e sonora da minissérie; e) Analisar a relação das representações sobre política de O Brado Retumbante com as construções sobre a temática em outras minisséries da Rede Globo, a fim de compreender o lugar de fala da emissora em seu posicionamento acerca de questões relacionadas à política. Como principais referências teóricas, foram utilizadas as discussões de autores como Sandra Jovcelovitch (2000), Richard Sennett (2014), José Álvaro Moisés (2008), Sérgio Buarque de Holanda (1995), François Jost (2007, 2009 e 2012), Maria Helena Weber (1990 e 2009) e Umberto Eco (1991), e o marco teórico- metodológico foi pautado pela análise de audiovisual ficcional, através de autores como Metz (1980) e Xavier (2003). Essa proposta de pesquisa exigiu um diálogo constante entre o objeto empírico e os contextos sociais, políticos, ficcionais e audiovisuais aos quais ele se refere, culminando em duas categorias de análise, o público e o privado e a desqualificação da política. Elas permitiram compreender as especificidades de uma representação que retrata a política institucional de forma eminentemente negativa, enquanto atividade cuja corrupção irremediável só pode ser combatida não por uma mobilização coletiva e pelo fortalecimento das instituições, mas por um homem comum que se transforma, de forma acidental, em um presidente-herói com coragem e força inéditas. Essas representações negativas sobre a atividade política e os seus agentes se relaciona com o lugar de fala da Rede Globo ao tratar em seus produtos ficcionais da temática política, reforçando, por meio dessa posição, a noção de desqualificação da política enquanto atividade institucional e instrumento de mobilização coletiva. / This work aims to discuss the representation of politics and the politicians in Brazilian miniseries by the example of O Brado Retumbante. As research problem, it is proposed the following: how O Brado Retumbante exemplifies the representation of politics and the politicians by Brazilian miniseries, and how such representations are related to the construction of meanings about politics by the network and to the Brazilian political context? For such, it was formulated the general objective of research the representation of politics and the politicians in Brazilian miniseries by the example of O Brado Retumbante, taking into account the importance of the aesthetic and narratives characteristics of the miniseries in such construction, its relation with the Brazilian political context and the notions of decline of the public man and the disqualification of politics and five specific objectives. They are: a)Describe how the Brazilian political context is presented in O Brado Retumbante and how this is reflected in the representation of the miniseries; b) Relate the representation of politics and politicians with the notions of media depoliticization and decline of public man; c)To discuss how the miniseries builds its characters by entering their dramaturgical construction in a context with a strong presence of heroism, melodrama and social dramatization, especially those who hold political offices; d)Understand how the thematic and narrative model is transformed into technical and aesthetic choices in the miniseries visual and sound construction; e)Relate the relation of the representations about politics of O Brado Retumbante with the buildings on the theme in other miniseries of Rede Globo, in order to understand the networks place of speech in its position on issues related to politics. As main theorical references, was used the discussions of auctors as Sandra Jovcelovitch (2000), Richard Sennett (2014), José Álvaro Moisés (2008), Sérgio Buarque de Holanda (1995), François Jost (2007, 2009 e 2012), Maria Helena Weber (1990 e 2009) and Umberto Eco (1991), and the theorical-methological mark was made by the fictional audiovisual analysis , through names as Metz (1980) and Xavier (2003). This research proposal required a constant dialogue between the empirical object and the social, political, fictional and audiovisual contexts to which he refers, culminating in two categories of analysis, the public and the private and the disqualification of politics. They allowed to understand the specificities of a representation that depicts the institutional policy in an essentially negative way, as an activity whose irremediable corruption can only be fought not by a collective mobilization and strengthening of institutions, but an ordinary man who is transformed accidentally in a president-hero with courage and strength. These negative representations about political activity and its agents are related to Globo's place of speech as dealing in its fictional products on the political theme, reinforcing, through this position, the notion of disqualification of politics as an institutional activity and instrument of collective mobilization.
