Bakgrund: För att skydda de aktieägare som berörs av uppköpserbjudanden finns detregler för processerna kring dessa. I vissa av dessa uppköpserbjudanden kräverreglerna att målbolaget inhämtar en så kallad fairness opinion där en oberoende partska uttala sig om budets finansiella skälighet för aktieägarna. Skeptikerna tillutlåtandet är många men forskningen på den svenska marknaden, obefintlig. Mycketav kritiken som lyfts fram gäller utgivarnas oberoende och revideringen av takeoverreglerna,som kom år 2009, skärpte kraven kring just oberoende, vilket aktualiserarfrågan kring hur dessa regler fungerar och hur oberoendet ser ut på den svenskamarknaden. Syfte: Syftet med denna studie är att undersöka rollen och framtiden för fairnessopinion, på målbolagets sida, vid offentliga uppköpserbjudanden på den svenskaaktiemarknaden. Genomförande: Studien är av explorativ karaktär och inkluderar 14 kvalitativaintervjuer med utgivare av fairness opinion och andra intressenter med erfarenhet avutlåtandet samt en sammanställning av offentliga uppköpserbjudanden på den svenskamarknaden under åren 2007-2012. Slutsats: Revideringen av takeover-reglerna, år 2009, har haft stor påverkan påmarknaden och bidragit till en ny syn på utgivarnas oberoende och en prispress påfairness opinion. Reglerna lämnar dock en del att önska och vi anser att man börinföra en begreppsmässig distinktion kring utlåtandets användning i olika situationersamt en ökad transparens i utlåtandet för att öka värdet för aktieägarna.Nyckelord: Fairness opinion, uppköpserbjudanden, takeover-regler,värderingsutlåtande, företagstransaktioner / Background: In order to protect shareholders affected by public takeover offers,there are rules regarding the processes surrounding them. In some of these offers, therules require that the target company obtain a fairness opinion where an independentparty evaluates the financial fairness of the offer. The number of fairness opinionskeptics is high but the research on the Swedish market is non-existent. Much of thecriticism concerns the independence of the writers of fairness opinions and therevision of the takeover rules tightened these requirements, which raises questionsabout how these rules work and how independent the Swedish writers are. Aim: The objective of this study is to investigate the role and future of targetcompany fairness opinions in regards to public takeover offers on the Swedish stockmarket. Completion: This is an exploratory study, which includes 14 qualitative interviewswith writers of fairness opinions and stakeholders with experience from fairnessopinions and a compilation of public takeover offers on the Swedish stock marketduring the years 2007-2012. Conclusion: The revision of the takeover rules, in 2009, has had a major impact onthe market and contributed to a new view of the independence of publishers and apricing pressure of fairness opinions. The rules, however, leaves some things to bedesired and we reckon that there should be a conceptual distinction between thedifferent situations of fairness opinions, as well as greater transparency in thestatement to increase shareholder value.Keywords: Fairness opinion, public takeovers, takeover rules

How do principals manage educator misconduct in public schools?

This research project is an attempt to determine how principals handle educator misconduct in public schools in a sample of both primary and secondary schools. Procedures on handling misconduct are still new to schools principals. The need to empower principals with knowledge and procedures to handle educator misconduct is the main concern of the study. The main aim of the study is to investigate how principals handle educator misconduct in public schools. It is revealed in the introductory orientation of this study that educator misconduct is one of major challenges in principals' management of schools. Educator misconduct is a continuous problem that principals experience in their management of schools. Principals being given legal authority to handle less serious misconduct at school level, have a mammoth task and responsibility to ensure that procedural requirements are met in such misconduct cases. The attempts to workshop train and educate principals on handling educator misconduct which all proved insufficient. Misconduct among educators is on the increase and principals seem to fall short of handling such misconduct cases properly. In this regard both the literature study and an empirical investigation through interviews are used in the study. Principals are involved because they have a duty to handle educator misconduct. Procedures handling misconduct also involve educators. These data collection methods are useful in providing insights into principals' handling of educator misconduct as well as getting educators' views on how principals handle misconduct cases. The findings and recommendations of this study are expected to improve principals' handling of educator misconduct. The findings are supposed to help principals to realise the need to follow procedural steps and to apply principles of handling misconduct fairly and consistently. Based on what the study will find, it is recommended that principals adhere to principles, rules and procedures of handling misconduct as they serve to empower principals in their management responsibilities. This study deals with the employee perception on the effectiveness of the performance management and performance appraisal system fairness at the National Security Agency, Department of Training. Organisational factors such as (appraisal knowledge), were used as a guide for assessing effectiveness of the system and its fairness. The quantitative approach/method was used to gain and understand employee perceptions on the system based on their personal experiences of the organisation's performance management system. The research chosen was Quantitative, which is the most appropriate approach to the study. The survey used self-administered e-mailed and hand delivered questionnaires to gather data from the respondents. The questionnaires had a brief overview of the research methodology, to give a reader a clear picture of the processes and procedure that were followed. The data was analysed quantitatively by using SPSS system. Consensual exploitation : the moral wrong in exploitation and legal restrictions on consensual exploitative transactions

This thesis is about so-­‐called consensual exploitative transactions: transactions to which all parties agree voluntarily, and which are beneficial for all parties, but which are still widely considered exploitative, and for that reason legally restricted in many countries. The thesis asks two main questions: 1. What is wrong with consensual exploitation? 2.What implications does the answer to this question have for the legal restriction of consensual transactions that are regarded exploitative in modern liberal societies? In answer to the first research question, the thesis starts by distinguishing and analysing five competing views of the wrong in consensual exploitation that exist in the present-­‐day philosophical debate on exploitation; and rejects all five answers. Next, the thesis offers an alternative answer, which is that the wrong in consensual exploitation can best be understood as a matter of greediness—a failure of the virtue of generosity. The thesis then turns to the second research question: what understanding exploitation as greediness implies for the legal restriction of exploitative transactions. It discusses and rejects the view that law ought only to be used to regulate ‘right’ and ‘wrong’ behaviour, and not to promote virtues or discourage vices, such as generosity and greediness. The thesis argues that legal restrictions on consensual exploitative transactions can be justified as a means to prevent greediness, and to promote a certain other-­‐regardingness, and illustrates this argument with two examples of laws that regulate consensual transactions which are widely regarded exploitative: minimum wage laws and payday loan laws.

An Investigation of Behavioral Influences in Strategic Decision Making

In this dissertation, I study the impact of behavioral influences on strategic economic decision making in three essays.The first essay explores the interpersonal implications of guilt aversion in strategic settings. In doing so, I first introduce a stylized 2-player game where one players has an opportunity to induce guilt upon the other player in a manner derived from findings in the psychology literature. I then develop an experimental design, centered around this game, that allows me to test (i) whether agents attempt to induce guilt upon others in self-serving ways, (ii) whether agents are susceptible to the guilt induction of others, and (iii) whether agents are more trusting when they have an opportunity to induce guilt upon others. Furthermore, I theoretically show, via an application of the Battigalli and Dufwenberg (2007) model of simple guilt, that effective guilt induction can be supported as an equilibrium of the game considered.In the second essay, I explore the influence of posted price fairness concerns in bilateral negotiation settings. In doing so, I propose a price fairness model where, in addition to their material payoff, buyers receive disutility from engaging in negotiations, and aggressively negotiating, when the price is fair. As a result, the model predicts that buyers will negotiate less aggressively and possibly even forgo profitable negotiations when the posted price is fair, which is consistent with prior survey evidence on negotiation behavior. I also include a thorough discussion of the differences between the price fairness model and main alternative approaches to modeling fairness that exists in the literature.In the third essay, I experimentally investigate how the decision making quality of an agent's opponent influences learning in strategic games. In particular, I test whether learning-by-doing and learning-by-observing become more effective in games when agents face an optimal decision making opponent. To test these hypotheses, I propose a novel experimental design that enables me to measure strategic decision making quality and control the decision making quality of the opponent.

Acceptance of a Remote Desktop Access System to Increase Workspace Awareness

Awareness systems are being designed and implemented to improve employee connections. This study examines the variables that affect the acceptance of an awareness system. The awareness system that was used for this research was a remote desktop access system. The independent variables investigated were the degree of detail that can be viewed on a desktop, whether the users can control who can access their desktops, whether the users can control when others have access to their desktops, the equality of access to others' desktops, and task-technology fit. In determining the effect of the independent variables on acceptance, the dependent variable, the mediating variables of privacy and fairness were taken into account. There was a preliminary survey conducted to determine appropriate situations to be used in the scenario descriptions for the survey for the main study. The methodology of policy-capturing surveys was utilized to conduct the survey for the main study in order to investigate the model developed in this study. The policy-capturing survey was pre-tested on University of Waterloo students. The main study was conducted in two different organizations, the subjects for the first study were employees from the Information Systems and Technology Department at the University of Waterloo and the subjects for the second study were employees from Ciber Incorporated. Results indicate that perceptions of privacy and perceptions of fairness have significant effects on acceptance. Also, perceptions of privacy and fairness are related to details in the design of the remote desktop access system. This research may be a contribution to this field since little research has been conducted in this area and implications can be drawn for future research on acceptance of awareness systems.

Participant perceptions on the nature of stakeholder dialogue carried out by the UK Nuclear Decommissioning Authority (NDA)

The engagement of stakeholders in a dialogue on the decommissioning of nuclear facilities and the retrieval and treatment of nuclear waste in the UK has proved challenging. The action orientated research presented here has used a mixed methodological approach to examine participants’ perceptions regarding the nature of dialogue being carried out by the NDA National Stakeholder Group (NSG), with the emancipatory aim of raising participant awareness regarding their role and the nature of the dialogue used. Exploration of the emergent theme of fairness has enabled the researcher to provide a contribution to stakeholder theory. This research adds to the theory of the deliberative institution (Reed, 2008), providing evidence for why the effective influence of stakeholders on decision making, communication about this influence, and the institutionalization of stakeholder participation is as important as the engagement itself. The work also provides an important epistemological contribution regarding the role of dialogue within the concept of social sustainability.
